Aprile / April 2013 CHIARIMENTI DELL’AMMINISTRAZIONE FINANZIARIA IN TEMA DI IMPOSTA SOSTITUTIVA SUI CONTRATTI DI FINANZIAMENTO STIPULATI ALL’ESTERO Il tema dell’assoggettabilità ad imposta sostitutiva, di cui all’art. 15 e seguenti del D.P.R. 29 settembre 1973, n. 601 (l’“Imposta Sostitutiva”), oppure alle ordinarie imposte indirette d’atto, di contratti di finanziamento a medio-lungo termine sottoscritti all’estero, ma destinati a produrre effetti giuridici in Italia, a motivo della nazionalità delle parti contraenti e/o del luogo di utilizzo della provvista erogata, è da tempo oggetto di ampio dibattito in dottrina e giurisprudenza, in ragione dei numerosi accertamenti emessi nel recente passato dalle autorità fiscali italiane, diretti ad attrarre nell’alveo dell’imposta sostitutiva le predette tipologie contrattuali, sebbene formalizzate all’estero e, dunque, in carenza del necessario presupposto territoriale. Con la Risoluzione n. 20/E del 28 marzo u.s. (la “Risoluzione”) l'Agenzia delle Entrate ha affrontato nuovamente il tema dell'(eventuale) assoggettamento ad imposta sostitutiva di contratti di finanziamento a medio-lungo termine, sottoscritti all'estero, ma destinati a produrre effetti giuridici in Italia, in quanto sottoscritti da soggetti residenti e per finalità operative da porre in essere sul territorio dello Stato. In particolare, l'Amministrazione finanziaria ha svolto le seguenti rilevanti considerazioni: 1. con riferimento al luogo di sottoscrizione del contratto, ha escluso, in linea generale, che la sottoscrizione all'estero, in sé considerata, sia riconducibile alla nozione di abuso del diritto, secondo l'attuale elaborazione giurisprudenziale, in quanto per la configurazione di una fattispecie abusiva parrebbe necessario "un quid pluris, idoneo a realizzare 'l'utilizzo distorto di strumenti giuridici' finalizzato all'ottenimento di un RECENT CLARIFICATIONS ISSUED BY THE ITALIAN TAX AUTHORITIES ON THE SUBSTITUTIVE TAX ON FACILITY AGREEMENTS EXECUTED OUTSIDE OF ITALY The application of either the Italian substitutive tax on mid-long term facility agreements, pursuant to art. 15 and following of Presidential Decree 29 September 1973, no. 601 (the “Substitutive Tax”), or of the ordinary Italian indirect taxes to facility agreements executed abroad between Italian resident parties, but having direct effects in Italy, has been controversial for a long time; this is due to a significant number of tax assessments issued, over the recent years, by the Italian tax authorities (“ITA”) claiming the application of the Substitutive Tax, regardless of the fact that such agreements had been executed abroad and, therefore, in lack of the necessary territorial requirement. With Resolution no. 20/E of 28 March 2013 (the “Resolution”) ITA investigated, once more, the applicability of the Substitutive Tax to mid-long term facility agreements executed abroad, but having directs effects into Italy, being entered into by Italian resident parties for the benefit of business activities to be carried out within the Italian territory. In better details, ITA provided the following relevant clarifications: 1. as far as the place of execution of the agreement is concerned, the execution abroad of a facility agreement cannot, in principle, be considered as abuse of law, according to the current position of the Italian case law, since some further elements, a so called quid pluris, aimed at a distort use of legal instruments and therefore at the gaining of certain undue tax savings, would be requested; 2. as far as the time of execution of the risparmio fiscale"; 2. con riferimento al momento di formazione del contratto, ha ribadito la necessità di fare riferimento all'art. 1326 cod. civ., pertanto, un contratto si considera formato nel momento della contestuale sottoscrizione ad opera delle parti oppure, qualora non vi sia contestualità, nel momento in cui il proponente ha conoscenza dell'accettazione della controparte. La Risoluzione osserva, peraltro, che per la conclusione dei contratti di finanziamento è richiesta la sola forma scritta, ma non la forma pubblica (i.e. atto pubblico o scrittura privata autenticata), ben potendo gli stessi essere validamente formati a mezzo di scrittura privata semplice. Pertanto, ad avviso dell’Amministrazione finanziaria, laddove il consenso negoziale in ordine agli elementi essenziali del contratto di finanziamento risulti da scrittura privata semplice formata in Italia, il cui contenuto sia poi riproposto in atti pubblici o scritture private autenticate sottoscritte all’estero, il negozio può ritenersi formato in Italia, con conseguente applicabilità dell'imposta sostitutiva sui finanziamenti. A tale proposito, a titolo di esempio, elementi indice dell'avvenuta formazione del consenso – antecedente alla formalizzazione dell’atto negoziale vero e proprio – vengono individuati dalla Risoluzione nella presenza di un term sheet oppure di altra documentazione reperita in sede di controllo, da cui risulti l'intervenuto accordo tra le parti in merito agli elementi essenziali del negozio di finanziamento. A tale proposito, si osserva come l’Amministrazione finanziaria faccia generico riferimento al raggiungimento del consenso negoziale in ordine agli elementi essenziali del contratto, quali espressi ad esempio in un term sheet, senza considerare che, in una molteplicità di casi, tale documento non assume carattere vincolante per le parti, ma costituisce una mera puntuazione delle intese raggiunte, con la conseguenza che lo stesso non integra una pattuizione contrattuale ai sensi dell’art. 1326 cod. civ.. Per quanto attiene ai profili accertativi e sanzionatori la Risoluzione ribadisce l’applicabilità delle disposizioni proprie dell’imposta di registro, conseguentemente l’Amministrazione finanziaria potrà procedere ad eventuali accertamenti entro il termine di cinque anni dal giorno in cui la dichiarazione afferente al versamento dell’imposta sostitutiva avrebbe dovuto essere presentata. Ove, invece, tale agreement is concerned, reference is to be made to art. 1326 of the Italian civil code, therefore an agreement is executed either at the time when the parties thereto sign the relevant documents or when the offeror becomes aware of the acceptance by the relevant counterparty thereto. However, in the context of the Resolution ITA further observes that, for the purposes of a valid and binding facility agreement, it is simply requested that such an agreement be executed in written form, not being the execution by way of public/notarized deed required by law. As a consequence, ITA states that anytime all the essential terms of a facility agreement are summarized in an ordinary written deed executed in Italy and whose substantial contents are simply duplicated/implemented by way of public/notarized deeds executed abroad, the deed is considered as executed in Italy and, therefore, it falls within the scope of the Substitutive Tax. As an example, according to ITA, the existence of a term sheet and/or of other documents examined in the context of a tax inspection, from which the existence of an agreement between the parties can be inferred, are deemed as relevant “indexes” of the existence of a contractual consensus, which is then replicated in the agreement executed abroad. In this respect, ITA generally refers to the existence of a term sheet, not taking into account, however, that in most cases such document is not legally binding for the parties but it simply summarizes the understanding so far reached by the parties and, therefore, it cannot be considered as an agreement under art. 1326 of the Italian civil code. As far as tax assessment and penalties are concerned, the Resolution confirms the application of the law provisions concerning registration tax, therefore ITA is allowed to issue an assessment in connection with the omitted payment of the Substitutive Tax within five years from the day on which the relevant tax return should have been filed. If a tax return has instead been filed, the statute of limitation is three years from the date thereof. The “guidelines” issued by ITA in the Resolution appear to be excessively broad and, although, on one hand, they clarify at least that the execution abroad of a facility agreement is not per se an abuse of law, on the other hand they raise further doubts and uncertainties on the time when the consensus between the parties to an agreement can be deemed as effectively exchanged, especially due to the extremely vague dichiarazione sia stata presentata ma risulti infedele, il termine per l’accertamento è di tre anni dalla data di presentazione della medesima dichiarazione. In ragione di tutto quanto osservato, se da un lato l’Amministrazione finanziaria ha inteso fornire alcuni chiarimenti, lungamente attesi, quanto al tema dell’abuso del diritto, escludendone il ricorrere alla semplice formalizzazione all’estero di un contratto di finanziamento destinato a produrre effetti giuridici in Italia, dall’altro lato, tuttavia, complice un riferimento eccessivamente vago alla nozione di term sheet o ad altra analoga documentazione cui ricondurre lo scambio del consenso tra le parti, ha generato profonde incertezze e dubbi interpretativi tra gli operatori quanto alle circostanze suscettibili di attrarre (comunque) a tassazione in Italia le operazioni di finanziamento in esame. Da ciò consegue che l’impatto nelle fattispecie concrete della posizione assunta nella Risoluzione dovrà essere valutato caso per caso e, segnatamente, con riferimento alle operazioni già concluse, dovrà aversi riguardo ai meccanismi attraverso cui si è sviluppato il rapporto tra le parti coinvolte, mentre, per quanto attiene alle operazioni future, dovrà prestarsi particolare rigore e attenzione nella fase di strutturazione. reference to a term sheet or to other undefined documents.
