WORK EXPERIENCE
Main activities include:
Assisting primary Italian and foreign banks, first class ship-owners, airlines and train operators on
domestic and international finance transactions:
- bond issues;
- rolling stock leasing agreements;
- negotiating and drafting loan agreements in Italy and abroad;
- negotiating, drafting and attending transactions in relation to shipbuilding contracts, ship
deliveries, COA’s and Time charterparties;
- drafting and registering Ship mortgages, assignment agreements, charter party agreements,
bareboat charterparties;
- implementing ship registrations with the Italian Ship Registries;
- coordinating and implementing shipping finance transactions (drafting of MOA, deed of sale
and purchase, bill of sale, shareholders’ resolution, shareholders agreement, pre-delivery
securities, deeds of mortgage, guarantees and pledges of accounts);
Debt restructuring under the umbrella of Article 67, paragraph 3 (d) and Article 182 bis of Italian
Insolvency Law, pre-insolvency work-outs;
General assistance to foreign and domestic ship-owners on the construction of charter party clauses,
interpretation of demurrage provisions, analysis of unsafe berth and damage to hull disputes and in
connection with the Italian social security contributions scheme;
Litigation (time-charter, COA market related);
General corporate advice:
- Constitution and start-up of Companies in Italy;
- Corporate Governance (drafting of Shareholder Agreements etc.);
- Negotiating and drafting of Shares/Quota Purchase Agreements;
- Establishment of JV’s in Italy and abroad.

Advising and assisting Danish Ship Finance A/S in relation to a loan facility made available to an
Italian shipping company for the purpose of financing part of the purchase price of a TDW 10,800
RO-RO vessel;
•
Advising the Italian finance analysts association in relation to bond issues;
•
Advising a primary bank based in UK on rolling stock leasing agreements;
•
Assisting a group of domestic and foreign lenders in relation to the restructuring of the debt of an
Italian shipping company with a fleet of 11 MR tankers under the umbrella of Article 67, paragraph
3 (d) of the Italian Bankruptcy Law;
•
Acting for the lenders Banka Koper d.d. of Intesa Sanpaolo Group in connection with two loan
facilities of respectively 27,000,000 USD made available to a Liberian company in relation to the
purchase of two 4,400 TEU containerships;
•
Acting for the lenders Meliorbanca S.p.A. in connection with two loan facilities of respectively Euro
19,000,000 and Euro 20,000,000, each in relation to a RO-RO vessel, made available to
companies of the Grimaldi Compagnia di Navigazione S.p.A. -led Group;
•
Acting for the lenders Banca IMI S.p.A. in connection with two loan facilities of respectively
24,500,000 USD and 5,000,000 USD in relation to an LPG/Chemical Ethylene carrier;
•
Assisting the lenders MPS Capital Services Banca per le Imprese S.p.A. and Banca IMI S.p.A. in
connection with an Euro 40,000,000.00 loan facility made available to Caronte & Tourist Lines
S.r.l. for the purchase of the RO/RO Pax vessel “Cartour Gamma”;
•
Acting for the lenders UniCredit S.p.A. in connection with a 142,400,000 USD (pre and postdelivery) loan facility made available to Rizzo Bottiglieri De Carlini Armatori S.p.A. for the
purchase of four postpanamax bulk carriers;
•
Acting for the lenders Banca IMI S.p.A. in connection with a USD 54,450,000 loan facility made
available to Navigazione Montanari S.p.A., for the purchase of two new-building tankers;
•
Acting for the lenders Intesa Sanpaolo S.p.A. in connection with a USD 40,000,000 loan facility
made available to Four Jolly S.p.A. and guaranteed by Premuda S.p.A. and Ignazio Messina & C.
S.p.A., for the purchase of a new-building aframax tanker;
•
Advising a major Italian commodities company in relation to a feasibility study assessing the risks
of becoming a disponent owner/operator of ocean going vessels;
•
Acting for the lenders Intesa Sanpaolo S.p.A. in connection with a USD 169,514,510 loan facility
made available to Synergas S.r.l. for the purpose of refinancing ten LPG/Chemical Semi
Refrigerated ships;
•
Acting for the lenders Intesa Sanpaolo S.p.A. in connection with a loan facility to be made
available to a major Italian shipowner, for the purpose of financing part of the purchase price of
two new-building tankers;
•
Advising and assisting Danish Ship Finance A/S in relation to a loan facility made available to a
Danish shipping company for the purpose of financing part of the purchase price of a Cruise-Ferry
built in Italy;
•
Assisting the Commissioner of Alitalia - Linee Aeree Italiane S.P.A. (in Amministrazione
Straordinaria) in the disposal of its assets which include aircraft and lease agreements;
•
Advising and assisting UniCredit Corporate Banking S.p.A., in relation to a facility made available
to an Italian newco for the purpose of financing the purchase price of an Aframax
product/chemical carrier and its conversion into a Floating Product Storage and Offloading unit;
•
Advising and assisting Intesa Sanpaolo S.p.A., in relation to a facility made available to a major
Italian shipping company for the purpose of refinancing existing debt and financing the purchase
price of 10 gas/chemical carriers;
•
Advising and assisting Intesa Sanpaolo S.p.A., in relation to a facility made available to a major
Italian shipping company for the purpose of financing the purchase price of a product tanker;
•
Acting for an Irish company for the purpose of purchasing from a major Italian company a
gas/chemical carrier, the vessel’s bareboat chartering and her registration under Italian flag;
•
Advising MCC Mediocredito Centrale S.p.A. of Unicredit Group of Banks in relation to a pre and
post delivery financing in relation to 4 newbuildings to be purchased by a major Italian shipping
company;
June 2007 up to December 2007: Studio Legale Galdo, Rome.

In particular, up to date work included:
•
Advising and representing Oceanfreight Inc., a Greek interests company, subsidiary of NASDAQ
listed company Dryships, on the purchase of the dry bulk carrier M/v Giovanni Bottiglieri (tbr
Richmond);
•
Assisting DVB Bank in relation to a facility made available to an Irish company (SPV) for the
purpose of purchasing two bulk carriers (M/v Lipari M and M/v Alicudi M) from a major Italian
shipping company;
•
Advising and representing Cardiff Marine Inc., a Greek interests company, major shareholder of
NASDAQ listed company Dryships, on the purchase of two dry bulk carriers from Deiulemar
Shipping S.p.A., M/vs Capitano Giovanni (tbr Trenton) and Raffaele Iuliano (tbr Austin).
•
Assisting BNL Paribas - in relation to a facility made available to a major Italian Shipping
Company under an IBLOR structure with Danish Skibskredit A/S as surety provider.
•
Assisting Unicredit Bank in relation to a pre and post delivery financing in relation to a newbuilding
purchased by a major Italian shipping company;
April 2003 to May 2007: International finance department of Watson, Farley & Williams, Rome.
In particular, significant experience was gained on:
•
Acting for Danish Skibskredit A/S in relation to a syndicated facility made available to an Italian
Group of shipping companies in relation to the m/vs Ievoli Sky, Ievoli Speed and Ievoli Star.
•
Advising Danish Skibskredit A/S as Surety Provider in relation to a facility under an IBLOR
structure with San Paolo IMI made available to two major Italian shipping companies as joint
borrowers in connection with the purchase of certain new-buildings.
•
Assisting Jetmarine Inc. a Company incorporated in Australia which was the special purpose
vehicle for the financing of the catamaran “Sicilia Jet II”.
•
Advising and acting for Bank of Nova Scotia in relation to the reflagging of Ropax ferries Lagan
Viking and Mersey Viking, registered with the Italian International Registry.
•
Acting for DnB Nor Bank ASA in connection with a loan facility made available to Fordimar
Transportes Maritimos LDA in relation to the m/vs Cristallo and Rubino, registered with the Italian
International Ship Registry;
•
Filing an Interpello with the Italian Revenues Agency on behalf of EFIC (Export Finance and
Insurance Corporation) of Australia in relation to certain withholding tax issues arising out of the
financing of the purchase of Sicilia Jet II.
•
Advising and acting for EFIC in relation to certain debt restructurings towards Italian commercial
companies.
•
Advising Fortis Bank N.V. in relation to a facility made available to Stealth Maritime (a company of
Greek interests’ Vafias Group) and acting for the reflagging of m/vs Gas Ice (former Cap Anne)
and Gas Arctic (former Cap Patricia) and their bareboat registration in Italy.
September 2001 – April 2003: Studio Legale Avvocato Carlo Galdo, Rome, mainly doing shipping
finance and securities work with some involvement in new-buildings ship negotiation and debt
restructuring work. General corporate work includes assistance to foreign and Italian clients in the
incorporation of companies, removal and appointment of directors, in share and assets acquisitions
under Italian law etc.

In particular, significant experience was gained on:
•
Assisting Crédit Agricole Indosuez with the financing by credit bail of the m/vs “European Vision”
and “European Stars”, made available to Festival Crociere S.p.A.; assisting with the draft of the
relevant securities (deeds of mortgage and general assignments) and assisting with the
restructuring of the outstanding debt under the finance documents.
•
Assisting Crédit Agricole Indosuez with the release of certain cruise ships, amongst others
Rennaisance I, Rennaisance II, which were arrested in Civitavecchia by certain creditors of the
owner, a company of USA interests who was adjudicated in bankruptcy after 9/11 facts.
•
Advising and acting for EFIC in relation to certain debt restructurings towards Italian commercial
companies.
•
Assisting and representing JP Morgan Chase Bank in relation to the sale and purchase of m/vs
“Antonio D’Alesio” and “Gorgona” registered with the Registry of Ships of the Port of Livorno.
October 2000 - July 2001: My work experience at Tonon & Associates Consulting, Rome includes
due diligence activity for acquisition of going concerns, negotiation and drafting of contracts for the
disposal and purchase of shares and assets, commercial litigation and drafting of commercial lease
contracts.
