SAI Industry’s CIMENTO® is a concrete based mixture applied

Il sistema di fissaggio
A è ideale qualora ci sia l’esigenza di
far aderire il pannello al muro.
Prima della stesura della colla,
deve essere verificata la planarità
della superficie della parete e, se
necessario, livellata.
The fixing system A is ideal for
gluing panels on different kinds of
wall or surfaces
The surface flatness shall be checked
before applying the glue, if necessary
the surface shall be flattened
La stesura della colla deve essere
fatta seguendo le istruzioni del
produttore, sia sulla superficie della
parete che sul pannello, in modo
omogeneo e assicurandosi
la completa aderenza.
I pannelli vengono incollati
direttamente sulla superficie della
parete.
The glue shall be applied following
the producer instructions, both
on surface and panel, evenly and
making sure that is perfectly bonded

Prima del posizionamento dei
profili C Art. POL 002, deve essere

In alternativa è possibile inserire

Il sistema di fissaggio B è un sistema
semplice e di veloce applicazione.

Fixing system B is a simple and
quick system. It is ideal for every
kind of surfaces and walls.
The surface flatness shall be checked
before fixing rails C (It. POL002),
if necessary the surface could be
flattened. Alternatively, it is possible
to place gauges between the rail and
the surface.
Eseguito il montaggio dei profili C
Art. POL 002 si continua con il
fissaggio dei pannelli mediante
clips Art. CFL 001.
Il posizionamento delle guide può
essere fatto sia in orizzontale che in

Per il posizionamento a contatto della
parete è necessario che la superficie
abbia la planarità. Qualora la parete
abbia delle irregolarità va creata la
planarità con dei spessori di legno.

Raggiunta la planarità della parete
si procede con il montaggio dei
spessori in legno, si procede con

d’ordine della Venditrice e costituisce, per lo stesso, in deroga all’Art. 1329 Codice
Civile, contratto perfetto ed inderogabile e non proposta di contratto. Eventuali
variazioni o deroghe alle condizioni generali e particolari della compravendita
saranno valide solo se risulteranno da atto scritto e non costituiscono, in ogni
caso, novazione di contratto. La Venditrice si riserva di apportare su i suoi prodotti
quelle modifiche che riterrà necessarie od utili, fatte salve le caratteristiche
essenziali. Effettuata la consegna dei prodotti e risultando questi conformi a
quanto indicato nella commissione, nessuna contestazione potrà essere sollevata

l’incasso dei titoli che sono espressamente convenute a carico del Committente.
TERMINI DI CONSEGNA
I termini di consegna esposti nella conferma d’ordine o in qualsiasi altro documento
sono puramente indicativi e non impegnano in alcun caso la Venditrice.
CONSEGNA, TRASPORTI e IMBALLI
Il Committente è tenuto a verificare la rispondenza della merce (qualità e quantità)
prima di ritirarla, facendone, se del caso, le debite riserve direttamente sulla bolla
di consegna, pena il mancato riconoscimento di qualsiasi contestazione. Per
consegne di ordini inferiori a Euro 5.000,00 netti verrà aggiunto nella fattura un
contributo per spese di trasporto e imballo di Euro 150,00 netti per l’Italia, di
Euro 250,00 per l’Europa e su preventivo per il Resto del Mondo. Per consegne
di ordini superiori a Euro 5.000,00 netti verrà fatto un preventivo per trasporto e
imballo. SAI Industry ha la facoltà di sospendere le forniture qualora ritenesse che
le condizioni economiche del Committente risultassero tali da porre in evidente
pericolo il conseguimento del pagamento. Nel caso di pagamenti differiti la
mancata puntuale osservanza delle scadenze stabilite legittima la Venditrice a
richiedere il versamento immediato dell’importo residuo.
ANNULLAMENTI/VARIAZIONI
Nel caso di annullamento o variazione di ordini, la Venditrice si riserva il diritto
di richiedere o trattenere un’indennità pari al 30% del valore merci di serie e del
100% su prodotti speciali.
RISERVA DI PROPRIETA’
I prodotti oggetto della compravendita non diventeranno di proprietà del
Committente prima dell’integrale pagamento del prezzo, in conformità a quanto
previsto dagli Artt. 1523 e seguenti del Codice Civile. Il pagamento con cambiali o
tratte non modifica le condizioni di riserva della proprietà, intendendosi agli effetti
cambiari dati o ricevuti “pro solvendo” e non “pro soluto”. Le eventuali concessioni
di moratoria non importano in nessun caso rapporto novativo o qualsivoglia altro
mutamento alle ragioni creditorie, alle relative causali ed in particolare al riservato
dominio della Venditrice. In caso di sequestro o pignoramento totale o parziale
dei prodotti della Venditrice, il Committente dovrà informare la SAI Industry Srl
affinché quest’ultima possa far valere nei confronti del terzo il diritto a proprietà
riservata. Le spese saranno a carico del Committente. Se richiesto, il Committente
si obbliga a mantenere sui prodotti, fintantoché non sarà soddisfatta ogni ragione
creditoria della Venditrice, un contrassegno attestante, fra l’altro, il diritto di
proprietà riservata a favore della Venditrice.
CONSIGLI E PENALITA’ PER RITARDI
I termini di consegna sono indicati per numero di settimane e si intendono lavorativi
e valevoli solamente in condizioni normali di lavoro e di approvvigionamento e si
riferiscono a merce pronta presso gli stabilimenti della Venditrice. Le stesse non
sono impegnative né tassative ed il Committente non può in nessun caso revocare
la Commissione o esigere indennizzi per eventuali danni diretti o indiretti per
il ritardo nelle consegne. La merce viaggia in ogni caso a rischio e pericolo del
Committente, anche se caricata su automezzi della Venditrice o affidata a vettori
o spedizionieri terzi.
INADEMPIENZE
Il Committente rinuncia fin d’ora ad eventuali pretese creditorie di qualsiasi
natura. In caso di mancato adempimento del Committente all’obbligo del
pagamento del prezzo alla scadenza convenuta, la Venditrice ha diritto di acquisire
la immediata e piena responsabilità ed il possesso dei prodotti o di incamerare
la somma fino a quel tempo versata a titolo di risarcimento del danno, salva
comunque l’esperibilità dell’azione per il maggior danno. Qualora il Committente
non provvedesse spontaneamente al restituzione dei prodotti, la Venditrice è
autorizzata ad entrare nei locali ove gli stessi sono in giacenza od installati, per
procedere direttamente o tramite incaricati della Venditrice all’asporto a spese ed
in danno del Committente, il quale si impegna sin d’ora a non fare opposizione di
alcun genere.
MORA NEI PAGAMENTI
Nessuna domanda o difesa può essere fatta valere in giudizio dal Committente,
ove questi sia in mora con i pagamenti.
TOLLERANZE
Tutte le finiture potranno subire nel tempo variazioni di colore dovute alla luce,
ai vapori ed all’invecchiamento. In caso di ordini di completamento, si potranno
avere delle differenze di tonalità che comunque tenderanno ad attenuarsi nel
tempo. Questi fattori non potranno costituire motivi di contestazione o di reso
del prodotto. L’acquirente, conferendo l’ordinazione, accetta tale tolleranza. I
campionari di legni e laccature, le misure e le specificazioni esposti nei nostri
cataloghi e listini prezzi sono indicativi. La SAI Industry si riserva la facoltà
di modificare tali dati tecnici, nonché di apportare migliorie e varianti ad
insindacabile giudizio del suo Ufficio Tecnico.
MODIFICHE AGLI ELEMENTI DI SERIE
Ogni richiesta di modifiche alla produzione di serie dovrà essere approvata dal
nostro Ufficio Tecnico e comporterà un addebito di costi, preventivato dalla
Venditrice e accettato dal Committente.
RECLAMI e CONTESTAZIONI
Eventuali reclami, per vizi o per qualunque altro motivo presentati, devono
pervenire nel termine di gg. 8 dal ricevimento della merce a mezzo lettera
raccomandata con ricevuta di ritorno o fax. Nessuna contestazione da parte
del Committente potrà in ogni caso giustificare rifiuti o ritardi nel pagamento:
trascorso il termine sopra indicato non saranno ammesse eccezioni di
inadempimento o di risoluzione, né domande riconvenzionali. Qualsiasi reclamo
non sarà procedibile se non previo pagamento dell’intero prezzo di tutte le fatture
ancorché non scadute. La SAI Industry esclude ogni propria responsabilità per
impieghi anomali dei prodotti finiti.
RESI
Non si accettano resi, se non preventivamente autorizzati per iscritto dalla SAI
Industry, e comunque saranno resi franco di ogni spesa alla nostra sede. Ogni reso
avviene sotto la responsabilità dell’acquirente. La responsabilità per eventuali
danni al reso dovuti a carenze nell’imballo è del Committente.
VALIDITA’ del LISTINO
Il presente listino annulla e sostituisce tutte le precedenti quotazioni. La Venditrice
si riserva il diritto di modificarlo a suo insindacabile giudizio in qualsiasi momento.
FORO COMPETENTE
Per qualsiasi controversia riflettente i rapporti regolari è competente
esclusivamente il Foro di Venezia. Le tratte, le accettazioni di regolamento, le
spedizioni, senza o in contrassegno, non costituiscono deroga a questa clausola
attributiva di competenza. Nel caso in cui la SAI Industry Srl sia attrice, potrà
ricorrere tanto all’autorità giudiziaria della propria giurisdizione, quanto a quella
della giurisdizione del Committente.
GARANZIA
La Venditrice non è soggetta all’obbligo della garanzia per avarie ed inefficienze
derivante da qualsiasi natura non dipendente dalla Venditrice, come ad esempio
incuria nelle operazioni di scarico, imperizia nell’immagazzinamento, errata
installazione, manomissione, modifiche, riparazioni, ecc.. L’intervento in garanzia
della Venditrice implica la sostituzione pura e semplice del materiale difettoso ed
esclude la rifusione di danni di qualsiasi genere.
DIRITTI
Tutti i diritti inerenti ai progetti sono riservati. È pertanto vietato l’utilizzo dei
marchi, dei nomi e dell’immagine dei prodotti e dei relativi listini, prezzi e
cataloghi, senza espressa autorizzazione scritta da parte dell’azienda.

GENERAL TERMS OF SALES
PRELIMINARY
The commission is mandatory for the buyer until he receives the order confirmation
from the seller and it constitutes for the same, in it derogates o the Art. 1329 Italian
Civic Code, perfect contract and inviolable and not proposal of contract. Possible
variations or exceptions to the general and particular purchase/sales conditions
– they will be valid only if they will result from a written action and they will not
constitute, in any case, renewal of the contract. The seller reserves to bring on his/
her products those changes that will be considered necessary or useful, except for
the essential characteristics.
After the delivery of the products and resulting these conforming to how much
suitable in the commission, not any confrontation can be lifted by the Buyer as it
regards technical characteristics and aesthetic ones.
PRICES
The prices are expressed in Euro; the terms and payment conditions are the same
ones showed on the order commission and do not include the ones not mentioned
on it; affairs, spent of unloading, assemblage, errands for the collection of the titles
that are expressly on the Buyer’s charge.
DELIVERY TERMS
The delivery terms showed on the order confirmation or on any other documents
are purely indicative and do not binding the Supplier in any way.
DELIVERY, TRANSPORT & PACKAGING
The Buyer must verify the quantity and quality of the goods before the collection,
marking any claim or reserves directly on the delivery docs. Penalty for not
respecting this clause, will be the missed recognizing of any claim. For the
delivery of orders lower than Euro 5.000,00 net, we will add a contribute for the
delivery cost and packaging in the invoice: Euro 150,00 for Italy, Euro 250,00 for
the European Union and on quotation for the rest of the world. For the delivery
of orders higher than Euro 5.000,00 net, we propose a quotation for transport
and packaging. SAI Industry has the power to suspend the supplies if it believes
that the Buyer’s economic conditions prove to be dangerous for the conclusion
of the payments. In case of deferred payment, the failure to comply with the
agreed deadlines legitimate the Supplier to request the immediate payment of
the amount due.
CHANGES/CANCELLATION
In case of changes or cancellation of the orders, the Supplier has the right to
request or withhold an indemnity of 30% of the value on standard goods and 100%
on special products.
OWNERSHIP RESERVE
The products do not constitute property of the buyer until the whole payment
will be transferred, in conformity to how much anticipated from the Arts. 1523
and following the Italian Civic Code. The payment with bills or drawn does not
modify the backup conditions of the ownership, intending himself/herself/itself
the effects “pro solvendo” and not “pro soluto”. The possible concessions of
delay do not mean in any case a renewal. In case of sequestration of the seller’s
products, the Buyer must inform SAI Industry Srl so that this last can make to it
worth towards the third one the ownership right reserves. The expenses will be
at the Buyer’s charge.
SUGGESTIONS AND DELAY PENALTY
The delivery terms are intended as number of weeks and only on working days
in normal conditions and refers to the goods ready at the seller’s warehouse. The
same above are not mandatory and the buyer cannot raise claims for any delay in
delivery. The port is always intended as Ex-works, even if travelling on the seller’s
truck.
NON-FULFILMENT
The buyer abdicates any kind of credit request. In case of payment delay, the seller
can keep the entire products or confiscate the sum up of the payments done as a
title of reimbursement of the damage. If the buyer do not provide himself to give
back the goods, the seller is authorized to go where the products are stored or
installed and take them away with her/him. The buyer will not raise any objection.
PAYMENT AREARS
No defence can be requested if the buyer is in payment arrears.
TOLERANCES
All finishes could undergo a variation on the colors due to light, fumes and
ageing. In case of orders to completion there could be differences in the tonality
which however will tend tone down in the time. These factors shall not underlie
reasons to contest or to return the product. The Buyer accepts these tolerances
when he places the order. The samples of wood and lacquer wood, measures and
specifications shown on our catalogues and price lists are indicative.SAI Industry
reserves the right, without prior notice, to make any modifications necessary to
the technical and productive improvement.
CHANGES TO STANDARD PRODUCTS
Every request to change the standard products must be approved by our Technical
Office and extra costs will be charged, offered by the Seller and accepted by the
Buyer.
COMPLAINTS AND OBJECTIONS
Any claim, must be raised within 8 days from receipt of the goods, with a recorder
delivery letter or fax. No claim coming from the buyer can justify payment refusal
or delay, and it will not be accepted, if coming before the payment. SAI Industry is
not liable for irregular use of the products.
RETURNS
All products are sold without return privilege. No returns will be accepted without
prior written authorization by the producer. All returns are under the purchaser’s
responsibility. The responsibility for any damage caused by deficiencies is of the
purchase.
VALIDITY OF PRICE LIST
This price list cancels and substitutes all previous quotations. The company
reserves the right to modify at his discretion at any moment.
JUDICIAL AUTHORITY
Any controversy is to be considered under Venice (Italy) juridical Authority. The
acceptances of rules, consignments, without or in countersign, do not constitute
it derogates to this attributive clause of competence. In case the SAI Industry Srl
constitutes the acting part, needs, they can resort the same juridical Authority
as the buyer.
GUARANTEE
The seller is not subject to the obligation to guarantee for damages and
consequential ineffectiveness non depending from her, as for instance
carelessness while unloading, non-proper storing, wrong installation, tampering,
changes, reparations, etc.. The intervention in guarantee implicates the pure and
simple replacement of the defective material and excludes the refusal of any kind
of damage.
RIGHTS
All projects’ rights are reserved. Therefore it is forbidden to use all brands, names,
products’ images, price-lists without written authorization from the producer.
