Definitions: In these Final Terms, the following words and expressions shall have the following meaning: “Disrupted Day” means any Scheduled Trading Day on which: (i) the Relevant Sponsor fails to publish the relevant Index Level; (ii) the Related Exchange fails to open for trading during its regular trading session; or (iii) a Market Disruption Event has occurred; “Early Closure” means the closure on any Exchange Business Day of the relevant Exchange in respect of any Component Security thereof or the relevant Related Exchange prior to its Scheduled Closing Time unless, where the relevant Index Level is to be determined at the Valuation Time, such earlier closing is announced by such Exchange or Related Exchange (as the case may be) at least one hour prior to the earlier of: (i) the actual closing time for the regular trading session on such Exchange or Related Exchange (as the case may be) on such Exchange Business Day; and (ii) the submission deadline for orders to be entered into the relevant Exchange or Related Exchange system for execution at the relevant Valuation Time on such Exchange Business Day; “Exchange” means in relation to each security comprised in the relevant Index (the “Component Security”), the principal stock exchange on which such Component Security is principally traded, as determined by the Calculation Agent; “Exchange Business Day” means any Scheduled Trading Day on which: (i) the Relevant Sponsor publishes the relevant Index Level; and (ii) the relevant Related Exchange is open for trading during its regular trading session, notwithstanding such Related Exchange closing prior to its Scheduled Closing Time; “Exchange Disruption” means any event (other than an Early Closure) that disrupts or impairs (as determined by the Calculation Agent) the ability of market participants in general to effect transactions in, or obtain market values for: (i) any Component Security on the relevant Exchange in respect of such Component Security; or (ii) futures or options contracts relating to the relevant Index on the relevant Related Exchange; “Index” means each of the Indices as defined in the Table 1 below: Table 1 “i” Index(i) Bloomberg Code 1 DJ Euro Stoxx 50 Index SX5E INDEX EUREX 2 S&P 500 Index SPX INDEX The Chicago Board Options Exchange and the Chicago Mercantile Exchange Related Exchange “Index Level” means, in respect of the relevant Index, on any relevant Scheduled Trading Day, the level of that Index determined by the Calculation Agent as at the relevant Valuation Time on such Scheduled Trading Day, as calculated and published by the Relevant Sponsor, subject to the provisions herein; “Market Disruption Event” means: (i) (a) the occurrence or existence, in respect of any Component Security thereof, of: 9 (1) a Trading Disruption; (2) an Exchange Disruption, in either case which the Calculation Agent determines is material in respect of such Component Security and, where the level of the relevant Index is to be determined at the Valuation Time, at any time during the one hour period that ends at the relevant Valuation Time in respect of the Exchange on which such Component Security is principally traded; or (3) an Early Closure in respect of such Component Security; and (b) any circumstance in which the aggregate of all Component Securities thereof in respect of which a Trading Disruption, an Exchange Disruption or an Early Closure occurs or exists comprises 20 per cent. or more of the relevant Index Level; or (ii) the occurrence or existence, in respect of futures or options contracts relating to the relevant Index, of: (a) a Trading Disruption; (b) an Exchange Disruption, which in either case the Calculation Agent determines is material, where the level of the relevant Index is to be determined at the Valuation Time, at any time during the half hour period that ends at the Valuation Time in respect of the relevant Related Exchange; or (c) an Early Closure, in each case in respect of such futures or options contracts. For the purposes of determining whether a Market Disruption Event exists in respect of the relevant Index at any time, if a Market Disruption Event occurs in respect of a Component Security in the relevant Index at that time, then the relevant percentage contribution of that Component Security to the level of such Index Level shall be based on a comparison of (x) the portion of the level of such Index attributable to that Component Security to (y) the overall level of such Index, in each case immediately before the occurrence of such Market Disruption Event; “Related Exchange(s)” means, in respect of the relevant Index, the relevant security exchange or quotation system as defined in the Table 1 above; “Relevant Sponsor” means Stoxx Limited in respect of the DJ Eurostoxx 50 Index, Standard and Poor’s, a Division of The Mc Graw-Hill Companies, in respect of the S&P 500 Index; “Scheduled Closing Time” means, in respect of an Exchange or Related Exchange and a Scheduled Trading Day, the scheduled weekday closing time of such Exchange or Related Exchange on such Scheduled Trading Day, without regard to after hours or any other trading outside the regular trading session hours; “Scheduled Trading Day” means any day on which (i) the Relevant Sponsor is scheduled to publish the level of the relevant Index and (ii) the relevant Related Exchange is scheduled to be open for trading for its respective regular trading sessions; “Trading Disruption” means any suspension of or limitation imposed on trading by the relevant Exchange or Related Exchange or otherwise and whether by reason of movements in price exceeding limits permitted by the relevant Exchange or Related Exchange or otherwise: (i) relating to any Component Security on the Exchange in respect of such Component Security; or (ii) in futures or options contracts relating to the relevant Index on the relevant Related Exchange; “Valuation Time” means i) for the purposes of determining whether a Market Disruption Event has occurred: (a) in respect of any Component Security, the Scheduled Closing Time on the Exchange in respect of such Component Security, and (b) in respect of any options contracts or future contracts on the relevant Index, the close of trading on the relevant Related Exchange; and (ii) in all other circumstances, the time at which the official closing level of the relevant Index is calculated and published by the Relevant Sponsor; 2. Market Disruption Consequences 10 If, in respect of an Index, any Observation Date is a Disrupted Day, then that Observation Date for such Index shall be the first succeeding Scheduled Trading Day that is not a Disrupted Day relating to such Index, unless there is a Disrupted Day relating to such Index on each of the three Scheduled Trading Days immediately following the date that, but for the occurrence of the Disrupted Day, would have been the Observation Date. In that case, that third following Scheduled Trading Day shall be deemed to be the Observation Date (the “Deemed Date”) for the relevant Index notwithstanding it is a Disrupted Day; and the Calculation Agent shall determine its good faith estimate of the level of such Index that would, but for that Disruption Day as of the Valuation Time on the Deemed Date, have prevailed based on the formula for and method of calculating the relevant Index last in effect prior to the occurrence of the first Disrupted Day using the relevant Exchange traded or quoted price as of the Valuation Time on the Deemed Date of each Component Security or, if an event giving rise to a Disrupted Day has occurred in respect of the relevant Component Security on that third Scheduled Trading Day, its good faith estimate of the value for the relevant Component Security as of the Valuation Time on the Deemed Date. 3. Modifications or Discontinuation of the Index Successor Index: If an Index is (i) not calculated and announced by the Relevant Sponsor but is calculated and announced by a successor sponsor acceptable to the Calculation Agent, or (ii) replaced by a successor index using, in the determination of the Calculation Agent, the same or a substantially similar formula for and method of calculation as used in the calculation of that Index, then in each case the index (the “Successor Index”) will be deemed to be the relevant Index. Index Adjustment Event: If on or prior to any Observation Date or the Strike Date the Relevant Sponsor announces that it will make a material change in the formula for or the method of calculating the relevant Index (other than a modification prescribed in that formula or method to maintain the relevant Index in the event of changes in constituent stock and capitalization and other routine events), or the Relevant Sponsor permanently cancels the relevant Index and no Successor Index exists, then the Calculation Agent shall calculate the Index Level for such Index to preserve the economics of the Notes, using, in lieu of a published level for the relevant Index, the level for such Index as at that Observation Date or Strike Date as determined by the Calculation Agent in accordance with the formula for and method of calculating for the relevant Index last in effect prior to that change, but using only those securities that comprised such Index immediately prior to that change (other than those securities that have since ceased to be listed on any relevant Exchange). In case of the Relevant Sponsor fails to calculate and announce the relevant index, then Market Disruption Consequences will be applied. Correction of Index In the event that an Index is subsequently corrected and the correction is published by the relevant Exchange or Relevant Sponsor within one Settlement Cycle after the original publication, the Calculation Agent will determine the amount that is payable as a result of that correction, and, to the extent necessary, will adjust the provisions of these Final Terms or the Conditions to account for such correction. For the purposes above the following terms shall have the following respective meanings: “Clearance System” means, in respect of any Index at any time, the domestic clearance system customarily used for settling trades in the Component Securities comprised in such Index at that time; “Clearance System Business Day” means, in respect of a Clearance System, any day on which such Clearance System is (or but for the occurrence of a Settlement Disruption Event, would have been) open for the acceptance and execution of settlement instructions; “Settlement Cycle” means the period of Clearance System Business Days following a trade in the Component Securities comprised in the relevant Index on the relevant Exchange in which settlement will customarily occur according to the rules of such Exchange (or if there are multiple Exchanges in respect of that Index, the longest such period); and 11 “Settlement Disruption Event” means an event beyond the control of the Issuer as a result of which the relevant Clearing System cannot clear the transfer of securities comprised in the relevant Index. Calculations and Determinations The Calculation Agent shall have no responsibility to Noteholders for good faith errors or omissions in its calculations and determinations as provided in the Conditions except such as may result from its own wilful default, gross negligence or bad faith. The calculations and determinations of the Calculation Agent shall be made in accordance with the Conditions (having regard in each case to the criteria stipulated herein and where relevant on the basis of information provided to or obtained by employees or officers of the Calculation Agent responsible for making the relevant calculation or determination) and shall, in the absence of manifest error, be final, conclusive and binding on the Noteholders. Noteholders shall not be entitled to make any claim against the Calculation Agent or the Issuer in the case where the Relevant Sponsor shall have made any error, omission or other incorrect statement in connection with the calculation and public announcement of the relevant Index. 12 ANNEX B (This Annex A forms part of the Final Terms to which it is attached) Information relating to the Dow Jones Euro Stoxx 50 General The Dow Jones Euro Stoxx 50 (Price) Index is a capitalization-weighted index of 50 European blue-chip stocks from those countries participating in the EMU. The equities use free float shares in the index calculation. The Index was developed with a base value of 1,000 as of 31st December, 1991. This Index uses float shares. Definizioni: In questo Regolamento, le seguenti parole ed espressioni avranno il seguente significato: “Giorno di Turbativa” significa qualsiasi Giorno Programmato per gli Scambi in cui: (i) il Rispettivo Sponsor non pubblica il livello del rispettivo Indice; (ii) la Borsa Collegata non apre per gli scambi durante la sua regolare seduta di scambi; o (iii) si è verificato un Evento di Turbativa dei Mercati; “Chiusura Anticipata” indica in relazione ad ogni Titolo Componente l’Indice la chiusura anteriore dell'Orario di Chiusura Programmato in ogni Giorno Lavorativo di Borsa della rispettiva Borsa di Riferimento o del rispettivo Mercato Collegato, salvo che, laddove il livello del rispettivo Indice debba essere determinato all’ Orario di Valutazione, detta chiusura anticipata sia stata annunciata da tale Borsa o dal Mercato Collegato (a seconda dei casi) almeno un’ora prima del primo fra i seguenti eventi: (i) l'effettivo orario di chiusura della normale sessione di negoziazione su tale Borsa di Riferimento o Mercato Collegato (a seconda dei casi) in quello stesso Giorno Lavorativo di Borsa; e (ii) il termine ultimo per la presentazione degli ordini da immettere nel sistema della Borsa di Riferimento o del rispettivo Mercato Collegato da eseguirsi al momento del relativo Orario di Valutazione in quello stesso Giorno Lavorativo di Borsa. “Borsa di Riferimento” indica in relazione ad ogni titolo compreso nell’Indice di riferimento (il “Titolo Componente l’Indice”), la principale borsa su cui tale Titolo Componente l’Indice è principalmente scambiato, come determinato dall’Agente per il Calcolo; “Giorno Lavorativo di Borsa” significa ogni Giorno Programmato per gli Scambi in cui: (i) il Rispettivo Sponsor pubblica il livello dell’Indice; e (ii) il rispettivo Mercato Collegato è aperto per gli scambi durante la sua regolare sessione di scambi, nonostante la chiusura di tale Mercato Collegato sia antecedente all’Orario di Chiusura Programmato; “Turbativa di Borsa” indica qualsiasi evento (diverso dalla Chiusura Anticipata) che turbi o impedisca (come determinato dall’Agente per il Calcolo) la capacità dei partecipanti al mercato in generale di effettuare transazioni o ottenere valori di mercato per: (i) ogni Titolo Componente l’Indice nella Borsa di Riferimento; o (ii) contratti di Opzione o Futures relativi all’Indice pertinente sul rispettivo Mercato Collegato; “Indice” indica ogni Indice come definito nella Tabella 1 qui sotto: Tabella 1 “i” Indice(i) Codice Bloomberg Mercato Collegato 1 Indice DJ Euro Stoxx 50 SX5E INDEX EUREX 2 Indice S&P 500 SPX INDEX The Chicago Board Options Exchange and the Chicago Mercantile Exchange 28 “Livello dell’Indice” significa, rispetto all’Indice pertinente, in ogni Giorno Programmato per gli Scambi, il livello di tale Indice determinato dall’Agente per il Calcolo al rispettivo Orario di Valutazione di tale Giorno Programmato per gli Scambi, come calcolato e pubblicato dallo Sponsor di Riferimento, soggetto alle clausole qui specificate; “Eventi di Turbativa del Mercato” significa: (i) (a) (b) il verificarsi o l’esistenza, con riferimento ad ogni Titolo Componente l’Indice, di: (1) una Turbativa degli Scambi; (2) una Turbativa di Borsa, in entrambi i casi in cui l’Agente per il Calcolo determini che sia rilevante rispetto a tale Titolo Componente l’Indice e, dove il livello del rispettivo Indice deve essere determinato all’Orario di Valutazione, in ogni istante entro l’ora che precede l’Orario di Valutazione con riferimento alla Borsa su cui è principalmente scambiato tale Titolo Componente l’Indice; o (3) una Chiusura Anticipata relativamente a tale Titolo Componente l’Indice; e ogni circostanza in cui l’aggregato di tutti i Titoli Componenti l’Indice rispetto ai quali si verifica o esiste una Turbativa degli Scambi, una Turbativa di Borsa o una Chiusura Anticipata che comprende il 20 per cento o più del livello del rispettivo Indice; o (ii) il verificarsi o l’esistenza, con riferimento ai contratti di opzione o futures relativi al rispettivo Indice, di: (a) una Turbativa degli Scambi, (b) una Turbativa di Borsa, che in entrambi i casi l’Agente per il Calcolo ritenga siano rilevanti, laddove il livello dell’Indice pertinente deve essere determinato all’ Orario di Valutazione, in ogni istante entro l’ora che precede l’Orario di Valutazione con riferimento al rispettivo Mercato Collegato; o (c) una Chiusura Anticipata, in ogni caso rispetto a tali contratti futures o di opzione. Ai fini di determinare se un Evento di Turbativa del Mercato esista in relazione al rispettivo Indice in ogni istante, se un Evento di Turbativa del Mercato si verifica in relazione ad un Titolo Componente l’Indice in quel momento, allora il rispettivo contributo percentuale di quel Titolo Componente l’Indice al livello di tale Indice sarà basato su un raffronto tra (x) la quota del livello di tale Indice attribuibile a quel Titolo e (y) il livello totale di tale Indice, in ogni caso immediatamente prima del verificarsi di tale Evento di Turbativa del Mercato; “Mercato(i) Collegato(i)” indica, in relazione al rispettivo Indice, la rispettiva borsa o sistema di quotazione come definito nella Tabella 1 qui sopra. “Orario di Chiusura Programmato” indica, con riferimento ad una Borsa o Mercato Collegato e a un Giorno Programmato per gli Scambi, l’orario di chiusura programmato per i giorni della settimana di tale Borsa di Riferimento o Mercato Collegato in tale Giorno Programmato per gli Scambi, senza considerare le sessioni fuori orario o ogni altra sessione fuori dagli orari della regolare sessione di scambi; “Giorno Programmato per gli Scambi” indica ogni giorno in cui (i) lo Sponsor di Riferimento ha in programma di pubblicare il livello del rispettivo Indice e (ii) il rispettivo Mercato Collegato ha in programma di aprire per gli scambi nelle rispettive sessioni regolari di scambi, 29 “Sponsor di Riferimento” indica Stoxx Limited in relazione all’Indice DJ Eurostoxx 50 e Standard and Poor’s, a Division of The Mc Graw-Hill Companies, in relazione all’Indice S&P 500; “Turbativa degli scambi” indica ogni limitazione o sospensione imposta sugli scambi dalla Borsa di Riferimento o dal rispettivo Mercato Collegato oppure a causa di movimenti nei prezzi eccedenti i limiti permessi dalla Borsa di Riferimento o dal rispettivo Mercato (Borsa) Collegato o per qualsiasi altro motivo: (i) relativo ad ogni Titolo Componente l’Indice sulla Borsa di Riferimento; o (ii) nei contratti futures o di opzione relativi al rispettivo Indice sul rispettivo Mercato Collegato; “Orario di Valutazione” significa i) al fine di determinare se si è verificato un Evento di Turbativa del Mercato: (a) rispetto ad ogni Titolo Componente l’Indice, l’Orario di Chiusura Programmato della Borsa di riferimento rispetto a tale Titolo Componente l’Indice, e (b) rispetto a qualsiasi contratto di opzione o contratto future sul rispettivo Indice, la Chiusura degli scambi sul rispettivo Mercato Collegato; e (ii) in tutte le altre circostanze, il momento in cui il livello ufficiale di chiusura del rispettivo Indice è calcolato e pubblicato dallo Sponsor di Riferimento; 2. Conseguenze delle Turbative di Mercato Se, con riferimento ad un Indice, la Data di Osservazione è un Giorno di Turbativa, allora la Data di Osservazione di tale Indice sarà il primo Giorno Programmato per gli Scambi successivo che non sia un Giorno di Turbativa in relazione a tale Indice, a meno che non ci sia un Giorno di Turbativa relativo a tale Indice in ognuno dei tre Giorni Programmati per gli Scambi immediatamente successivi a tale data che, se non si fosse verificato il Giorno di Turbativa, sarebbe stata la Data di Osservazione. In quel caso, quel terzo Giorno Programmato per gli Scambi successivo sarà ritenuto essere la Data di Osservazione (la “Data Stabilita”) per il rispettivo Indice nonostante sia un Giorno di Turbativa; e l’Agente per il Calcolo determinerà in buona fede il livello di tale Indice che sarebbe prevalso, se non fosse stato un Giorno di Turbativa all’Orario di Valutazione della Data Stabilita, basato sulla formula e sul metodo di calcolo del rispettivo Indice appena prima che si verificasse il primo Giorno di Turbativa, usando i prezzi di ogni titolo compreso nell’Indice quotati o scambiati sulla rispettiva Borsa di Riferimento all’Orario di Valutazione della Data Stabilita o, se un evento che dà luogo ad un Giorno di Turbativa si fosse verificato rispetto al citato Titolo Componente l’Indice a quel terzo Giorno Programmato per gli Scambi, la stima in buona fede dell’Agente per il Calcolo del valore del rispettivo Titolo Componente l’Indice all’Orario di Valutazione della Data Stabilita. 3. Modificazioni o Discontinuità dell’Indice Indice Sostitutivo: Se un Indice (i) non è calcolato ed annunciato dallo Sponsor di Riferimento ma è calcolato ed annunciato da uno sponsor sostitutivo accettabile dall’Agente per il Calcolo, o (ii) è sostituito da un indice sostitutivo che usa, a giudizio dell’Agente per il Calcolo, la stessa formula e metodo di calcolo o una formula e un metodo di calcolo 30 sostanzialmente simili a quelli usati per il calcolo di quell’Indice, allora in ogni caso quell’indice (l’“Indice Sostitutivo”) sarà ritenuto essere l’Indice ai fini del regolamento. Evento di aggiustamento dell’Indice: Se prima o a qualsiasi Data di Osservazione o alla Data di Rilevazione Iniziale lo Sponsor di Riferimento annuncia che effettuerà un cambiamento sostanziale nella formula o nel metodo di calcolo del rispettivo Indice (diverso da una modifica in quella formula o nel metodo di calcolo per mantenere il rispettivo Indice a seguito dell’evento di cambiamenti nelle azioni costituenti e nella capitalizzazione e di altri eventi di routine), o lo Sponsor di Riferimento cancelli definitivamente il rispettivo Indice e non esista alcun Indice Sostitutivo, allora l’Agente per il Calcolo calcolerà il livello di tale Indice al fine di preservare il valore economico delle Obbligazioni, usando, al posto di un livello pubblicato del rispettivo Indice, il livello di tale Indice a quella Data di Osservazione o alla Data di Rilevazione Iniziale così come determinato dall’Agente per il Calcolo secondo la formula ed il metodo di calcolo dell’Indice pertinente appena prima di quel cambiamento, ma usando solo quei titoli che costituivano tale Indice immediatamente prima di quel cambiamento (diverso da quei titoli che da allora hanno cessato di essere quotati su qualsiasi Borsa di Riferimento). Nel caso in cui lo Sponsor di Riferimento manchi di calcolare e annunciare il rispettivo Indice, allora saranno applicabile le Conseguenze delle Turbative di Mercato Correzione dell’Indice Nell’eventualità in cui un Indice sia successivamente corretto e la correzione sia pubblicata dalla rispettiva Borsa di Riferimento o dallo Sponsor di Riferimento entro un ciclo di regolamento seguente l’originale pubblicazione, l’Agente per il Calcolo determinerà l’ammontare che è pagabile come risultato di quella correzione, e, se si rendesse necessario, modificherà le clausole di questi Final Terms o le Condizioni per tener conto di tale correzione. Agli scopi di cui sopra i seguenti termini avranno i rispettivi significati: “Cassa di Compensazione” significa, rispetto ad ogni Indice in ogni istante, la cassa di compensazione domestica solitamente usata per regolare gli scambi dei Titoli componenti tale Indice in quell’istante; “Giorno Lavorativo per la Cassa di Compensazione” significa, rispetto ad una Cassa di Compensazione, ogni giorno in cui tale Cassa di Compensazione è (o, a causa del verificarsi di un Evento di Turbativa per il Regolamento, sarebbe stata) aperta per l’accettazione e l’esecuzione di istruzioni di regolamento; “Ciclo di Regolamento” indica il periodo di Giorni Lavorativi per la Cassa di Compensazione successivo ad una contrattazione in Titoli componenti l’Indice pertinente sulla Borsa di Riferimento in cui avverrà come di consueto il regolamento secondo le regole di tale Borsa (o se ci fossero più Borse di Riferimento in relazione all’Indice, tale periodo più lungo); e “Evento di Turbativa per il Regolamento” indica un evento al di là del controllo della Società quotata a causa del quale la pertinente Cassa di Compensazione non è in grado di regolare il trasferimento delle azioni comprese nell’Indice pertinente. 31 Calcoli e Determinazioni L’Agente per il Calcolo non avrà alcuna responsabilità nei confronti degli Obbligazionisti per errori o omissioni in buona fede commessi nei suoi calcoli e nelle sue determinazioni come previsto nelle Clausole delle Obbligazioni eccetto per gli errori o le determinazioni che possono risultare da sua mancanza grave, negligenza grave o mala fede. I calcoli e le determinazioni dell’Agente per il Calcolo saranno effettuati secondo le clausole delle Obbligazioni (avendo in ogni caso riguardo dei criteri in esso previsti e laddove pertinenti sulla base delle informazioni fornite dagli impiegati e funzionari dell’Agente per il Calcolo responsabile di effettuare gli opportuni calcoli e determinazioni) e, in assenza di errore manifesto, saranno definitivi, conclusivi e vincolanti nei confronti degli Obbligazionisti. Gli Obbligazionisti non avranno diritto di fare alcuna contestazione nei confronti dell’Agente per il Calcolo e dell’Emittente nel caso in cui lo Sponsor di Riferimento avesse fatto qualsiasi errore, omissione o altra dichiarazione inesatta con riferimento ai calcoli e al pubblico annuncio del rispettivo Indice. 32
