Il Codice Etico è un elemento fondamentale del Modello Organizzativo e Gestionale ex D.Lgs. 8 giugno 2001 n. 231 adottato dalla Società con delibera del Consiglio di Amministrazione in data 04/04/2012. Il Codice identifica e costituisce l’insieme dei principi e delle regole la cui osservanza, da parte dei Destinatari, è essenziale per assicurare il buon funzionamento, l’affidabilità e la reputazione dell’Azienda. Pertanto il contenuto del Codice Etico è strumento di riferimento essenziale per il successo dell’impresa. Il presente Codice fa propri i valori di cultura aziendale, i principi commerciali e i riferimenti etici del gruppo Dimension Data Plc, del quale Dimension Data Italia S.p.A. fa parte. Il presente Codice è pubblicato sul sito Internet di Dimension Data Italia S.p.A. La società ne assicura la comunicazione effettiva, a tutti i Destinatari e gli interessati, attraverso mezzi idonei. The Code of Ethics is a fundamental element of the Organisational and Management Model according to Legislative Decree no. 231 of 8 June 2001 adopted by the Company with resolution of the Board of Directors on 04/04/2012. The Code identifies and establishes the set of principles and rules which the Recipients must comply with in order to ensure the proper running, reliability and reputation of the Company. The Code of Ethics therefore constitutes the essential tool of reference for the success of the company. This Code embraces the values of the corporate culture, the business principles and the ethical references of Dimension Data Plc Group, of which Dimension Data Italia S.p.A. is part. It is published on the Internet site of Dimension Data Italia S.p.A. The Company guarantees that it is effectively communicated to all Recipients and interested parties using appropriate means. 5 6 Definizioni Definitions Dimension Data si intende Dimension Data Italia S.p.A. e le Società che da essa fossero direttamente o indirettamente controllate, ai sensi dell’art. 2359 del Codice Civile. Bullying si intende una forma di harassment, che può ad esempio manifestarsi in: attacchi intenzionali ostinatamente negativi sul rendimento professionale e personale, tipicamente non prevedibili, sovente sleali ed irrazionali. Abuso di potere o posizione che può causare ansia tanto che i destinatari gradualmente smettono di credere in se stessi, spesso accompagnata quale diretto risultato dall’insorgere di malattie, o in genere pregiudizi alla salute fisica e mentale. Il bullying può assumere la forma del “mobbing”, laddove, ad esempio, un gruppo di persone si coalizzi al fine di far sentire un individuo escluso. D.Lgs 231 si intende il Decreto Legislativo 8 giugno 2001, n. 231. Destinatari si intendono i Dipendenti di Dimension Data Italia S.p.A., i membri tutti del Consiglio di Amministrazione, del Collegio Sindacale, i Collaboratori esterni (inclusi i Consulenti, i Partner Commerciali ed i Soggetti Terzi) e tutti Dimension Data is understood as referring to Dimension Data Italia S.p.A. and the Companies directly or indirectly under its control, as per article 2359 of the Civil Code. Bullying implies a form of harassment, which can, for example, manifest itself as: persistently negative, intentional attacks on a person's professional and personal performance, these attacks being generally unexpected and often unfair and irrational. Abuse of power or position which can cause anxiety to the point that the recipients gradually stop believing in themselves and is often accompanied as a direct result, by the onset of illness or, in general, is detrimental to physical and mental health. Bullying can also take on the form of mobbing, whereby a group of people band together to make an individual feel excluded. Legislative Decree 231 is understood to be Legislative Decree no. 231 of 8 June 2001. 231. Recipients is understood to mean the Employees of Dimension Data Italia S.p.A., all the members of the Board of Directors and the Statutory Board of Auditors, external Collaborators (including Consultants, Business Partners and Third Parties) as coloro che operano al conseguimento degli obiettivi della Società. Gruppo si intende Dimension Data Plc. e le Società da essa direttamente o indirettamente controllate ai sensi dell’art. 2359 del Codice Civile. Harassment si intende un comportamento percepito dal destinatario quale offensivo, ostile, indesiderato ed irragionevole; inaccettabile nei normali standard di comportamento nel business e fonte di danno al destinatario. Mobbing s’intende il comportamento organizzato di più individui finalizzato a far sentire un individuo escluso dal proprio contesto e/o isolato all’interno dello stesso. Modello Organizzativo si intende il Modello Organizzativo e Gestionale adottato dal Consiglio di Amministrazione di Dimension Data Italia S.p.A. il 04/04/2012 ai sensi del Decreto 231. Organismo di Vigilanza si intende l’Organismo di Vigilanza ai sensi dell’art. 6 del Decreto 231. Sistema Sanzionatorio si intende la parte del Modello Organizzativo e Gestionale così denominata. Società si intende Dimension Data Italia S.p.A. well as anyone else working to achieve the Company's objective. Organisational Model is understood to be the Organisational and Management Model adopted by the Board of Directors of Dimension Data Italia S.p.A. on 04/04/2012 according to decree 231. Supervisory Body is understood to be the Supervisory Body according to article 6 of Decree 231. Disciplinary System is understood to be the part of the Organisational and Management Model referred to as such. Company is understood to be Dimension Data Italia S.p.A. 7 2 8 ATTIVITÀ LAVORATIVA WORK Principi generali General principles Osservanza delle leggi. Responsabilità delle Persone Giuridiche I Destinatari sono informati e consapevoli del fatto che, nella gestione delle proprie attività, ogni azione non conforme alla Legge è espressamente vietata. I Destinatari sono informati e consapevoli che, nello svolgimento della propria attività lavorativa, sono obbligati ad agire nell’osservanza delle Leggi, degli obblighi previsti dalle licenze e autorizzazioni vigenti, dagli standard operativi aziendali e dei regolamenti applicabili all’attività della Società. I Destinatari sono informati e consapevoli che, a seguito dell’entrata in vigore del Decreto 231, la Società può essere chiamata a rispondere nel caso siano commessi reati ricompresi nel catalogo previsto da tale normativa. A tal fine, la Società impone l’osservanza assoluta degli obblighi e dei divieti previsti nel presente Codice e, più in generale, dei dispositivi del Modello Organizzativo. Compliance with laws Responsibility of Legal Persons The Recipients are advised and aware of the fact that any action which breaches the Law, performed whilst they are engaged in their activities, is expressly forbidden. The Recipients are advised and aware of the fact that, whilst carrying out their activities, they are obliged to act in compliance with the Laws, with the obligations set out in any licences and authorisations in force, with the company's operating standards and with the regulations applicable to the Company's activities. The Recipients are advised and aware of the fact that, following the coming into effect of Decree 231, the Company may be required to answer for the perpetration of any offences specified in the list of offences included in the afore-mentioned regulation. To this end, the Company enforces full compliance with the obligations and prohibitions provided for in this Code, and, more generally, with the provisions specified in the Organisational Model. La Società informa i Destinatari sulle norme e sugli standard che si applicano all’attività lavorativa attraverso l’uso di mezzi idonei. Osservanza delle norme del presente Codice e Obbligo di denuncia delle violazioni La Società osserva, e chiede ai Destinatari di osservare, il rispetto dei più alti standard d’integrità e comportamento etico nello svolgimento delle proprie attività. Tutte le attività devono essere svolte secondo le regole sancite nel presente Codice, nel rispetto dei principi fondamentali d’integrità, concorrenza leale, rigore professionale, riservatezza e buona fede. I Destinatari sono tenuti a conoscere il Codice Etico, ad applicarne rigorosamente le disposizioni e a denunciare tempestivamente al proprio superiore gerarchico, o all’Organismo di Vigilanza, qualsiasi violazione alle norme qui stabilite. The Company uses the appropriate means to make the Recipients aware of the norms and standards which apply to the working activity. Compliance with the regulations of this Code and Obligation to report violations The Company complies, and requires the Recipients to fully comply with the highest standards of integrity and ethical conduct whilst carrying out their activities. All activities must be carried out in line with the regulations ratified in this Code, with due regard for the fundamental principles of honesty, fair competition, professional rigour, confidentiality and good faith. The Recipients are obliged to familiarise themselves with the Code of Ethics, to apply its provisions rigorously and to report to their superior or to the Supervisory Body any breach of the regulations contained therein. 9 3 10 AMBIENTE DI LAVORO WORK ENVIRONMENT Rispetto e Tutela delle diversità e Non discriminazione Respect for and protection of diversity and non-discrimination La Società ripudia ogni forma di discriminazione basata sulle differenze di: sesso, razza, lingua, condizione sociale, età, credo religioso e politico; opera nel rispetto dei principi di libertà, dignità della persona e rispetto delle diversità. La Società pretende che i Destinatari trattino tutti gli Individui correttamente e imparzialmente, senza pregiudizi. The Company renounces all forms of discrimination based on differences of: sex, race, language, social status, age, religious and political beliefs and operates with due regard for the principles of freedom, personal dignity and respect for diversity. The Company expects the Recipients to treat all individuals properly and impartially, without prejudice. Collaborazione Collaboration Tutti i Destinatari sono chiamati a collaborare, secondo la propria capacità e competenza, alla continua ricerca dell’eccellenza nella qualità dei prodotti e servizi offerti al Mercato. La corretta collaborazione, il rispetto delle regole di ingaggio delle Funzioni e dei Singoli ed il rispetto per il lavoro svolto dagli altri Destinatari, sono elementi fondamentali al successo della Società. All the Recipients are required to play their part in striving for excellence in the quality of the products and services offered to the Market, according to their abilities and area of expertise. Proper collaboration, respect for the rules of engagement of Functions and Individuals and respect for the work performed by other Recipients, are fundamental elements for the success of the Company. Protezione dei beni e delle informazioni aziendali. Uso degli strumenti informatici. Protection of company assets and information. Use of IT tools. I Destinatari sono tenuti a impiegare i beni messi loro a disposizione dalla Società, nel rispetto della loro destinazione d’uso, delle procedure e policies vigenti, e in modo da tutelarne conservazione e funzionalità. Le informazioni confidenziali e la proprietà intellettuale sono beni aziendali di rilevante valore. La Società considera priorità assoluta la loro tutela ed obbliga i Destinatari a trattare tali beni secondo quanto previsto dalle procedure e policies vigenti. The Recipients are obliged to use any assets which the Company places at their disposal with due regard to their intended use and to the policies and procedures in force, and in such a way as to protect their condition and functionality. All confidential information and intellectual property are company assets having significant value. Company considers the protection of these assets to be an absolute priority and obliges the Recipients to treat them according to the relevant policies and procedures in place. Ambiente di lavoro Work environment I Destinatari devono adoperarsi per mantenere un ambiente di lavoro decoroso, nel quale la dignità di ciascuno è rigorosamente rispettata. A tal fine è vietato: • prestare servizio sotto l’effetto di sostanze alteranti; • fumare nel luogo di lavoro; • tenere comportamenti che possano creare intimidazione o vessazione; The Recipients must make every effort to maintain a respectable working environment in which the dignity of each individual is rigorously respected. La Società considera assolutamente inaccettabili qualsiasi tipo di molestia, i comportamenti definiti Harassment, Bullying e Mobbing, e più in generale qualsiasi comportamento che abbia lo scopo o l’effetto di violare la dignità della persona. The Company considers any type of harassment, any behaviour that can be defined as Harassment, Bullying and Mobbing and, generally speaking, any behaviour which has the aim or the effect of violating an individual's dignity to be absolutely unacceptable. Salute e sicurezza nel luogo di lavoro Health and safety in the workplace La Società è costantemente impegnata a garantire la tutela della salute e della sicurezza nei luoghi di lavoro e, a tal fine, adotta politiche che perseguano concretamente tale obiettivo. I Destinatari devono rispettare la vigente normativa in materia di tutela della salute e della sicurezza sui luoghi di lavoro e impegnarsi a proteggere la salute e la sicurezza l’uno dell’altro, evitando azioni The Company continuously strives to ensure the protection of health and safety in the workplaces and has therefore adopted policies which specifically aim to achieve this goal. Privacy Privacy La Società tutela la riservatezza delle informazioni personali relative ai propri Dipendenti. A tal fine, tutti i Destinatari sono tenuti ad osservare le prescrizioni della vigente normativa a tutela dei dati personali, ad agire ed operare nel rispetto delle indicazioni impartite dal Datore di Lavoro per quanto riguarda il trattamento delle informazioni che sia stato incaricato di gestire, e a non divulgare, se non su legittimo consenso dell’interessato, dati personali relativi a Dipendenti della Società. The Company protects the confidentiality of personal information concerning its Employees. All Recipients are therefore obliged to comply with the provisions set out in the regulations on the protection of personal data; to act and operate in strict accordance to the guidelines issued by the Employer regarding the processing of information they have been entrusted to manage, and to not divulge any personal data relating to company employees, unless the interested party gives their legitimate consent. Cessazione del rapporto di Lavoro Termination of employment Alla cessazione del rapporto di Lavoro, i Destinatari e la Società sono tenuti a comportarsi correttamente, assicurando l’adempimento delle obbligazioni cui sono tenuti in forza dei contratti stipulati, delle procedure e delle policies vigenti. Upon termination of employment, the Recipients and the Company are obliged to behave in a correct manner, ensuring the fulfilment of the obligations to which they are bound, as laid down in the contracts signed and the policies and procedures in place. 13 4 14 CONDOTTA NEGLI AFFARI CONDUCT IN BUSINESS AFFAIRS Lavoro minorile Child labour La Società considera inaccettabile il ricorso al lavoro minorile, e osserva le disposizioni nazionali dettate in materia di Lavoro. The Company considers the use of child labour unacceptable and complies with national legislation concerning employment. Competizione leale Fair competition La Società compete con lealtà su tutti i mercati, impegnando se stessa e i Destinatari a: • non utilizzare metodi illegali o scorretti al fine di sottrarre clientela ai Concorrenti; • fornire informazioni veritiere e complete sui prodotti e i servizi erogati, evitando ogni comportamento o affermazione che possa trarre in inganno i propri interlocutori. The Company competes fairly in all markets and, is obliged, as are the Recipients: • not to use illegal or improper methods to steal clients from competitors; • to provide truthful and complete information on the products and services provided, avoiding any behaviour or statement which might deceive their business partners. Tutela dell’ambiente Environmental protection La Società considera di primaria importanza la tutela dell’ambiente, e si impegna a minimizzare gli effetti potenzialmente nocivi delle proprie attività sviluppando la propria offerta di prodotti e servizi secondo una logica di sostenibilità. The Company considers the protection of the environment to be of the utmost importance and is committed to minimising the potentially harmful effects of their activities by developing the offer of their products and services in a sustainable way. Disciplina dei poteri decisionali Regulations governing decisional powers La Società considera valore fondamentale ed irrinunciabile la correttezza del proprio operato. A tal fine solo coloro ai quali ne siano stati espressamente conferiti i poteri possono, nell’ambito del proprio incarico e nei limiti dei poteri ricevuti, assumere decisioni che impegnino La Società verso terzi. The Company considers the probity of their operations to be a fundamental and core value. Therefore, only those to whom power has been expressly conferred may take decisions which bind the Company to third parties, within the framework of their responsibilities and within the limits of the powers conferred upon them. Delitti in materia di eversione e terrorismo Subversion and terrorism offences La Società impone che i Destinatari, nello svolgimento delle mansioni loro affidate, non pongano in essere atti o comportamenti che possano agevolare la commissione dei reati di cui all’art. 25 quater del Decreto 231, introdotti dalla Convenzione di New York del 9/12/1999 per la repressione del finanziamento al terrorismo nazionale ed internazionale. The Company forbids the Recipients from carrying out acts or behave in such a way, whilst performing the duties entrusted to them, that could facilitate the perpetration of offences pursuant to article 25 quater of Decree 231, introduced by the New York Convention of 9/12/1999 for the suppression of financing of national and international terrorism. 15 16 Delitti contro la personalità individuale Offences against the individual La Società impone che i Destinatari, nello svolgimento delle proprie mansioni, non pongano in essere comportamenti costituenti reato contro la personalità individuale previsti dal Codice penale e dall’art. 25 quinques del Decreto 231. The company forbids the Recipients from engaging in behaviour that constitutes an offence against the individual, whilst performing their duties, as envisaged by the Criminal Code and by article 25 quinques of Decree 231. Vantaggi Privileges La Società impone ai Destinatari il divieto di accettare, sollecitare e/o offrire somme di denaro, altre utilità e vantaggi materiali o immateriali - anche a seguito di pressioni ricevute da Terzi - al fine di assicurare, a se medesimi e/o alla Società, benefici di qualsiasi natura. The Company forbids Recipients from accepting, requesting and/or offering sums of money, other assets and material or immaterial benefits - even when under pressure from Third Parties - in order to obtain benefits of any kind for themselves and/or the Company. Pagamenti e movimentazioni economiche Payments and financial transactions Ogni pagamento deve riferirsi a forniture di beni o prestazioni di servizi regolarmente autorizzate, erogate e fatturate, da parte di Fornitori accreditati. All payments must relate to the provision of goods or services which have been duly authorised, issued or invoiced by accredited Suppliers. Regalie Gratuities L’offerta o accettazione di regalie è ammessa purché in conformità alle correnti politiche di business, di valore assoluto modesto o irrilevante, documentata ed autorizzata. I Destinatari che ricevano sollecitazione a regalie sono obbligati a rifiutare denunziando il fatto all’Organismo di Vigilanza. The giving or acceptance of gifts is permitted provided that it is done in accordance with current business policies, have a minimal or insignificant value and are duly documented and authorised. Recipients who receive requests for gifts are obliged to refuse such requests and must report the fact to the Supervisory Body. Corruzione e concussione Corruption and bribery La Società non tollera la concussione e la corruzione in qualunque forma commessa, da e nei confronti di chiunque, in qualsiasi giurisdizione. I Destinatari che abbiano notizia di fatti di corruzione e concussione sono obbligati a denunziarli all’Organismo di Vigilanza. The Company does not tolerate the committing of bribery and corruption in any way, shape or form by and to any person under any jurisdiction. Recipients who have information concerning instances of corruption and bribery are obliged to report their concerns to the Supervisory Body. 17 18 Comunicazione secondo verità e trasparenza Truthfulness and transparency of communication La Società s’impegna a garantire, a tutti i propri interlocutori, comunicazioni veritiere ed accurate. Le informazioni relative alla società dovranno essere rese a cura esclusiva delle funzioni aziendali all’uopo incaricate, attraverso i canali deputati e nell’osservanza delle procedure e policies vigenti. The Company is committed to ensuring that communications to all its partners are truthful and accurate. Information relating to the company must be exclusively dealt with by the corporate functions entrusted with this task, through the agreed channels and in accordance with the policies and procedures in force. Osservanza dei corretti principi contabili Compliance with good accounting principles Le evidenze contabili devono essere basate su informazioni precise, complete e verificabili. Ogni scrittura deve riflettere la natura dell’operazione, rappresentarne la sostanza e riferire a supporti che consentano di verificare: veridicità, tracciabilità, coerenza, congruenza, responsabilità e flusso dell’operazione. Financial records should be based on accurate, complete and verifiable information. All records must reflect the nature and describe the fundamental aspects of the operation and refer to supporting documents which will enable verification of the truthfulness, traceability, coherence, conformity, responsibility and flow of the operation. Scelta dei fornitori Choice of suppliers La selezione dei fornitori, la scelta dell’impresa fornitrice e la determinazione delle condizioni di acquisto devono basarsi sulla valutazione obiettiva della qualità, del prezzo dei beni e dei servizi richiesti, della capacità del Fornitore di assicurare beni e prestazioni di servizio di livello adeguato alle esigenze della Società. The process of selecting suppliers, choosing a supply company and establishing purchase conditions should be based on an objective assessment of the quality and price of the goods and services required and the Supplier's ability to guarantee goods and services which meet the Company's requirements. Prevenzione del riciclaggio Prevention of Money Laundering La Società ottempera all’applicazione delle leggi antiriciclaggio in qualsiasi giurisdizione. I Destinatari devono preventivamente verificare le informazioni finanziarie disponibili su controparti commerciali e fornitori, al fine di appurare la loro rispettabilità e la legittimità della loro attività prima di instaurare con questi rapporti d’affari. The company abides by and complies with anti-money laundering laws under any jurisdiction. The Recipients must first assess all available financial information regarding business partners and suppliers, in order to verify their trustworthiness and the legitimacy of their activities prior to establishing business relationships with them. 19 20 Informazioni riservate Confidential information La tutela delle informazioni riservate di natura industriale (quali a mero titolo esemplificativo i dati relativi ai Progetti sviluppati con i Clienti) è una priorità della Società. Ogni Destinatario è quindi obbligato al rispetto delle procedure e delle policies vigenti in materia di riservatezza e, oltre a questo, all’uso dell’ordinaria diligenza al fine di adottare le migliori prassi per la protezione di queste informazioni. Il trattamento, la trasmissione, la memorizzazione e l’uso d’informazioni illecitamente ottenute sono rigorosamente vietati. La Società potrà chiedere ai singoli Destinatari impegnati in attività generanti informazioni industriali riservate, di sottoscrivere un accordo di riservatezza (Non Disclosure Agreement). Protecting confidential information of an industrial nature (for example, information on Projects developed jointly with Clients) is a priority for the Company. Every Recipient is therefore obliged to comply with the procedures and policies in force with regard to confidentiality and, furthermore, to use ordinary diligence in order to adopt the best practices to protect this information. The processing, transmission, storage and use of illegally obtained information is absolutely forbidden. The company has the right to ask individual Recipients engaged in activities which generate confidential industrial information to sign a Non Disclosure Agreement. 5 CONDOTTA NELLA VITA PRIVATA CONDUCT IN PERSONAL LIFE Conflitti d’interesse Conflicts of interest I Destinatari sono chiamati a dichiarare preventivamente i conflitti d’interesse, con particolare riferimento (ma senza limitazione) a interessi personali o familiari (ad esempio partecipazioni finanziarie o commerciali in imprese fornitrici, clienti o concorrenti) che potrebbero influenzare l’indipendenza di giudizio nel decidere quale sia il miglior interesse per La Società ed il modo migliore di perseguirlo. Ogni Destinatario s’impegna a dichiarare senza ritardo tali conflitti al proprio diretto superiore gerarchico che ne valuta caso per caso l’effettiva presenza e la rilevanza, eventualmente chiedendo all’interessato di astenersi dall’assumere decisioni in materie nelle quali si trovi in conflitto d’interessi. Ciascun Destinatario è consapevole che l’eventuale coinvolgimento in associazioni di carattere culturale, religioso, ricreativo o lo svolgimento di attività politiche, avviene esclusivamente a titolo personale, in conformità alle Leggi, nel proprio tempo libero, e a proprie spese. The Company does not subscribe to nor finance (either directly or indirectly) political or industrial parties, movements, committees or organisations. Recipients are aware that any involvement in cultural, religious or recreational associations or the carrying out of political activities takes place in a strictly personal capacity and must be carried out in compliance with the Law, in the Recipients' own time and at their own expense. 6 DISPOSIZIONI FINALI FINAL PROVISION Sanzioni Sanctions I Destinatari che agiscono in violazione dei principi del presente Codice Etico e dei dispositivi del Modello Organizzativo, sono inadempienti alle proprie obbligazioni contrattuali con La Società. Gli effetti di tale inadempienza saranno trattati secondo quanto previsto dal Sistema Sanzionatorio incluso nel Modello Organizzativo applicato dalla Società. Recipients who violate the principles of this Code of Ethics and the provisions specified in the Organisational Model are in breach of their contractual obligations with the Company. The consequences of breaching their obligations will be treated according to the rules of the Disciplinary System specified in the Organisational Model applied by the Company. Attuazione e Controllo Implementation and Monitoring Le attività di verifica di diffusione e attuazione e controllo del rispetto dei principi e dei dispositivi contenuti nel presente Codice Etico e nel Modello Organizzativo, sono demandate all’Organismo di Vigilanza della Società. Ad esso spettano, in particolare, le seguenti attività: • Verificare l’avvenuta diffusione del Codice Etico ai Destinatari; • Informare periodicamente il Consiglio di Amministrazione della Società, sul livello di attuazione ed efficacia del Modello Organizzativo, del Codice Etico The dissemination, implementation and monitoring of compliance with the principles and provisions contained in this Code of Ethics and in the Organisational Model, are the responsibility of the Supervisory Body.
