The not-for-profit project Banca SISTEMA ARTE was born from Banca Sistema’s willingness to support and promote emerging artistic and cultural talents, offering young Italian artists opportunities to showcase their work in order to help them entering the art market. L’iniziativa è nata nell’autunno 2011, a pochi mesi dalla creazione della Banca, e anche grazie al coinvolgimento dei dipendenti è divenuta sempre più parte integrante dell’identità e della mission aziendale. The project was launched in the autumn of 2011, only a few months after the Bank was set up. Thanks to the contribution of our employees, the initiative has gradually become a central tenet of the company’s identity and mission. Il progetto offre agli artisti la possibilità di esporre le proprie opere nelle sedi della Banca: un appuntamento di rilievo durante il quale sono promossi la creatività e l’operato di ogni artista attraverso una nuova logica di sostegno che mira ad accrescerne le potenzialità. Oltre 250 opere esposte in 3 anni, per un totale di 27 artisti. Banca SISTEMA ARTE offers artists the opportunity to exhibit their works in the Bank’s offices: a relevant occasion for the promotion of each of them encouraging and enhancing the importance of their creative heritage. Overall, over 250 works from 27 artists have been exhibited during 3 years. L’età media degli artisti ospitati dalla nascita del progetto è stata di 29 anni, di cui il 44,5% donne e 55,5% uomini. Nel corso del triennio, inoltre, sempre in un’ottica di valorizzazione e apertura al mondo della creatività contemporanea, sono stati organizzati anche momenti di confronto, formazione e ludici - come nel caso dei laboratori creativi “Salvadanai d’artista” per i più piccoli - che hanno coinvolto i dipendenti e le loro famiglie, gli artisti e numerosi ospiti. In occasione di ogni mostra, Banca Sistema, oltre ad occuparsi della sua organizzazione, promozione e inaugurazione, realizza e pubblica un catalogo bilingue (italiano e inglese) che, sempre con l’obiettivo di fornire un sostegno diretto ai giovani artisti, viene distribuito da Vanilla Edizioni, casa editrice specializzata. Il percorso espositivo delle mostre si dipana, oltre che nello spazio di circa 140 mq espressamente dedicato al progetto presso la sede di Milano, anche all’interno delle sale riunioni, dei corridoi e degli spazi comuni vissuti sia dai dipendenti sia dagli ospiti e Clienti: la Banca si trasforma così in una sorta di “galleria” vissuta e fruita quotidianamente. Il sostegno ai giovani artisti da parte della Banca si concretizza anche nell’acquisto di almeno un’opera in occasione di ogni TORNA ALL’INDICE TO INDEX 3 To date, the average age of the artists involved in the project is 29. 44.5% of them were women and 55.5% men. Over the last three years, in order to promote and support contemporary art, Banca Sistema also organised conferences, training programmes and recreational events - such as the “Artistic piggy banks” creative workshops for children - involving employees and their families, artists and hosts of the Bank. For each exhibition Banca Sistema, besides managing its organisation, promotion and opening, prepares and publishes a bilingual catalogue (in Italian and English) distributed by Vanilla Edizioni publisher with the aim of directly supporting young artists. The exhibitions are held not only in the 140 square-metre space reserved for the project at the office in Milan, but also in the meeting rooms, the corridors and the common spaces employees as well as guests and Customers work and live in: thus the Bank becomes a sort of “gallery” visited and enjoyed every day. In questa prospettiva e con i medesimi obiettivi, in occasione dell’inaugurazione della personale antologica “Federico Unia: La dilatazione dello sguardo”, lo scorso 18 settembre è stato organizzato un incontro sul tema “Investire nell’Arte, investire nei giovani”. Al dibattito, introdotto dal Prof. Andrea B. Del Guercio, hanno contribuito il Prof. Marco Galateri di Genola, Presidente dell’Accademia di Belle Arti di Brera, il Dott. Filippo Lotti, Amministratore Delegato di Sotheby’s Italia, e il Prof. Giovanni Puglisi, Presidente della Commissione Nazionale Italiana per l’UNESCO e membro del Consiglio di Amministrazione della Banca. A fine agosto il fatturato complessivo per i primi otto mesi dell’anno ha toccato quota 107,94 miliardi di euro, in aumento del 4% rispetto allo stesso periodo dell’anno precedente. Le operazioni pro soluto rappresentano il 63,4% del totale. The Italian market continued to show resilience and growth during the summer. At the end of August the total turnover for the year to date had reached €107.94bn. This is 4% higher than end of August 2013. Pro soluto transactions represented 63.4% of the total. A continued theme in the market place was the growth of the specialised factoring companies and banks where factoring is their primary business. Companies wishing to benefit from certification for their 2013 TORNA ALL’INDICE TO INDEX 5 1/3 IL MERCATO DEL FACTORING FACTORING NEWS Newsletter 4/2014 Le imprese intenzionate a certificare i propri crediti relativi all’anno 2013 devono provvedere alla registrazione e al caricamento sul portale del MEF entro il 31/10/2014. Stando agli ultimi dati disponibili (aggiornati al 24 settembre 2014), sono 16.493 le aziende registrate sul portale e 59.621 i crediti caricati allo scopo di ottenere la certificazione, per un valore complessivo di intorno ai 6 miliardi di euro. Circa il 50% è rappresentato da crediti verso Enti Locali. credits need to ensure that they are registered and loaded on the MEF portal by 31/10/2014. Sebbene tale garanzia fornisca rassicurazioni circa il rimborso dei crediti in oggetto, rimangono tuttavia da sciogliere alcuni dubbi relativi alle modalità e ai tempi con i quali gli istituti di credito potranno effettivamente incassarli. La presenza della garanzia, infatti, risulta quasi inutile se poi lo Stato potrebbe impiegare anni o decenni per effettuare i pagamenti. Although as at today it seems not happening, it is possible that some of these receivables will be presented to banks for financing under the benefit of the sate guarantee (DL 66). However whilst the guarantee provides comfort about ultimate repayment, there are still some uncertainties as to how and when financiers can access it for actual repayment which need to be clarified. The presence of a guarantee could be indeed almost useless if the State would take years or more to effectively pay. As shown in diagram 3 (pag.7), the volume of requests for certification grew significantly between mid July and August, however in September the trend has slowed down. The Government has also made other resources available for speeding up payments to public sector suppliers, namely DL35, DL 102, DL 66 and DL 91. Alla data del 23 settembre 2014, il MEF aveva provveduto a saldare arretrati relativi all’anno 2013, o precedenti, per 31,3 miliardi di euro. Pur considerando tali pagamenti, permane un significativo ammontare di stock non pagati. As at 23rd September, the MEF had made €31.3bn of payments related to overdue receivables from 2013 and earlier. But even with these payments, in Italy there is still a significant backlog of unpaids. In particular, whilst the Mef statistics show some improvement, they don’t take into account new backlogs that continued to grow in 2013 or 2014, as also recalled by Antonio Tajani, Vice President of the European Parliament. Appare pertanto evidente che il Governo ha ancora del lavoro da fare prima di poter dichiarare che l’obiettivo sia stato effettivamente raggiunto. Per il 2015, infatti, non essendo in cantiere altre norme speciali, ci si aspetta che i ritardi riprendano a crescere. So it is clear that there is still some way to go before the Government can claim that it has achieved its target. For 2015, as no other dedicated law is at the moment in place, it is expected that delays will return to grow. The conversion into law of the so-called Competitiveness Decree (Law Decree 91/2014), published in the Official Journal no. 192 on 20 August 2014, introduced important changes concerning the certification of receivables. E’ stato spostato al 31 ottobre 2014 il termine per la presentazione delle istanze di certificazione dei crediti che possono essere assistiti dalla garanzia dello Stato (art. 37, comma 1, lett. a, dell’art. 37 DL 66/2014). The deadline to apply for the certification of receivables eligible for a State-backed guarantee was extended to 31 October 2014 (art. 37, paragraph 1, lett. a of Law Decree 66/2014). L’art. 37, comma 7-bis del DL 66/2014, prevede ora che alle operazioni di cessione di crediti certificati mediante la piattaforma elettronica per la gestione telematica del rilascio delle certificazioni non si applichino le norme in materia di revocatoria fallimentare in caso di fallimento del cedente (articolo 7 della legge 21 febbraio 1991, n. 52 e articolo 67 del regio decreto 16 marzo 1942, n. 267). Con tale previsione si è inteso facilitare l’accesso alle operazioni di smobilizzo di crediti certificati da parte delle imprese meno solide. Pursuant to art. 37, paragraph 7-bis of Law Decree 66/2014, the regulations on bankruptcy proceedings, in the event of the seller’s default, do not apply to the factoring of receivables certified through the dedicated on-line platform (article 7 of Law no. 52 dated 21 February 1991 and article 67 of Royal Decree no. 267 dated 16 March 1942). The purpose of this change was allowing troubled companies to factor their certified receivables. Infine, l’art. 22, comma 7-ter, del DL 91/2014 ha previsto che anche gli enti del servizio sanitario delle regioni sottoposte ai piani di rientro dei disavanzi sanitari avranno l’obbligo di certificare i crediti documentati da fatture emesse a partire dal mese di settembre 2014, non potendo dunque avvalersi della specifica esenzione precedentemente contemplata dall’art. 9, comma 3-ter, lett. b), del DL 185/2008. Finally, pursuant to art. 22, paragraph 7-ter of Law Decree 91/2014, also the health authorities in the regions implementing plans to reduce their health deficit will be required to certify the receivables backed by invoices issued from September 2014, thus eliminating the special exemption established by art. 9, paragraph 3-ter, lett. b) of Law Decree 185/2008. IL MERCATO ITALIANO DEI CREDITI IN SOFFERENZA THE ITALIAN NPL MARKET A SPECIAL REPORT LA SITUAZIONE ATTUALE THE CURRENT SITUATION Il mese di ottobre 2014 potrebbe segnare un punto di svolta per il mercato italiano dei crediti in sofferenza. October 2014 may be a landmark month for Italian NPL’s. Sono attesi i risultati della asset quality review condotta dalla BCE su 128 banche (di cui 15 italiane) che in futuro saranno sottoposte alla supervisione dell’istituto ai sensi del Meccanismo di Vigilanza Unico (MVU). Tale analisi approfondita fornirà un “check up finanziario” delle principali banche della zona euro. The comprehensive assessment is the “financial health check” of significant banks in the euro area. Gli istituti di credito potranno essere chiamati a svalutare ulteriori posizioni nonché a presentare in modo più trasparente la propria situazione. Ciò potrebbe spingere le principali banche coinvolte nel processo ad aumentare le dismissioni di attività in portafoglio. Riguardo agli istituti di minori dimensioni (non interessati dall’AQR), questi avranno probabilmente più tempo a disposizione, ma è verosimile attendersi che anch’essi nell’arco dei prossimi 2 o 3 anni dovranno far fronte alla necessità di gestire più attivamente i propri bilanci. For the large banks that are party to the tests this could encourage an increase in asset sales. For smaller banks (not party to the AQR) it is likely that they will take longer to reach the same situation but it is still likely that over the next 2 to 3 years, they too will need to manage their balance sheets more actively. The size of the problem According to ABI, the gross balance of NPL’s on the books of Italian banks reached €172.3bn at the end of July 2014 - the highest for 15 years. This was an increase of €32.5bn compared to July 2013. Most commentators expect this number to rise even further in the coming months. Deals Done So Far Between January 2013 and April 2014, eleven transactions of NPL disposal for a total face amount of over €6bn, were transacted.
