CONDIZIONI GENERALI DI VENDITA SKYNET GROUP 1 – APPLICABILITA’ 1.1- Le Condizioni Generali di Vendita (di seguito “Condizioni Generali”) qui di seguito riportate, si applicano ad ogni rapporto di vendita e/o conto-vendita tra SkyNet Group e i Clienti della stessa. Le Condizioni Generali si applicano quindi ad ogni specifica vendita di volta in volta oggetto di ordine e ad ogni ordine di merce in conto vendita, benchè siano sottoscritte da ciascun Cliente solo all’atto del primo ordine, o congiuntamente alla firma del primo contratto estimatorio, come meglio specificato all’articolo 8. 1.2 - Tutte le presenti Condizioni Generali si intendono comunque accettate, anche indipendentemente dalla sottoscrizione da parte del Cliente, dovendo le medesime considerarsi come parte essenziale dell’ordine o del contratto estimatorio ed essendo le stesse pubblicate sul sito internet www.skynetgroup.net. 1.3 - Le presenti Condizioni Generali, scaricabili in rete attraverso il sito www.skynetgroup.net , costituiscono proposta effettuata da SkyNet Group e saranno valide ed efficaci non appena perverranno debitamente sottoscritte dal Cliente, alla stessa SkyNet Group. Le modalità di invio sono specificate all’articolo 8 del presente atto. 2 – ORDINI 2.1 - Gli ordini di acquisto potranno essere effettuati dal Cliente a mezzo fax, e-mail, oppure telefonicamente (salva, in ogni caso, la possibilità per SkyNet Group di richiedere conferma scritta dell’ordine). 2.2 - Gli ordini di acquisto emessi dal Cliente dovranno far riferimento alle Condizioni Generali, che andranno inviate via fax dal Cliente unitamente al primo ordine (o al primo contratto estimatorio), come descritto all’articolo 8), con la seguente dicitura: “Come da Condizioni Generali che si allegano, ordiniamo ...”. Negli ordini successivi al primo, sarà sufficiente inserire la seguente dicitura: “Come da Condizioni Generali già sottoscritte, ordiniamo …” 3 - MODALITA’ DI CONSEGNA 3.1 – Per la consegna dei prodotti, il Cliente potrà decidere di avvalersi di mezzi di trasporto di sua fiducia, sostenendone i relativi oneri. 3.2 Qualora il Cliente decida di farsi consegnare i prodotti da vettore scelto discrezionalmente da SkyNet Group, le relative spese di trasporto saranno a carico del cliente e verranno quantificate in fattura, mentre provvederà materialmente SkyNet Group a corrispondere dette spese al vettore stesso. 3.3 – SkyNet Group fornirà la merce in imballaggi conformi alla prassi; pertanto sarà onere del Cliente, qualora lo ritesse opportuno, richiedere imballaggi particolari che SkyNet Group fornirà a spese del Cliente. 3.4 - I prodotti acquistati e/o forniti in conto-vendita, verranno consegnati all'indirizzo e al destinatario indicato dal Cliente nell’ordine ed avverrà tramite corriere. Il Cliente potrà indicare come destinatario della consegna anche soggetto diverso dal Cliente stesso, inclusi un diverso esercente oppure l’utente finale. In tal caso SkyNet Group provvederà all’inoltro al destinatario indicato dal Cliente, ma ciò non comporterà il sorgere di alcun rapporto contrattuale con tale terzo soggetto. In questo caso il Cliente maleva espressamente SkyNet Group da ogni e qualsiasi problematica insorgesse a seguito di spedizione a terzo soggetto. In tal caso i relativi costi risulteranno addebitati in fattura a carico del Cliente. Ove ciò non sia espressamente richiesto nell’ordine, la merce verrà consegnata a mezzo vettore senza assicurazione aggiuntiva. 3.6 – L’evasione degli ordini potrà essere effettuata anche in maniera parziale, in base alle disponibilità di magazzino e ai tempi di arrivo delle stesse a SkyNet Group. SkyNet Group è autorizzata dal Cliente ad effettuare consegne di merce ripartite. Nel caso in cui la merce ordinata non sia disponibile o solo in parte, il Cliente verrá comunque informato attraverso contatto diretto. In questo caso SkyNet Group si riserva di scogliere il contratto, salvo decida di effettuare consegne parziali. Nell’ipotesi in cui si verifichino casi di impossibilità / forza maggiore o, più in generale, circostanze che impediscano o rendano eccessivamente onerose la fabbricazione o la consegna della merce, SkyNet Group si riserva, a seconda dei casi, di ridurre i suoi impegni, di sospenderli o mettervi fine. 4- PREZZO E PAGAMENTO 4.1 –In caso di vendita, a fronte della fornitura, il Cliente dovrà versare a SkyNet Group, quale corrispettivo, il prezzo dei prodotti pattuiti e indicati nel sito www.skynetgroup.net. 4.2 - In caso di contovendita, il corrispettivo che il Cliente dovrà successivamente versare a SkyNet Group quanto stabilito nel relativo contratto estimatorio, utilizzando, come mèra base, il costo di import sopportato da SkyNet Group (indicato attualmente in giallo nel sito www.skynetgroup.net), salva la possibilità di restituire la merce. 4.3 - Ogni altro costo (trasporto, assicurazione delle merci durante il trasporto ecc.) verrà quantificato in fattura e sarà a carico del Cliente. 4.4 - Tutti i prezzi indicati nel sito di SkyNet Group www.skynetgroup.net non comprendono l'IVA e sono indicati in Euro. 4.5 - Salvo differenti accordi scritti, la merce va interamente pagata prima della partenza della stessa dal magazzino di SkyNet Group, sito in Fiorano Modenese (MO), Via Crociale, 6 o dal centro logistico altrove situato ed autorizzato da SkyNet Group. 4.6 - Modalità di pagamento Il Cliente potrà pagare il corrispettivo scegliendo una delle seguente modalità di pagamento previste: carta di credito, contrassegno, paypal, poste pay. 4.7 - Riserva di proprietà Anche in deroga ad eventuali disposizioni normative che prevedano diversamente, tra i Clienti e SkyNet Group si pattuisce che i prodotti ordinati dal Cliente rimarranno di proprietà di SkyNet Group sino al regolare ed integrale pagamento, da parte del Cliente del prezzo di acquisto e di eventuali accessori. 5 – MODALITA’ DI COMPORTAMENTO 5.1 – Per tutti i Clienti Il Cliente prende atto che SkyNet Group mette a disposizione dei Clienti un sistema di informazione costante relativo alla disponibilita dei prodotti, cali scorte, prezzi, ecc. sia attraverso il sito www.skynetgroup.net (o altro diverso che sarà comunicato) cui accederà mediante user name e password che verrà comunicata, sia attraverso programma residente su pc del Cliente. Sarà cosa gradita che il Cliente si tenga aggiornato sulle variazioni dei prezzi e sulla disponibilità delle merci, attraverso gli strumenti predetti; ciò al fine di evitare che il Cliente ordini o ponga in vendita on-line prodotti non disponibili o in via di esaurimento. PER ACCETTAZIONE _______________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 5.2 - Per i rivenditori on line Rammentiamo al Cliente che intende rivendere online i prodotti acquistati da SkyNet Group, che è tenuto a leggere attentamente e a rispettare le regole di netiquette del sito che ospita la vendita; si invita inoltre il Cliente a descrivere i prodotti in maniera corrispondente alle loro caratteristiche reali. Si rammenta ancora che per la vendita on-line, molti siti richiedono la preventiva autorizzazione scritta di SkyNet Group, che sarà cura del Cliente richiedere a SkyNet Group. SkyNet Group si riserva il diritto di indicare ai Clienti che vendono online, un prezzo minimo imposto di rivendita, anche per periodi determinati. I prezzi minimi imposti sono indicati e periodicamente aggiornati nel sito www.skynetgroup.net che sarà cura del Cliente consultare. SkyNet Group raccomanda ai Clienti di rispettare il prezzo minimo imposto da SkyNet Group per determinati prodotti, controllando nel sito www.skynetgroup.net il relativo periodo di validità. Il mancato rispetto di tale prezzo minimo comporterà, a valutazione discrezionale di SkyNet Group, di non inviare la merce, anche in corso di ordine. In particolare, ove SkyNet Group verificherà che il prodotto che gli viene ordinato dal Cliente, è stato venduto on line ad un prezzo inferiore a quello minimo imposto, si riserva il diritto insindacabile di non dare esecuzione all’ordine. 5.3 – Per i Clienti con i quali si stipula un contratto di conto vendita Nel rammentare che i prodotti concessi da SkyNet Group in conto vendita sono e restano di proprietà di SkyNet Group fino all’integrale pagamento del corrispettivo pattuito, si raccomanda al Cliente di tenere la merce con cura e in luogo sicuro, in stato di conservazione per cui risulti nuova e negli imballaggi originali nel caso in cui il Cliente stesso decida infine di non acquistarla e di restituirla alla stessa proprietaria SkyNet Group. 6 – GARANZIA 6. 1 - La presente garanzia è operante esclusivamente tra SkyNet Group e il suo Cliente e non si estende ai consumatori finali, con i quali SkyNet Group non ha rapporti; è concessa da SkyNet Group al Cliente nei limiti sotto descritti ed è di un anno dalla data di consegna della merce da parte di SkyNet Group al Cliente. 6. 2 – SkyNet Group garantisce al Cliente che la merce venduta è esente da vizi o difetti di fabbricazione che la rendano inidonea all’uso per la quale è stata fabbricata (o che ne diminuiscano in modo sensibile il valore) nel caso in cui l’applicazione del prodotto venduto è stata espressamente esplicitata al momento della conclusione dell’accordo sulla fornitura. 6.3 – La garanzia non copre le seguenti ipotesi, che si citano a titolo meramente esemplificativo e non esaustivo: vizi o difetti relativi a parti normalmente usurabili, quali batterie interne ecc.; danni al prodotto o suo difettoso funzionamento derivante da incuria, cattivo o erroneo utilizzo, cattiva conservazione dello stesso, negligenza, incidenti (colpi, ammaccature, urti, immersione in liquidi o esposizione a fonti di calore ove non consentito, forzatura delle parti) ecc. ; vizi e/o i difetti conseguenti alla resa del prodotto in collegamento con merce e prodotti non forniti da SkyNet Group. 6.4 -All'atto della consegna della merce da parte del vettore, sarà cura del Cliente verificare il numero dei colli, che l’imballo sia integro, sigillato e non manomesso e che la merce fornita corrisponda per tipologia e quantità all’ordine. Eventuali danni all’imballaggio, oppure ammanchi di merce, oppure ancora forniture difformi a quanto concordato, dovranno essere immediatamente contestati per iscritto (firmando “con riserva” la ricevuta) al vettore, al quale dovrà essere mostrato l’imballaggio danneggiato, oppure con il quale il Cliente dovrà verificare la quantità e la tipologia di merce fornita. PER ACCETTAZIONE _______________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 In tali casi, si consiglia tale procedura in quanto se si accetta dal corriere la merce senza reclami e senza riserve, non sarà più possibile reclamare eventuali ammanchi o danneggiamenti dovuti al trasporto. La consegna di eventuali imballaggi danneggiati oppure ammanchi di merce, oppure ancora forniture difformi a quanto concordato dovrà essere quindi comunicata a mezzo fax o con lettera racc.ta a.r. a SkyNet Group nel minor tempo possibile e comunque entro giorni 8 dalla consegna della merce. 6. 5 – il Cliente dovrà denunciare per iscritto a Skynet Group o a sua delegata l’esistenza di un comprovato vizio o difetto di fabbricazione, di cui al precedente paragrafo 6.2, in maniera circostanziata e non generica, entro il termine legale perentorio di 8 (otto) giorni dalla scoperta, aventi data certa. In caso di reclamo, il Cliente deve adottare tutte le misure necessarie per consentire il controllo della merce in contraddittorio con la SkyNet Group; in particolare deve conservare la merce nei suoi imballaggi originari. 6.6. Per l’effetto della presente garanzia, previa verifica della fondatezza e tempestività del reclamo, SkyNet Group è tenuta esclusivamente, nel caso in cui abbia la disponibilità di un prodotto uguale o similare a quello difettoso e la sostituzione non risulti eccessivamente gravosa, a sostituire la merce (o la parte di essa che risulta essere viziata), previa restituzione di quella difettosa, oppure, a scelta di SkyNet Group, a rifonderne in tutto in parte il prezzo ove non sia in grado di provvedere alla sostituzione (o la sostituzione risulti troppo gravosa), senza che possa essere preteso in ogni caso dal Cliente alcun risarcimento per danni, in quanto con tali comportamenti si estinguerà ogni ulteriori pretesa nei suoi confronti. In nessun caso SkyNet Group è responsabile per garanzie, risarcimenti e responsabilità diverse da quelle qui previste che non siano imperativamente disposte per legge, in particolare per danni diretti, indiretti e/o consequenziali o per mancato guadagno. La garanzia non si applica a qualsiasi perdita subita dal Cliente che possa essere causata dal vizio e/o difetto, fra cui la mancata produzione, il mancato profitto ed altre perdite indirette. Il Cliente non potrà, in caso di vizi della merce, risolvere unilateralmente il contratto, sospendere od omettere il pagamento o ridurre il prezzo, ove il Cliente o altro soggetto avente causa da quest’ultimo, abbia trasformato il prodotto fornito da SkyNet Group. 6.7 Il prodotto reso dovrà pervenire a SkyNet Group in porto franco, mentre le spese di reinoltro al Cliente del prodotto sostitutivo saranno a carico di SkyNet Group. La merce sostituita usufruirà a sua volta dei medesimi termini e condizioni di garanzia. 6.8 - Il diritto derivante dalla presente garanzia e la relativa azione da parte del Cliente si prescrive in 12 mesi dalla data di consegna dei prodotti da parte di SkyNet Group al Cliente e potrà essere esercitato entro il limite massimo del prezzo di acquisto del bene, purché già pagato dal Cliente a SkyNet Group; in nessun caso potranno essere richieste somme superiori. 6.9 - Ai fini delle decadenze e prescrizioni di cui al presente articolo, farà fede la data apposta sulla bolla di consegna dei prodotti al Cliente, che sarà cura del Cliente stesso conservare diligentemente ed inviare in copia al Venditore, unitamente alla relativa fattura di acquisto, purché regolarmente pagata. 6.10 - Il Cliente rinuncia espressamente ad agire in regresso - ai sensi dell’art. 1519 quinquies cod. civ. - nei confronti della SkyNet Group, in caso di contestazioni sollevate dal consumatore, da altri venditori facenti parte della medesima catena contrattuale ovvero da altri intermediari. PER ACCETTAZIONE _______________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 7 – TRATTAMENTO DEI DATI 7. 1 - Con l’entrata in vigore della legge n. 675/96, e successivamente, del d. lgs. 196/2003 "Codice in materia di protezione dei dati personali", SkyNet Group, in qualità di "titolare" del trattamento, é tenuta a fornire alcune informazioni riguardanti l’utilizzo dei dati personali. I dati che il Cliente comunica a SkyNet Group verranno trattati nel pieno rispetto di tali leggi ed in particolare: la raccolta o comunque il trattamento dei dati personali ha l’esclusiva finalità di poter svolgere in modo adeguato la propria attività economica; i dati personali sono e saranno trattati in modo lecito e secondo correttezza e comunque nel rispetto della Legge, sia con sistemi informatizzati che cartacei; la raccolta dei dati personali ha natura obbligatoria, dovendosi dar corso agli adempimenti di legge anche fiscale; i dati potranno essere comunicati ad organizzazioni terze (es.: banche, enti assicurativi, organizzazioni o società a noi collegate) per lo svolgimento del nostro rapporto e nell’ambito degli incarichi a noi conferiti; 7. 2 - Il Cliente autorizza espressamente SkyNet Group a trattare alcuni dati personali, quali, a mero titolo esemplificativo, ID utente, indirizzo email, indirizzo della sede, ecc. per ricevere periodicamente a mezzo newsletters o similari, informazioni per finalità di natura commerciale, attività di fidelizzazione utenti, novità sui prodotti o servizi offerti ecc. 7. 3 - In qualsiasi momento il Cliente potrà accedere ai propri dati per aggiornarli, modificarli, integrarli o semplicemente opporsi al loro utilizzo, per le formalità qui indicate, scrivendo a SkyNet Group, presso la sede in Spezzano (MO), via Crociale, 6. 8 – SOTTOSCRIZIONE E INVIO DELLE PRESENTI CONDIZIONI GENERALI 8.1 - Le presenti Condizioni Generali dovranno essere accettate per iscritto dal Cliente mediante sottoscrizione in ogni pagina e doppia sottoscrizione nell’ultima pagina. 8.2 – Detta accettazione dovrà avvenire all’inizio del rapporto SkyNet Group /Cliente. Le stesse Condizioni andranno quindi inviate dal Cliente, debitamente sottoscritte ed unitamente alla copia del documento di identità, a mezzo fax, solo all’atto del primo ordine, e/o congiuntamente alla firma del primo contratto estimatorio. 8.3 - Come specificato all’articolo 1) del presente atto, le Condizioni Generali si applicheranno comunque ad ogni specifica vendita di volta in volta oggetto di ordine e ad ogni contratto di conto vendfita, dovendo le medesime considerarsi come parte essenziale di ogni rapporto SkyNet Group /Cliente. 9 - QUALITA’ DI NON CONSUMATORE 9. 1 - Ai fini del presente contratto, il Cliente non riveste la qualità di consumatore, ai sensi di legge, in quanto agisce per scopi rientranti nell’attività imprenditoriale e/o professionale svolta. Il Cliente dichiara in proposito di acquistare i prodotti da SkyNet Group al fine di rivendita, nel quadro della sua attività commerciale e/o professionale e non come consumatore. PER ACCETTAZIONE _______________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 10) LEGGE APPLICABILE E FORO COMPETENTE 10.1 - Per quanto non espressamente disciplinato si applicherà alla presente scrittura privata la legge italiana. 10.2 - Per tutte le controversie che dovessero sorgere dall'interpretazione e dall'esecuzione, o applicazione del presente contratto, oppure per qualsiasi altra ragione da esso dipendente, il Foro competente sarà esclusivamente quello di Modena. The General Conditions therefore apply to each individual sale which is the subject of an order from time to time, and to all orders of goods held to be sold, even if they have only been undersigned by each Customer at the time of the first order, or jointly with signature of the first estimate contract, as specified more clearly in article 8. 1.2 – All the present General Conditions are in any case understood as being accepted, irrespective of whether the Customer has undersigned them, and the said conditions shall be regarded as an essential part of the order, or estimate contract, as published on website www.skynetgroup.net. 1.3 - The present General Conditions, which may be downloaded from website www.skynetgroup.net, constitute a proposal made by SkyNet Group. They shall be valid and enforceable as soon as they have been received by SkyNet Group, after having been duly undersigned by the Customer. The procedures for sending them are specified in article 8 of the present document. 2 – ORDERS 2.1 – Purchase orders may be sent by the Customer by fax, e-mail or telephone (although SkyNet Group reserves the right to ask for confirmation of the order in writing). 2.2 – Purchase orders issued by the Customer shall make reference to the General Conditions, which shall be sent by the Customer, by fax, together with the first order (or the first estimate contract), as described in article 8), and shall have the following wording: “As per the attached General Conditions, we are ordering ...”. On subsequent orders, the following wording shall suffice: “As per the General Conditions already undersigned, we are ordering ... ” 3 – DELIVERY PROCEDURE 3.1 – For delivery of the products, the Customer may decide to use a means of transport in which he has confidence, in which case he shall pay the cost thereof. 3.2 Should the Customer decide to have the products delivered to him by the carrier chosen at the discretion of SkyNet Group, the relevant transport costs shall be payable by the Customer and shall be quantified on invoices, whilst SkyNet Group shall be responsible for paying the expenses directly to the carrier. 3.3 – SkyNet Group shall supply the goods in standard packaging; therefore if the Customer requires any special packaging, it is up to the Customer to request it, and it shall be provided by SkyNet Group at the Customer’s expense. 3.4 – Products purchased and/or supplied held to be sold shall be delivered by courier to the address and addressee stated by the Customer on the order. The Customer may ask for the goods to be delivered to a subject other than the Customer himself, including a different operator or end user. If that is the case, SkyNet Group shall arrange for the goods to be forwarded to the addressee indicated by the Customer, but that shall not give rise to any contractual relationship with that third party subject. Under those circumstances, the Customer expressly agrees not to hold SkyNet Group responsible for any problems that could occur as a result of delivery to the third party subject. SIGNED IN ACCEPTANCE _____________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 3.5 – The Customer may ask for the goods forwarded to him to be insured. In that case, the Customer shall be invoiced for the costs of so doing. Unless expressly requested on the order, the goods shall be delivered by carrier, without any additional insurance. 3.6 – Orders may be dispatched as part loads, depending on the availability at the warehouse and the times of arrival of the goods at SkyNet Group’s premises. SkyNet Group is authorised by the Customer to send divided consignments of goods. If the goods ordered are not available or are only available in part, the Customer shall be contacted directly, in order to be informed of that fact. Under those circumstances, SkyNet Group reserves the right to dissolve the contract, unless it decides to do partial consignments. In the event of delivery being impossible/in the event of force majeure, or circumstances that prevent manufacture or delivery of the goods, or make such manufacture and delivery unduly onerous, SkyNet Group reserves the right to reduce its commitments, suspend them or put an end to them, as the case may be. 4- PRICE AND PAYMENT 4.1 – in the event of sale of the goods being supplied, the Customer shall pay SkyNet Group the price of the products agreed and indicated on website www.skynetgroup.net. 4.2 - In the event of goods held to be sold, the fee that the Customer shall subsequently pay to SkyNet Group, shall be as established on the relevant estimate contract, using as a basis the import cost incurred by SkyNet Group (currently shown in yellow on website www.skynetgroup.net), although the goods may be returned. 4.3 – All other costs (transport, insurance of goods during transport, etc.) shall be quantified on the invoice and payable by the Customer. 4.4 – All the prices shown on SkyNet Group website www.skynetgroup.net are in Euros, exclusive of VAT. 4.5 – Unless otherwise agreed in writing, the goods shall be paid for in full before they leave SkyNet Group’s warehouse at Via Crociale 6, Fiorano Modenese (MO), or the logistics centre situated elsewhere and authorised by SkyNet Group. 4.6 – Payment procedures The Customer may pay the fee according to one of the following procedures: credit card, cash on delivery, Paypal or Postepay. 4.7 - Ownership reservation Irrespective of any legal provisions to the contrary, it is hereby agreed between Customers and SkyNet Group that the products ordered by the Customer shall remain the property of SkyNet Group until full, regular payment of the purchase price and any additional charges has been made by the Customer. 5 – MODE OF CONDUCT 5.1 – For all Customers The Customer takes due note of the fact that SkyNet Group is placing at the disposal of Customers a system that provides constant information about the availability of products, falls in stock, prices, etc., both through the website www.skynetgroup.net (or another, different one to be communicated) which he shall access by means of a username and password to be communicated, and through the resident program on the Customer’s PC. It will therefore be appreciated if the Customer keeps himself up-to-date about the variations in prices and the availability of goods, through the aforesaid instruments, in order to avoid the Customer ordering or offering for sale on-line products that are not available or stocks of which are running out. SIGNED IN ACCEPTANCE _______________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 5.2 – For on-line retailers Customers who intend to resell the products purchased from SkyNet Group on-line, are asked to read carefully and comply with the netiquette rules of the website hosting the sale. Customers are also asked to describe products in a way that corresponds to their true characteristics. They are also reminded that for on-line sales, many sites require the prior, written consent of SkyNet Group, which the Customer must request of SkyNet Group. SkyNet Group reserves the right to indicate to Customers who sell on-line, a minimum imposed retail price, even for specific periods. The minimum imposed prices are shown and periodically updated on website www.skynetgroup.net, and the Customer shall be responsible for consulting that website. SkyNet Group recommends that Customers keep to the minimum price imposed by SkyNet Group for specific products, checking the period of validity thereof on website www.skynetgroup.net. Failure to keep to the said minimum price may, at SkyNet Group’s discretion, result in goods not being sent, even if they are on order. In particular, if SkyNet Group ascertains that the product ordered from it by the Customer has been sold on line at a lower price than the minimum imposed one, it reserves the right not to carry out the order – a decision against which there shall be no right of appeal. 5.3 – For Customers for whom a “goods held to be sold” contract is executed The reader is reminded that the products provided by SkyNet Group and held to be sold are and remain the property of SkyNet Group until the agreed sum has been paid in full. Customers are advised to store the goods carefully, in a safe place, in an as-new state of preservation and in the original packaging, in case the Customer decides not to purchase them and to return them to their owner SkyNet Group. 6 – GUARANTEE 6. 1 – The present guarantee is valid exclusively between SkyNet Group and its Customer and does not extend to the end users, with whom SkyNet Group has no relationship. It is granted to the Customer by SkyNet Group, within the limits described below and is for one year from the date of delivery of the goods to the Customer by SkyNet Group. 6. 2 – SkyNet Group guarantees to the Customer that the goods sold are free of manufacturing defects or faults which would make them unsuitable for the use for which they have been manufactured (or which considerably reduce the value thereof) where the application of the product sold has been clearly specified at the time of agreement to the supply thereof. 6.3 – The guarantee does not cover the following hypotheses, which are quoted purely by way of example and not exhaustively: faults or defects regarding parts normally subject to wear and tear, such as internal batteries, etc., damage to the product or faulty operation thereof as a result of carelessness, misuse or erroneous use thereof, inappropriate storage thereof, negligence, accidents (blows, bruising, impact, immersion in liquids or exposure to heat sources where not allowed, forcing of parts, etc.); defects and/or flaws as a result of putting the product in connection with goods and products not supplied by SkyNet Group. 6.4 – At the moment of delivery of the goods by the carrier, the Customer shall be responsible for checking the number of packages, checking that the packaging is complete, sealed and not tampered with, and that the goods supplied are of the type and quantity ordered. Any damaged packaging or shortages of goods, or supplies that are not as agreed, shall immediately be contested in writing to the carrier (by signing the receipt “subject to reservations”), to whom the damaged packaging must be shown, or with whom the Customer shall verify the quantity and type of goods supplied. SIGNED IN ACCEPTANCE _______________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 Under such circumstances, that procedure is recommended, as, if the goods are accepted from the courier without complaints and reservations, it shall no longer be possible to make a complaint about any shortages or damage due to transport. Delivery of any damaged packaging or shortfalls of goods, or supplies that are not as agreed, shall therefore be communicated to SkyNet Group by fax or registered letter with acknowledgement of receipt, in the shortest time possible and in any case within 8 days of delivery of the goods. 6. 5 – The Customer must report in writing to Skynet Group or a representative thereof any proven manufacturing fault or defect, as per paragraph 6.2 above, in a detailed, not generic manner, within the compulsory legal time limit of 8 (eight) days from discovery thereof, specifying the date. In the event of a complaint, the Customer shall adopt all necessary measures to permit examination of the goods under discussion with SkyNet Group. It shall, in particular, store the goods in their original packaging. 6.6. For the purposes of the present guarantee, provided that the complaint is made within the time limit and provided that good grounds for the said complaint are verified, SkyNet Group shall, if the same or a similar product to the defective one is available and replacement is not unduly onerous, be solely responsible for replacing the goods (or the part thereof that is defective), subject to return of the defective goods or, at the choice of SkyNet Group, refund of all or part of the price if it is not in a position to replace the goods (or if replacement is unduly onerous), without the Customer having any right to compensation for damage, inasmuch as such conduct shall extinguish any further claim against it. SkyNet Group shall not, in any case, be responsible for guarantees, compensation and liabilities other than those stated here, which are not mandatory by law, particularly for direct damage, indirect damage and/or consequential damage or loss of earnings. The guarantee shall not apply to any loss suffered by the Customer, which may be caused by the fault and/or defect, including loss of production, loss of profit and other indirect losses. The Customer may not, in the event of the goods’ being defective, cancel the contract unilaterally, suspend or omit payment or reduce the price, where the Customer or another subject acting as assignee has transformed the product supplied by SkyNet Group. 6.7 The returned product shall reach SkyNet Group carriage paid, whilst the cost of forwarding the replacement product to the Customer shall be payable by SkyNet Group. The replaced goods shall be supplied on the same terms and with the same guarantee conditions. 6.8 – Rights under the present guarantee and the relative action by the Customer shall expire 12 months after the date of delivery of the products to the Customer by SkyNet Group, and may be exercised within the maximum purchase price limit for the items concerned, provided that the Customer has already paid SkyNet Group for them. Higher sums may not be requested under any circumstances. 6.9 – For the purposes of the restrictions under the present article, the date written on the delivery docket accompaning the products delivered to the Customer shall be the effective date. The Customer shall be responsible for diligently keeping and sending a copy to the Vendor, together with the relevant purchase invoice, provided that it has been regularly paid. 6.10 – The Customer expressly renounces any recourse – pursuant to art. 1519 quinquies (1519 v) of the Civil Code – against SkyNet Group, in the event of contestation by the consumer, by other vendors that are part of the same contractual chain or by other intermediaries. SIGNED IN ACCEPTANCE _______________________ ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------SkyNet Group Ltd - 27 Old Gloucester Street Office 2000 - London – UK - Company No. 06326611 7 – DATA PROCESSING 7. 1 – With the entry into force of Law No. 675/96, and subsequently, Legislative Decree No. 196/2003 "Code on the subject of protection of personal data", SkyNet Group, as “titleholder” of the data processing, is obliged to provide any information concerning the use of personal data. Data communicated to SkyNet Group by the Customer shall be processed in strict compliance with those laws and in particular: The collection or processing of personal data shall be for the sole purpose of conducting its financial activities in an appropriate manner. Personal data are and shall be processed lawfully and properly and in any case in compliance with the Law, both by means of computerised systems and on paper; The collection of personal data is obligatory and legal and fiscal regulations must be complied with; Data may be communicated to third party organisations (e.g. banks, insurance companies, organisations or companies related to us) for the purpose of conducting our business relations and within the context of the appointments conferred on us; 7. 2 – The Customer expressly authorises SkyNet Group to process any personal data such as, purely by way of example, user ID, e-mail address, address of registered office, etc. in order to receive periodically, by means of newsletters or similar, informaton for purposes of a commercial nature, user loyalty promotional activities, information about new products and services, etc. 7. 3 – The Customer may, at any time, access his own data in order to update it, modify it, supplement it or simply oppose use thereof, for the purpose of the formalities indicated herein, by writing to SkyNet Group, as its registered office at Via Crociale 6, Spezzano (MO). 8 – SIGNATURE AND SENDING OF THE PRESENT GEENRAL CONDITIONS 8.1 – The present General Conditions must be accepted in writing by the Customer by undersigning each page and double signature of the last page. 8.2 – The said acceptance must be made at the beginning of the relationship between SkyNet Group and the Customer. The said Conditions shall then be sent by the Customer, duly undersigned and together with a copy of the identity document, by fax, only with the first order, and/or jointly with signature of the first estimate contract. 8.3 - As specified in article 1) of the present document, the General Conditions shall apply to each individual sale ordered from time to time and to each sales contract, and the same shall be regarded as an essential part of each relationship between SkyNet Group and the Customer. 9 – CAPACITY OF NON-CONSUMER 9. 1 – For the purposes of the present contract, the Customer shall not have the capacity of a consumer, according to the terms of the Law, inasmuch as he shall be acting for purposes that are part and parcel of his entrepreneurial and/or professional activity. The Customer shall declare that he is purchasing SkyNet Group’s products for retail purposes, within the context of his commercial and/or professional activities, and not as a consumer.
