IDS: specialista in pavimentazioni Da oltre 20 anni, l’azienda IDS specializzata in pavimenti in gomma, ha saputo sviluppare svariati prodotti per il settore agricolo, acquisendo una vasta esperienza nei settori dell’industria e dell’edilizia. Prodotti adatti ad ogni uso I bovini trascorrono tempi sempre più lunghi al coperto. È per questa ragione perché IDS ha messo a punto dei tappeti molto elaborati , specifici per ogni settore della stalla, con caratteristiche ben precise, tali da renderli performanti al massimo. Prodotti di qualità Durante l’uso i tappeti sono soggetti a forti sollecitazioni, pertanto IDS s’impegna a fornire prodotti di qualità testati e tutelati da garanzia. Insieme alla bolla di consegna, vengono consegnate le istruzioni di montaggio, che possono essere anche scaricate dal nostro sito web oppure semplicemente richieste al nostro servizio commerciale. Tali istruzioni devono essere rigorosamente rispettate per qualsiasi tipo di installazione. La garanzia dei nostri prodotti si estingue infatti in caso di mancato rispetto delle istruzioni contenute nel manuale Istruzioni di montaggio. Grosso stock 2 Produzione del caucciù I prodotti IDS sono realizzati principalmente con la gomma. Questo materiale naturale è prodotto a partire dal lattice secreto da un albero: l’hevea. La gomma è utilizzata in due forme: Gomma naturale non riciclata: La gomma naturale è il prodotto ottenuto direttamente dalla trasformazione del lattice. È molto resistente all’abrasione e resta morbido anche in caso di gelo o esposizione prolungata ai raggi UV. L’aggiunta di additivi durante il processo di fabbricazione consente di ottenere delle gomme particolarmente resistenti agli oli (gomma nitrile) o più specificatamente e su richiesta: delle gomme classificate con prove di reazione al fuoco o tinte particolari. Miscela di gomma naturale non riciclata / gomma naturale riciclata: La gomma naturale può essere mescolata anche alla gomma riciclata per ridurre i costi. Le caratteristiche tecniche di questa miscela sono meno performanti di quelle della gomma non riciclata. La gomma riciclata è una miscela di granulati di gomma legati da un elastomero poliuretanico. I granulati di gomma provengono soprattutto dal processo di riciclaggio. La gomma riciclata è adatta per i rivestimenti di pavimenti incollati e anche in solette di notevole spessore non incollate. È antiscivolo, resistente e isola dal freddo e del rumore. IDS sceglie i materiali più nobili come la gomma naturale per realizzare miscele appositamente studiate per l’uso nel settore agricolo. Raccolta del lattice dall’albero della gomma Dalla formulazione della ricetta alla finitura, passando per l’estrusione, lo stampaggio e la calandratura, IDS controlla tutti i processi di trasformazione della gomma grazie a linee di produzione performanti. Gli stampi IDS sono modellati in 3D. Condizioni generali di vendita Article 1 – Application and enforceability of the standard terms of sale Article 6 –Terms of payment IDS / ID GROUP is specialized in manufacturing and commercializing carpets, doormats and coatings (hereinafter the “Products”) to professionals established outside the French territory (hereinafter the “Buyer(s)”). The Buyer’s placing of an order entails its full and unconditional acceptance of these standard export terms of sale, which apply to the business relationship between the Buyer and IDS / ID GROUP in addition to the terms of the quotation established by IDS / ID GROUP. These standard export terms of sale prevail over any other documents, in particular over the Buyer’s standard terms of purchase. IDS / ID GROUP’s obligations can only result from these standard export terms of sales and the terms of the orders which have been expressly confirmed by IDS / ID GROUP and no conflicting term stipulated by the Buyer shall be unenforceable against IDS / ID GROUP. In the event one of the following provisions shall be determined to be invalid or unenforceable under any controlling body of the law, such invalidity or unenforceability shall not in any way affect the validity or enforceability of the remaining provisions hereof. 6.1. Invoices are payable before dispatching the Products by bank transfer. Failing that, IDS / ID GROUP shall be entitled to suspend the execution of the order, the Buyer being responsible of the resulting delay. 6.2. IDS / ID GROUP shall send to the Buyer a Proforma Invoice indicating total costs of all ordered items and terms of dispatching of the Products. The Proforma Invoice is guaranteed by the signature and seal of IDS / ID GROUP and goes to the Buyer by fax or E-mail. Said Proforma invoice is final and no change shall be accepted after sending it to the Buyer. 6.3. Any amount not paid by its due date shall give rise --automatically and without the need for prior notice-- to the payment of penalty interest, at three times the official interest rate. IDS / ID GROUP shall also be entitled to demand payment of EUR 40, as a fixed penalty clause for expenses incurred for contentious collection of the amounts due. In case the amount of these expenses is higher than EUR 40, IDS / ID GROUP shall be entitled to demand an additional penalty. 6.4. In the event of a payment delay, IDS / ID GROUP shall be entitled to suspend all orders in progress and/or refuse any new order until full payment has been made, and apply a ten percent penalty of the amount remaining to be paid, without prejudice to any other means of action. Besides, the amounts due for other deliveries, or for any other reason, shall become automatically due if IDS / ID GROUP does not cancel the corresponding orders. 6.5. Any worsening of the Buyer’s credit may justify a reduction of the terms of payment, demand for guarantees, or cash payment, before orders received will be filled. Failing that, IDS / ID GROUP shall be entitled to refuse any new order or to cancel the order(s) in progress. In case the Buyer orders special Products and/or non-catalog Products, IDS / ID GROUP reserves the right to demand financial guarantee or payment before the command’s process. Failing that, IDS / ID GROUP may refuse a special order. Article 2 – Formation of the contract Quotations made by IDS / ID GROUP are valid for two months since they are made, unless otherwise specified. The contract between IDS / ID GROUP and the Buyer is binding whether when IDS / ID GROUP receives the quotation signed and accepted by the Buyer and the payment of the deposit if any; or when IDS / ID GROUP confirms in every term and condition the Buyer’s order, IDS / ID GROUP by any way. Each order is only accepted within the limit of available stocks. IDS / ID GROUP’s acceptance of the order shall be subject to the following conditions: - no financial risk or any other element has appeared that could call the order into question, up to delivery to the Buyer’s premises of all or part of the order; - the provision of guarantees by the Buyer, in particular, in case of incapacity, dissolution or modification of a company, mortgage of buildings, or pledging of the client’s business; - the order is not abnormal; - the information communicated is sufficiently complete and accurate to enable the order to be filled. Any order modification by the Buyer shall only be taken into account if it reaches IDS / ID GROUP in writing within 24 hours from IDS / ID GROUP’s confirmation of the initial order and if it is technically possible. Modifications subsequent to the order may give rise to an additional charge, which shall be indicated to the Buyer for acceptance and/or cause a delay in delivering the order in question. No cancellation shall be taken into account after the contract becomes binding and the Buyer shall pay the whole amount of the order. Article 3 – Deliveries - Acceptance 3.1. Delivery Delivery is made by delivery to a carrier in the warehouses of IDS / ID GROUP. In some cases expressly stipulated, delivery is made to the Buyer’s directly from IDS / ID GROUP’s factory 3.1.1. Delivery times Delivery times are indicated as accurately as possible, but are not binding and are based on avaibility of the stock of products and of the carriers and are dealt with in order of appearance. No overrun of delivery deadlines, nor the non-performance of an order, whether partial or total, temporary or definitive, because of circumstances beyond IDS / ID GROUP’s control may give right to damages or to cancel the order or to demand a reduction of the price. IDS / ID GROUP is authorised to make complete or partial deliveries. In the case of a partial delivery, each such partial delivery shall be deemed a complete commercial transaction. A proportional payment must be made at the time of each partial delivery. IDS / ID GROUP does its best to comply with delivery deadlines as indicated to the Customer when accepting the order, according to the standard logistics deadline in the profession, and to perform the order, except in case of force majeure or circumstances beyond its reasonable control, including but not limited to strikes, frost, fires, storms, hurricanes, floods, epidemic, problems with source of supply. 3.1.2. Transfer of the risks of losses and damages The Products are transported at the Buyer’s risk, including if they are dispatched carriage free to the agreed place. Unless otherwise agreed, all of the sales are made on the conditions of EXWORKS (Incoterms 2010). 3.1.3. Transport In the event of damaged or missing Products, the Buyer shall be responsible for expressing any necessary reservations on the delivery slip and for having these signed by the carrier, dated and then, for confirming its reservations to the carrier, by registered mail with return receipt, within two (2) days following receipt of the Products and for sending a copy to IDS / ID GROUP. Failing that, the Products are deemed accepted without reservation and the Buyer shall not have any recourse. 3.1.4. Transport to the international In case of international sales, the Buyer shall communicate to IDS / ID GROUP, when ordering, a list of all the necessary documents for products exportation to his state. Failing that, IDS / ID GROUP shall not be held responsible for any consequences, in particular the fees due in case customs hold the products are to be paid by the Buyer. The Buyer shall also indicate to IDS / ID GROUP, when ordering, if he wants a specific packaging for the Products or if a national rule imposes one. Failing that, IDS / ID GROUP shall not be held responsible for any consequences in case of non-conformity of the packaging. 3.2. Acceptance 3.2.1. Without prejudice to the measures to be taken vis-à-vis the carrier as stated in article 3.1.3, complaints concerning visible defects or on the nonconformity of the Products delivered compared to the Products ordered must be expressed in writing within three (3) days of receipt of the Products. Thereafter, no complaint or recourse shall be accepted against IDS / ID GROUP. 3.2.2. The Buyer shall be responsible for providing any proof of the existence of the defects or anomalies noted. The Buyer must do everything in its power to enable IDS / ID GROUP to formally acknowledge these defects. 3.2.3. Any return of a Product must be the subject of a formal agreement between IDS / ID GROUP and the Buyer. Any Product returned without this agreement shall be kept available to the Buyer and shall not give rise to the issuance of a credit. Product return expenses and risks are always borne by the Buyer, unless the existence of the defects or anomalies is confirmed by IDS / ID GROUP. IDS / ID GROUP chooses or, at least, confirms the choice of the carrier for the return of the Products. 3.2.4. Any taking back of Products accepted by IDS / ID GROUP shall give rise to the issuance of a separate credit in favor of the Buyer, after a qualitative and quantitative inspection of the Products returned. Regardless of the circumstances, no taking back of Products shall give rise to compensation or damages in favor of the Buyer. 3.2.5. The receipt of the Products without any reservation from the Buyer prevents the Buyer from any later complaint or action concerning visible defects or on the nonconformity of the Products. Besides, if the Buyer does not respect the provisions of article 3.2.1, Products are deemed to be accepted by the Buyer without reservation. 3.2.6. The existence of reservations concerning the conformity of the Products or visible defects, expressed by the Buyer in the required manner, shall not suspend the payment date. The Buyer covenants not to apply withholding, penalties or compensations of any type on the amounts due for its initial order, unless so agreed in writing with IDS / ID GROUP. 3.2.7. IDS / ID GROUP waives any liability for damages that occurred during transportation of the Products, loss or theft, even though the carrier has been chosen by IDS / ID GROUP. 3.2.8. Variations on size or weight, upwards or downwards, may happen due to the conditions of manufacturing of some materials. These variations do not give rise for the Buyer to any action or complaint. 3.3. Suspension of deliveries In the event of a payment delay notwithstanding a request by IDS / ID GROUP to fulfil its contract duties within forty-eight (48) hours, IDS / ID GROUP shall be entitled to suspend all orders in progress. Article 4 – Installation of the Products 4.1. Authorization The Buyer shall request and obtain all the authorizations, permits or licenses that are necessary for the installation of the Products, if any. 4.2. Buyer’s obligations The Buyer shall: - provide IDS / ID GROUP with accurate information for the installation of the Products, given that IDS / ID GROUP shall not be liable in case the Buyer has misevaluated his needs ; - provide IDS / ID GROUP’s personnel with all means to access the site of installation and those necessary to carry out its task; - be aware of the local regulations about the Products in force in his country and shall appreciate the obligations he has to fulfilled and shall be responsible for providing this information to IDS / ID GROUP; - comply with the legal provisions if any, especially regarding security and health. - remain responsible for the acts and omissions of its own personnel carrying out the necessary measures for IDS / ID GROUP to lay the Products; - take all measures that are necessary for preventing any obstacle to the installation of the Products. 4.3. Deadlines Deadlines for IDS / ID GROUP’s intervention only have indicative value. IDS / ID GROUP shall not be liable for any delay resulting from the fact that the Buyer has not fulfilled his own obligations (no provision of accurate and complete information and necessary documents or technical specifications if any, no payment in due time, modification of the order...), in case of force majeure or of any circumstance beyond the control of IDS / ID GROUP. In any case, no overrun of deadlines attributable to IDS may give right to damages or compensation or to cancel the order or to demand a reduction of the price. Article 5 – Prices - Invoicing Products are invoiced in Euros, at the price in effect at the time the order is placed by the Buyer, excluding VAT and any other charges when applicable, unless otherwise specified. VAT if applicable and transportation fees are due in addition, at the price in effect at the time the Products are dispatched. Every pricelist issued by IDS / ID GROUP shall only have indicative value and shall not be considered as a biding proposition. Pricelists are not fixed and IDS / ID GROUP shall be entitled to change the prices in case of economic fluctuations, given that the Buyer shall be informed of such modification before its application. Invoices are presented the day the Products are dispatched. Article 7 – Reservation of title ALL THE PRODUCTS ARE SOLD WITH RESERVATION OF TITLE AND THEREFORE OWNERSHIP OF IDS / ID GROUP UNTIL FULL PAYMENT HAS BEEN MADE. Any contrary clause, especially in general terms of purchase, is deemed to be void. The Buyer covenants to allow at any time the identification and demand for return of the Products delivered. If IDS / ID GROUP demands the return of one or more Products, the Products taken back shall be deemed to correspond to that covered by the most recent invoice and shall therefore be taken back at the value of the unpaid invoices. The Buyer, authorized to resell the Products in the normal course of its business, is bound to immediately inform IDS / ID GROUP of the seizure, in favor of a third-party, of the Products delivered without prejudice to any others. The Buyer further covenants not to pledge or assign as guarantee the ownership of the Products. If the Products are resold, it covenants to assign to IDS / ID GROUP its receivables on the sub-buyers, for the amounts due. If all or part of any of the payments agreed for the price are not made, and fifteen (15) days after notice by registered mail gone partially or completely unheeded, IDS / ID GROUP reserves the right to make the sale, or to demand the return of the Products. In the latter case, the Products must be immediately made available to IDS / ID GROUP, unless the latter demands the return of the Products at the buyer’s risk and expense. This demand may be made by any means (registered mail, fax, formal notice served by bailiff, etc.), at the Buyer’s expense and risk. The taking back of the Products shall not be deemed as cancellation of the sales contract. All amounts already paid by the Buyer (in particular, advances) shall be kept as first damages, without prejudice to any others. The above provisions shall not impede the transfer to the Buyer of the risks of losses and damages to the Products sold, pursuant to Article 3.1.2 above. Article 8 – Intellectual Property rights The Buyer covenants to respect all of IDS / ID GROUP’s intellectual property rights and declares that it is fully familiar with said rights, especially trademarks, copyright and patents. No intellectual property right, whether related to the Products or to the images and logos that are applied on the Products for the Client, shall be transferred to the Client under these standard export terms of sale. The Buyer shall refrain from reproducing, or from having others reproduce, in full or in part, the trademarks, drawings and models, or any other industrial property rights held by IDS / ID GROUP, and/or from transmitting to third parties any information of any kind whatsoever permitting the total or partial reproduction of these rights if this use is not justified by the needs of its distribution activity. The Buyer shall refrain from reproducing, directly or indirectly, for its own account or for a third party’s account, the Products and/or their images or logos, whatever the method and the medium, in particular on carpets and doormats, save to the extent strictly necessary for the Buyer to carry out the promotion and the commercialization of the Products. In all cases, the Buyer shall not modify, distort, or cancel pictures or logos on the Products. The Buyer shall be responsible for breaching these obligations and shall indemnify IDS / ID GROUP against all actions on this base. The Buyer also warrants that the elements provided to IDS / ID GROUP to be reproduced on the Products, if any, does not infringe the intellectual property rights of any third party whatsoever and that they comply with law and regulations, and shall be solely responsible if not. The Buyer guarantee IDS / ID GROUP from any legal action brought by a third party on these matters, the Buyer being solely responsible. Article 9 – Warranty 9.1. The Buyer shall be responsible for checking any Product at the time of delivery and for expressing any necessary reservations or complaints concerning missing Products, visible defects or on the nonconformity of the Products delivered compared to the Products ordered must be expressed in the conditions stated in article 3 above. 9.2. The Buyer shall not have any recourse against IDS / ID GROUP for nonconformity of the Products more than fifteen (15) days after delivery. According to these standard export terms of sale, accepted by the Buyer when placing an order, the Buyer shall not be able to invoke non-conformity of the Products nor to argue against any action of IDS / ID GROUP for money recovery on this basis neither. 9.3. IDS / ID GROUP guarantees its Products against any hidden defect for one (1) year from the invoicing date, including parts and labour. 9.4. In any case, it is expressly agreed that warranty does not cover the following cases: - the defects are caused by force majeure ; - the defects are caused by inappropriate use of the Products ; - the defects are due to accidents, negligence, or normal wear and tear; - the defects have been caused by negligence or a lack of care by the Buyer; - the defects result from storage conditions incompatible with the nature of the Products; - the usage recommendations contained in the instructions have not been complied with; Moreover, warranty only applies to Products regularly acquired by the Buyer. 9.5. This warranty only applies in case of hidden defects, that is to say a latent defect in the engineering or manufacturing of the Product which makes it unfit for the use for which it was intended, and that the Buyer cannot have discovered before using it. According to the warranty, IDS / ID GROUP’s sole warranty obligation is reimbursement, replace of the defective parts or repair of the latent defects, whichever IDS / ID GROUP prefers, and in no case it gives rise to compensation or damages in favor of the Buyer. In order to be admissible, any complaint concerning a Product’s hidden defect must be made within thirty (30) days following the date the Buyer discovers the hidden defect and the Buyer shall provide proof of the existence of the latent defects noted. 9.6. Replacement of defective Products or parts does not extend the duration of warranty. In some cases, IDS /ID GROUP may sign with the Buyer, acting as reseller, a consignment-stock agreement. Article 10 - Liability THE BUYER IS SOLELY RESPONSIBLE FOR ANY DAMAGE, WHETHER DIRECT OR INDIRECT, RESULTING FROM THE USE OF THE PRODUCTS. The Buyer warrants that it has subscribed an insurance policy to cover these risks. In any case, IDS / ID GROUP shall not be held liable for unforeseeable and/or indirect immaterial damages caused to the Buyer, such as, without this list being exhaustive, loss of profit, missed opportunities, loss of revenue... The Buyer will have no claim against IDS / ID GROUP for prejudice caused to third party and shall indemnify IDS / ID GROUP against any action or reclamation of a third party, resulting directly or indirectly, from the use of the Products. In any case, IDS / ID GROUP liability, when applicable, shall be strictly limited to the amount of money paid by the Buyer for the litigious order. Article 11 – Force majeure IDS / ID GROUP shall be released from its obligations for any event outside its control that prevents or delays the delivery of the products and is deemed the contractual equivalent of force majeure. The same shall apply in case of events occurring at IDS / ID GROUP or on the premises of its subcontractors, such as lockouts, strikes, epidemics, embargos, accidents, transport interruptions or delays, inability to be supplied, raw materials defect, significant changes to the political situation in the client’s country, or any other event outside IDS / ID GROUP’s control and giving rise to a partial or total cessation of operations at IDS / ID GROUP or at its own suppliers. In a case of force majeure, IDS / ID GROUP will inform promptly and in writing the buyer of the duration of the event and of the consequences that are expected. Article 12 – Waiver If IDS / ID GROUP does not at a given time seek application of any one of the stipulations of these standard terms of sale, this shall not be construed as a waiver to do so at a later date. Article 13 – Applicable law - Jurisdiction All sales made pursuant to these standard terms of sale are governed by French law, as is the business relationship between the parties. Any dispute or disagreement concerning the formation or filling of the order and/or of the business relationship between the parties shall be resolved by the competent courts in the legal district in which IDS / ID GROUP is located, unless IDS / ID GROUP prefers to refer the matter to any other competent jurisdiction. This clause shall apply, including in the event of urgent application, additional application, or if there is more than one defendant, regardless of the payment method and terms. Article 14 - Duration These general conditions take effect from 1 January 2017 for a period of one (1) year. In duplicate, each parties acknowledging being in possession of a copy.
