Mission of the Company is the development, promotion and management of new real estate financial instruments in line with the needs of national and international investors. Fimit SGR’s business is carried out along three main lines: ■ the development of real estate investment funds for institutional clients and private savers; ■ the promotion of innovative real estate financial instruments aiming to meet growing investor demands; ■ the professional management of real estate funds from a technical, administrative and financial point of view, through collaboration between Fimit professionals and the best independent technical, legal and tax advisors on the market. LA SOCIETÀ \ THE COMPANY Fimit SGR è una Società di Gestione del Risparmio attiva nel settore dei fondi comuni di investimento immobiliare. Missione della Società è lo sviluppo, la promozione e la gestione di strumenti di finanza immobiliare in linea con le esigenze degli investitori nazionali ed internazionali. L’attività di Fimit SGR si sviluppa su tre principali direttrici: ■ lo sviluppo di fondi comuni di investimento immobiliare dedicati a clienti istituzionali e risparmiatori privati; ■ la promozione di strumenti innovativi di finanza immobiliare con l’obiettivo di soddisfare le crescenti esigenze degli investitori; ■ la gestione professionale dei fondi immobiliari dal punto di vista tecnico, amministrativo e finanziario attraverso la collaborazione tra i professionisti che fanno parte della struttura e i migliori advisor indipendenti, tecnici, legali e fiscali presenti sul mercato. FIMIT SGR 4\5 1998 Fimit SGR was created by the Italian state-owned MedioCredito Centrale bank and the INPDAP pension fund. 2002 Fimit’s Alpha Fund was placed and listed on the Borsa Italiana market: Alpha was the first Italian real estate public-contribution fund and the first real estate fund to have been listed. 2005 Fimit’s contribution reserved funds for qualified investors were created, namely the Sigma Fund and Gamma Fund. In October the Beta Fund was also placed and listed on the market: requests for 203,900 units were submitted, against 161,085 existing units. 2006 Theta Fund, a reserved fund for institutional investors, was created. In little more than 20 days, Fimit placed the Delta Fund collecting over € 210 mn. 2007 Launch of Omicron Sviluppo Fund, specialized in logistic investments, through a cash subscription and a private contribution of real estate assets. 2008 Eta Fund and Tau Fund, both reserved for qualified investors, began operations. Launch of Omega Fund and Omicron Plus Fund, both reserved for qualified investors. In Omega Fund were contributed a total of 284 Intesa Sanpaolo Group real estate properties; in Omicron Plus Fund were contributed 72 UniCredit Group real estate properties. 2009 A second contribution of 179 assets of UniCredit Group to Omicron Plus Fund was concluded. Launch of Rho Fund through a private contribution of a real estate portfolio by Fondiaria SAI Group and Senior Fund, destined to social initiatives. Upgrading of Fimit Asset Manager Rating from “M3+” (Adequate) to “M2-” (Strong) from the international agency Fitch Ratings. LE TAPPE FONDAMENTALI \ KEY FACTS 1998 Nasce Fimit SGR da un’iniziativa del Medio Credito Centrale e dell’INPDAP. 2002 Fimit colloca Fondo Alpha e lo quota sul mercato di Borsa Italiana: in Italia Alpha è il primo fondo immobiliare ad apporto ma è anche e soprattutto il primo fondo immobiliare ad essere quotato. 2005 Nascono i fondi ad apporto riservati ad investitori qualificati Fondo Sigma e Fondo Gamma. A ottobre viene collocato e quotato sul mercato Fondo Beta: a fronte di un’offerta globale di 161.085 quote sono arrivate richieste per 203.900. 2006 Nasce Fondo Theta, fondo riservato ad investitori istituzionali. In poco più di 20 giorni Fimit colloca sul mercato Fondo Delta, raccogliendo oltre € 210 mln. 2007 Lancio del Fondo Omicron Sviluppo, specializzato in investimenti immobiliari a destinazione logistica, tramite apporto privato di immobili/terreni e conferimenti in denaro. 2008 Avviano l’operatività Fondo Eta e Fondo Tau, entrambi destinati ad investitori qualificati. Concluse le operazioni per l’avvio dell’operatività di Fondo Omega e Fondo Omicron Plus, entrambi riservati ad investitori istituzionali. In Fondo Omega sono stati apportati 284 immobili del Gruppo Intesa Sanpaolo; in Fondo Omicron Plus sono confluiti 72 immobili del Gruppo UniCredit. 2009 Perfezionamento di un secondo apporto costituito da 179 immobili del Gruppo UniCredit al Fondo Omicron Plus. The Company shareholding is comprised of financial, social insurance and industrial shareholders, none holding a controlling share. Fimit is an independent platform, not subject to the control of a banking group. The new company structure enables Fimit to: ■ start a new development cycle of financial and real estate activities at a European level; ■ extend and diversify its range of products by placing and managing new real estate funds; ■ attract a greater number of investors. GLI AZIONISTI \ SHAREHOLDERS A giugno 2008 Fimit ha cambiato assetto proprietario. L’azionariato della Società è composto da soci finanziari, previdenziali e industriali, nessuno dei quali con una partecipazione di controllo. Fimit è una piattaforma indipendente, autonoma dal controllo di un gruppo bancario o industriale di riferimento. The success of these transactions attracted the investments of primary national and international investors. As of today, the Company manages funds placed to about 55,000 retail investors and about 60 institutional investors. In particular, institutional investors of Fimit’ reserved funds are primary comprised of Pension Funds, private companies, banking and insurance groups and Sovereign Wealth Funds. In particolare la SGR si è specializzata nell’investimento in immobili di tipo “core” e “core plus”, pur annoverando tra i propri investimenti interessanti operazioni di tipo “value added”. La promozione riflette i significativi progressi che la società ha compiuto nella recente evoluzione dell’assetto societario e nel parallelo miglioramento della struttura organizzativa e delle procedure interne di funzionamento. In particolare gli analisti hanno apprezzato l’indipendenza, espressa dall’assetto societario di Fimit, composto da soci finanziari, previdenziali e industriali, nessuno dei quali con una partecipazione di controllo, a dimostrazione della natura della società quale piattaforma autonoma dal controllo di un gruppo bancario o industriale di riferimento. Fitch ha sottolineato quindi il rafforzamento della posizione di mercato di Fimit negli ultimi due anni, pur nelle difficoltà di una congiuntura economica complessa che ha coinvolto tutti i mercati internazionali. Per quanto concerne la gestione, Fitch ha motivato la promozione in quanto la selezione degli investimenti e la gestione complessiva del portafoglio evidenziano una disciplinata attenzione ai documenti di piano e alle pianificazioni di budget durante il ciclo di vita dei fondi gestiti. Molto apprezzate le politiche di governance della società e i meccanismi decisori supportati da costanti e pressanti due diligence finanziarie. On December 2009 Fitch Ratings has upgraded Fimit Asset Manager Rating from “M3+” (Adequate) to “M2-” (Strong) on a range from M1 to M5, with M1 as the highest possible score. This upgrade reflects the significant progress the company has made, including renewing the organisational structure and operational processes, new hires and a reshuffle of key management team following a change of shareholders in H208. The Agency particularly remarked the company’s independence, with a diversified shareholder base none holding a controlling stake, that confirms Fimit’s structure as an independent platform, not subject to the control of a bank or industrial group. Fitch also recognised the company’s leading market positioning in Italy reflecting the dynamic growth of the company over the last two years, despite a difficult market environment for the real estate market. With regard to the management, Fitch recognises that investment selection and portfolio management are closely integrated linked by a disciplined and detailed budget planning over funds’ life cycles. Fitch also appreciated Fimit’s sound corporate governance standards and decision procedures that are supported by well established due-diligence processes. FIMIT SGR 20\21 FONDO ALPHA I FONDI RETAIL \ RETAIL FUNDS Fondo Alpha è il primo fondo comune di investimento immobiliare ad essere quotato in Italia, nonché il primo fondo immobiliare ad apporto nel nostro Paese. Il Fondo, nato nel 2001 mediante il conferimento di parte del patrimonio immobiliare di proprietà dell’INPDAP, costituisce uno dei primi importanti esempi di dismissione del patrimonio immobiliare pubblico. I FONDI GESTITI 22\23 FONDO BETA I FONDI RETAIL \ RETAIL FUNDS Fondo Beta, nato nel 2004, è il secondo fondo immobiliare ad apporto pubblico di Fimit, realizzato replicando la positiva esperienza di valorizzazione del patrimonio pubblico di proprietà dell’INPDAP mediante il ricorso allo strumento fondo immobiliare. Il Fondo, la cui scadenza indicativa è fissata a febbraio 2011, ha recentemente avviato una procedura di dismissione del proprio portafoglio immobiliare al fine di liquidare il Fondo coerentemente con la propria durata. Investe prevalentemente nel comparto uffici, diversificando il portafoglio anche in altre asset class, tra cui l’investimento in un’area edificabile per il centro direzionale Da Vinci, in corso di realizzazione presso la Nuova Fiera di Roma, con il coinvolgimento di altri tre fondi e l’acquisizione in compartecipazione del Forte Village Resort in Sardegna. OPEN MARKET VALUE PER RIPARTIZIONE GEOGRAFICA OPEN MARKET VALUE BY GEOGRAPHIC AREA 27,2% SUD ITALIA E ISOLE SOUTH ITALY & ISLANDS Beta Fund is Fimit‘s second real estate fund created in 2004 through the public contribution of part of INPDAP real estate assets. As the expiration date approaches (February 2011), the Beta Fund has begun an important disposal process of its assets, aiming to seize market opportunities on behalf of the participants. Il Da Vinci Business Center è collocato sulla direttrice Roma-Fiumicino, in una posizione strategica che lo rende facilmente raggiungibile sia dal centro città che dalle direttrici di percorrenza esterna. I FONDI GESTITI 30\31 FONDO OMEGA \ OMEGA FUND In December 2008 Fimit has completed the transfer of the real estate assets of IMMIT S.p.A. (a company fully owned by Intesa Sanpaolo) to the Omega Fund. A dicembre 2008, Fimit ha finalizzato l’operazione relativa al trasferimento del patrimonio immobiliare di IMMIT S.p.A. (100% Intesa Sanpaolo) al Fondo Omega. IMMIT’s real estate portfolio is comprised of 284 properties mainly used as offices and bank branches, for a total of approximately 420,000 sqm, mostly located in Rome and Milan. Il patrimonio immobiliare di IMMIT apportato al Fondo è composto da 284 immobili a prevalente destinazione direzionale e agenzie bancarie, per un totale di circa 420.000 mq, concentrati per la maggior parte nelle città di Roma e Milano. The transaction concerned the contribution of IMMIT’s entire assets in Omega, at a value of about € 850 mn (60% equity and 40% bank debt). The estimated value at the contribution date, determined by the indipendent expert of the fund, was about € 1,15 bn therefore the transaction involved a contribution discount of approximately a 26%. About 90% of the properties are rented at market rates, generating total revenues of about € 63 mn, corresponding to an entry yield of 7.4%. The enhancement plan developed by Fimit for the properties entails 3 lines of action: ■ the disposal of the bank branches over the course of the next three years; ■ the disposal of offices in secondary locations (other than Rome and Milan) in three years; ■ the valorisation of the residual portfolio (offices in primary locations) within five years. IMMIT S.p.A.’s real estate portfolio also includes some historically headquarters belonging to the Intesa Group, such as buildings of Via Verdi and Piazza Cordusio in Milan and of Via della Stamperia in Rome. INIZIATIVE RECENTI 32\33 L’operazione ha riguardato l’apporto dell’intero patrimonio in Omega da parte di IMMIT, ad un valore di circa € 850 mln (60% equity e 40% debito bancario). Il valore di stima all’apporto, indicato dall’esperto indipendente del Fondo, è risultato pari a circa € 1,15 mld, corrispondente ad uno sconto di apporto pari a circa il 26%. Circa il 90% del patrimonio è locato a canoni di mercato per un ammontare iniziale pari a circa € 63 mln, corrispondente ad un entry yield del 7,4%. Il piano di valorizzazione degli immobili ipotizzato prevede 3 linee di azione: ■ la dismissione delle filiali bancarie nell’arco dei prossimi tre anni; ■ la dismissione degli uffici in location secondarie (diverse da Roma e Milano) in tre anni; ■ la valorizzazione entro cinque anni del portafoglio residuo (uffici in location primarie). Il patrimonio immobiliare di IMMIT S.p.A. comprende anche alcune sedi storiche del Gruppo Intesa quali i palazzi di Via Verdi e Piazza Cordusio a Milano e di Via della Stamperia a Roma. FONDO OMICRON PLUS \ OMICRON PLUS FUND Omicron Plus started its operations in December 2008 through the contribution by the UniCredit Group of an initial portfolio of 72 properties, followed by an additional portfolio of 179 properties contributed in September 2009. The portfolio comprises of 251 properties selected amongst UniCredit’s strategic property portfolio, including high quality offices and bank branches, mostly considered flagship assets for the Group, for a total area of approximately 400,000 sqm. The assets are primarily located in Northern Italy and feature an asset by asset market value of approx. € 1.5 bn. Il Fondo Omicron Plus ha avviato l’operatività a dicembre 2008 mediante il conferimento da parte del Gruppo UniCredit di un primo portafoglio costituito da 72 immobili, cui ha fatto seguito un secondo apporto di ulteriori 179 immobili perfezionato nel settembre 2009. Il portafoglio è costituito da 251 immobili selezionati nell’ambito di un ampio portafoglio, a prevalente destinazione direzionale e filiale bancaria, considerati flagship asset di UniCredit, per un totale di circa 400.000 mq di superficie commerciale. Il patrimonio immobiliare di Omicron Plus comprende anche alcune sedi storiche del Gruppo come Palazzo Broggi in Piazza Cordusio a Milano ed i palazzi di Via della Repubblica a Parma e Via Indipendenza a Bologna. Following the two contributions, 90% of the Fund has been placed, within few weeks, with primary national and international institutional investors. FONDO RHO \ RHO FUND Fondo Rho started its operations on December 2009, following the contribution of part of the historical real estate portfolio of Fondiaria SAI Group. The real estate portfolio comprises of 15 properties, mainly offices, for an overall gross area of approximately 300,000 sqm concentrated in primary locations such as Rome, Milan, Turin and Florence. The transaction has been completed with a 52.5% debt financial structure. The open market value - indicated by the independent valuer of the Fund – is approximately € 523 mn while the portfolio has been contributed with a discount of approximately 9%. A dicembre 2009, Fimit ha lanciato il Fondo Rho, fondo immobiliare di tipo chiuso nato tramite l’apporto di parte del patrimonio immobiliare storico del Gruppo Fondiaria SAI. Il perimetro del portafoglio oggetto di apporto è costituito da 15 immobili, a prevalente destinazione direzionale, per una superficie lorda complessiva pari a circa 300.000 mq localizzati nelle principali città italiane come Roma, Milano, Torino e Firenze. L’operazione è stata realizzata attraverso il ricorso ad un finanziamento bancario in misura pari al 52,5% del valore di apporto. Il valore di stima, determinato dall’esperto indipendente del Fondo ad ottobre 2009, è pari a circa € 523 mln ed il conferimento è avvenuto con uno sconto di circa il 9%. The initial rental income is approximately € 33 mn, generating an entry yield of ca. 7%. Approximately 67% of passing rents are paid by Fondiaria SAI according to long term (18+6 years) lease agreements, adjusted as from the start of the second year by 100% of the Italian CPI index variation. Il monte canoni iniziale è pari a circa € 33 mln, corrispondente ad un entry yield iniziale per il Fondo pari al 7% circa. Il 67% circa dei canoni di locazione sono corrisposti dal Gruppo Fondiaria SAI sulla base di contratti di locazione long term (durata 18+6 anni), adeguati a partire dal secondo esercizio per il 100% della variazione dell’indice dei prezzi ISTAT. Rho’s real estate portfolio includes some historical buildings, as the ones located in Piazza della Libertà in Florence and in Viale Liegi in Rome. Il patrimonio immobiliare comprende anche alcuni edifici storici come Piazza della Libertà a Firenze e Viale Liegi a Roma. INIZIATIVE RECENTI 36\37 FONDO SENIOR \ SENIOR FUND The increasing significance of the elderly population (70+) has led Fimit to start a new project providing a wide range of services to this specific group of people through the establishment of a real estate fund. The offer developed by Fimit is an instrument for: ■ the development of innovative residential units geared to the specific needs of the self-sufficient elderly; ■ the supply of services integrated with housing structures for the elderly; ■ the management of medium- to long-term financing solutions, such as: - life mortgage loans, with the opportunity for the lender to transfer the relevant credit to the Fund (pursuant to Italian law no. 248 of 2 December 2005); - tthe acquisition of the ownership without usufruct of flats belonging to the over 70’s. During december 2009 Fimit has created Senior Fund through the contribution of 12 real estate assets, mainly offices, belonging to INPDAP, for a contribution value of approximately € 100 mn; this corresponds to a discount of ca. 15% on the asset by asset market value determined by the independent valuer of the Fund. The contribution, realized with a full equity structure, will be effective since april 2010 to grant INPDAP and Fimit a more efficient technical/ operational management of the real estate portfolio. This contribution represents a first capital line that will allow the SGR to proceed with the reconversion of the properties into senior residences and to start disposal activities and the re-investment of the liquidity in line with the purposes of the Fund. In relazione alla rilevanza assunta in Italia dalla popolazione “over 70”, Fimit ha avviato un progetto per l’istituzione di un nuovo fondo immobiliare volto ad offrire un’ampia gamma di beni e servizi a tale categoria di soggetti. L’offerta studiata si concretizza in uno strumento in grado di: ■ sviluppare innovative residenze (appartamenti mono, bi o tri locali) strutturate per le specifiche esigenze degli anziani autosufficienti; ■ fornire servizi integrati alle residenze per anziani; ■ garantire soluzioni di finanziamento a medio e lungo termine quali: - l’erogazione di prestiti vitalizi ipotecari con possibilità per l’erogante di cedere al Fondo i relativi crediti (ex lege n. 248 del 2 dicembre 2005); - acquisto della nuda proprietà degli appartamenti degli over 70. A dicembre 2009 è stato lanciato il Fondo Senior mediante l’apporto di 12 immobili a prevalente destinazione d’uso uffici, facenti parte del patrimonio residuo dell’INPDAP, per un controvalore pari a ca. € 100 mln, evidenziando uno sconto di ca. il 15% sulla valutazione asset by asset realizzata dall’esperto indipendente del Fondo. L’apporto, effettuato senza ricorso alla leva finanziaria, diverrà efficace ad aprile 2010, al fine di consentire ad INPDAP e Fimit un più efficiente passaggio della gestione tecnico-operativa del patrimonio. Tale apporto costituisce per il Fondo una prima base patrimoniale su cui, nell’ambito della propria attività di gestione, la SGR procederà sia mediante riconversione e trasformazione degli asset in residenze focalizzate sulle specifiche esigenze dei senior, sia mediante una dismissione degli asset con re-investimento della liquidità coerentemente con le finalità del Fondo.
