Milano, 28 aprile 2008 Spettabile Cremonini S.p.A. Via Modena, 53 41014 Castelvetro di Modena FAIRNESS OPINION Premesse In data 31 marzo 2008, Cremonini S.p.A. (la “Società” o l’“Emittente” o “Cremonini”), ha appreso attraverso un comunicato allegato sub Allegato A (la “Comunicazione ”), ai sensi dell’art. 102 del D.Lgs. 24 febbraio 1998, n. 58 e successive modificazioni e integrazioni (“TUF”) e dell’art. 37, comma 1, del Regolamento approvato con delibera Consob n. 11971 del 14 maggio 1999 e successive modificazioni e integrazioni (il “Regolamento Emittenti”), che nella stessa data, Luigi Cremonini, Cremofin S.r.l. e Ci-Erre Lux S.a. (gli "Offerenti"), hanno deciso di promuovere, tramite una società a tale scopo costituita , un'offerta pubblica di acquisto volontaria totalitaria sulle azioni ordinarie della Società (l’“Offerta”), non possedute dagli Offerenti e dalla Società, e precisamente su massime n. 43.969.838 azioni ordinarie del valore nominale di Euro 0,52 ciascuna (le “Azioni”), pari a circa il 31% del capitale sociale, finalizzata alla revoca della quotazione delle azioni dal listino di Borsa Italiana S.p.A. (l’“Operazione ”). Gli Offerenti riconosceranno agli aderenti all’Offerta un corrispettivo in contanti per ciascuna Azione portata in adesione, pari a Euro 3,00 (il “Corrispettivo”). Ai sensi e per gli effetti dell’art. 103, comma 3, del TUF ed in conformità all’art. 39 del Regolamento Emittenti, la Società è tenuta a diffondere entro il primo giorno di inizio del periodo di adesione all’Offerta un comunicato contenente ogni dato utile per l’apprezzamento dell’Offerta e la propria valutazione sulla stessa. In data 2 aprile 2008, il Consiglio di Amministrazione della Società ha preso atto della Comunicazione e ha conferito a Banca Akros S.p.A. (“Banca Akros”) un incarico di consulenza finanziaria, allegato alla presente sub Allegato B (il “Mandato”), per la redazione di una fairness opinion sulla congruità del Corrispettivo offerto (la “Fairness Opinion”). La presente Fairness Opinion è stata redatta per uso interno ed esclusivo del Consiglio di Amministrazione della Società, che, in conformità a quanto previsto nel Mandato, se ne potrà avvalere per le determinazioni di propria competenza. Pertanto, la Fairness Opinion: (i) non potrà essere pubblicata o divulgata, in tutto o in parte, a terzi, o utilizzata per scopi diversi da quelli indicati nella Fairness Opinion stessa e nel Mandato, salvo preventiva autorizzazione scritta di Banca Akros ovvero richieste specifiche di autorità competenti (ii) è indirizzata esclusivamente al Consiglio di Amministrazione della Società e, pertanto, nessuno, ad eccezione dei destinatari della Fairness Opinion, è autorizzato a fare affidamento su quanto riportato nella Fairness Opinion e, conseguentemente, ogni giudizio di terzi sulla bontà e convenienza dell’Operazione rimarrà di loro esclusiva responsabilità e competenza (iii) non è stata espressa per conto, né conferirà diritti o rimedi agli azionisti di Cremonini o ad alcun altro soggetto. __________________________________________________________________________________________ Banca Akros S.p.A. Il Consiglio di Amministrazione della Società valuterà autonomamente come utilizzare le conclusioni riportate nella presente Fairness Opinion. Conseguentemente ogni scelta e considerazione in merito al Corrispettivo offerto resta di esclusiva competenza del Consiglio di Amministrazione che sarà pertanto l'unico e solo responsabile di tali scelte e considerazioni. Banca Akros ha provveduto a redigere la presente Fairness Opinion esclusivamente sulla base della documentazione indicata nel seguente paragrafo "Fonti informative utilizzate". La data di riferimento delle valutazioni e/o indicazioni contenute nella presente Fairness Opinion è il 1 gennaio 2008, assumendo che gli effetti degli eventi verificatisi successivamente a tale data siano stati adeguatamente e correttamente riflessi nelle stime e indicazioni fornite dal management, relative all’andamento economico-finanziario e patrimoniale della Società, con riferimento al periodo 20082011, nel corso di incontri e approfondimenti con Banca Akros. Le conclusioni esposte nella presente Fairness Opinion sono basate sul complesso delle indicazioni e valutazioni ivi contenute, con la conseguenza che nessuna parte della Fairness Opinion potrà essere considerata o, comunque, utilizzata disgiuntamente rispetto alla Fairness Opinion nella sua interezza. Banca Akros non si assume alcuna responsabilità diretta e/o indiretta per danni che possano derivare da un utilizzo improprio delle informazioni contenute nella Fairness Opinion. Ciascuna delle metodologie di valutazione prescelte per l’elaborazione della Fairness Opinion, pur rappresentando metodologie riconosciute e normalmente utilizzate nella prassi valutativa sia italiana sia internazionale, presenta comunque delle limitazioni intrinseche. Inoltre, la Fairness Opinion contiene assunzioni e stime considerate ragionevolmente appropriate da Banca Akros anche con riferimento alla prassi italiana e internazionale, e determinate sulla base delle Informazioni (come infra definite) fornite dalla Società. La presente Fairness Opinion non deve intendersi, in nessun caso, destinata agli azionisti della Società, né intende fornire loro alcuna raccomandazione ovvero indicazione in merito, tra l'altro, alla relativa scelta di aderire all’Offerta. Banca Akros, con la presente Fairness Opinion, non esprime alcun giudizio sulla fattibilità, opportunità o su qualsiasi condizione, termine o modalità dell'Offerta, ad eccezione di quanto indicato nel seguente paragrafo "Conclusio ni". Banca Akros, inoltre, non esprime alcun giudizio ovvero opinione sulla Società e sulle società da essa controllate (il “Gruppo”) (ivi inclusa ma senza limitazione, sulle relative situazioni patrimoniali, economiche e finanziarie ovvero sulle prospettive della Società e/o del Gruppo). I termini in lettera maiuscola contenuti nel testo della presente Fairness Opinion e non altrimenti definiti hanno lo stesso significato dei corrispondenti termini definiti nella Comunicazione. Le premesse e gli allegati formano parte integrante e sostanziale della presente Fairness Opinion. 2 Fonti informative utilizzate Ai fini della valutazione espressa nella presente Fairness Opinion, Banca Akros ha utilizzato la documentazione disponibile e ritenuta rilevante; in particolare, Banca Akros, in conformità con quanto previsto nel Mandato, ha utilizzato Informazioni (come infra definite) fornite dal management della Società e dati ed informazioni pubblicamente disponibili. Di seguito si riportano le principali fonti consultate: - Stime ed indicazioni, relative al periodo 2008-2011, fornite dal management della Società; - Comunicazione; - bilanci consolidati relativi agli esercizi 2005 e 2006 e 2007; - comunicato stampa della Società riguardante l’accordo per l’ingresso di JBS S.A. nel capitale di Inalca S.p.A. datato 3 marzo 2008 (allegato sub Allegato C). - ricerca redatta da Banca Leonardo datata 14 febbraio 2008 (allegata sub Allegato D); - ricerca redatta da Centrosim datata 16 gennaio 2008 (allegata sub Allegato E); - ricerca redatta da Banca Akros datata 14 gennaio 2008 (allegata sub Allegato F); - ricerca redatta da Banca IMI datata 14 dicembre 2007 (allegata sub Allegato G); - ricerca redatta da Banca Aletti datata 7 dicembre 2007 (allegata sub Allegato H); - ricerca redatta da Euromobiliare datata 6 dicembre 2007 (allegata sub Allegato I); - andamento dei corsi borsistici della Società (fonte: Bloomberg); - andamento dei corsi borsistici di società con caratteristiche confrontabili, o comunque operanti nel settore di riferimento come di seguito specificato (fonte: Bloomberg). Nello svolgimento dell’Incarico, nella predisposizione della Fairness Opinion e in tutte le elaborazioni effettuate, Banca Akros ha fatto affidamento: (i) sulla veridicità, completezza ed accuratezza dei documenti, dati, stime, indicazioni e informazioni utilizzati (le “Informazioni”), forniti dal management della Società, senza effettuare né direttamente né indirettamente alcuna autonoma verifica, accertamento e/o analisi indipendente. Banca Akros non si assume pertanto alcuna responsabilità relativamente alla veridicità, completezza ed accuratezza delle Informazioni utilizzate per l'elaborazione e la stesura della Fairness Opinion; (ii) sul fatto che i dati previsionali siano stati predisposti dalla Società sulla base di assunzioni ragionevoli e che gli stessi riflettano il giudizio più accurato possibile del management della Società circa il futuro sviluppo dell’attività della Società. Banca Akros non ha effettuato né ha condotto nessuna ispezione fisica o verifica di altra natura sul patrimonio della Società. La Fairness Opinion è necessariamente riferita, stante i criteri di valutazione utilizzati, alle attuali condizioni economiche e di mercato. A tal proposito, è inteso che sviluppi successivi tanto nelle condizioni di mercato che nelle altre informazioni messe a disposizione, potrebbero avere un effetto anche significativo sulle conclusioni della Fairness Opinion. Banca Akros, dal canto suo, non si assume né avrà alcun onere o impegno ad aggiornare o rivedere la Fairness Opinion o riconfermare le proprie conclusioni. 3 Valutazione Premessa metodologica Nel processo di valutazione della congruità del Corrispettivo si è voluto: - tenere conto dei risultati e delle prospettive di sviluppo dell’esercizio in corso e di quelli successivi del Gruppo; - considerare la percezione che il mercato ha avuto ed ha del Gruppo, sia attraverso le valutazioni che il mercato ha storicamente espresso sul titolo, sia grazie alle aspettative degli analisti di ricerca azionaria che seguono la Società. Per i predetti motivi, nella valorizzazione del Gruppo, quindi: a) sono state applicate congiuntamente due metodologie di valutazione, tra le più comunemente riconosciute dalla dottrina e dalla pratica professionale a livello internazionale , al fine di poter prendere in considerazione caratteristiche e quantità aziendali sia di tipo finanziario sia reddituale: - il metodo dei Multipli di Mercato che analizza i multipli impliciti nelle quotazioni di Borsa di un campione di società quotate ritenute comparabili alla Società (il “Metodo dei Multipli di Mercato”); e - il metodo del Discounted Cash Flow che si basa sul principio che il valore del capitale economico di un’impresa è pari alla sommatoria dei futuri flussi di cassa attualizzati che questa è in grado di produrre (il “Metodo dei Flussi di Cassa Scontati”); b) si è tenuto conto delle quotazioni di Borsa del titolo della Società, ovvero dei valori della Società espressi dal mercato in differenti orizzonti temporali (il “Criterio delle Quotazioni in Borsa”); c) sono stati analizzati i prezzi obiettivo indicati dagli analisti di ricerca azionaria che seguono il titolo della Società (l’ “Analisi dei Prezzi Obiettivo”). Il Metodo dei Multipli di Mercato Il Metodo dei Multipli di Mercato determina il valore del capitale economico di un’impresa in funzione dei prezzi di mercato di società comparabili, o comunque operanti nel settore di riferimento. Il valore così determinato riflette dunque la percezione dei mercati nei confronti di un determinato comparto di attività. I rapporti tra i prezzi di mercato e quantità economiche relative alle società oggetto di transazione permettono la determinazione di indici (cosiddetti “multipli”), da applicare alle corrispondenti voci economiche dell’azienda per la valorizzazione implicita. Con riferimento ai multipli di mercato, l’articolazione della Società in tre differenti settori di attività non la rende , nella sua globalità , perfettamente comparabile ad alcuna singola società attualmente quotata. Per tale motivo è stata condotta la valutazione con l’approccio “somma delle parti” ed i singoli settori di attività della Società sono stati confrontati con singole società quotate... Sono stati a tal fine selezionati 2 campioni di società comparabili rappresentativ i delle aree di business Produzione e Ristorazione e, poiché la Distribuzione è operata dalla società Marr, controllata al 24 aprile 2008 con una quota pari al 57,389% del capitale sociale (fonte: Consob), quotata sul Mercato Telematico Azionario organizzato e gestito da Borsa Italiana S.p.A., il valore di tale area di business del Gruppo è stato desunto dal valore di mercato di Marr stessa al 24 aprile 2008, in proporzione alla quota di possesso dell’Emittente. Si segnala che le società che compongono i campioni non sono, comunque, perfettamente confrontabili in forza di difformità nel modello di business, prodotti offerti, clienti serviti, canali distributivi utilizzati, aree geografiche di sbocco, andamenti economico-finanziari, assetti patrimoniali. 4 Si precisa, inoltre, che la valorizzazione attraverso il Metodo dei Multipli di Mercato è stata elaborata, secondo prassi, utilizzando le voci economiche stimate per gli esercizi 2008 e 2009. Tali stime sono quelle di consensus degli analisti finanziari (fonte: Bloomberg). Si è quindi proceduto, per ciascun multiplo e per ciascun esercizio preso in esame, al calcolo di una valorizzazione del capitale economico della Società (“VCE”) a cui - al fine di tenere in considerazione il diverso grado di incertezza delle previsioni sui due esercizi - è stato ritenuto di applicare un coefficiente di ponderazione pari a 0,75 per il 2008 ed a 0,25 per il 2009, secondo la seguente formula: VCE = (VCE 2008 x 0,75)+(VCE 2009 x 0,25) Per quanto attiene le diverse aree di business del Gruppo, sono state utilizzate le stime e le indicazioni fornite dal management, relative all’andamento economico-finanziario e patrimoniale della Società, con riferimento al periodo 2008-2009. I costi ascrivibili alla struttura centrale sono stati valorizzati al multiplo medio del campione. Il contributo di cassa derivante dall’accordo con JBS è incluso nella posizione finanziaria netta assunta nella valutazione, che è quella attesa al 31 dicembre 2008 (Euro 358 milioni circa). Il patrimonio netto delle minoranze è stato valorizzato secondo il multiplo medio del campione. Le società comparabili selezionate per ciascuno dei sottocampioni rappresentativi delle diverse aree di business del Gruppo sono riportate nella tabella che segue: PRODUZIONE Bonduelle Bonduelle SCA produce cibi in scatola, cibi surgelati e prodotti freschi per la distribuzione in tutta Europa. Quotata a Parigi. Campofrio Campofrio Alimentacion SA produce, trasforma e commercializza carni e prodotti derivati in tutto il mondo. Quotata a Madrid. Fleury Michon Fleury Michon SA produce prodotti alimentari a base di carne e piatti pronti. In via residuale, la società è attiva nei servizi di ristorazione per compagnie aeree. La società opera in Sud e Centro Europa e Nord America. Quotata a Parigi. Smithfield Foods Smithfield Foods, Inc. è attiva nella lavorazione commercializzazione all’ingrosso. Quotata a New York. delle carni per la RISTORAZIONE Autogrill Autogrill S.p.A. offre servizi di ristorazione in concessione su autostrade, in aeroporti, in stazioni ferroviarie. La società opera principalmente in Italia e Nord America. Quotata a Milano. CIS Catering International & Services offre servizi di catering a clienti industriali in aree lontane del mondo. CIS offre altresì servizi accessori (e.g. lavanderia). La società opera principalmente in Russia, Iran, e Kazakhstan. Quotata a Parigi. Compass Group Compass Group PLC offre servizi di contract (per industrie ed enti pubblici) e concession (stazioni, aeroporti, ecc.) catering in oltre 90 paesi nel mondo. Quotata a Londra. Sodexho Alliance Sodexo offre servizi di ristorazione, servizi di facility management, buoni pasto e carte di servizio. La società opera in tutto il mondo. Quotata a Parigi. Lo sviluppo dell’applicazione del Metodo dei Multipli è riportato in allegato all’Allegato J. La descritta applicazione del Metodo dei Multipli di Mercato conduce ad una valorizzazione attribuibile al capitale economico (Equity Value) dell’Emittente pari a 390 milioni di Euro circa. Tale valore, rapportato al numero di azioni dell’Emittente, dedotte le circa 12,8 milioni di azioni proprie, implica un valore per azione dell’Emittente ad Euro 3,02. Il Metodo dei Flussi di Cassa Scontati Il Metodo dei Flussi di Cassa Scontati si basa sul principio che il valore del capitale economico di un’impresa sia pari alla sommatoria dei futuri flussi di cassa attualizzati che questa è in grado di produrre. Per l’applicazione della metodologia del Metodo dei Flussi di Cassa Scontati, secondo prassi, vengono stimati i flussi di cassa generati dalla gestione operativa della società in un orizzonte temporale mediolungo, nonché il valore residuale della società stessa, stimato in base al flusso di cassa normalizzato dell’ultimo anno di riferimento. Tali valori sono attualizzati ad un tasso rappresentativo del costo del capitale della società stessa, calcolato come media ponderata del costo dei mezzi di terzi e del costo dei mezzi propri (“Weighted Average Cost of Capital” o “WACC”). Dal valore attuale di tali grandezze è stato dedotto l’indebitamento finanziario netto. 6 Per il calcolo del “Terminal Value” è stata utilizzata la formula della rendita perpetua, dividendo il flusso di cassa normalizzato dell’ultimo anno per il divisore (WACC-g), dove “g” rappresenta il tasso di crescita di lungo periodo della società. Il Metodo dei Flussi di Cassa Scontati è stato condotto assumendo un WACC del 8,25%, risultante dalla combinazione di un tasso risk-free del 4,5% (in linea con il rendimento lordo del BPT decennale ), un premio al rischio del 4,5% (in linea con quello utilizzato dalla ricerca azionaria di Banca Akros e da European Securities Network), un beta pari a 1,2 (in linea con quello utilizzato dalla ricerca azionaria di Banca Akros e da European Securities Network per le società di piccola e media capitalizzazione) e un rapporto Patrimonio netto/Debito pari a 2 (inteso come rapporto obiettivo di lungo periodo). Il tasso “g” è stato assunto pari al 1% (inteso come tasso di crescita – tipico di un settore maturo - “perpetuo” della Società dal 2012 all’infinito). I flussi di cassa utilizzati sono quelli desumibili dalle stime ed indicazioni, relative al periodo 20082011, fornite dal management della Società. Il patrimonio netto delle minoranze è stato valorizzato secondo il multiplo medio di mercato desunto dall’applicazione del Metodo dei Multipli di Mercato. Lo sviluppo dell’applicazione del Metodo dei Flussi di Cassa Scontati è riportato in allegato all’Allegato K. L’applicazione del Metodo dei Flussi di Cassa Scontati conduce ad un intervallo di valore attribuibile al capitale economico (Equity Value) dell’Emittente compreso tra 350 e 390 milioni di Euro circa. Tale valore, rapportato al numero di azioni dell’Emittente, dedotte le circa 12,8 milioni di azioni proprie, implica un valore per azione dell’Emittente compreso tra Euro 2,7 ed Euro 3,0. L'operazione, strutturata in due fasi, avverrà prevalentemente mediante aumento di capitale di Inalca S.p.A. Cremonini S.p.A. (CRM.MI), uno dei principali operatori europei nel settore della produzione e trasformazione delle carni bovine, e il gruppo brasiliano JBS S.A. (BOVESPA:JBSS3), il più grande produttore di carni bovine al mondo, hanno dato esecuzione al contratto relativo all'alleanza strategica tra le due società. L'accordo, il cui preliminare è stato comunicato lo scorso 6 dicembre, prevede l'ingresso di JBS S.A. con una quota del 50% nell'intero settore della produzione (Inalca S.p.A. e Montana Alimentari S.p.A.) del Gruppo Cremonini. L'operazione, che ha ricevuto l'assenso della Commissione Europea, ha un valore complessivo finale di 218,9 milioni di euro, viene realizzata prevalentemente mediante aumento di capitale di Inalca S.p.A. ed è strutturata in due fasi. La prima fase, contestuale al closing odierno, comprende la sottoscrizione ed il versamento da parte di JBS S.A. dell'aumento di capitale di Inalca S.p.A. per un valore complessivo di 150,0 milioni di euro. Inoltre JBS S.A. acquisisce azioni di Inalca S.p.A. direttamente da Cremonini S.p.A. per un valore di 10,0 milioni di euro, oltre ad un conguaglio previsto di 6,4 milioni di euro. La seconda fase, che verrà completata entro 90 giorni dal closing odierno, prevede la sottoscrizione ed il versamento di un ulteriore aumento di capitale di Inalca S.p.A. per un controvalore di 60,0 milioni di euro, di cui 52,5 milioni di euro versati da JBS S.A. e 7,5 milioni di euro versati da Cremonini S.p.A. Al termine delle operazioni sopra descritte, JBS S.A.. e Cremonini S.p.A. deterranno pariteticamente il 50% di Inalca S.p.A. Confermiamo il rating Buy, Hr. L’analisi comparativa con i multipli di mercato e la correlata valutazione per somma delle parti confermano tale indicazione di valore. L’accordo con JBS SA Il partner JBS Il gruppo brasiliano JBS S.A. è attualmente il più grande produttore ed esportatore di carne al mondo. Con oltre 40.000 dipendenti e una capacità giornaliera di macellazione di 51.800 capi è il più importante esportatore di carni trasformate a livello internazionale. La struttura della società comprende: 23 stabilimenti in Brasile, 6 in Argentina, 8 negli USA e 4 in Australia. JBS è inoltre il terzo produttore americano di carni suine con una capacità di macellazione di 47.900 capi al giorno. I suoi marchi "Friboi", "Swift", "Maturatta", "Cabaña las Lillas", "Friboi Organic Beef", "Anglo", "Mouran" and "Plata", sono riconosciuti a livello internazionale come espressione di qualità. Nei primi 9 mesi del 2007 il gruppo ha realizzato un fatturato consolidato di 7.490 milioni di Real(R$), pari a circa $4.250mn (al cambio attuale); l’Ebitda (da noi ricostruito) si è attestato a R$414mn, con un Ebitda margin del 5,5%. Tale ratio si confronta con una marginalità lorda dei primi 9 mesi del 2006 del 12,4%. L’11/07/07 il gruppo JBS ha, infatti, concluso l’acquisizione di Swift Foods Company (ora JBS USA), il terzo più grande produttore di carni bovine e suine negli Usa e il più grande esportatore di carne in Australia, con un fatturato 2007 di $9,5bn (il fiscal year finisce a fine maggio). La flessione della produttività registrata a fine settembre è derivata dal consolidamento di circa un quarter di Swift Foods Company, che per il 3Q07 presentava - secondo le nostre elaborazioni finalizzate a rendere omogenei i dati di bilancio - un Ebitda margin negativo dello 0,6% a fronte di un Ebitda margin di JBS dell’11,6%. L'alleanza prevede l'ingresso di JBS S.A. al 50% nell'intero settore della produzione del gruppo Cremonini (Inalca S.p.A. e Montana Alimentari S.p.A., società controllate al 100%). In particolare, JBS entrerà al 50% nel capitale di Inalca S.p.A, leader in Europa nel settore della produzione e trasformazione delle carni bovine, per un controvalore complessivo di €225mn. Rammentiamo che il gruppo Cremonini opera in tre segmenti di attività: oltre che nella produzione, è presente nella “distribuzione alimentare” al foodservice con Marr e detiene la leadership in Europa per la “ristorazione” a bordo treno e in Italia per la “ristorazione” nelle stazioni ferroviarie, negli aeroporti e sul network autostradale. 2 Il contributo al fatturato consolidato dei tre settori nel 2006 è stato rispettivamente del 43, 40 e 16%. Si tratta di settori non complementari; pertanto, la contemporanea operatività in questi tre business non produce significative sinergie industriali se non la centralizzazione di alcune funzioni come l’amministrazione, il personale, la direzione finanza. 1° step: Inalca ingloberà Montana per €70mln L'accordo con JBS - finalizzato allo sviluppo internazionale del settore produzione - sarà strutturato come segue: €220mln di Auc • Cremonini trasferirà il 100% di Montana Alimentari ad Inalca, per un corrispettivo di €70mln; • JBS acquisirà il 50% di Inalca per un controvalore complessivo di €225mln, di cui il 46,4% mediante aumento di capitale per €210mln e il 3,6% attraverso l'acquisto diretto di azioni da Cremonini, per un controvalore di €15mln; • Cremonini. sottoscriverà la residua quota di aumento di capitale di Inalca per un valore di €10mln; • l'aumento complessivo del capitale di Inalca sarà pertanto pari a €220mln. A Cremonini e a JBS il 50% ciascuno di Inalca Al termine di tali operazioni, JBS e Cremonini deterranno pariteticamente il 50% di Inalca. €225mln la valorizzazione del 50% del settore produzione Il corrispettivo delle azioni Inalca S.p.A. trasferite sarà soggetto a conguaglio sulla base della Posizione Finanziaria Netta del settore produzione al 31/12/2007, rispetto a quella stimata di €300mln. L'accordo prevede inoltre un premio di aggiustamento ad un prezzo "Earn out" di ulteriori €65mln a favore di Cremonini, al raggiungimento nel triennio 20082010 di un Ebitda medio annuo di €75mln. Perfezionamento dei contratti previsto entro gennaio 2008 Il 21 dicembre scorso sono stati siglati i contratti definitivi, mentre il trasferimento delle azioni, l'aumento di capitale e il perfezionamento degli accordi saranno realizzati entro la fine di questo mese, subordinatamente all'ottenimento delle relative autorizzazioni da parte delle competenti autorità Antitrust. In termini di corporate governance, l'accordo prevede che il Consiglio di Amministrazione di Inalca sia composto pariteticamente da Consiglieri di nomina Cremonini e JBS. Cremonini indicherà l'Amministratore Delegato e manterrà la gestione operativa dell'impresa. JBS indicherà il Presidente. Il management attualmente in carica sarà riconfermato. Cremonini si è inoltre riservata la facoltà di esercitare un'opzione di vendita (Put Option), in base alla quale potrà esercitare il diritto a cedere la propria quota del 50%, nell'arco temporale compreso tra il quarto e il decimo anno a partire dal closing dell'operazione. La Put potrà essere esercitata a condizione che l'EBITDA 3 consolidato di Inalca sia pari ad almeno €60mln e ad un prezzo determinato sulla base di un multiplo dell'EBITDA (variabile da 5 a 10 volte) in funzione dell'effettivo valore dell'EBITDA stesso. Sono inoltre previste call option reciproche, in caso di cambio di controllo dei rispettivi azionisti di maggioranza. Put “difensiva” da “incomprensioni” strategiche Il management ha escluso che la definizione della Put sottenda la volontà del gruppo di uscire definitivamente da questa attività. Il management ha anzi ribadito la volontà di sviluppare ed espandere tale business. L’aver previsto tale opzione trova le sue ragioni nella necessità di tutelarsi dall’eventualità che si manifestassero divergenze strategiche insanabili tra i due gruppi o visioni completamente opposte e conflittuali circa le iniziative da intraprendere per lo sviluppo futuro. Finalità e vantaggi dell’accordo L’obiettivo primario dell’intesa siglata con JBS è la “crescita”. Parola d’ordine: crescere La modalità “aumento di capitale” è infatti finalizzata a dotare la società Inalca dei mezzi finanziari necessari per accelerare la crescita del settore produzione sui mercati nazionali ed internazionali, anche attraverso una politica mirata di acquisizioni. A tale proposito, lo stesso amministratore delegato del gruppo Vincenzo Cremonini ha dichiarato di avere già individuato dei target in Europa e che è possibile che vengano colte delle opportunità già nel 2008, con acquisizioni sia nel settore delle carni che in quello dei salumi. Perfetta complementarietà geografica L'alleanza ha la finalità di creare significative sinergie di prodotto e di canali di vendita tra due operatori - come Cremonini e JBS - leader nei rispettivi mercati. JBS è presente con strutture produttive/distributive in Brasile, Argentina, Australia e negli USA, grazie alla recente acquisizione di Swift Foods Company; Cremonini, attraverso Inalca, è presente in Europa, Russia ed Africa. La complementarietà geografica è dunque perfetta e consente ai due gruppi di consolidare il presidio di mercati ad alte potenzialità di crescita. Rammentiamo che negli ultimi quattro anni il gruppo Cremonini ha realizzato investimenti nel settore produzione (macellazione e lavorazione carni) pari ad oltre €100mln; in particolare, sono stati costruiti nuovi impianti e create nuove piattaforme distributive soprattutto nell’Est Europa, dove il mercato dei prodotti trasformati a base di carne e ad alto valore aggiunto ha elevate potenzialità di espansione; - Cremonini è infatti presente, oltre che in Europa (Italia, Spagna, Principato di Monaco), anche in Russia (con McDonald’s a Mosca e San Pietroburgo) e in Africa, precisamente in Angola, Congo e Algeria. Attualmente sono in fase di completamento: un impianto di produzione hamburger con piattaforma distributiva a Mosca e uno stabilimento di produzione in Polonia. - JBS potrà pianificare meglio l’allocazione dei propri prodotti anche attraverso la rete distributiva di Inalca. Accesso per JBS anche a nuove tipologie di clienti… - L'operazione aggiunge infatti un valore significativo al business di JBS poiché consente, attraverso Inalca, l’accesso a nuove tipologie di clienti, tra cui catene della ristorazione veloce, industrie alimentari multinazionali, grandi catene della Grande Distribuzione Organizzata e del foodservice. …e di prodotti ad alto valore aggiunto - JBS potrà inoltre “sfruttare” le tecnologie di produzione di Inalca (riconosciute come le più avanzate a livello internazionale), le forti competenze del management e il know how di gruppo soprattutto sui prodotti a più alto valore aggiunto commercializzati con il marchio Montana. Qualche dettaglio in più: Inalca produce e commercializza un assortimento completo di carni fresche e surgelate, confezionate sottovuoto, prodotti porzionati in atmosfera protettiva, carni in scatola, elaborati pronti, hamburger freschi e surgelati, macinati e precotti. Montana, invece, si colloca tra i primi produttori in Italia di carni in scatola e di salumi preaffettati e nella produzione, commercializzazione e distribuzione di salumi, snack e gastronomia pronta. Opportunità per JBS di sfruttare i canali distributivi di Cremonini A Cremonini, l'operazione garantisce: Accesso per Cremonini alle più grandi fonti di approvvigionamento al mondo Rafforzamento del presidio dell’intera catena produttiva - l'accesso privilegiato alle principali fonti di approvvigionamento mondiale della carne bovina; JBS opera infatti in aree geografiche che hanno, per caratteristiche naturali ed intrinseche, la più grande produzione di carne bovina al mondo. - Tale elemento rappresenta per Cremonini un nodale rafforzamento del presidio dell'intera filiera produttiva. JBS, proprio per la precipua presenza territoriale, è molto forte nell’allevamento e nella macellazione delle carni, che vengono esportate per circa il 60% della produzione. Cremonini invece, così come tutti gli operatori attivi sui mercati europei, necessita di importare materia prima (carni macellate o semilavorate) poiché l’autoproduzione realizzata negli stabilimenti 5 italiani non è sufficiente a soddisfare la domanda dei mercati internazionali dove il gruppo è presente con l’attività di distribuzione e commercializzazione. Maggiore visibilità sui prezzi della materia prima Miglioramento dell’efficienza - Per Cremonini sarà pertanto possibile sviluppare sinergie in termini di: a) una maggiore affidabilità e sicurezza delle fonti di approvvigionamento; b) una maggiore stabilità e visibilità sui prezzi della materia prima; c) una più semplice pianificazione degli acquisti di materia prima con conseguenti risparmi sui costi di trasporto e sugli oneri logistici di stoccaggio. - L’insieme di tali elementi permetterà una complessiva riduzione del costo del venduto e, conseguentemente, un miglioramento dell’efficienza produttiva e dei margini industriali. Sottolineiamo, infatti, come JBS abbia concluso una trattativa che ascrive a tale settore un Enterprise Value pari a €600mln rispetto ad una valorizzazione, fino ad oggi sostanzialmente condivisa dagli operatori finanziari, pari a circa il 60% di tale cifra. Approfondiremo tale “item” nel paragrafo “valutazione”, anche se risulta evidente come, in questo caso, un operatore industriale abbia colto delle potenzialità strategiche e di sviluppo del settore assolutamente non “sospettate” dal mercato finanziario. Primi 9 mesi 2007 Nei primi 9 mesi del 2007 i ricavi consolidati, pari a €1.869mln, hanno registrato un incremento del 5,3%, con un Ebitda che è cresciuto del 9,8% a €115,6mln. L’Ebitda margin ha dunque mostrato un buon progresso, passando dal 5,9% dello stesso periodo 2006 al 6,2%. Sintetizziamo nella tabella seguente l’andamento dei singoli comparti di attività. L’Ebitda margin è infatti leggermente cresciuto dal 4,3% al 4,5%. Il comparto carni ha consuntivato ricavi in linea con i primi 9 mesi 2006 nonostante il periodo sia stato caratterizzato dal calo dei consumi di carne bovina conseguente al recupero della domanda di carne avicola, che nel 2006 scontava gli effetti dell’influenza aviaria. I margini reddituali sono stati beneficiati dalla stabilizzazione dei costi di acquisto della materia prima (bovini vivi), fenomeno di cui si attendeva il verificarsi dopo un biennio in cui l’aviaria aveva spinto i consumi di carne bovina e il cosiddetto “disaccoppiamento” aveva disincentivato la produzione di bestiame. Si trattava, in particolare, dell’adozione di una normativa comunitaria che aveva introdotto nuovi parametri per i premi comunitari agli allevatori, correlati non più al numero di capi prodotti ma alla dimensione degli allevamenti. La domanda sostenuta, contrapposta alla disponibilità limitata di materia prima, aveva quindi generato notevoli tensioni sui prezzi di approvvigionamento del bestiame vivo, che non era stato però possibile ribaltare sui prezzi di vendita al network distributivo. 7 Nel comparto “salumi e snack” (marchio Montana), pur in presenza di una domanda ancora stagnante, le vendite sono cresciute del 20% grazie all’ampliamento di canali di vendita e gamma di prodotti nella “divisione snack” e grazie alla crescita di prodotti ad alto contenuto di servizi nella “divisione salumi” (affettati e porzionati). Marr: buon miglioramento dei margini Ristorazione: margini in calo per Moto e ristrutturazioni locations Forte spinta allo sviluppo di Roadhouse Grill… … che ha margini doppi rispetto alla ristorazione di gruppo Ebitda margin più vicino a quello dei competitors: volano per una maggiore valorizzazione dell’attività Nei primi 9 mesi del 2007 il settore distribuzione (Marr) ha evidenziato una crescita dei ricavi dell’8,4%, a €822mln, e un incremento dell’Ebitda margin dal 6,9% del 2006 al 7,2%. Tale progresso ha interessato tutti i segmenti di clientela. In particolare, i risultati del 3Q07, che hanno visto una crescita delle revenues del 10,4%, sono decisamente positivi alla luce del fattore stagionalità, in base al quale il 3Q incide storicamente per il 30% del fatturato annuo e per il 40% dell’Ebitda. La bontà dei risultati raggiunti induce a ritenere che la crescita di fatturato e redditività possa essere confermata per l’intero esercizio. La ristorazione nei primi 9 mesi del 2007 ha conseguito un aumento delle revenues di oltre il 12%, a fronte di una flessione della profittabilità lorda passata al 7,1% dal 7,6% del 2006. Evidenziamo che, per effetto del consolidamento integrale di Moto1 conseguente all’acquisizione dell’ulteriore 50% del capitale, i dati del 3Q06 includevano il fatturato “aggiuntivo” dei primi nove mesi della società, precedentemente consolidata con il metodo proporzionale. La redditività lorda inferiore di Moto (3% circa) rispetto alla media delle altre attività del comparto “ristorazione” è la ragione primaria della flessione dell’Ebitda margin registrata a fine settembre. A tale elemento si è poi aggiunta la parziale chiusura per ristrutturazione di sei importanti aree di servizio autostradali. In tema di redditività, riteniamo estremamente importante sottolineare come il management stia puntando in modo deciso sull’espansione della catena Roadhouse Grill (11 ad oggi il numero delle locations in Italia), che ha realizzato risultati molto soddisfacenti avendo già raggiunto margini doppi rispetto alla media della ristorazione di gruppo (intorno al 13%). Ricordiamo che proprio nel 3Q07 Cremonini ha acquisito dalla società americana Roadhouse Grill Inc., la proprietà e tutti i diritti connessi del marchio Roadhouse Grill per 50 paesi europei, per un controvalore di $1,12mln. Un’operazione che permetterà l’ampliamento della catena su tutto il territorio europeo. La strategia di accelerare lo sviluppo di quelle attività che nella ristorazione si distinguono per una maggiore profittabilità rispetto alla media della divisione con conseguente progressivo recupero ed avvicinamento della redditività a quella dei competitors - potrebbe costituire il volano che consentirà di allineare la valorizzazione di quest’area di business ai multipli che caratterizzano operatori come Autogrill. 1 8 JV con Compass, oggi Chef Express. Stime 2008 ed esercizi successivi Nella tabella successiva sono indicate le stime sui tassi di crescita e l’evoluzione dell’Ebitda margin nei diversi comparti di attività, per il prossimo quinquennio. Per i settori distribuzione e ristorazione, i trend di crescita rimangono sostenuti: Trend confermati sia per Marr…. ….che per la ristorazione. - per Marr abbiamo ipotizzato: una crescita media annua complessiva del 6,6% circa, che comprende ulteriori nuove piccole acquisizioni, e un Ebitda margin che dal 6,7% stimato per l’intero 2007 dovrebbe poi mantenersi sostanzialmente stabile ad un livello del 7% circa. - Per la divisione “ristorazione” abbiamo stimato un CAGR 20072012 del 5,6%, con un Ebitda margin che a fine periodo dovrebbe essere progressivamente aumentato sul 2007 di quasi un punto percentuale, all’8%. Dopo la flessione attesa per la fine del corrente esercizio, dovuta principalmente al consolidamento integrale di Moto, il graduale successivo incremento della redditività lorda dovrebbe essere supportato da un attento sviluppo delle attività maggiormente profittevoli (es. Roadhouse Grill). Per quanto riguarda il settore produzione, evidenziamo che, in seguito all’accordo con JBS, dal 2008 verrà deconsolidato il 50% del business. Produzione: maggiori margini grazie all’accordo con JBS Plusvalenza di circa €38mln nel 2008 Net Debt dimezzato rispetto alle stime precedenti In termini di fatturato, per il prossimo quinquennio, abbiamo prudenzialmente mantenuto un tasso medio annuo di crescita organica pari al 3%, in linea a quanto includevamo implicitamente nel precedente piano previsionale. Abbiamo invece previsto l’esplicitarsi, a livello di redditività lorda, delle sinergie derivanti dall’alleanza con JBS. Per tale ragione abbiamo incrementato il nostro precedente obiettivo di Ebitda margin al 2012 dal 5 al 6,3%. Rammentiamo infatti che i vantaggi dell’accordo con JBS si produrranno soprattutto a livello di riduzione dei costi di produzione. L’altro elemento positivo che impatterà positivamente sul bilancio 2008 è la contabilizzazione della plusvalenza di circa €38mln, realizzata grazie all’elevato prezzo offerto dal partner brasiliano. Il maggiore Net Profit che ne deriverà – secondo le dichiarazioni del management – non dovrebbe essere distribuito agli azionisti attraverso un dividendo straordinario, ma dovrebbe essere reinvestito nel business anche tramite crescita per linee esterne. Tuttavia, dal momento che non sono state fornite indicazioni più precise e sulla base del comportamento che storicamente è stato assunto dai vertici della società in situazioni similari, ipotizziamo il mantenimento di un pay-out del 50% anche per l’esercizio in corso. Conseguentemente, immaginiamo un forte incremento del dividendo 2008 (per competenza) a €0,19 p.s. dai €0,04 stimati per il 2007 – probabilmente in modo troppo conservativo - in funzione di un medesimo pay-out del 50%. Confermiamo pertanto il giudizio Buy, Hr. Riteniamo prematuro abbassare il livello di rischio che associavamo al gruppo Cremonini da “High Risk” a “Medium Risk”. Crediamo, infatti, che il processo di integrazione tra i due gruppi manageriali, in relazione alle linee guida per la nuova gestione di Inalca, comporti inevitabilmente dei rischi. La presenza della Put conforta la nostra opinione. Tale opzione ha infatti una connotazione prettamente “difensiva”, che si esplicherebbe nel caso in cui si manifestassero incompatibilità profonde e non appianabili nelle direttrici strategiche che i due azionisti volessero intraprendere. 11 Confronto valutativo con i multipli di mercato Ai fini di un confronto valutativo, abbiamo proceduto all’analisi dei multipli dei comparables nei diversi comparti di attività e siamo giunti, quindi, ad una valutazione del gruppo per “Somma delle Parti”. Dalle tabelle sottostanti si evince il range di valori che viene attribuito ad ogni divisione. Marr Per quanto riguarda Marr abbiamo valorizzato la partecipazione al 57,389% di Cremonini al prezzo di mercato. Consideriamo congrua tale valutazione, che risulta sostanzialmente allineata al valore che viene individuato attraverso l’applicazione dei multipli di mercato. Abbiamo comunque verificato che il valore individuato risulta maggiormente conservativo rispetto a quello che deriverebbe dall’applicazione dei soli multipli di Campofrio, il gruppo spagnolo che presenta la tipologia di attività e la redditività più simile a quella della divisione “produzione” di Cremonini. Un elemento di determinante importanza, inoltre, è costituito dal fatto che il valore ascritto alle attività acquisite da JBS è stato effettivamente “pagato” tramite la sottoscrizione di un aumento di capitale. Non si è trattato di uno scambio azionario, che implica comunque valutazioni essenzialmente teoriche, ma di un’iniezione di risorse fresche destinate ad un piano di crescita industriale. €0,9 p.s.: valutazione aggiuntiva sul target Cremonini Con un EV di €600mln, il partner brasiliano ha infatti attribuito al settore produzione una valutazione nettamente più elevata rispetto a quella che, fino ad oggi, veniva assegnata dal mercato finanziario ad un settore molto indebitato e con una marginalità lorda contenuta. La differenza tra queste due diverse indicazioni di valore si attesta, in termini di Equity Value, ad un ammontare medio nel biennio 2008-2009 di circa €120- 13 125mln, pari ad un valore medio per share di €0,9 che impatta direttamente sul target di Cremonini. In ottica prudenziale, abbiamo escluso l’ulteriore potenziale premio di aggiustamento di €65mln per Cremonini, al raggiungimento nel triennio 20082010 di un Ebitda medio annuo di €75mln. Abbiamo infine applicato all’Equity Value di gruppo uno sconto del 13-14%, ovvero, uno “sconto holding” che deriva dal rischio “switch” per Cremonini nei confronti della controllata Marr sui cui gli investitori possono entrare direttamente attraverso il mercato azionario. L’entità di tale sconto è stata calcolata utilizzando uno sconto “holding” generico del 20-30%, pesato per il contributo di Marr all’Equity Value complessivo. We valued Cremonini using our own Sum of the Parts model (SoP), that points to a target price of EUR 3.0 or an implied market cap of around EUR 426m, that included: 1.a valuation at market value of Marr (Cremonini owns 57.38% of Marr); 2.a valuation of the residual 50% of Inalca S.p.A. owned by Cremonini (after completion of strategic alliance with JBS) at an exit multiple of 7.5x EV/EBITDA (we remind that Cremonini will have a put option according to which it will be able to sell its 50% stake in Inalca S.p.A. to JBS at any time during the fourth and tenth year from the closing of the transaction; the put option may be exercised provided that Inalca S.p.A’s consolidated EBITDA is at least equal to EUR 60m and the price will be a multiple between 5 and 10 times the consolidated EBITDA of Inalca S.p.A.); 3.the valuation of n. 12.9m of Cremonini treasury shares at market value (including tax rate on capital gain). It is now too early to factor in the amount of potential synergies (in particular costs synergies). In the following pages we will describe JBS deal details, explaining the deal rationale and potential effects. JBS SA in a nutshell JBS S.A. is the world’s largest beef producer and third largest pork producer in the United States (after the conclusion of Swift Foods Company on July 11, 2007). JBS corporate structure as at November 6,2007 Source: Company data The Pro-Forma consolidated turnover of JBS S.A. (considering JBS S.A. and Swift Foods Company) should be of around USD 11.5bn. JBS operations include 23 plants located in 9 Brazilian states and 5 plants located in 3 Argentine provinces. These plants are strategically located in regions with the largest concentration of cattle in Brazil and Argentina (both among the world's leading beef producing and exporting countries), which provides operating flexibility, low transportation costs (including to bring the cattle to its plants and to transport the products to its clients), and mitigates against the potential impact of regional sanitary issues. The Company also has facilities for distribution and logistics support, which contribute towards maintaining an efficient cost structure, consisting of: 1.four distribution centers (3 in the state of São Paulo and 1 in the state of Minas Gerais); 2.one container terminal located near the port of Santos, in the state of São Paulo; and 3.subsidiaries in Chile, Egypt, England, Russia and United States, which distribute and market JBS' products in those countries. JBS' products are sold to over 6,000 clients in Brazil, including retailers, restaurants and tanneries, and exported to more than 500 clients located in 110 countries. S.A (“JBS”). and Cremonini S.p.A (“Cremonini”) entered into a binding preliminary contract for the formation of a strategic alliance: the alliance will encompass the whole beef production and beef by-products division of Cremonini (Inalca S.p.A. and Montana Alimentari S.p.A. 100% controlled) in which JBS will own a 50% stake. The signing of the definitive agreements was scheduled for December 21,2007, while the transfer of the shares, the capital increase and the finalising of the agreements will occur in January 2008, subject to final contract and to the obtainment of the authorisations from the relevant antitrust authorities. Cremonini will have a put option according to which it will be able to sell its 50% stake in Inalca S.p.A. to JBS at any time during the fourth and tenth year from the closing of the transaction.The Put Option may be exercised provided that Inalca S.p.A’s consolidated EBITDA is at least equal to EUR 60m: the price will be a multiple (between 5 and 10 times) the consolidated EBITDA of Inalca S.p.A. Reciprocal call provisions are also provided for, in the event of change in control of the respective majority shareholders. In terms of corporate governance, the agreement provides for the appointment of an equal number of directors by each party to the Board of Directors of Inalca S.p.A.. Cremonini will appoint the Chief Executive Officer, and will maintain the operational management of the company. JBS will appoint the Chairman. The current management will be confirmed. Strategic rationale of the deal The deal has a sound strategic rationale in our opinion, and will create significant synergies (in terms of products, channels and costs) between JBS and Cremonini, both leaders in their respective markets: JBS is present with production plants and distribution channels in South American, United States and Australian markets; while Cremonini, through Inalca S.p.A. is present in Europe, Russia and Africa. The bottom of the EBITDA margin was reached in 2005 when the beef market was influenced by two external factors that affected the results: 1.consumption increased due to the crisis in the aviculture sector; 2. the stock of beef decreased by effect of the adoption, by the Italian Government, of the community regulation regarding the “decoupling” of production awards from the livestock sector. The group recently announced an agreement with JBS, the world-largest meat producer. JBS will acquire 50% of Cremonini’s production division (including both Inalca and Montana) for a total amount of EUR 225M, of which EUR 210M to be paid for a capital increase in Inalca and EUR 15M for the acquisition of shares directly from Cremonini. The deal would imply several steps at the end of which the production division should halve its debt and Cremonini parent company should receive EUR 75M in cash. Cremonini should also post an approx. EUR 40M capital gain. • Unveiled value. The deal valued the production division based on an EV of EUR 600M, significantly higher than the valuation that was implicit in Cremonini’s market prices. JBS, as an industrial partner, is able to appreciate the strong distribution capabilities and the state-of-the-art production plant of Inalca. In addition, the alliance could generate significant synergies and costs savings, improving Inalca’s profitability. Lastly, Inalca should have the financial muscle to start an external growth policy. We believe that the production sector, which we have always considered as the most problematic of the group, due to its high debt, low growth and poor profitability, is now poised to be one of the fastest growing. • Estimates and valuation. We revised our estimates, incorporating the effects of the deal. We adopted a very cautious stance for the production division, assuming no additional sales growth from synergies and incorporating an EBITDA margin improvement of approx. 110bps by 2009E vs. a company target of approx. 200bps. At the current market price, the implied value of Inalca corresponds to the minimum value granted by the put option in the hands of Cremonini. Our base-case sum-of-the-part model points to a valuation of EUR 2.9/share; therefore, we rate the stock as an ADD. • Key risks. The main risks are: 1) the execution risk related to the external growth policy to be started by Inalca, as possible targets could result dilutive on margins; and 2) the synergies and costs savings from the alliance with JBS could result lower than expected. JBS, based in Brazil, is the world-largest meat producer, with 41 production plants in South America, US and Australia. The group should reach revenue of approx. USD 11.5Bn in 2007. The deal Meat production stake sold to JBS The sale of the stake in Inalca to JBS sale should be finalised in January 2008 and should be completed in several steps: • Cremonini will sell 100% of Montana Alimentari to Inalca for EUR 70M, which will have grouped all the activities of the production division, including salami and snacks; • JBS acquires 50% of Inalca for a total of EUR 225M, of which 46.4% via a EUR 210M capital increase in Inalca and 3.6% buying shares directly from Cremonini at a price of EUR 15M; • Cremonini will subscribe its pro-quota share of Inalca’s capital increase for a value of EUR 10M. At the end of the deal, Cremonini and JBS will have 50% each of Inalca. Inalca net debt should reduce by EUR 150M, as a balance from the EUR 220M capital increase the EUR 70M outlay for the acquisition of Montana. The net debt of the Cremonini holding should decline by EUR 75M (EUR 70M from the sale of Montana to Inalca, EUR +15M from the sale of 3.6% of Inalca to JBS, EUR -10M of capital increase in Inalca). The acquisition price corresponds to an EV valuation of Inalca of EUR 600M. In addition, the deal includes an earn-out clause of EUR 65M, which JBS would pay should Inalca reach an average annual EBITDA of EUR 75M in the 2008-10 period. Lastly, Cremonini will have a put option on its 50% stake of Inalca to be exercised from 4 to 10 years, after the closing of the deal (ie, from 2012 to 2018): the exercise price will be determined on the basis of an EBITDA multiple (from 5x to 10x), based on the EBITDA of Inalca (ie, the higher the EBITDA, the higher the multiple to be applied). The strategic rationale Internal and external growth During a recent presentation, Cremonini’s management outlined that the main rationale for this alliance is growth, both organic and via acquisitions. Thanks to the capital increase, Inalca should basically halve its debt, thus obtaining the financial strength for new investments and acquisitions. According to our estimates, Inalca should have approx. EUR 160M of debt after the capital increase, corresponding to a D/E ratio of approx. 35% and a debt/EBITDA ratio of around 3x. Management indicated external growth as a priority. Acquisitions could be either in the meat or in the salami segment, in Italy and/or abroad. The process could start already in 2008, as the group already identified some possible targets. In addition, the alliance with JBS should bring significant synergies and cost savings. JBS is fully integrated, being active also in farming, but is not currently directly present in Europe or Africa. Therefore, the Brazilian group could exploit the strong distribution capabilities of Inalca in Italy, Africa and Russia. In particular, we recall that Inalca is supplier for some important players in the foodservice, Equity Research Intesa Sanpaolo 3 Cremonini SpA 14 December 2007 catering and retail segments (ie, McDonald’s among others). In turn, Inalca could count on an important supplier for raw material. This integration should improve Inalca’s efficiency, thanks to a long-term planning of supplies. This could imply, for example, a higher efficiency in inventories and a lower recourse to the spot market for raw material supplies, thus reducing the risk of price fluctuations. Unveiled value Considered a positive deal strategically and economically We believe the deal to be very positive for Cremonini from an economic and a strategic viewpoint. First, the deal allows Cremonini to post an approx. EUR 40M capital gain and to basically halve its consolidated financial debt. This should give the group the flexibility to sustain growth also in other business and in particular in the catering division. The parent company should reduce the debt to EUR 75M, which can be easily sustained thanks to the dividends from MARR (EUR 13.6M in 2007). In addition, it can count on approx 9% of treasury stocks. Cremonini can, therefore, support the expansion plan of the catering division. Secondly, we highlight that the deal unveiled a consistent hidden value in the production division. Prior to this deal, we believe the market was attributing to this division a very low equity value (approx. EUR 20-30M) and an enterprise value of EUR 340-350M. JBS attributed to Inalca an EV of approx. EUR 600M. This large difference is probably because JBS, as an industrial partner rather than a financial investor, is able to appreciate the growth potential and some intangible assets, such as the technological level of Inalca’s plants, the distribution capacity, and the potential synergies. Lastly, we highlight that before the deal, the production division was, in our opinion, the most problematic area for the Cremonini businesses, due to poor organic growth, low margins and high debt, which capped any possible external growth. Thanks to the capital increase and the partnership with JBS, all these problems could be solved, thus turning this division into a potentially high growth segment. 4 Equity Research Intesa Sanpaolo 14 December 2007 Cremonini SpA Estimates revision Estimates revised to incorporate the deal We revised our estimates on Cremonini, incorporating the effects of the deal and in particular: • The partial de-consolidation of the production division from the perimeter from 2008E, as Inalca will be consolidated on a pro-quota basis (50%); • The capital gain of approx. EUR 40M in 2008E. In addition, we fine-tuned our projections for both the catering and production divisions. For the latter, we did not incorporate any benefits on the top-line from the alliance with JBS, but we factored in some margin improvement from synergies. However, we adopted a cautious stance, assuming an improvement of the EBITDA margin of 110bps by 2009E, while management indicated that possible costs savings could lead to a profitability improvement of up to 200bps. As for the catering division, our major changes regard our capex projections and mainly refer to the new openings of Roadhouse Grill restaurants. We increased the number of new openings from the previous 3 per annum to the current 6 per annum in both 2008E and 2009E, in line with management indications. In addition, management changed its strategy and decided to buy the locations for the new restaurants rather than renting them. This implies larger capex for new openings. We now assume capex for the division to reach approx. EUR 30-35M yearly. The following tables summarise our estimates by division. We used different criteria in order to evaluate the different business units, as detailed below. In addition, our sum-of-the-parts valuation includes the treasury stocks (approx. 9.3% of capital) valued at the current market price. We applied a 15% holding discount to the NAV. MARR MARR valued at market price We valued the stake in MARR at market price. We consider this approach quite conservative; as we believe the MARR stock to offer some upside over the current prices. Lastly, our worst-case scenario assumes the alliance with JBS to bear no fruit at all: we, therefore, assume the EBITDA margin of the division to remain flat at 5% over the next two years (ie, EBITDA in 2009E would result at EUR 57M). We valued the stake in Inalca by using an EV/EBITDA multiple of 5x, ie the minimum granted by the put option in the hands of Cremonini. We, therefore, obtained a value of the stake in Inalca of EUR 68M. The table below summarises the sum of the parts under the three possible cases. At the current price, the market is incorporating the worst case, ie that the recent deal will not produce any beneficial effects on the production division nor in terms of growth nor in terms of profitability improvement and the stake be sold at the minimum of the granted range. We believe this scenario to be excessively pessimistic and we consider it as a minimum floor. We base our valuation on our base-case scenario, which in any case we believe would imply fairly conservative assumptions. We set a target price at EUR 2.9/share and we rate the stock as ADD. The term of the deal foresees: 1) the transfer of the cured meat added value business Montana from Cremonini Spa, the group holding, to Inalca Spa, the beef production unit, for a consideration of Eur 70m. The operation will increase the net debt of the meat production from about Eur 300m to about Eur 370m and decrease of a correspondent amount that of the holding from about Eur 140m to about Eur 70m; 2) JBS will acquire 50% of Inalca for a consideration of Eur 225m of which 46.4% trough a capital increase of Eur 210m and the residual 3.6% by a direct purchase of Cremonini’s shares for a consideration of Eur 15m, 3) Cremonini Spa, will subscribe the residual capital increase of Eur 10m taking the total capital increase at Inalca level to Eur 220m; 4) on top of the above, the agreement foresees a earn-out of Eur 65m in 2011e if Inalca will reach an average EBITDA of Eur 75m over 2008e-2010e. EBIDA growth should also reflect the acquisitions potential that the company might implement thanks to the strengthening of the balance sheet. The deal should be closed by January 2008e. Finally, and this is important in our view, Cremonini will have a put call between 2011e and 2018e, to sell the residual 50% of Inalca at 5x to 10x EBITDA, accordingly to the level of the EBITDA itself. Assuming an EBITDA of around Eur90m in 2011e or an EBITDA margin of around 8% (today 5%), we value the NPV (WACC 8.5%) of the residual 50% between Eur 178m (5x EBITDA, no earn out) and Eur 407m (10x EBITDA plus earn-out). The rationale of the deal seems very sound: a) the two companies do not overlap geographically with JBS present in Latin America, USA and Australia and Cremonini present in Europe, Africa and Russia; b) JBS will access Cremonini’s clients and production technologies while Cremonini will access JBS sources of meat supplies. Main valuation implication: rating BUY from HOLD and PT of Eur 3.1 from Eur 2.3. The deal strongly enhance the value of the meat production business that we were valuing at EV level at around Eur 350m or 0.3x book. The reason for such a low valuation laid in the very low profitability (about 2% EBIT margin) which coupled with important capex were pointing to a value destroying activity. At the same time the deal will allow Cremonini to consolidate the meat production at 50% in 2008e enhancing traditional multiples. For the group we now value on our 2008e SOP, 50% of the meat at Eur 267m or the NPV of the 2011e EBITDA at 7.5x with no earn out as visibility on the latter is still modest, the catering at about 6x or 15% discount to Autogrill and Marr at market. Net debt is now around Eur 205m or the previous Eur 500 adjusted for the capital increase in Inalca of Eur 220 and Eur 80m of debt deconsolidation. With a still conservative holding discount of 20%, we derive a Price Target of Eur 3.1 or a 20% upside (see SOP next page). Rating from HOLD to BUY. The best case scenario, would assume the disposal of the beef at 10x EBITDA, with earn out and holding discount at 15% or Eur 4.2 of fair value. NOT FOR DISTRIBUTION IN THE UNITED STATES OF AMERIC A, CAN ADA, JAPAN OR AUSTRALIA Cremoni: company profile Activities: Cremonini is a holding involved in three activities: meat production (46% sales, Inalca and Montana), distribution to foodservice (40% sales, MARR) and commercial catering on highways, trains and railway stations (14%, Moto and Express Chef). 87% of the meat production is beef slaughtering. On this, Inalca is domestic leader and one of the largest European producer with over 35% of its revenues exported in Europe, Eastern Europe and Western Africa. In particular, Inalca is market leader in Italy with about 25% market share and European leader in tinned meat with over 200m tins sold yearly. Cured meat accounts for 13% of the production business and is carried out trough Montana Alimentari, the second player in its sector in Italy with 16% market share. MARR is the Italian leader in the foodservice market with a 28% market share in the specialized distributors to the foodservice sector segment and is over five time larger than the first follower. MARR’s product range is made of 18,000 items of which 10,000 food and 8,000 non food while its client base is of 30,000 units. About 62% of sales are made with street market clients (restaurants, hotels etc), 23% with wholesale clients and 15% with national accounts. The largest product category is seafood accounting for roughly 39% of sales, followed by grocery with 35% and meat with 23%. Private labels are important representing about 25% of sales while other products account for 75%. Marr distribution network is based on 22 distribution centers, four cash & carry, four agents with warehouses and over 500 third party vehicles driven by independent drivers. MARR was listed on the Star segment of the Italian stock exchange on June 21 st at a price of EUR 6.65. The catering business is based on concessions and is mainly focused on Italian railway stations (leader in Italy with almost 36% market share), on-board trains (second European player after Wagon Lits and sole concessionary for the Italian railways, 25% market share) and more recently on highways through Moto S.p.A (100% owned since July ’06). Moto is the second largest Italian motorway catering operator with a market share of more than 6%. Before that, CRM will sell its 100% stake in Montana (the delicatessen business) to Inalca for € 70 mn. The implied EV is € 600 mn (vs. € 350m included in our SoP valuation), corresponding to EV/Ebitda 2008 of around 9.5x after minorities (vs. our valuation close to 7x). This valuation is based on a target Ebitda of € 75 mn average per year in the 2008-10 period, i.e. 20% above our expectations, thanks to distribution synergies among the two groups (Inalca operates in Italy, Russia and Africa, whilst JBS in South America, US and Australia). Based on the deal as such, and confirming our € 350 mn EV for the production business, we calculate a value creation of € 125 mn for CRM (on mkt cap of € 340m as of yesterday). This alone would justify a valuation of around € 3. We are thus upgrading the stock from HOLD to BUY with tgt price of € 3 (from prev. € 2.15) However, even further value creation is foreseeable since: The production business of Cremonini could deserve now a more generous valuation vs. the past thanks to the potential synergies and the less stretched financial structure (Debt/Ebitda of 1.4x post deal vs. prev. 5.2x). An Earn Out clause for € 65 mn is envisaged in favour of Cremonini, should the Ebitda target of € 75 mn average in the 2008-10 period be achieved A put option has been granted to Cremonini starting from 2011 on the remaining 50%, providing that Inalca Ebitda is at least of € 60 m (vs. our € 58mn exp. in 2008), at a multiple between 5x and 10x EV/Ebitda. This would potentially allow Cremonini to sell its remaining 50% for at least € 300 mn in the worst case (EV of 5x the minimum Ebitda of € 60 mn). In an optimistic scenario, with Inalca achieving the target Ebitda (thus getting the Earn Out of € 65 mn) and selling in 2011 the remaining 50% at a multiple of 7.5x (which is not the blue sky scenario of the highest 10x multiple), we would achieve further € 115 mn value creation and CRM SoP valuation would go up to around € 3.7 ps.
