Venerdì 23 dicembre 2016 Per maggiori informazioni: [email protected] Principi contabili al nastro di partenza New release of Italian GAAP di Alessandro Catona, Marco Meulepas, Paolo Micanti e Fabio Pirolozzi L’Organismo Italiano di Contabilità (OIC) ha pubblicato nella giornata di ieri la versione definitiva dei principi contabili rivisti alla luce delle novità introdotte dal D.Lgs. 139/2015 (c.d. “riforma contabile”), la cui applicazione è prevista per i bilanci degli esercizi aventi inizio a partire dal 1° gennaio 2016 (bilanci 2016 per i soggetti con esercizio sociale coincidente con l’anno solare). Tra le novità più rilevanti introdotte dalla riforma contabile troviamo la rilevazione in bilancio degli strumenti finanziari, disciplinata dal nuovo principio OIC 32, l’iscrizione dei crediti e debiti al costo ammortizzato trattata nei principi OIC 15 e 19. Il D.Lgs. 139/2015 ha poi rivisitato gli schemi di Stato Patrimoniale, dove sono state eliminate le voci relative a costi di ricerca e pubblicità, e del Conto Economico, dove è stata eliminata l’area straordinaria. I principi OIC 24 e OIC 12 trattano di tali modifiche. Per la transizione ai nuovi principi contabili è rilevante il nuovo OIC 29, il quale prevede che le disposizioni transitorie vanno innanzitutto ricercate nei singoli principi. In assenza, si applica la regola generale secondo la quale l’effetto del cambiamento di principi contabili deve essere determinato retroattivamente e contabilizzato con impatto sul patrimonio netto (riserve di utili). Nella versione precedente alla riforma contabile, l’effetto del cambiamento di principi contabili impattava il Conto Economico dell’esercizio. Manca all’appello la revisione del principio contabile OIC 11 che dovrà disciplinare, tra le altre, la declinazione pratica dei principi generali della rilevanza e della prevalenza della sostanza sulla forma introdotti nel Codice Civile dal D.Lgs. 139/2015. In generale, come è possibile cogliere anche dalla lettura dei nuovi principi contabili, la riforma contabile ha comportato un avvicinamento dei principi contabili nazionali al mondo dei principi internazionali (IAS/IFRS). Si attendono ora le opportune norme di raccordo con la legislazione fiscale, che come noto fa riferimento ai dati di bilancio per la determinazione della base imponibile IRES ed IRAP. Una prima versione della normativa di coordinamento era stata proposta in Commissione Bilancio durante l’iter di approvazione della Legge di Stabilità (Legge 11 dicembre 2016 n. 262) e ci si attende possa essere riproposta nei primi mesi del 2017. Nelle more dell’emanazione delle norme di coordinamento, considerando l’avvicinarsi della chiusura dell’esercizio 2016, potrebbe essere utile valutare le implicazioni fiscali correlate alla suddetta riforma contabile. OIC the Italian GAAP settler issued the new set of Italian GAAP following the changes introduced by Legislative Decree 139/2015 (se called “accounting reform”). These new GAAP apply to the Italian Statutory Financial Statements of the accounting periods started from January 1st, 2016 (FY 2016). More significantly, the accounting reform introduced the accrual and the valuation in the SFS of the financial derivatives treated in the new standard OIC 32. Credits and debits are accrued based on the amortized cost principle (OIC 15 and 19). The accounting reform revised Asset and Liabilities scheme, eliminating capitalization of costs from activities of research and promotion, and Profit& Loss schemes, eliminating the extraordinary items. New accounting standards OIC 24 and OIC 12 are about these news. OIC 29 that prescribes to check in every accounting standard the specific rules provides transition criteria to the new accounting standards. In absence, the general rule to be applied is that the impact the new accounting standards should affect the net equity reserves. In the previous version of OIC 29 the impact was on P&L. It has not been revised the accounting principle OIC 11 that should provide guidelines, among others, about the practical application of the general principles of the substance over the form and of the materiality introduced in the Italian Civil Code by the Legislative Decree n. 139/2015. In general, as it arise from the new accounting standards, the accounting reform implies that Italian GAAP move closer to IAS/IFRS. It is expected the issuance of measures for the coordination with the tax law. Indeed, the tax law refers to the figures resulting from SFS for the calculation of Corporate Income Tax basis (IRES and IRAP). A first draft of the coordination law was addressed to the parliament commission that examined 2017 Budget Law (Law 11 December 2016 n. 262) and it is expected to be adopted early in 2017. In the meanwhile it is worth to start considering the tax impact of the accounting reform being close the end of the financial year 2016.
