Giugno 2013 June 2013 CONCORDATO PREVENTIVO MODIFICHE ALLA DISCIPLINA NEL C.D. "DECRETO DEL FARE" - D.L. N. 69 DEL 21 GIUGNO 2013. COMPOSITION AGREEMENT AMENDMENTS PROVIDED IN THE SO-CALLED "DECRETO DEL FARE" - DECREE LAW NO. 69, JUNE 21, 2013 Il Decreto Legge n. 69 del 21 giugno 2013, c.d. “Decreto del Fare” (il “Decreto”), pubblicato nella Gazzetta Ufficiale n. 144 del 21 giugno 2013, ha apportato alcune significative modifiche alla disciplina del concordato preventivo c.d. in “bianco” previsto dall’articolo 161, comma 6 del R.d. n. 267 del 16 marzo 1942 come modificato (la “L. Fall”). The regime of the composition agreement based upon an early petition (so-called “concordato in bianco”) pursuant to Article 161, paragraph 6, of the the Royal Decree no. 267 of March 16, 1942 as amended (the "IBL") has been materially amended by virtue of the Decree Law no. 69, June 21, 2013, socalled “Decreto del Fare” (the “Decree”), published on the Official Gazette no. 144 of June 21, 2013. Il Decreto dovrà essere convertito in legge entro 60 giorni dalla data di pubblicazione in G.U. e, pertanto, entro il 19 agosto 2013. The Decree shall be converted into law within 60 days from its publication in the Official Gazette, i.e., within August 19, 2013. Anche alla luce dei primi commenti è probabile che il testo sarà soggetto a modifiche in sede di conversione. Occorrerà, pertanto, monitorare l’iter di conversione del Decreto prestando particolare attenzione agli effetti delle nuove previsioni sui procedimenti pendenti. It is likely, also in light of the first reactions to the Decree, that such provisions will be subject to amendments during the conversion process of the Decree into law. Such conversion process should therefore be carefully monitored, especially as far as the effects of the new provisions on the pending proceedings are concerned. Le novità introdotte dal Decreto possono essere sintetizzate come segue: (i) Documentazione aggiuntiva da presentare con la domanda in bianco. La nuova disciplina prevede che al momento del deposito del ricorso venga allegato, oltre ai bilanci relativi agli ultimi tre esercizi, anche l’elenco nominativo dei creditori con l’indicazione dei rispettivi crediti (trattasi di documento diverso da quello già previsto dall’articolo 161, comma 2 lett. b, che richiede anche l’indicazione dei diritti di prelazione); The new provisions introduced by the Decree may be summarized as follows: (i) Additional documentation to be submitted along with the early petition. The new regime provides that the company is required to file, along with the financial statements relating to the past three years, also the list of creditors with indication of their claims (please note that such list is different from that to be subsequently filed by the company in accordance with subparagraph 2 (b) of article 161 IBL, which also requires the indication of the relevant security interest; (ii) Possibilità (facoltativa) di nomina immediata del Commissario Giudiziale (“CG”). È certamente la novità più importante e sostanziale del Decreto. Il Tribunale può ora nominare il CG già in sede di assegnazione dei termini per il deposito della proposta di concordato. Ne discende che la fase prodromica alla presentazione della proposta di concordato può ora svolgersi sotto il controllo del CG. Il debitore dovrà tenere a disposizione del CG i propri libri contabili (evidentemente al fine di anticipare i poteri di controllo del medesimo, v. punto successivo); (ii) (Optional) immediate appointment of the Judicial Commissioner (“JC”). This is certainly the most important and substantial amendment made by the Decree to the IBL. The Court may immediately appoint the JC upon fixing the deadline to the company for the delivery of the composition proposal. Hence, the phase preceding the filing of the composition proposal may be carried out under the supervision of the JC. The company shall keep its financial books available to the JC (in order to allow the same to immediately exercise its control powers, see paragraph (iii) below); (iii) Poteri di controllo immediati del CG. (ossia atti di frode o atti soggetti ad autorizzazione e non autorizzati) deve riferirne immediatamente al Tribunale che, nelle forme del procedimento prefallimentare di cui all’art. 15 L.Fall., verificata l’effettiva sussistenza delle condotte censurate, potrà, con decreto, dichiarare improcedibile la domanda e, su istanza del creditore o su richiesta del pubblico ministero, accertati i presupposti di cui agli articoli 1 e 5 L. Fall., dichiarare il fallimento del debitore con sentenza contestuale. Il CG ha inoltre poteri di vigilanza sull’adempimento degli obblighi informativi da parte della società (v. punto (vi) che segue); (iii) Immediate control powers of the JC: if the JC ascertains that the company has carried out one of the actions contemplated under Article 173 of the IBL (i.e., fraudulent acts or non-authorized acts), it shall immediately refer to the Court which, in compliance with the proceeding set out under Article 15 of the IBL, having verified the truthfulness of the allegations of the JC, may issue a decree declaring that the petition is not admissible and, upon request of the creditors or the public attorney, may also declare the company bankrupt, if the legal requirements set out under Articles 1 and 5 IBL are complied with. The JC shall also supervise on the performance of the information undertakings of the company (see paragraph (vi) below); (iv) Manifesta inidoneità dell’attività della società alla predisposizione della proposta e del piano. Qualora, dall’informativa fornita al Tribunale durante la fase prodromica alla presentazione della proposta di concordato (v. punto (vi) che segue) emerga che l’attività posta in essere dal debitore è manifestamente inidonea alla predisposizione della proposta e del piano, allora il Tribunale, anche d’ufficio, sentito il debitore e il CG (se nominato) avrà la facoltà di abbreviare il termine fissato con decreto per il deposito di tale documentazione; (iv) Company manifestly unable to prepare the proposal and the plan. Based on the information package delivered to the Court prior to the filing of the composition proposal (see paragraph (vi) below), if it results that the activities carried out by the company after the filing of the early petition are clearly insufficient to allow the preparation of the proposal and the plan, the Court may, after consultation with the JC (if appointed), shorten the deadline fixed for the filing by the company of such documentation; (v) Parere obbligatorio ma non vincolante del CG per atti straordinaria amministrazione. Per il compimento degli atti urgenti di straordinaria amministrazione sarà richiesto, oltre all’assunzione di sommarie informazioni da parte del Tribunale, anche il parere obbligatorio e non vincolante del CG. Si noti che, almeno allo stato, questo parere non è richiesto per le altre attività interinali dell’impresa (e.g. concessione nuova finanza); (v) Duty of consultation with the JC for the extraordinary transactions (non-binding opinion). In the event the company intends to carry out extraordinary transactions (which are to be authorized by the Court), the Court shall seek for summary information and then obtain a non-binding opinion by the JC. Please note that, at least at this stage, such non-binding opinion is not required for the other interim activities to be authorized by the Court (e.g., new financing); (vi) Ulteriori obblighi informativi per la società. L’ottavo comma dell’art. 161 L. Fall. (avente ad oggetto gli obblighi informativi che il Tribunale può imporre al debitore), è stato ridisegnato come segue: (a) gli obblighi informativi avranno ad oggetto la gestione finanziaria dell’impresa e, in particolare, l’attività compiuta dal debitore ai fini della predisposizione della proposta e del piano (si noti come nella prassi già alcuni Tribunali avessero cominciato a richiedere una tale informativa durante la previgente disciplina); (b) viene specificata la cadenza temporale di tali obblighi, che avranno una periodicità almeno mensile, e saranno soggetti alla vigilanza del CG se nominato; (c) il debitore, con periodicità mensile, dovrà depositare una situazione finanziaria dell’impresa che, entro il giorno successivo, dovrà essere pubblicata nel registro delle imprese a cura del cancelliere (circostanza che darà luogo ad un significativo onere amministrativo); (d) in caso di violazione di tali obblighi viene confermata l’applicazione dell’art. 162 L. Fall., commi secondo e terzo (i.e. possibilità per il Tribunale di dichiarare inammissibile la proposta di concordato e, al ricorrere dei relativi presupposti, dichiararne il fallimento). (vi) Additional information undertakings for the company. Paragraph 8 of Article 161 IBL, setting out the information undertakings which the Court may impose on the company, has been amended as follows: (a) the information undertakings shall relate to the financial management of the company and, in particular, the activities carried out by the company for the purposes of preparing the composition proposal and the plan (please note that certain Courts had already started requesting such information also under the previous regime); (b) the information package shall be delivered at least on a monthly basis and shall be subject to the supervision of the JC, if appointed; (c) the company shall file, on a monthly basis, a financial statement which shall be enrolled with the register of the enterprises by the court clerk within the following day (which will imply a significant workload for the Courts); (d) in case of failure to comply with the above information undertakings, the Court may declare the composition proposal not admissible pursuant to Article 162 of the IBL and, if the relevant legal requirements are complied with, declare the company bankrupt. Finally, please note that, since the Decree is immediately effective, the pending composition agreement proceedings may, to some extent, be subject to its provisions.
