La grande determinazione dei Soci ha permesso a SACMI di superare i difficili anni ’30, tra dittatura e sfavorevoli congiunture economiche, portando a compimento il primo macchinario per la pulitura delle arance. Dopo la Seconda Guerra Mondiale SACMI ha contribuito alla rinascita del Paese, sviluppando le prime tecnologie per le aziende ceramiche sia nel nascente distretto di Sassuolo sia nell’intera Emilia-Romagna, e costruendo macchine per la produzione di tappi a corona in metallo: un’anticipazione di quella che sarebbe poi stata la strategia multi-business del Gruppo. Una forte politica di espansione oltre i confini nazionali ha caratterizzato gli anni ’60/70, attraverso il potenziamento dell’export, l’acquisizione di società e rami d’azienda e la nascita di nuove società controllate. La Cooperativa assume così le dimensioni di un grande Gruppo multinazionale che, all’inizio degli anni 2000, riveste una posizione di rilievo, oltre che nell’impiantistica ceramica, anche nei settori beverage & packaging, food & plastics, portando il totale dei dipendenti dai 9 delle origini ai 3.917 di oggi, con un patrimonio netto del Gruppo di oltre 600 milioni di euro. Pensare da leader, globalmente Investimenti nella ricerca ai massimi livelli, risolutezza e lungimiranza nel promuovere innovazione tecnologica, grande attenzione Sacmi celebrates its 95th anniversary The epic story of a Group that has made history With a corporate capital of just 4,500 Italian Lire (2 euros in today’s money) and a nine-strong staff of mechanics and blacksmiths, in 1919 the Società Anonima Cooperativa Meccanici Imola began an odyssey that would, thanks to growing market internationalisation and a steady process of innovation and product differentiation, transform it into one of the world’s leading plant engineering firms. Unremitting determination on the part of its members allowed SACMI to get through the difficult 1930s - a period marred by dictatorship and unfavourable economic circumstances - and successfully complete their first machine, which was designed to clean oranges. After the Second World War, SACMI contributed to Italy’s reconstruction by developing the early technology for the ceramic-making firms of the Sassuolo industrial district and the wider region of EmiliaRomagna. It also started building machines for the production of metal crown caps, a foretaste of what would later become the Group’s multi-business strategy. The 1960s/1970s were characterised by a successful, export-driven international expansion policy, takeovers of other companies and business units and the establishment of subsidiaries. Steadily, then, the Cooperative began to take on the appearance of a large multinational. By the year 2000, it had become a key player not only in ceramic plant engineering but also in the beverage and packaging, food processing and plastic industries; today, the number of employees has surged from the original nine to a total of 3,917 employees and the Group’s total net worth now stands at over 600 million euro. That network also provides telephone or web-based customer care services (call centres, manual/document downloads, remote technical assistance services, e-learning, etc.). Innovazione, la carta vincente Innovation, the winning strategy Innovazione tecnologica e conoscenza rappresentano un ingente patrimonio per SACMI: il segno distintivo con cui il Gruppo opera, nei diversi settori di attività, sui mercati internazionali. Per questo SACMI dedica grandi energie e importanti capitali al settore R&S, allo scopo di promuovere nuove applicazioni tecnologiche per il perfezionamento e l’evoluzione della propria gamma di offerta. Gli investimenti in R&S per il 2014 si sono mantenuti sui livelli dei precedenti esercizi e sono stati di oltre 20 milioni di euro. Un chiaro segnale dell’impegno da parte di SACMI per accrescere e consolidare il know-how che l’ha resa leader internazionale nelle tecnologie per l’industria. Technological innovation and know-how constitute an enormous heritage for SACMI, and sharply distinguish the way the Group does business within numerous industries on international markets. For this reason, SACMI channels considerable resources and capital into R&D in order to develop new technological applications and so develop and perfect its solutions range. Investments in R&D in 2014 were in line with the previous years with the Group setting aside over 20 million Euros. This highlights the Group’s clear commitment to further development and strengthening of the knowhow that has made SACMI a leading international provider of industrial technology. A pivotal facility for the entire Group, the 5 Punto di riferimento per l’intero Gruppo è il Centro Ricerche&Sviluppo di Imola, un network di laboratori chimico-fisici, reparti di sperimentazione per il collaudo dei prototipi e impianti pilota per la ceramica e per il beverage, situati nel cuore del distretto europeo della meccatronica: in totale, 11.662 metri quadrati di superficie utile in cui lavorano oltre 200 persone, tra ricercatori e tecnici, che sviluppano e mettono al servizio del Gruppo conoscenze all’avanguardia nei settori della tecnologia ceramica, del packaging e dei sistemi di controllo di processo. Al Centro R&S – iscritto all’Albo Nazionale dei laboratori di ricerca, istituito dal Ministero dell’Università e della Ricerca scientifica – si affiancano i laboratori tecnologici e le unità di ricerca e sviluppo delle singole aziende del Gruppo, oltre a collaborazioni con Centri universitari in tutto il mondo. Grazie al lavoro di queste strutture, nel corso dell’esercizio 2014 SACMI ha depositato 19 domande di brevetto italiane (invenzioni) e 58 domande di brevetto nazionali. Imola-based Research and Development Center consists of a network of chemical/ physical test labs and experimental departments for the testing of ceramic/beverage prototypes and pilot plants located at the heart of what is Europe’s most advanced mechatronics district. The Center occupies 11,662 square meters and employs over 200 researchers and technicians, all involved in developing cutting-edge expertise in the ceramic, packaging and process control system fields and making it available to the entire Group. Listed on the National Register of Research Facilities (drawn up by the Ministry of Universities and Scientific Research), the Centre also enjoys the support of technology labs and individual R&D departments belonging to the individual Group companies, plus partnerships with universities all over the world. Thanks to this vital commitment, in 2014 SACMI filed 19 Italian patent (invention) applications and 58 extra-Italy patent applications. Nel 2014 SACMI ha voluto documentare la propria attività di RSI (Responsabilità Sociale d’Impresa) pubblicando il Bilancio di Sostenibilità della Cooperativa, che inizia a recepire le indicazioni delle linee guida internazionali Global Reporting Initiative che permettono di rendicontare in maniera integrata i risultati ottenuti sotto il profilo economico, ambientale e sociale. In particolare, sul versante della tutela ambientale, SACMI ha adottato un sistema di gestione conforme alla normativa ISO 14001, integrandolo al sistema di gestione della qualità ISO 9001 e della sicurezza dei lavoratori OHSAS 18001. Tra gli obiettivi strategici della politica ambientale dell’azienda vi sono, in particolare, il corretto smaltimento e riciclaggio dei rifiuti, il controllo delle emissioni e la depurazione dell’acqua. A sostegno della comunità, invece, negli ultimi tre anni SACMI ha destinato circa 1 milione di euro, suddiviso in attività sociali, erogazioni liberali, contributi agli enti di assistenza e alle manifestazioni culturali e sportive. In occasione del 95° anniversario della fondazione, SACMI ha valuto contribuire alla salute della comunità locale donando all’Ospedale di Imola tre ecografi, di cui due portatili, per i reparti di geriatria-lungodegenza e di nefrologia e dialisi. professional skills, ensuring safety in the workplace, promoting sustainable development, safeguarding the environment and providing the local community with tangible support and solidarity. Mutual assistance, cooperation, protection for both people and community are all intrinsic SACMI values, and it is thanks to those values that SACMI has become an industrial Group of worldwide standing with a unique business model – characterized by a solid, synergic relationship between management and staff - able to generate and redistribute value for partners, customers and suppliers alike. In 2014 SACMI decided to document its Corporate Social Responsibility (CSR) by publishing the Cooperative’s Sustainability Audit, which begins to implement international Global Reporting Initiative guidelines that allow for integrated accounting of results from an economic, environmental and social viewpoint. More specifically, SACMI has, on the environmental protection front, adopted a management system as per ISO 14001, integrating it with the ISO 9001 and OHSAS 18001 worker safety quality systems. The company’s strategic environmental policy goals include proper disposal and recycling of waste, emissions control and water purification. As regards support for the community, instead, the last three years have seen SACMI set aside more about 1 million euro, broken down into social support activities, donations, contributions to support agencies and cultural and sporting events. On the occasion of the 95th anniversary of its founding, SACMI took the step of contributing to the health of the local community by donating three ultrasound units to Imola’s Public Hospital: two of them are portable and will be used in the geriatriclong-term stay and nephrology-dialysis wards. 7 ANDAMENTO PROGRESS REPORT 2014 8 DELL’ESERCIZIO 2014 Il 2014 porta un risultato tra i migliori nella storia dell’azienda, superiore allo scorso anno sia dal punto di vista economico che finanziario. Risultati che ripagano dunque pienamente gli sforzi fatti per chiudere un anno comunque difficile che, come nel 2013, ha registrato discontinuità nell’acquisizione degli ordini ed ha richiesto notevole impegno alle strutture produttive nella programmazione delle attività, mantenendo inalterata la qualità delle macchine realizzate. A dare ancora maggiore risalto a questo esercizio è proprio il contesto socioeconomico nel quale si è operato, caratterizzato, anche per il 2014 e come oramai da diversi anni, da una perdurante volatilità dei mercati industriali e finanziari, sia nazionali sia internazionali. La mission per noi è sempre la stessa: innovazione di prodotto e di processo, unita ad un’estrema attenzione verso le esigenze dei nostri clienti. Certi, in questo modo, di poter essere considerati un vero e proprio partner industriale globale, e non solo un fornitore di macchine e servizi. Nel 2014 sono stati finalizzati ingenti investimenti in termini di ricerca sui prodotti, ma si è operato ed investito molto anche sul potenziamento delle strutture produttive, in particolare con investimenti importanti sullo stabilimento di Imola. Siamo convinti, da questo punto di vista, che la manifattura in Italia rappresenti un valore, crediamo che sia possibile e che sia un dovere per tutte le imprese del nostro Paese. Operare in un mondo globalizzato e fortemente competitivo ha infatti reso necessario, negli anni, attivare strutture produttive anche all’estero, non ultimo lo stabilimento indiano di Sanand, inaugurato all’inizio dell’anno. Ma l’obiettivo di queste operazioni era ed è uno soltanto: produrre solo lo stretto necessario per sostenere l’agguerrita competizione dei nostri principali competitor e, quindi, difendere la leadership nei nostri business tradizionali, permettendoci di mantenere lo sviluppo delle strut- The year 2014 yielded one of the best results in the company’s history, a result that was also an improvement on the previous year both economically and financially. Results, then, that fully repay the effort required to face what was, nevertheless, a difficult year; as in 2013, it was marked by discontinuous order acquisition, thus requiring careful planning by production facilities to ensure the constant quality of the machines leaving the production line. What makes this year even more extraordinary is the socio-economic background against which business was done: 2014 was, as has been the case for several years now, marked by persistent volatility of industrial and financial markets, both nationally and internationally. Our mission, however, remains unchanged: product and process innovation, together with careful attention to customer needs. By remaining faithful to this challenge, we’re confident we can play the role of true global industrial partner, not just machine and service supplier. While 2014 saw the completion of major product research investment programmes, we have also worked hard and invested heavily to give production facilities a boost, with considerable resources being channelled into the Imola site. This reflects our belief that manufacturing in Italy is a plus-point, something that can and should be done by every company in the country. Our highly competitive, globalized business has made it necessary, over the years, to establish production facilities abroad (e.g. the Indian plant in Sanand, which opened earlier this year). Yet these operations had - and continue to have - one goal alone: to produce only that which is needed to cope with the aggressive stance of our main competitors and, therefore, defend our leadership in traditional business areas so we can continue to develop facilities and invest in Italy. In short: localisation but not re-localisation. In sintesi, localizzare ma non delocalizzare. Fermo restando che, per il Gruppo SACMI, la dignità del lavoro è un valore assoluto, e lo sono allo stesso modo i diritti dei lavoratori, in Italia come in India, in Cina come ovunque nel mondo. Nel merito dei singoli business, partendo dalla Divisione Ceramics, per quello che riguarda il mondo delle piastrelle – solo per citare alcuni dei prodotti più innovativi, che hanno contribuito all’ottimo risultato e che rappresenteranno i pilastri anche per il prossimo anno – dobbiamo ricordare Continua+, la linea per la produzione di grandi lastre che, quotidianamente, dimostra sul campo la superiorità tecnologica di SACMI rispetto alle proposte dei competitor; ma anche il forno Eko di Sacmi Forni, per le note caratteristiche di consumi ridotti uniti ad una eccellente qualità di cottura, la nuova famiglia di macchine per la decorazione digitale sempre più performanti ed apprezzate – prodotte dalla consociata Intesa – e l’innovativa linea di scelta EkoSort, prodotta dalla consociata Nuova Sima. Sempre sul Ceramics, dobbiamo rilevare gli ottimi risultati del business Pressature Speciali – in particolare la pressatura delle pol10 SACMI Group sees the dignity of work, together with workers’ rights, as paramount, whether the workers be in Italy, India, China or elsewhere in the world. With regard to the individual businesses, we shall begin with the Ceramics Division and, more specifically, tile manufacturing. In mentioning some of the most innovative products that contributed to this excellent end-of-year result, products and will be essential for the coming year, Continua+ deserves a special mention: this large slab production line demonstrates, in the field and on a daily basis, the technological superiority of SACMI solutions compared to those of our competitors; then, there is the Eko kiln by Sacmi Forni, which combines low fuel consumption with excellent firing quality, a new family of digital decoration machines (produced by our subsidiary Intesa) of ever-higher performance that is winning widespread acclaim, and the innovative EkoSort sorting line produced by subsidiary Nuova Sima. Per arrivare alla filiera dei sanitari, dove è proseguita con costanza la ricerca di soluzioni innovative e ad elevata automazione (come le nuove celle di colaggio robotizzate che realizzano un cambio stampo in modo del tutto automatico, risparmiando fino al 95% del tempo necessario rispetto ad un sistema tradizionale). A rappresentare, nel 2014, un’importantissima vetrina per il Gruppo è stata la fiera Tecnargilla di Rimini, dove è stata offerta ai visitatori l’opportunità di vedere tutte queste tecnologie in funzione, dimostrando sul campo la superiorità tecnologica di SACMI nei diversi ambiti, ed in particolare nelle soluzioni impiantistiche per il Ceramics. Nel settore Packaging (Closures&Beverage), gli investimenti tecnologici sono stati orientati alla riduzione dei pesi (e quindi dei costi) dei contenitori, un obiettivo raggiunto realizzando contenitori con pareti sempre più sottili e capsule sempre più leggere e performanti. In the Packaging (Closures&Beverage) industry, technology investment has focused on reducing container weight (and therefore costs), a goal achieved by making containers with ever-thinner walls and everlighter, higher-performing caps. Utilisation of recycled plastics has also undergone development and new, less energy-hungry plants and production processes have been developed. L’obiettivo è sempre il medesimo: sfruttare al massimo le potenzialità del nostro know how tecnologico per dare valore aggiunto al prodotto finale, offrendo soluzioni tecniche innovative e rispondenti alle più diversificate esigenze produttive dei nostri clienti. Nel settore del Closure&Containers, continua il lavoro di ricerca e sviluppo sulla tecnologia della compressione, che ha come top di gamma la CCM (Continuous Compression Moulding) per la produzione di capsule in plastica, una macchina che vanta le più elevate performance nel suo settore. Alla CCM è stata poi affiancata, da alcuni anni, la CBF (Compression Blow Forming), un’ulteriore tecnologia nata in SACMI che consente di passare, attraverso un unico processo ad alta efficienza e produttività, direttamente dal granulo al contenitore, una soluzione che sta riscuotendo crescente interesse nei settori Dairy e Pharma. Per il settore Beverage, il 2014 è stato un anno chiave in termini di sviluppo di nuove soluzioni tecnologiche, con il completamento del progetto IPS (Injection Preform Moulding) e il lancio sul mercato della nuova IPS400, ampliamento di gamma della già affermata IPS220, capace di ospitare 12 product added value by offering innovative technical solutions that respond to the vastly differing production requirements of our customers. In the Closure&Containers sector research and development into compression technology continues apace. The flagship machine is the CCM (Continuous Compression Moulding); designed to manufacture plastic caps, the CCM offers the best performance in the industry. Several years ago the CCM was joined by CBF (Compression Blow Forming), another SACMI-developed technology that allows manufacturers to go from pellet to container using a single, high-efficiency, high-productivity process, a solution that is arousing ever-greater interest within the Dairy and Pharma industries. In the beverage sector, 2014 was a milestone for the development of new technological solutions. To begin with, the IPS (Injection Preform Moulding) project was completed and the new IPS400 – an offshoot of the already-successful IPS220 – was launched. The IPS400 can accommodate PET preform moulds with up to 96 cavities. Sempre in termini di investimenti sul prodotto, è proseguito poi lo sviluppo della gamma di soffiatrici e riempitrici sempre più affidabili e performanti, con soluzioni innovative ed integrate per garantire un processo di produzione del pack e successivo riempimento totalmente ultra-clean, a garanzia della qualità del prodotto. Dal punto di vista organizzativo, infine, è stato approvato un piano che coinvolge le strutture commerciali di Imola e delle società del Gruppo che lavorano nell’ambito Beverage, realizzando una direzione commerciale centralizzata per relazionarsi in modo più efficace ed efficiente alla committenza in ogni area del globo. Sul fronte Automation, va rilevata la sempre maggior importanza dello sviluppo di prodotti e processi automatizzati nelle macchine e negli impianti. The remaining portion of the business comes from the encouraging results achieved in Belarus, Poland, Germany, Portugal, Ukraine, Bulgaria and the Low Countries. A look at Asia shows that Saudi Arabia and Iran together account for over 50% of sales on the continent. Sempre in Brasile, poi, è stata venduta la prima linea Continua+ del continente americano. Infine l’Africa, ove va segnalata l’importanza crescente di Paesi emergenti quali Sudan e Nigeria. Risultati che rappresentano, per molti versi, una sorpresa: non del tutto inattesa, tuttavia, se si considerano le previsioni di crescita del continente africano anche per quanto riguarda i Paesi privi, sino ad oggi, di una consolidata tradizione ceramica. Ne consegue l’importanza strategica di seguire da vicino questo continente, soprattutto quelle aree che vedranno concretizzarsi inevitabilmente, nel medio-lungo termine, nuovi investimenti. In termini generali, alla luce della macro analisi dei risultati, si evidenzia anche quest’anno una regolare distribuzione del mercato: elemento sempre molto positivo, che va di pari passo con la necessità da parte di SACMI di essere sempre presente ed attiva ovunque; un presidio ed un’azione di prossimità sui mercati che risultano indispensabili per centrare volumi importanti, che rappresentano ovviamente una priorità ed una necessità per l’azienda. A livello di prodotto, il 2014 è stato l’anno decisivo per la definitiva conferma della tecnologia Continua+, leader indiscussa sul mercato per la produzione di lastre decorate di grandi dimensioni. Ma non solo: tutti i prodotti di alta gamma in doppio caricamento vedono in questa tecnologia la possibilità di realizzare elevate produttività e migliore qualità rispetto ai tradizionali doppi caricamenti (questi ultimi, da tempo, quasi totale appannaggio dei produttori cinesi). Da questo punto di vista, le previsioni del 2013 possono ritenersi in parte concretizzate, anche se resta moltissimo lavoro da fare. Nel campo dei sanitari, il trend positivo sull’Italia è proseguito nel 2014 e si prevede possa confermarsi anche nel 2015. Catalano, Flaminia e Globo sono i principali produttori italiani che hanno realizzato investimenti ed hanno scelto Sacmi come partner esclusivo. Tra i grandi gruppi, Kohler si distingue per investimenti continuativi, con SACMI che figura, da sempre, tra i maggiori e principali fornitori. Parallelamente, Rak ha confermato la propria attenzione all’implementazione di macchine e tecnologie per il colaggio in pressione e la smaltatura robotizzata. Timidi gli investimenti in Europa, alcuni dei quali generati da spostamenti di macchinari e ammodernamenti di fabbriche esistenti. Consequently, output on the ‘old’ continent has not increased; there has, rather, been increased rationalisation and a greater level of automation, the latter being driven by labour costs and the quest for greater efficiency. Da questo punto di vista, l’impianto di Catalano è, nella pratica, uno show room per l’azienda, nel quale sono stati accompagnati in visita centinaia di clienti, che hanno potuto toccare con mano la qualità del prodotto SACMI. L’ottimo servizio post vendita e il supporto della parte tecnica e tecnologica risultano fondamentali per mantenere un rapporto privilegiato con i clienti, che riconoscono anche in questi aspetti il valore aggiunto della proposta SACMI. Servizio, attenzione, motivazione e collaborazione sono elementi fondamentali su cui continuare a credere ed investire. In this regard, in fact, the Catalano plant effectively acted as a Sacmi showroom to which hundreds of customers were taken so they could enjoy a first-hand look at SACMI quality in action. Outstanding after-sales service and effective technical/technological support are essential for maintaining good relations with customers, who see such aspects as a key part of the added value SACMI provides. Service, attention, motivation and close collaboration are key features and we shall continue to focus on and invest in them. We’d also like to point out that 2014 was a landmark year as it saw the Division celebrate 30 years of doing business. This was a source of great satisfaction to all those Group workers who have contributed to the extraordinary growth and development of the business; their commitment, energy and dedication have provided a solid foundation on which to build the achievements of tomorrow. A risentire in prevalenza di questo fenomeno è il fatturato di Laeis che, nonostante l’impegno a cercare nuove opportunità, difficilmente potrà mantenere in futuro il tasso di crescita registrato negli ultimi anni. Ottime notizie, invece, dalle tecnologie di più recente acquisizione, che hanno manifestato accelerazioni esplosive. Le macchine per polveri metalliche (PM), in particolare, hanno fornito performance eccellenti (più 150% i volumi di vendita), portando il fatturato totale del business a Imola a raddoppiare rispetto al 2013 (17,1 milioni euro su macchine e servizi). Forte è l’impegno richiesto per l’anno in corso, al fine di consolidare questo straordinario risultato mantenendo una pressione costante sull’innovazione tecnica e sul miglioramento della qualità delle attrezzature e dei servizi. SACMI, infatti, si trova ad oggi all’apice della curva di crescita, avendo raggiunto rapidamente un sorprendente livello di competenza e referenze prestigiose; lunga risulta, al contempo, la strada ancora da percorrere, per potersi misurare ad armi pari con i competitor leader sul mercato e con 24 nately, a more structural phenomenon. Considerable resources are currently being employed (2015) in order to bolster this extraordinary result and maintain the pace of technical innovation and improvements in the quality of equipment and services. SACMI, in fact, is now at the apex of the growth curve, having gained a surprising amount of skill and key customers very rapidly; at the same time, there is still a long way to go before we can put ourselves on an equal footing with the market’s leading competitors and the technology they have developed over the last few decades. The MP business has ambitious projects for 2015, such as assisted forming cycle programming, new energy-saving hydraulics and a new second-generation press model, le tecnologie da questi sviluppate nel corso degli ultimi decenni. Nel 2015 il business PM presenta progetti ambiziosi, quali la programmazione assistita del ciclo di formatura, la nuova idraulica energy-saving e un nuovo modello di pressa di seconda generazione, oltre all’avvio del progetto della nuova pressa da 800t “bonsai” (che sarà ultimato nel 2016). Nel corso del 2014 è stato invece sviluppato, con la partecipazione di Laeis e Protesa, un sistema di idroformatura, destinato allo stabilimento in Polonia di uno dei principali clienti del Gruppo. Si tratta di un procedimento moderno per la realizzazione di particolari sagomati e tubi in lamiera, che trova applicazione in diversi tipi di manifattura, tra i quali l’industria dei motori e quella degli elettrodomestici. Inoltre, è stata finalizzata con Sama la “personalizzazione” di una PHR 2000, adattata alla pressatura isostatica a semi-secco di lavabo e piatti doccia. Infine, è stata avviata negli USA la prima macchina per rulli laminatori in carburo di tungsteno. Gli ingressi nei nuovi settori dell’idroformatura e dell’Hard Metal, ancorché ad uno stadio preliminare, offrono interessanti premesse per ulteriori sviluppi delle PHL e delle MPH. Complessivamente, SACMI e Laeis hanno consegnato 29 nuove linee di formatura, 8 in più rispetto al 2013, per un fatturato netto extra-Gruppo di macchine e servizi (ricambi esclusi) pari a circa 34 milioni di euro. Più della metà delle linee (16) sono state destinate al mercato PM e hard metal (HM), 9 per refrattari e applicazioni ceramiche, 3 per cookware, 1 per idroformatura. plus the launch of the new 800 ton “bonsai” press (to be completed in 2016). The year 2014, instead, saw the development, together with Laeis and Protesa, of a hydroforming system, which will be used in a Polish production plant belonging to one of the Group’s most important customers. This is a modern process for making special sheet metal profiles and tubular items employed in various types of manufacturing, such as the automobile and home appliance industries. Moreover, together with Sama, a “personalised” PHR 2000, suitable for isostatic semi-dry pressing of washbasins and shower trays, has been completed. Lastly, the first machine for tungsten carbide casting rollers was started up in the USA. Entry into the new hydroforming and Hard Metal areas, while still at the preliminary stage, is laying the foundations for further development of the PHL and MPH units. Overall, SACMI and Laeis have delivered 29 new forming lines, 8 more than in 2013, generating net extra-Group sales of machines and services (not including spare parts) worth some 34 million euro. More than half the lines (16) were for the MP and hard metal (HM) market, 9 for refractories and ceramic applications, 3 for cookware and 1 for hydroforming. HEAVY CLAY Despite a final balance sheet result that fell short of expectations and the less than healthy state of the market in Western nations, the overall heavy clay situation in 2014 would appear to offer a glimpse of light at the end of the tunnel. While, on the one hand, in the West the industry has been characterised by a smaller than expected final result – the outcome of poor order placement performance in 2013 – and a stagnant market (without any significant short-term prospects of recovery), on the other there is a growing number of opportunities compared to past years, especially in countries such as Alge- La situazione generale del business dei laterizi nel 2014, nonostante un risultato di bilancio inferiore alle aspettative e la non rosea situazione di mercato nei Paesi occidentali, lascia finalmente intravedere la luce in fondo al tunnel. Anche se in forma più contenuta rispetto al passato, il mercato algerino continua dunque ad offrire importanti occasioni di vendita di impianti completi. L’inizio della collaborazione con Cosmec e la sua successiva acquisizione da parte di SACMI hanno reso possibile, nel 2014, l’aggiudicazione di due importanti commesse e il profilarsi di ulteriori opportunità, che si auspica possano essere finalizzate nel corso del 2015. Si sta assistendo anche ad un timido, ma sorprendente, “risveglio” della Spagna: nel corso del 2014, infatti, si sono affacciati alcuni interessanti progetti (ristrutturazioni di downsizing), che potrebbero essere assegnati nel corso del 2015. Significativa, del pari, la ripresa registrata in Sud America. Un commento a parte meritano alcune specifiche situazioni di mercato. In particolare, Russia ed Iran evidenziano tendenze opposte. La Russia è un Paese nel quale, negli anni scorsi, si è investito molto a livello commerciale, ma purtroppo, a partire dal 2014, si è via via manifestata una crisi economica di entità rilevante, che costringe a rivedere al ribasso le aspettative di business. Di segno opposto la situazione dell’Iran, un Paese ove tradizionalmente l’industria delle costruzioni fa largo uso di laterizio; da questo punto di vista, si auspica che il percorso di riavvicinamento tra l’Iran e l’Occidente, iniziato nel 2014, porti progressivamente ad un ripristino di normali condizioni di scambio commerciale. In conclusione, nonostante il risultato inferiore alle aspettative, nel 2014 l’attività commerciale dell’Heavy Clay è risultata piuttosto intensa e si sono creati tutti i presupposti per guardare con fiducia ad un 2015 migliore, come d’altra parte già nelle previsioni iniziali di budget. 26 ria, a continuously expanding market being driven by the government’s impressive home building policy. A weak yet surprising “reawakening” was also observed in Spain: during 2014, in fact, a number of interesting (downsizing) projects were discussed and these might be assigned in 2015. Equally significant was the recovery observed in South America. Some situations are very market-specific and deserve a comment aside. For example, trends in Russia and Iran are moving in opposing directions. Over the last few years, Russia has effected considerable levels of investment; unfortunately, in 2014 the country was hit by a severe economic crisis that means business expectations have been revised downwards. The situation in Iran, where the construction industry has traditionally made extensive use of heavy clay, is quite the opposite; from this viewpoint, the hope is that the improvement in relations between Iran and the West that began in 2014 will gradually lead to the restoration of normal trading. Summing up, despite a result that failed to live up to expectations, in 2014 the Heavy Clay business worked intensely and there is every reason to look to 2015 with confidence, an outlook reflected in the initial budget forecasts. 27 PACKAGING 28 13 DIVISION CLOSURES&CONTAINERS Nel 2014, il fatturato complessivo della Divisione Closures & Containers è risultato pari a 151 milioni di euro. Come nel precedente esercizio, il volume d’affari è stato realizzato con vendite in oltre 50 Paesi, disseminati nei cinque continenti. Andando nel dettaglio delle diverse aree geografiche, emergono tuttavia differenze significative. L’area cinese – inclusa Taiwan – resta la più rilevante ma, nel 2014, il fatturato nel resto dell’Asia è risultato ancora maggiore. Complessivamente, le vendite in questo continente hanno raggiunto il 57% del totale. La Cina ha rallentato la sua corsa frenetica che l’aveva portata – solo 5 anni fa – a contribuire per circa il 40% al fatturato della Divisione, mentre ad oggi la sua quota percentuale è quasi dimezzata. La Cina resta, in ogni caso, un Paese verso il quale SACMI ripone aspettative molto importanti e che viene di conseguenza presidiato in modo capillare, sia sul fronte vendite sia su quello dell’after-sales. Molto significativa la performance della Divisione realizzata in Africa, dove le vendite hanno quasi raggiunto, nel complesso, quelle realizzate in Europa (la quale ha, del resto, risentito in modo significativo degli effetti della crisi russo-ucraina, specialmente nell’ultima parte dell’anno). Proprio in Africa sono state aperte, nel 2014, due nuove società, per incrementare la presenza commerciale; tra i necessari passi successivi vi sarà l’avviamento di un primo nucleo di servizi post-vendita. In prospettiva, le aspettative di crescita nel continente africano sono molto elevate e, di conseguenza, l’azienda dovrà attrezzarsi per cogliere al meglio tutte le possibili opportunità. Discreti anche i volumi realizzati in America In 2014, the Closures & Containers Division achieved total sales of 151 million euro. As in the previous year, sales were made in over 50 countries on five continents. Nevertheless, a detailed look at the different geographical areas highlights significant differences. The Chinese area - Taiwan included - remains the most important even though, in 2014, sales across the rest of Asia were higher. Overall, sales on this continent now account for 57% of the total. China has now slowed the frenetic pace that had, only 5 years ago, seen it generate about 40% of the Division’s sales, that percentage has now been almost halved. Nevertheless, China is still a country that SACMI sees as having a very bright future and our presence there is thus a far-reaching one on both the sales and after-sales fronts. In Africa the Division’s performance was highly significant as sales there now almost match those in Europe (which was seriously impacted by the effects of the RussiaUkraine crisis, especially in the latter part of the year). Africa also saw the opening, in 2014, of two new companies to increase its business presence there; subsequent commitments will include the start-up of the first after-sales services. Looking ahead, Africa is expected to enjoy considerable growth; consequently, the company will need to be prepared to make the most of opportunities. While good volumes were also achieved in Latin America, sales in the USA remain sluggish and are, in fact, well below the levels experienced prior to the start of the economic crisis in 2008. Un fattore di criticità, che sta purtroppo divenendo una costante, è l’andamento sinusoidale degli ordinativi, con l’alternarsi di periodi di stasi a fasi di esasperata concentrazione di ordini, a cui SACMI ha reagito mettendo in campo un’accresciuta capacità e flessibilità produttiva. Ad oggi, le vendite complessive di macchine e impianti restano molto sbilanciate verso il settore del packaging in plastica, mentre le soluzioni per la produzione di metal caps hanno contribuito al fatturato per circa il 9%. Per presidiare in modo efficace un settore ed un mercato estremamente dinamici, SACMI ha mantenuto molto vivaci, nel 2014, le attività di R&S sui diversi fronti, dall’esplorazione di nuove tecnologie – iper-raffreddamento, melt-cooling, in-mould-labelling, stampaggi su fil multistrato, ecc – allo sviluppo e test di nuovi polimeri quali biomateriali, poliesteri, materiali ad alto peso molecolare. Una parte importante dell’attività di ricerca ha poi riguardato lo sviluppo e la realizzazione di nuove macchine – quali ad esempio la soluzione per stampa digitale e l’allargamen30 problem of erratic order flow – in which periods of stagnation alternate with concentrated waves of orders - now appears to be a permanent one: SACMI has reacted to this phenomenon by enhancing its output capacity and flexibility. To date, machine and complete plant sales are heavily slanted towards the plastic packaging sector, with metal cap manufacturing solutions accounting for just 9% of sales. To ensure effectiveness on such a dynamic market, SACMI has maintained high levels of R&D on several fronts, from the exploration of new technologies (hyper-cooling, melt-cooling, in-mould-labelling, multilayer film moulding etc.) to the development and testing of new polymers such as biomaterials, polyesters and materials of high molecular weight. In particolare, da questo punto di vista, vanno evidenziate le crescenti turbolenze registrate nell’area mediorientale, che hanno penalizzato gli scambi commerciali in Paesi dove, storicamente, SACMI vantava un buon livello di penetrazione. A ciò si aggiunge la ripresa in Europa, più lenta e timida del previsto, anche se in quest’ultimo caso a contribuire ad una certa penalizzazione del- While, in 2014, volumes fell short of budget expectations, they were decidedly better than those achieved the previous year. È stata osservata negli ultimi mesi il consolidamento delle performance delle macchine sviluppate, in particolare la nuova soffiatrice, che consentirà di rendere la proposta SACMI la più competitiva possibile rispetto alle soluzioni della concorrenza. A livello commerciale va rilevato come, oltre alla normale attività di promozione e vendita, il 2014 abbia beneficiato dell’impatto positivo della partecipazione a fine 2013 alla fiera Drinktec di Monaco di Baviera. Un investimento importante anche in termini promozionali, grazie alla possibilità per la Divisione Beverage di mostrare l’immagine di un’azienda solida, proiettata verso il futuro e che continua a dedicare risorse importanti allo sviluppo di prodotti innovativi. At business level it should be pointed out how, in addition to routine promotion and sales activities, 2014 benefitted from participation at the Drinktec fair in Munich. This was a key investment, giving the Beverage Division an opportunity to showcase its solidity and farsightedness while highlighting the ongoing allocation of considerable resources to innovative product development. Clear evidence of this is seen in the success obtained with the AB-Inbev Group, the recent interest shown by the Coca Cola Enterprise and installation of the new zione della nuova soffiatrice SBF Hero presso Acqua Lete. Per questo, le attività svolte – e che si continueranno a svolgere – presso i cantieri di Lete, di HungMing e di CocaCola Kenia, dovranno essere gestite con la consapevolezza che l’eventuale maggior costo di cantiere potrà rappresentare un investimento determinante per la crescita del business. Tornando ai volumi raggiunti nell’esercizio 2014, va ricordato il potenziale impatto del progetto in Bangladesh, poi rimandato al 2015. Taking a broader perspective, marketobtained references and a healthy degree of customer satisfaction remain crucial. That’s why the ongoing projects at Lete, HungMing and CocaCola Kenya are so vital: indeed, we must continue to bear in mind that any additional expense of ‘getting it right’ at these sites should be seen as a crucial investment for the growth of the business. Returning to the volumes achieved in 2014, the impact of the project in Bangladesh - now postponed until 2015 – should be pointed out. In light of this, the results obtained last year are, indeed, more significant with respect to the initial budget forecast. Infine, va menzionata la gestione della ricambistica, che ha visto in questo esercizio una crescita importante. Infatti, essendo Sacmi Beverage deputata alla vendita degli impianti, la quantità di ricambi venduti – che spesso provengono dalle aziende del Gruppo – è inevitabilmente correlata all’ampiezza del parco macchine e impianti installati. Di conseguenza – anche se la destinazione dell’impianto in determinati mercati e la reperibilità di certi componenti, a livello locale, influenza non poco i volumi di ricambi generati e la loro evoluzione nel tempo – la crescita del 15% dei volumi rispetto al 2013 rappresenta senza dubbio un ottimo risultato. PACKAGING Il 2014 appena concluso è stato l’anno del consolidamento e dello sviluppo delle linee BIB (Bag in Box), con la totale integrazione di Pakim all’interno di Sacmi Packaging. Nuovi macchinari e linee sono state presentate al mercato, con applicativi ulteriori rispetto ai tradizionali settori d’utilizzo, quali sciroppi, acqua e oli alimentari e industriali. Prosegue, d’altro canto, la sinergia di successo con la Divisione Beverage del Gruppo per quanto riguarda la fornitura di soluzioni complete per il fine linea – pallettizzazione e depallettizzazione – per la filiera dell’imbottigliamento. Si consolidano, allo stesso tempo, le applicazioni industriali esterne al Beverage, come le soluzioni per il fine linea destinate al “tissue” (carta igienica, rotoloni, ecc) e agli imballi flessibili (doypack, pouches, ecc). In conclusione, si può affermare come anche la gamma di soluzioni Sacmi Packaging per l’imballo secondario – quali pick&place, monoaxial, multiaxial e robot – stia raccogliendo sempre maggiore apprezzamento e consensi da parte del mercato del packaging industriale, con riscontri positivi da parte della numerosa committenza già acquisita. 34 jection technology) was largely as per the budget forecast. New machines and lines were presented on the market, their application range being extended beyond traditional areas to include syrups, water, food oils and industrial oils. Synergy with the Group’s Beverage Division vis-à-vis the supply of complete end-ofline solutions (palletisation and depalletisation) for bottling plants continues. Simultaneously, industrial applications outside the Beverage world, such as end-of-line solutions for tissue production (toilet rolls, kitchen paper etc.) and flex packs (e.g. daypack, pouches, etc.), have gained ground. Summing up, it can be stated that the range of Sacmi Packaging solutions for secondary packaging – namely pick&place, monoaxial, multiaxial and robot – is achieving ever-greater market consensus within the industrial packaging field. Indeed, the numerous customers who have already made purchases have provided us with encouraging feedback. 35 FOOD 36 DIVISION Nel corso del 2014 il Gruppo Carle & Montanari Holding (CMH) ha generato ricavi per circa 114 milioni di euro, con una consistente crescita della marginalità percentuale. A consuntivo, i volumi realizzati sono risultati superiori al 2013 (con un incremento di 12 milioni. C&M-OPM Il risultato dell’esercizio 2014 conferma l’andamento positivo espresso nei due anni precedenti, registrando un incremento di fatturato pari al 18% rispetto al 2013 (89 milioni di euro, contro i 75 milioni del precedente esercizio). Un buon risultato è stato raggiunto anche in termini di Ebitda, pari a 6,8 milioni di euro, con un incremento di circa 1,7 milioni (in termini percentuali, un progresso del 34% rispetto al 2013). La crescita del fatturato è in gran parte dovuta alla vendita di macchine, ma anche al deciso incremento dei volumi nel business dei ricambi. Per quanto riguarda la penetrazione geografica sul mercato, alcune zone, come Nord Africa, Medio Oriente, Turchia, continuano a mostrare notevole vitalità, probabilmente stimolata dalle opportunità di export realizzabili da questi mercati verso l’Africa Sub-Sahariana. Altra nota positiva, il buon fermento mostrato dall’India, dove sembra proseguire l’espansione del mercato dolciario interno, nel quale si stanno affacciando numerosi importanti gruppi industriali locali. Per contro, altre aree – come i Paesi BRIC – sulla cui crescita si scommetteva fino a poco tempo fa, stanno mostrando chiari segnali di crisi. C&M-OPM The result achieved in 2014 confirms the positive trend of the last two years, with sales increasing by 18% with respect to 2013 (89 million euro, against the 75 million of the previous year). Vice versa, other areas– such as the BRIC nations – which seemed to offer such good growth prospects until just a short time ago, are showing clear signs of crisis. Per quanto riguarda il mix di prodotti, la maggior parte del fatturato del 2014 di C&MOPM è stata generata da Modellaggio e Secondary Packaging. Prosegue, al tempo stesso, il progetto di aggiornamento della gamma, per mantenere l’offerta al passo con le richieste del mercato. In particolare, il 2014 ha visto una concentrazione delle attività sull’aggiornamento della gamma di macchine per il cioccolato, incluse le tempratrici. È inoltre in via di perfezionamento il progetto Nanoflex per la realizzazione di piccole linee di modellaggio flessibili, mentre altre attività di affinamento tecnologico ed impiantistico riguardano il packaging primario. Si conferma, nel 2014, la scelta strategica di espandere il settore dei biscotti, mettendo a punto un ampio portfolio di prodotti per aggredire il comparto packaging. La partecipazione alla fiera internazionale più importante del settore bakery, IBA 2015 – che si terrà a settembre in Germania – consentirà a C&M-OPM di realizzare un’efficace e mirata azione promozionale verso questa filiera. 38 Examination of the product mix shows that most sales made by C&M-OPM in 2014 were generated by Modelling and Secondary Packaging. Range upgrade plans continue apace to ensure an ongoing match between supply and demand. More specifically, 2014 saw efforts focus on upgrading the chocolate machine range, including tempering machines. The Nanoflex project for the establishment of flexible, smallscale modelling lines is undergoing some final adjustments, while other technological and plant engineering fine-tuning work is being done on the primary packaging front. The strategic choice of expanding the biscuit sector continued into 2014 with the development of a broad product portfolio for the packaging industry. Participation in the bakery industry’s most important fair, IBA 2015 (to be held in Germany in September) will allow C&M-OPM to implement an effective promotional plan within the industry. C&M-FIMA C&M-FIMA Nel 2014, la società ha risentito di una serie di criticità generali, relative alla situazione di mercato e al contesto, problematiche in gran parte ascrivibili agli strascichi di scelte pregresse. Scendendo nell’analisi dei dati e delle performance, sostanzialmente si può considerare il 2014 come un anno di transizione in cui, a seguito dell’importante cambiamento nel management della società, sono stati necessari investimenti importanti – in termini di tempo e di risorse – per risolvere problematiche tecniche sulla gamma prodotti ed altre criticità su commesse aperte. Ciononostante, la società ha mantenuto stabili i ricavi ed i margini. L’esercizio appena concluso ha visto anche l’avvio di un progetto di sviluppo su macchine d’incarto speciali per Ferrero, che proseguirà anche nel 2015 e potrebbe generare prospettive interessanti nei prossimi anni. A livello di singoli Paesi e mercati-target, valgono considerazioni analoghe rispetto a quanto evidenziato per C&M-OPM. Si registra, in particolare, il buon andamento dell’India e di altri mercati emergenti come Nord Africa, Medio Oriente, Turchia. Permangono criticità, invece, negli altri Paesi dell’area BRIC quali Brasile, Russia e Cina. In 2014 the company felt the impact of several generalised problems regarding the market situation and context, problems largely ascribable to the after-effects of previous decisions. Analysis of data and performance essentially shows that 2014 was a transition year in which, following extensive managerial restructuring, major investments in terms of time and resources were needed to resolve technical problems within the product range and other difficulties affecting open job orders. Despite this, the company has managed to keep revenues and margins stable. The just-finished year also saw the launch of a special wrapping machine development programme for Ferrero; this will continue into 2015 and could generate interesting prospects over the coming years. At individual country and market level, similar observations to those regarding C&M-OPM apply. More specifically, India and other emerging markets such as North Africa, the Middle East and Turkey are progressing well while problems persist in the other BRIC nations, namely Brazil, Russia and China. 39 AUTOMATION &SERVICE 40 DIVISION INSPECTION SYSTEMS Il 2014 si chiude con un ulteriore aumento del fatturato dei Sistemi di Ispezione, in progresso dell’8% dopo il più 7% già registrato nella precedente annualità. Le vendite interne verso le altre Divisioni di Sacmi Imola – sistemi integrati in macchine e impianti veicolati sul mercato dagli altri business del Gruppo – rappresentano il 23% del fatturato totale, con un valore assoluto che rimane costante già da alcuni anni, mentre le vendite dirette raggiungono il 77%, in crescita del 10% rispetto al 2013. Per quanto riguarda il business dei Sistemi di Visione, nel 2014 sono aumentate le vendite in Europa (più 50%) e in America Latina (più 36%), mentre sono rimaste costanti quelle verso gli Stati Uniti. Per contro, si registra per la prima volta un calo in Estremo Oriente (meno 34%), peraltro ampiamente previsto in ragione del sensibile rallentamento della crescita dell’economia cinese. La composizione del fatturato mondiale è risultata più equilibrata rispetto agli anni precedenti, con un contributo dell’Europa pari al 31%, rispetto al 23% della Cina, al 20% del Sud Est Asiatico e al 17% dell’America Latina. Mentre la restante parte del volume d’affari è suddivisa tra Usa, Africa e Medio Oriente. Si sottolinea, per l’esercizio appena concluso, l’acquisizione di importanti clienti in Giappone, Medio Oriente e Africa, specialmente nel settore del controllo qualità delle preforme, grazie al riconosciuto valore delle soluzioni SACMI e ad una più incisiva sinergia commerciale realizzata con i business Closures & Containers e Beverage. Il CHS (Closure Handling System), con le sue 26 unità consegnate, si conferma la macchina più venduta, ma con un marcato calo rispetto alle due precedenti annualità, The year 2014 closed with Inspection Systems achieving a further increase in sales, up 8% after the +7% performance achieved the previous year. Internal sales to other Sacmi Imola divisions - systems integrated into machines and plants marketed by other Group businesses - accounted for 23% of total sales, with absolute values stable, as has been the case for several years now. Direct sales, instead, accounted for the other 77%, a 10% increase on 2013. A look at the Vision Systems business shows that sales increased in both Europe (+50%) and Latin America in 2014 (+36%) while exports to the United States remained steady. In contrast, a fall in the figures for the Far East (+34%) was observed for the first time: given the significant slowdown of the Chinese economy, this had been expected. The make-up of worldwide sales was more balanced than in previous years, with Europe accounting for 31% of the total, compared to 23% for China, 20% for SouthEast Asia and 17% for Latin America. The remainder of sales was divided among the Usa, Africa and the Middle East. Any analysis of last year must take into account the acquisition of major customers in Japan, the Middle East and Africa, especially in the preform quality control field. This was achieved thanks to the widely acknowledged effectiveness of SACMI solutions and implementation of a more effectual sales synergy with the Closures&Containers and Beverage businesses. With 26 units delivered, the CHS (Closure Handling System) is still the best-selling machine. However, the figures represent a significant drop compared to the previous two years, as had been anticipated at the time of drawing up the budget. Si è quindi registrata una contrazione della domanda, parallelamente ad un incremento dell’offerta causato dall’ingresso di nuovi competitor. Nel 2015 continuerà lo sviluppo della gamma CHS, con il progetto CHS4000, che consentirà di raggiungere velocità ispettive pari a 240mila tappi l’ora: un aumento di circa il 30% rispetto alla massima velocità attualmente disponibile sul mercato. Il forte incremento delle consegne di sistemi PVS (Preform Vision System) conferma la correttezza della scelta di investire nell’allargamento della gamma delle soluzioni proposte al mercato, per rispondere adeguatamente alle diversificate esigenze di controllo qualità da parte dei produttori: dalle soluzioni per il laboratorio (PVS 2B PLUS) e per il controllo a campione, fino ai sistemi per l’ispezione in produzione (PVS003 e PVS024) per il controllo in linea del 100% del prodotto e/o fuori linea come ripasso. The sharp increase in deliveries of PVS (Preform Vision System) units confirms that the decision to invest in broadening the range of available solutions - in order to provide an effective response to manufacturers’ widely varying quality control needs - was the right one: new additions span from solutions for test labs (PVS 2B PLUS) and sample control to systems for production line inspection (PVS003 and PVS024), online control of 100% of products and/or offline repeat checks. Nel 2014 è stato inoltre consegnato il primo prototipo di CUBE EYE, un sistema di ispezione in grado di eseguire una tomografia assiale computerizzata (TAC) completa a raggi X sull’accoppiamento fra tappi di plastica o di alluminio e la bottiglia, anche sotto pressione. Indirizzato ai laboratori dei clienti del Closure & Beverage, lo strumento scansiona l’oggetto in ogni direzione e restituisce il modello 3D del sistema costituito dal tappo e dal collo filettato della bottiglia. Per ciò che concerne, infine, i business dei Sistemi NIR e dei Sistemi Olfattivi, il 2014 è risultato un anno di consolidamento, avendo riproposto un fatturato perfettamente in linea coi buoni risultati raggiunti già nel 2013. This is an inspection system capable of performing a complete computerized axial tomography (CAT) scan of the coupling point between plastic or aluminium caps and bottle, even where under pressure. Intended for Closure & Beverage customers’ test labs, this practical tool scans the object in every plane and provides a 3D model of the entire cap/threaded bottle neck ‘system’. Lastly, 2014 was a consolidation year for the NIR and Olfactory Systems business, with sales perfectly in line with the good results achieved in 2013. It should be stressed that 2014 was a breakthrough one for Preform Inspection Systems. SERVICE Nel corso dell’esercizio 2014 è stato approvato e completato il progetto di scissione e fusione per incorporazione di HPS in Sacmi Imola, finalizzato alla semplificazione della struttura organizzativa, di governance e societaria del Gruppo. 44 In 2014 the proposed plan to split HPS and merge it into Sacmi Imola was approved and completed, the aim being to simplify the organisational, governance and corporate structure of the Group. This was a two-stage project: the first in- Due le fasi del progetto: la prima ha riguardato la scissione parziale di HPS a favore della società di nuova costituzione, Sacmi Service, nella quale è stato trasferito il ramo “Servizi” di HPS, dedicato ad attività nell’ambito di servizi fiscali, legali, societari, information technology, business process outsourcing per amministrazione, finanza, controllo e gestione del personale; la seconda fase ha quindi portato alla fusione per incorporazione della parte restante di HPS in Sacmi Imola, nella quale sono state trasferite le attività di gestione delle partecipazioni, gestione delle esposizioni verso il sistema bancario dedicate al loro finanziamento e, infine, gestione della tesoreria di Gruppo. Tramite questa operazione di ristrutturazione strategica, Sacmi Imola è divenuta il nuovo azionista di tutte le Società precedentemente partecipate da HPS, semplificando la struttura societaria del Gruppo che, prima dell’operazione, era articolata su tre livelli (Sacmi Imola, HPS, Società controllate e collegate) mentre, a seguito della fusione, risulta sviluppata su soli due livelli (Sacmi Imola, Società controllate e collegate). Operativa dal 1° settembre 2014, Sacmi Service ha acquisito il ramo “Servizi” di HPS, composto da circa 70 dipendenti e con un fatturato annuo, rilevato nel 2014 (8 mesi di gestione HPS più i restanti 4 mesi di gestione Sacmi Service) di circa 8 milioni di euro. Performance in linea con il fatturato Servizi registrato nell’annualità 2013. Con la costituzione della nuova società, si sono poi consolidati alcuni importanti obiettivi, primo tra tutti quello di diventare il punto di riferimento per l’intero Gruppo SACMI, garantendo la fornitura di Servizi a tutte le società del Gruppo, sia italiane sia estere. Tale scelta, orientata a centralizzare i Servizi, consente il raggiungimento di importanti economie di scala e il miglioramento dell’efficienza, soprattutto nell’ambito della gestione delle risorse umane, oltre a garantire, ove possibile, l’omogeneizzazione e la standardizzazione dei processi e delle attività svolte. Infine, tra le priorità definite dalla nuova società, un obiettivo chiave è rappresentato dagli investimenti nello sviluppo di competenze e nella crescita professionale dei collaboratori. ABIZCO Nel corso dell’esercizio 2014, è stato avviato un processo di riorganizzazione interna nell’ambito dell’IT, che ha portato all’acquisizione da parte di SACMI Service del 100% delle quote di ABizCo srl, società operante volved a partial division of HPS in favour of the newly formed Sacmi Service, to which the “Services” branch of HPS (which works in areas such as tax, legal, and corporate services, information technology, business process outsourcing for administration, finance, personnel management) was transferred; the second stage saw the remainder of HPS merged into Sacmi Imola, which now handles the shareholding investments and associated bank loan management and, lastly, Group treasury management. This strategic restructuring plan has made Sacmi Imola the new shareholder of all the companies in which HPS previously had part ownership, thus simplifying the Group’s corporate structure which, before this operation, was a three-level affair (Sacmi Imola, HPS, Subsidiaries). Following the merger, the structure has just two levels (Sacmi Imola, Subsidiaries). Operational as of 1st September 2014, Sacmi Service acquired the “Services” branch of HPS, consisting of about 70 employees. Its annual sales in 2014 (8 months under HPS management and the other four under Sacmi Service) were about 8 million euro. Performance was in line with Services sales in 2013. Establishment of this new company has led to consolidation of key objectives, the most important of which was to become the reference point for the entire SACMI Group, thus ensuring provision of services to all Group companies, both Italian and foreign. This decision, intended to centralise services, allows major economies of scale and improved efficiency, especially as regards human resources management; it also ensures, where possible, homogenization and standardization of processes and procedures. Lastly, it should be pointed out that a further company priority is investment in employee skills and career development. ABIZCO 2014 also saw the launch of an internal reorganization process in the IT field. This resulted in SACMI Service purchasing a 100% share of the Information Technology enterprise ABizCo srl. Completed in January 2015, this takeover has the following key goals: insourcing of IT know-how and skills into the SACMI Group, reduced external consultancy costs and, therefore, improved efficiency and quality of the IT services provided to the Group. The takeover of ABizCo and the insourcing of IT services will also allow the develop45 nel settore dell’Information Technology. Perfezionata nel gennaio 2015, l’acquisizione si pone come principali obiettivi l’attuazione di un percorso per re-internalizzare know how e competenze informatiche all’interno del Gruppo SACMI (insourcing), la riduzione dei costi delle attività di consulenza esterne e, di conseguenza, il miglioramento dell’efficienza e della qualità dei servizi informatici destinati al Gruppo. L’acquisizione di ABizCo e la gestione insourcing dei servizi IT renderà possibile anche lo sviluppo di un external market, grazie al quale rientrare di parte dei costi sostenuti per gli sviluppi progettuali interni, finanziando così altre attività in SACMI. ITALIANSPED Se le spedizioni internazionali potrebbero, in via di principio, essere gestite come attività indipendenti, la logistica di magazzino e la distribuzione nazionale rappresentano il naturale completamento di tali attività. Da questo punto di vista, emerge una richiesta crescente da parte del mercato di un interlocutore che sappia integrarsi nel proprio sistema, con un’offerta completa ed in linea con le dinamiche riscontrate. Italiansped è da tempo operativa nel settore delle spedizioni internazionali via mare, su gomma e via aerea, accreditandosi come IATA ed offrendo ai propri clienti la gestione completa della spedizione (compresi i servizi di interpretazione e negoziazione dei sistemi di pagamento, di attivazione delle procedure doganali e, in ogni caso, di governo di tutti i processi richiesti ai soggetti esportatori e/o importatori di tutto il mondo, operanti prevalentemente nel settore dell’industria metalmeccanica e in quello del “fashion”). Accanto a questo ruolo consolidato, la società ha orientato il proprio sguardo, nel corso degli ultimi anni, verso un ruolo di “regia nella logistica”, investendo risorse crescenti in partnership finalizzate al completamento di una capillare rete distributiva, in particolare nelle direttrici del nord Italia. Con la regia delle attività logistiche, Italiansped ha acquisito il controllo della catena di distribuzione dei beni trasportati e la capacità di distribuire da 20 a 20mila km, in tempi certi ed a costi razionali. Tutta la catena “Spedizioni-Trasporto-Logistica” si trasforma, in questa chiave, in un circuito sempre più integrato ed efficiente che garantisce la massima qualità del servizio in termini di tempestività di risposta, puntualità e razionalizzazione dei costi; la scelta di crescere nell’ambito della logistica e una puntuale 46 ment of an external market, which will partially cover costs incurred for internal projects, thereby financing other SACMI projects. In this sense there is a growing demand in industry for partners who can integrate into their own systems and provide a comprehensive service that is in keeping with market dynamics. Italiansped has long-standing experience in international shipment by sea, road and air, is IATA-accredited and provides its customers with full shipping management services (interpretation and negotiation of payment systems, customs procedures, administration of all the procedures required of exporters and/or importers around the world, operating mainly in the engineering and fashion industries). To complement this established role, in recent years the company has turned its attention to “logistics management”, investing more and more resources in partnerships that allow completion of a far-reaching distribution network, especially across northern Italy. Through such logistics management, Italiansped has acquired effective control of the goods transport chain and is able to distribute at distances ranging from 20 to 20,000 kilometres, with delivery schedules customers can count on and at reasonable cost. The entire “Shipping-Transport-Logistics” chain is thus becoming an ever-more integrated, efficient circuit that ensures highest service quality in terms of responsiveness, punctuality and cost rationalization; improved market ranking and visibility also stems from the decision to expand the logistics role and integrate with customers’ IT systems. Further growth prospects are expected in 2015 thanks to new investment, both in skilled human resources and IT tools designed to streamline and fast-track information and so raise effectiveness. Future goals are, then, both qualitative – to improve services through innovation strategies, which begin with employee motivation and in-company involvement – and quantitative as we rise to the challenge of increasing volumes accounted for by third parties.
