Two acts have been published by the Italian Tax authorities in relation to the B2B electronic invoicing and the electronic submission of the daily considerations. Di Andrea Werner Beilin e Marco Ceriotti Con due provvedimenti direttoriali pubblicati il 28 ottobre 2016, l’Agenzia delle Entrate dà attuazione alle due discipline opzionali previste dal D.Lgs. 127/2015 ed esercitabili dal 1° gennaio 2017 concernenti rispettivamente: • la trasmissione telematica all’Agenzia delle Entrate dei dati delle fatture emesse e ricevute ex art. 1, comma 3 del D.Lgs 127/2015; • la memorizzazione elettronica e la trasmissione telematica all’Agenzia delle Entrate dei dati dei corrispettivi giornalieri da parte dei commercianti al minuto e soggetti assimilati ex art. 2, comma 1 del D.Lgs 127/2015. With two acts published on 28 October 2016, the Italian Tax Authorities implemented two optional regimes provided by Legislative Decree no. 127/2015, which can be exercised from 1 January 2017 and respectively concerning: • digital submission to the Italian Tax Authorities of the data concerning the invoices issued and received pursuant to art. 1, par. 3 of Legislative Decree 127/2015; • electronic memorization and digital submission to the Italian Tax Authorities of data referring to the daily collections of small retailers and similar entities pursuant to art. 2, par. 1 of Legislative Decree no. 127/2015. Si ricorda che si tratta di adempimenti opzionali per il contribuente (fatta eccezione per i soggetti passivi che effettuano cessioni di beni tramite distributori automatici nei confronti dei quali la trasmissione dei dati dei corrispettivi giornalieri sarà obbligatoria) ma, se posti in essere, comporteranno dei notevoli vantaggi. It should be noted that the fulfilment of these tasks is optional for taxpayers (except for taxpayers that sell goods through automatic distributors for whom submission of the data regarding the daily considerations is mandatory) but which would bring several advantages if implemented. Infatti, il D.Lgs 127/2015 ha previsto che i contribuenti che opteranno per la fatturazione elettronica cosiddetta “B2B” e, ove applicabile, anche per la trasmissione telematica dei dati dei corrispettivi giornalieri beneficeranno fra l’altro: • della esecuzione in via prioritaria del rimborso del credito IVA derivante dalla dichiarazione annuale, anche in assenza dei requisiti sanciti dall’articolo 30, d.P.R. 633/72; • della riduzione di un anno degli ordinari termini di accertamento sempre che i pagamenti siano effettuati tramite metodi tracciati in conformità a quanto previsto dal recente D.M. 4 agosto 2016 (la Commissione Finanze della Camera, in sede di conversione del D.L. 193/2016, sta attualmente discutendo se elevare da uno a due anni la riduzione degli ordinari termini di accertamento); Indeed, Legislative Decree no. 127/2015 provided that taxpayers who opt for the so-called “B2B” electronic invoicing and, where applicable, also for the digital submission of the data referring to the daily considerations will have the following advantages, among other things: • priority execution of VAT credit refunds pursuant to the annual declaration, even without fulfilment of the requirements set forth under article 30 of Presidential Decree 633/72; • reduction of the ordinary tax audit times by one year (it might be possible that the reduction will be two years according to the latest news), provided that the payments are made using trackable methods that are compliant with the recent Ministerial Decree of 4 August 2016; • dell’esonero dall’obbligo di trasmissione delle cc.dd. “Comunicazioni trimestrali dei dati delle fatture emesse e ricevute” introdotte dal recente D.L. 193/2016. • waiver of the obligation to transmit “Quarterly communications containing data regarding the invoices issued and received” as introduced by the recent Legislative Decree 193/2016. In merito a quest’ultimo adempimento (“Comunicazione trimestrale dei dati delle fatture emesse e ricevute”), si sottolinea che, qualora il D.L. 193/2016 venisse convertito in legge dal Parlamento senza modifiche, i contribuenti saranno obbligati (salvo esercizio delle richiamate opzioni) a comunicare analiticamente le fatture emesse e ricevute su base trimestrale nonché le liquidazioni periodiche IVA (per ulteriori dettagli si veda nostra TLS Newsalert del 27 ottobre 2016). Regarding the latter requirement (“Quarterly communications containing data regarding the invoices issued and received”), it is hereby noted that if Legislative Decree no. 193/2o16 is converted into law by the Parliament without amendments, taxpayers will be required (except if the aforementioned options are exercised) to communicate in detail the invoices issued and received every quarter, as well as the periodic VAT payment (for further details see our TLS Newsalert of 27 October 2016). Tale adempimento, che non garantirà gli effetti premiali sopra elencati, riservati solo ai contribuenti che opzionalmente adotteranno i regimi previsti dal D.Lgs. 127/2015, potrebbe rivelarsi particolarmente oneroso per il contribuente in termini di costi e adeguamento tecnologico. This action, which will not secure the abovementioned advantages, applied only to taxpayers who will optionally adopt the regimes set forth in Legislative Decree no. 127/2015, may turn out to be particularly onerous for taxpayers in terms of cost and technological adaptations. Infine, sempre ai sensi del recente D.L. 193/2016, i contribuenti che invieranno le fatture elettroniche ed i documenti informatici attraverso il Sistema di Interscambio (adempimento, come si vedrà nel seguito, strettamente connesso alla trasmissione telematica all’Agenzia delle Entrate dei dati delle fatture emesse e ricevute) dovrebbero essere esonerati dagli obblighi di conservazione elettronica secondo tempi e modalità da definirsi con provvedimento dell’Agenzia delle Entrate. Finally, again pursuant to the recent Legislative Decree 193/2016, taxpayers who will send their electronic invoices and digital documents through the Exchange System (which, as we will see below, is very closely connected to the digital submission of data contained in the invoices issued and received to the Italian Tax Authorities) would be exempted from the obligation to electronically archive the information, according to the times and procedures defined in a subsequent act that will be issued by the Italian Tax Authorities. Alla luce di quanto sopra, sono molteplici gli incentivi previsti dal legislatore per chi adotterà i richiamati regimi opzionali. I contribuenti sono quindi tenuti ad effettuare un’attenta analisi dei costi e dei benefici derivanti dalla adozione di tali regimi. In light of the above, the legislator has provided many incentives for those who opt to adopt the aforementioned optional regimes. Taxpayers are therefore advised to carry out a careful analysis of the costs and benefits of adopting such regimes. La trasmissione telematica all’Agenzia delle Entrate dei dati delle fatture emesse e ricevute ex art. 1, commi 2 e 3, del D.Lgs. 127/2015 Electronic submission to the Agency of the data concerning invoices issued and received pursuant to art. 1, par. 2 and 3, Legislative Decree no. 127/2015 In data 28 ottobre 2016 è stato pubblicato il provvedimento del Direttore dell’Agenzia delle Entrate n. 182070 che definisce le informazioni da trasmettere, le regole tecniche e i termini per l’esercizio dell’opzione di cui l’art. 1, commi 2 e 3, del D.Lgs 127/2015 (d’ora in poi anche il “Provvedimento n. 182070”). On 28 October 2016, act no. 182070 was issued by the Director of the Italian Tax Authorities, which defined the information to be transmitted, the technical rules and the terms and conditions for exercising the option provided under article 1, paragraphs 2 and 3, of Legislative Decree 127/2015 (hereinafter also “Act 182070”). Innanzitutto, il Provvedimento n. 182070 sancisce il 31 dicembre 2016 come termine per l’esercizio dell’opzione relativa all’anno 2017. I contribuenti che vorranno beneficiare degli effetti premiali previsti dal legislatore nel 2017 dovranno, quindi, esercitare l’opzione in modalità telematica, mediante i servizi messi a disposizione dall’Agenzia delle Entrate, entro fine anno. First of all, Act 182070 sets 31 December 2016 as the last date on which to exercise the option for 2017. Taxpayers who wish to receive the advantages provided by the legislator for 2017 must, therefore, exercise the option digitally, using the services provided by the Italian Tax Authorities by the end of the year. Come era già stato stabilito dal D.lgs n. 127/2015, il Provvedimento n. 182070 ribadisce che l’opzione vincola il contribuente per l’anno in cui ha inizio la trasmissione dei dati delle fatture e per i quattro anni solari successivi e, se non revocata entro il 31 dicembre dell’ultimo anno, si estenderà di quinquennio in quinquennio. As already established by Legislative Decree no. 127/2015, Act 182070 reiterates that the option binds the taxpayer for the year in which the submission of the invoice data begins and for the four subsequent calendar years and, if not revoked by the 31st of December of the last year, will be extended from five year period to five year period. L’esercizio dell’opzione comporta l’obbligo per il contribuente di trasmettere, distintamente, le informazioni di tutte le fatture emesse, delle fatture ricevute e registrate, delle bolle doganali e delle note di variazione con le seguenti tempistiche: Exercising the option carries the obligation of the taxpayer to transmit, separately, information and all the invoices issued, received and recorded, export declarations and amending notes as follows: Le informazioni dovranno essere trasmesse tramite un file .XML secondo le specifiche tecniche stabilite dal Provvedimento n. 182070. Sul punto, sarà possibile inviare un unico file .XML contenente i dati relativi a più fatture emesse o ricevute qualora facciano riferimento allo stesso cedente/prestatore e cessionario/committente. The information must be transmitted in an .XML file using the specific techniques established in Act 182070. To this end, it will be possible to send a single .XML file containing the data for several invoices issued or received if they refer to the same transferor/supplier and transferee/buyer. In merito al contenuto, il file .XML dovrà riportare sostanzialmente i requisiti formali imposti dalla normativa (e.g. dati del cedente, dati del cessionario, data, numero, imponibile, imposta) in formato numerico e alfanumerico. Per alcuni campi, inoltre, il contribuente dovrà inserire delle particolari codifiche previste dalle specifiche tecniche (ad esempio, si dovrà indicate TD01 nel campo “tipo documento” nel caso si tratti di una fattura). Regarding the contents, the .XML file must essentially fulfil all the official requirements of the law (e.g., transferor information, transferee information, date, number, taxable amount, tax) in numeric and alphanumeric format. Furthermore, in certain fields taxpayers will have to insert particular codes as provided by the technical specifications (for example, TD01 must be entered in the field “document type” if the document in question is an invoice). Il file .XML è una precisa scelta del legislatore atta ad incentivare l’utilizzo della fattura elettronica tramite il sistema di interscambio anche nei rapporti B2B (attualmente, infatti, l’emissione della fattura elettronica tramite il sistema di interscambio è obbligatoria solo per le fatture emesse nei confronti della pubblica amministrazione). The .XML file constitutes a specific choice of the legislator with which to provide an incentive to use electronic invoicing through the exchange system, including for B2B purposes (currently, issuing an electronic invoice through the exchange system is mandatory only for invoices of which public administration is the recipient). Infatti, l’accesso agli effetti premiali previsti dal D.Lgs. 127/2015 sarà particolarmente agevole per quei contribuenti che invieranno e riceveranno fatture elettroniche tramite il sistema di interscambio (quindi fatture elettroniche in formato .XML) in quanto gli stessi non dovranno effettuare alcuna conversione della fattura in quanto, come previsto dal punto 2.2. del Provvedimento, l’Agenzia delle Entrate sarà in grado di acquisire i dati delle fatture elettroniche e, perciò, non si renderà necessaria la trasmissione dei dati prevista dal sopraccitato art. 1, comma 3, del D.Lgs. 127/2015. Indeed, it will be easier to secure the advantages provided by Legislative Decree no. 127/2015 for those taxpayers who will send and receive electronic invoices to the exchange system (therefore, electronic invoices in .XML form) as they will not have to make any conversion to the invoice since, as provided by point 2.2 of the Act, the Italian Tax Authorities will be able to acquire the data from the electronic invoices and therefore, it will no longer be necessary to transmit the data required by the aforementioned art. 1, par. 3 of Legislative Decree no. 127/2015. Al contrario, i contribuenti che invieranno e riceveranno fatture elettroniche in un formato diverso dal .XML o fatture analogiche, per accedere agli effetti premiali dovranno convertirle in formato .XML secondo le specifiche tecniche stabilite dal Provvedimento n. 182070 e trasmetterle all’Agenzia delle Entrate. Conversely, taxpayers who will send and receive electronic invoices in a format other than .XML or similar invoices, will be required to convert them into .XML using the specific techniques established in Act 182070 and transmit them to the Italian Tax Authorities. La memorizzazione elettronica e la trasmissione telematica dei corrispettivi ex art. 2, comma 1, del D.Lgs. 127/2015 Electronic memorization and digital submission of the amounts of considerations pursuant to article 2, par. 1 of Legislative Decree 127/2015 In data 28 ottobre 2016 è stato pubblicato anche il provvedimento del Direttore dell’Agenzia delle Entrate n. 182017 (d’ora in poi anche il “Provvedimento n. 182017”) che definisce le modalità di opzione, i termini e le specifiche tecniche per la memorizzazione elettronica e la trasmissione telematica dei dati dei corrispettivi giornalieri per talune tipologie di contribuenti. On 28 October 2016, Act 182017 issued by the Director of the Italian Tax Authorities was issued (hereinafter also “Act 182017”) which defines the optional procedures, the terms and specific techniques for electronic memorization and digital submission of the daily collection amounts for each type of taxpayer. In particolare, a partire dall’1 gennaio 2017, i commercianti al minuto e soggetti assimilati ex art. 22, d.P.R. 633/1972 potranno esercitare l’opzione di memorizzazione elettronica e trasmissione telematica dei dati dei corrispettivi giornalieri con effetto dall’inizio dell’anno a valere per un quinquennio. Tale opzione si estende, salvo revoca, di cinque anni in cinque anni. In particular, starting from 1 January 2017, all retailers and similar entities pursuant to art. 22 of Presidential Decree 633/1972 will be able to exercise the option concerning electronic memorization and digital submission of the data regarding daily considerations, effective from the beginning of the year and for a period of five years. Unless revoked, this option will be extended from five year period to five year period. Similmente a quanto previsto per il regime telematico attinente alla fatturazione elettronica “B2B” (si veda il paragrafo sopra a commento del Provvedimento n. 182070), l’opzione deve essere esercitata entro il 31 dicembre dell’anno solare precedente a quello di memorizzazione e trasmissione dei dati (quindi, entro il 31 dicembre 2016, per poter iniziare già dal 2017). Similarly to the requirements for the digital regime concerning electronic “B2B” invoicing (see the paragraph above commenting on Act 182070) the option must be exercised by 31 December of the calendar year prior to the year concerning the memorization and submission of the data (therefore by 31 December 2016, for effectiveness to begin from 2017). La memorizzazione e la connessa trasmissione di tali dati, effettuata in conformità alla prescrizioni stabilite dal D.Lgs. 127/2015, sostituirà gli obblighi di registrazione dei corrispettivi di cui all’art. 24 del d.P.R. 633/1972, nonché il rilascio di scontrini e ricevute fiscali, fermo restando l’obbligo di emissione della fattura su richiesta del cliente, giusto il disposto normativo di cui all’art. 22, comma 1, del d.P.R. 633/72. The memorization and submission of this data, pursuant to the instructions set forth in Legislative Decree no. 127/2015, will replace the obligation for recording the amount in the considerations VAT ledger pursuant to art. 24 of Presidential Decree 633/1972, as well as the issuing of cash till receipts, notwithstanding the obligation to issue an invoice upon the request of the customer, pursuant to the contents of art. 22, par. 1 of Presidential Decree 633/72. Viene precisato, all’interno del Provvedimento n. 182017, che i contribuenti, nel caso in cui scelgano di memorizzare e trasmettere telematicamente i dati dei corrispettivi, dovranno dotarsi di un apposito strumento tecnologico: c.d. “Registratore Telematico”. It is specified within Act 182017 that, if they opt to memorize and transmit the data regarding the collection amount electronically, taxpayers will be required to procure a specific technological instrument: the so-called “Registratore Telematico”. Il Registratore Telematico è definito dalle specifiche tecniche allegate al Provvedimento come il “dispositivo dotato di modulo fiscale e capacità di trasmissione telematica, corredato di identificativo fiscale univoco ed in grado di leggere, memorizzare e trasmettere i dati a valenza fiscale”. The Registratore Telematico is defined by the technical specifications attached to the Act as: “the device containing a tax module that has the ability to telematically transmit with a unique tax identifier, and which is able to read, memorize and transmit tax information”. Il Registratore Telematico, pertanto, è costituito da componenti hardware e software atti a registrare, memorizzare in memorie permanenti ed inalterabili, elaborare, sigillare elettronicamente e trasmettere telematicamente i dati fiscali introdotti attraverso dispositivi di input (e.g. tastiere, palmari etc.). The Registratore Telematico is therefore composed of hardware and software components that can record, memorize in permanent and unchangeable memories, process, electronically sign and electronically transmit the tax data introduced through the input devices (e.g. keyboards, handheld devices, etc.). Da un punto di vista operativo, al momento della chiusura giornaliera, il Registratore Telematico genera uno specifico file XML, che rispetta la struttura definita all’interno delle specifiche tecniche allegate al Provvedimento, lo sigilla elettronicamente e lo trasmette telematicamente al sistema informativo dell’Agenzia delle Entrate. From an operational point of view, when the day’s business is concluded, the Registratore Telematico generates a specific .XML file that comply with the structure defined in the technical specifications attached to the Act, seal the file electronically and transmits it electronically to the Italian Tax Authorities information system. È importante evidenziare che il Registratore Telematico può essere utilizzato anche ai fini dell’emissione di fatture, anche semplificate, di cui agli articoli 21 e 21bis del d.P.R. 633/72 e può memorizzare e trasmettere telematicamente all’Agenzia delle Entrate i dati delle medesime fatture in ottemperanza alle disposizioni di cui all’art. 1, comma 3, del D.Lgs. n. 127/2015. It is important to note that the Registratore Telematico can be used also for issuing invoices, though simplified ones, pursuant to articles 21 and 21bis of Presidential Decree 633/72 and can memorize and electronically transmit to the Italian Tax Authorities the data contained in those invoices pursuant to the provisions of article 1, par. 3 of Legislative Decree 127/2015. Il Registratore Telematico sarà in grado, inoltre, di stampare anche i cc.dd. “documenti commerciali” definiti dal Decreto Ministeriale di cui all’articolo 2, comma 5, D.Lgs. 127/2015 (per esempio utili per poter detrarre particolari tipologie di spese rilevanti ai fini IRPEF). The Registratore Telematico will also be able to print the so-called “commercial documents” which are defined by the Ministerial Decree under article 2, paragraph 5 of Legislative Decree 127/2015 (for example, profits in order to deduct specific types of expenses which are significant for IRPEF purposes). È prevista la facoltà di integrare i Registratori Telematici con i dispositivi abilitati al trattamento del pagamento elettronico (c.d. dispositivi POS – Point of sale), purché le interazioni fra le componenti principali del Registratore Telematico e le componenti per il trattamento dei pagamenti elettronici non siano tali da inficiare la continuità operativa delle funzioni del modulo fiscale del Registratore Telematico. There is also the possibility of integrating the Registratore Telematico within the devices used for electronic payment (the so-called POS or Point of Sale devices), provided that the interactions between the main components of the Registratore Telematico and the components for the POS do not affect the operational continuity of the Registratore Telematico's tax module functions. All’interno del Provvedimento e delle specifiche tecniche in commento, è altresì prevista l’ipotesi in cui il contribuente, dotatosi di apposito Registratore Telematico, non eserciti l’opzione per la memorizzazione elettronica e la trasmissione telematica dei dati dei corrispettivi di cui all’articolo 2, comma 1, del D.Lgs. 127/2015. In questo caso, il Registratore Telematico potrà essere utilizzato come Registratore di cassa di cui alla Legge 18/1983 e all’art. 12, comma 1, della Legge 413/1991 con l’osservanza della relativa disciplina. The Act and technical specifications mentioned above also provide the option to taxpayers who have acquired the Registratore Telematico not to exercise the option for electronic memorization and submission of collection data pursuant to article 2, paragraph 1 of Legislative Decree 127/2015. In this case, the Registratore Telematico can be used as a Cash Register pursuant to Law 18/1983 and art. 12, paragraph 1 of Law 413/1991, with observance of the relative rules. Infine, viene consentito l’esercizio dell’opzione per la trasmissione telematica dei corrispettivi ex art 2, D.Lgs. 127/2015 anche a quei contribuenti che alla data dell’1 gennaio 2017 sono dotati di Registratori di cassa di cui alla Legge 18/1983 e all’art. 12, comma 1, della Legge 413/1991, previo adattamento degli stessi a Registratori Telematici secondo gli standard previsti dalle specifiche tecniche allegate al Provvedimento. Finally, the option for telematic submission of collection amounts pursuant to art. 2, Legislative Decree no. 127/2015 can also be exercised by those taxpayers who, as at 1 January 2017, are in possession of Cash Register pursuant to Law 18/1983 and art. 12, paragraph 1 of Law 413/1991, following adaptation of the latter so that they function as Registratore Telematico according to the standards set forth in the technical specifications attached to the Act. © 2016 TLS Associazione Professionale di Avvocati e Commercialisti.
