Account activity Interest, commission, expenses and taxes, which have been agreed upon or are standard, shall be credited or debited to the client immediately, monthly, quarterly, every six months or annually at the discretion of UBS. The current interest rates and commissions can be found in the relevant fee schedules/product factsheets available at any time. Changes may occur at any time due to changes in the market conditions and costs, respectively, by adjusting the fee schedules/product factsheets – in justified cases without prior notice; they will be communicated by appropriate means. Upon notification the client may in case of objection terminate the service affected by the change with immediate effect. If the client issues orders which exceed his available credit balance or limit, UBS may at its own discretion and irrespective of the date or time the orders are received, decide to which extent orders are, in full or in part, to be executed. 2. Accounts in foreign currencies UBS shall hold assets corresponding to the client's credit balances in foreign currency in the same currency within or outside the country of the currency concerned. The client shall bear proportionately to his share all economic and legal consequences which, as a result of measures taken by the authorities of such country, may affect any of UBS's assets in the country of the currency or investment concerned. UBS's obligations arising from accounts in foreign currencies shall be discharged at the place of business of the office at which the accounts are held by establishing a credit balance for the client at UBS's own branch, a correspondent bank or a bank named by the client in the country of the currency concerned. For current accounts in foreign currencies, UBS shall place the balance in the country of the currency concerned. 3. Crediting and debiting amounts in foreign currencies Amounts in foreign currencies shall be credited or debited in Swiss francs unless the client holds an account in the currency concerned or has issued instructions to the contrary in due time. If the client holds neither a Swiss francs account nor an account in the respective foreign currency, UBS may, at its own discretion, credit or debit the amounts concerned to any foreign currency account held by the client. 4. Bills of exchange, cheques and similar instruments If UBS has discounted or credited bills of exchange, cheques and similar instruments to the client, it shall be entitled to redebit the applicable amounts to the client in as much as the collection of funds subsequently fails. The same shall apply to paid cheques that are subsequently deemed lost, counterfeit or deficient. Notwithstanding the foregoing, all payment claims which arise from such instruments shall remain with UBS. 5. Lien and set-off UBS has a lien on all assets it holds in its own custody or elsewhere on behalf of the client, as well as on all claims the client has against UBS. UBS has the right to set off any claims the client may have against UBS against any claims accruing to UBS from its business relationship with the client, irrespective of the due date and currency of such claims. The foregoing shall also apply to any loans and credit facilities whether or not such loans are secured by specific collateral. In the event of default on the part of the client, UBS shall be entitled to realize the pledged assets either by forced or by private sale. 6. Verification of identity The client is obligated to store all his banking documents accurately to prevent unauthorized third parties from accessing the information contained therein. When issuing payment orders, the client shall observe all precautionary measures to reduce the risk of fraud. The client New Edition of General Terms and Conditions, January 2015 shall keep all codes secret and confidential in order to prevent misuse. Any losses or damages suffered due to any breach of these duties of care shall be borne by the client. UBS shall take appropriate measures to identify and prevent fraud. UBS shall be liable for any loss or damage suffered due to any failure on its part to exercise the appropriate standard of care and diligence customary in the business. Any loss or damage suffered other than through a breach of duty of care by UBS or the client shall be borne by the party to whose sphere of influence such loss or damage has to be allocated. 7. Incapacity of the agent The client shall inform UBS immediately in writing if the agent appointed by him becomes incapacitated or unable to act. If the client fails to notify UBS as aforesaid, any loss or damage arising from acts performed by the agent shall be borne by the client, unless UBS is in breach of the standard of care and diligence customary in the business. 8. Notifications The client shall keep UBS updated of his information provided to UBS, e.g. name, address, domicile, etc. Notifications from UBS shall be deemed to have been duly served if sent to the last known address provided by the client. 9. Compliance with law The client shall be responsible for complying with all laws and regulations applicable to him. This also includes his obligation to declare and pay taxes. 10. Default in the execution of orders In the event of loss or damage due to the incorrect execution or nonexecution of orders (with the exception of stock exchange orders), UBS shall be liable for loss of interest. The client shall inform UBS in advance of any further loss or damage likely to be suffered in any given instance. Should the client fail to do so, such loss or damage shall then be borne by the client. 11. Complaints The client shall raise any complaint in respect of the incorrect execution or non-execution of orders, or in respect of account or custody account statements or any other communications from UBS immediately upon receiving notice of the same, but no later than the period specified by UBS for raising such complaint, where applicable. In case the client fails to submit a timely complaint, he may breach his obligation to minimize any loss and may therefore be held liable for any resulting loss or damage. 12. Outsourcing of operations and services UBS may outsource operations and services to Group entities and third parties within Switzerland and abroad. In particular payment services, processing and safekeeping of securities and other financial instruments, compliance, data management, IT, back- and middleoffice services may be outsourced in whole or in part. Outsourcing may require the transfer of data to affiliated or third party service providers. All service providers are required to comply with respective confidentiality obligations. With regard to service providers located abroad, UBS only passes on data that does not refer to the identity of the client. 13. Data protection and banking secrecy UBS is obliged by law to treat data related to its business relationship with the client (hereinafter Client Data) as confidential. The client authorizes UBS to disclose Client Data to Group entities within Switzerland for business purposes. This applies in particular for the benefit of holistic and efficient client service delivery as well as information on the product offering across Group entities. The client releases UBS to this extent from its duty of confidentiality and data protection and waives bank client confidentiality. UBS will make sure that recipients of Client Data are bound by applicable confidentiality and data protection obligations. The client agrees that UBS is entitled to disclose Client Data in order to comply with legal or regulatory obligations as well as to safeguard Page 2 of 13 legitimate interests. This applies in particular to transactions relating to foreign countries insofar as applicable provisions demand disclosure, e.g. to custodian banks, central securities depositories, brokers, exchanges, repositories or authorities. 14. Profiling and marketing UBS may store, process and use Client Data and data from third party sources and create profiles therefrom. In particular they will be used by UBS and its Group entities to provide clients, where appropriate, with individual advice, tailored offers and information about UBS products and services as well as for market research, marketing and risk management purposes. Such data includes in particular: master data, financial data and client preferences. 15. Modification of conditions In justified cases UBS shall be entitled to modify the General Terms and Conditions at any time. UBS shall communicate such modifications in advance and in an appropriate manner. The amendments shall be deemed to have been accepted by the client unless an objection is raised in writing within one month of notification. In the event New Edition of General Terms and Conditions, January 2015 of objection the client shall be free to terminate the business relationship with immediate effect subject to special agreements. 16. Saturdays as public holidays In the business relationship with UBS, Saturdays shall be treated as public holidays. 17. Termination of the business relationships Either the client or UBS shall be entitled to terminate any existing business relationships with immediate effect and to terminate or call in any credit facility approved or drawn down unless otherwise agreed to in writing. If the client, after an appropriate grace period granted by UBS, fails to notify UBS where to transfer the assets and credit balances held with UBS, UBS shall be entitled to either deliver the assets physically or to liquidate them. UBS may, with the effect of discharging all its obligations towards the client, deposit the proceeds and any credit balances at the place designated by the court or may send a check to the client's last known address. Page 3 of 13 For ease of reference we have included an overview of the amendments in the General Terms and Conditions below. Article 12: Outsourcing of operations and services (amended article) This article was amended to reflect the forthcoming new UBS Group structure as well as the potential outsourcing of operations and services abroad. In alignment with the Swiss Financial Market Supervisory Authority (FINMA) Circular 2008 / 7 Outsourcing banks, this article contains a list of examples of operations and services. These may be outsourced in whole or in part. UBS will not transfer any data which may refer to the identity of the client to service providers located abroad. In particular state-of-the-art encryption and pseudonymisation techniques will be used. It is important to note that outsourcing within Switzerland may require the disclosure of such data to service providers. Such service providers are committed to maintain the applicable confidentiality obligations, in particular banking secrecy provisions. Article 13: Data protection and banking secrecy (new article) Section 1 clarifies the fact that UBS complies with the legal confidentiality obligations and is therefore obliged by law to treat data related to the business relationship with the client as confidential. Regarding the new UBS Group structure, section 2 grants UBS the right to exchange client data with UBS affiliates within Switzerland in order to provide holistic and efficient client services. For this business purpose the client releases UBS to this extent from the corresponding confidentiality and data protection obligations. UBS will make sure that data recipients are bound by respective confidentiality and data protection obligations. In section 3, the client authorizes UBS to disclose client data if it is required to do so in order to comply with legal or regulatory obligations or to safeguard its legitimate interests. Article 14: Profiling and marketing (new article) In order to continuously enhance the quality of our services, and taking into account the different needs of clients, this new article gives UBS the option to store, process and use client data and data from third-party sources and to create profiles therefrom. In particular, this will allow UBS and UBS Group entities to provide clients, where appropriate, with individual advice, tailored offers and information about UBS products and services. In addition, it may be used within UBS Group in Switzerland for market research and marketing as well as for risk management purposes. Article 15: Modification of conditions (new article) This article is included in our contracts as standard. For the sake of clarity, it has also been integrated in the General Terms and Conditions. The article allows UBS to modify the General Terms and Conditions in justified cases at any time in order to adapt to new circumstances. Clients will be informed about such modifications in advance and in an appropriate manner. It is assumed that the client agrees with the amendments unless an objection is raised within one month of notification. New Edition of General Terms and Conditions, January 2015 Page 4 of 13 Ausgabe Januar 2015 Allgemeine Geschäftsbedingungen Die Allgemeinen Geschäftsbedingungen (AGB) regeln die Geschäftsbeziehungen zwischen den Kunden und UBS AG (nachstehend UBS), soweit keine speziellen Vereinbarungen getroffen werden. 1. Kontoverkehr Die vereinbarten oder üblichen Zinsen, Kommissionen, Spesen und Steuern werden dem Kunden nach Wahl von UBS umgehend, monatlich, vierteljährlich, halbjährlich oder jährlich gutgeschrieben bzw. belastet. Die aktuellen Zins- und Kommissionsansätze richten sich nach jederzeit einsehbaren Listen/Produktemerkblättern. Änderungen sind jederzeit aufgrund veränderter Marktverhältnisse bzw. Kosten durch Anpassung der Listen/Produktemerkblätter möglich – in begründeten Fällen ohne Vorankündigung; sie werden in geeigneter Weise bekannt gemacht. Mit Bekanntgabe steht dem Kunden im Widerspruchsfall die umgehende Kündigung der von der Änderung betroffenen Dienstleistung zur Verfügung. Erteilt der Kunde Aufträge, die sein verfügbares Guthaben oder seinen Kredit übersteigen, kann UBS unabhängig vom Datum oder Zeitpunkt des Eingangs nach eigenem Ermessen bestimmen, inwieweit sie Aufträge ganz oder teilweise ausführt. 2. Fremdwährungskonti UBS legt die dem Kundenguthaben in fremder Währung entsprechenden Vermögenswerte in gleicher Währung innerhalb oder ausserhalb des Währungslandes an. Der Kunde trägt anteilsmässig die wirtschaftlichen und rechtlichen Folgen, die das gesamte Guthaben von UBS im Lande der Währung oder der Anlage durch behördliche Massnahmen treffen sollten. Bei Fremdwährungskonti erfüllt UBS ihre Verpflichtungen am Sitz der kontoführenden Geschäftsstelle, indem sie dem Kunden eine Gutschrift im Lande der Währung bei ihrer Zweigniederlassung, bei einer Korrespondenzbank oder bei der vom Kunden bezeichneten Bank verschafft. Bei Kontokorrentkonti in fremder Währung tätigt UBS die Gegenanlage im Lande der betreffenden Währung. 3. Gutschrift und Belastung von Fremdwährungsbeträgen Beträge in fremder Währung werden in Schweizer Franken gutgeschrieben oder belastet, ausser der Kunde besitzt ein Konto in der betreffenden Fremdwährung oder erteilt UBS rechtzeitig andere Weisungen. Verfügt der Kunde weder über ein Konto in Schweizer Franken noch über ein Konto in der entsprechenden Fremdwährung, kann UBS nach ihrer Wahl die Beträge einem Fremdwährungskonto des Kunden gutschreiben oder belasten. 4. Wechsel, Checks und ähnliche Papiere Hat UBS Wechsel, Checks und ähnliche Papiere diskontiert oder dem Kunden gutgeschrieben, kann sie dem Kunden die entsprechenden Beträge zurückbelasten, soweit das Inkasso in der Folge fehlschlägt. Dies gilt auch, wenn sich bereits bezahlte Checks nachträglich als abhandengekommen, gefälscht oder mangelhaft erweisen. Trotzdem verbleiben alle Zahlungsansprüche, die sich aus solchen Papieren ergeben, bei UBS. 5. Pfand- und Verrechnungsrecht UBS hat an allen Vermögenswerten, die sie auf Rechnung des Kunden bei sich oder anderswo aufbewahrt, wie auch an allen Forderungen des Kunden gegen sie ein Pfandrecht. UBS hat für ihre Ansprüche aus der Geschäftsbeziehung mit dem Kunden unabhängig von Fälligkeit und Währung ein Verrechnungsrecht an allen Forderungen des Kunden gegenüber UBS. Dies gilt auch für Kredite und Darlehen mit oder ohne spezielle Sicherheiten. UBS ist zur freien oder zwangsrechtlichen Verwertung der Pfänder berechtigt, sobald der Kunde mit seiner Leistung in Verzug ist. 6. Legitimationsprüfung Der Kunde hat seine Bankunterlagen sorgfältig aufzubewahren, damit Unbefugte nicht auf die darin enthaltenen Informationen zugreifen können. Erteilt er Zahlungsaufträge, so beachtet er alle Vorsichtsmassnahmen, welche das Risiko von Betrügereien vermindern. Codes hält er geheim, um Missbräuche zu verhindern. Schäden, die auf einer New Edition of General Terms and Conditions, January 2015 Verletzung dieser Sorgfaltspflichten beruhen, trägt der Kunde. UBS trifft angemessene Massnahmen, um Betrügereien zu erkennen und zu verhindern. Verletzt sie dabei die geschäftsübliche Sorgfalt, übernimmt sie den eingetretenen Schaden. Tritt ein Schaden ein, ohne dass UBS oder der Kunde ihre Sorgfalt verletzt haben, so trägt ihn diejenige Partei, deren Einflussbereich er zuzurechnen ist. 7. Handlungsunfähigkeit des Vertreters Der Kunde hat UBS sofort schriftlich zu informieren, sollte sein Vertreter handlungsunfähig werden. Andernfalls trägt der Kunde den aus den Handlungen des Vertreters entstehenden Schaden, ausser UBS hat die geschäftsübliche Sorgfalt verletzt. 8. Mitteilungen Der Kunde ist verpflichtet, UBS über seine der UBS gemachten Angaben, z.B. Namen, Adresse, Domizil etc., auf dem aktuellen Stand zu halten. Mitteilungen von UBS gelten als dem Kunden zugestellt, wenn sie an die letzte von ihm bekannt gegebene Zustelladresse verschickt wurden. 9. Einhaltung von Gesetzen Der Kunde ist für die Einhaltung der auf ihn anwendbaren gesetzlichen und regulatorischen Bestimmungen verantwortlich. Dies beinhaltet unter anderem auch die Verpflichtung zur Steuerdeklaration und Zahlung. 10. Mangelhafte Ausführung von Aufträgen Werden Aufträge (ausgenommen Börsenaufträge) mangelhaft oder nicht ausgeführt und entsteht ein Schaden, haftet UBS für den Zinsausfall. Droht im Einzelfall ein darüber hinausgehender Schaden, muss der Kunde UBS vorgängig auf diese Gefahr hinweisen. Andernfalls trägt er diesen Schaden. 11. Beanstandungen Will der Kunde geltend machen, dass Aufträge mangelhaft oder nicht ausgeführt wurden, oder Konto-/Depotauszüge oder andere Mitteilungen von UBS beanstanden, muss er dies sofort nach Empfang der entsprechenden Anzeige, spätestens aber innert einer von UBS allenfalls angesetzten Frist vorbringen. Vom Kunden nicht rechtzeitig erfolgte Beanstandungen können dazu führen, dass er die ihm obliegende Schadensminderungspflicht verletzt und er für den hieraus entstehenden Schaden einzustehen hat. 12. Auslagerung von Geschäftsbereichen und Dienstleistungen UBS kann Geschäftsbereiche und Dienstleistungen an Konzerngesellschaften und Drittparteien innerhalb der Schweiz und ins Ausland auslagern. Dies betrifft im Besonderen Zahlungsverkehr, Verarbeitung und Verwahrung von Wertpapieren und anderen Finanzinstrumenten, Compliance, Datenbewirtschaftung, IT sowie Back- und Middle-Office Dienstleistungen, welche im Ganzen oder in Teilen ausgelagert werden können. Im Rahmen der Auslagerung kann es vorkommen, dass Daten an konzerninterne oder externe Dienstleistungserbringer übermittelt werden müssen. Sämtliche Dienstleistungserbringer sind an entsprechende Vertraulichkeitsbestimmungen gebunden. Falls ein Dienstleistungserbringer im Ausland ansässig ist, übermittelt UBS nur solche Daten, welche keinen Rückschluss auf die Identität des Kunden zulassen. 13. Datenschutz und Bankkundengeheimnis UBS untersteht gesetzlichen Pflichten zur Geheimhaltung von Daten, welche die Geschäftsbeziehung mit dem Kunden betreffen (nachstehend Kundendaten). Der Kunde erlaubt UBS, Kundendaten zu Geschäftszwecken an Konzerngesellschaften in der Schweiz bekannt zu geben. Dies erfolgt insbesondere zum Zweck einer umfassenden und effizienten Kundenbetreuung sowie der Information über das Dienstleistungsangebot von Konzerngesellschaften. Der Kunde entbindet UBS in diesem Umfang von der Pflicht zur Wahrung des Bankkundengeheimnisses und des Datenschutzes. UBS stellt sicher, dass die Empfänger von Kundendaten an entsprechende Geheimhaltungs- und DatenPage 5 of 13 schutzpflichten gebunden sind. Der Kunde ist damit einverstanden, dass Kundendaten von UBS zur Erfüllung gesetzlicher oder regulatorischer Auskunftspflichten sowie zur Wahrung berechtigter Interessen offengelegt werden dürfen. Dies gilt beispielsweise für Transaktionen mit Auslandsbezug, bei welchen die zur Anwendung gelangenden gesetzlichen Bestimmungen eine Offenlegung erfordern, z.B. gegenüber Dritt- und Zentralverwahrern, Brokern, Börsen, Registern oder Behörden. 14. Profilbildung und Marketing UBS ist ermächtigt, Kundendaten und Daten von Drittquellen zu speichern, zu bearbeiten und zu nutzen und daraus Profile zu erstellen. Diese werden von UBS und ihren Konzerngesellschaften insbesondere genutzt, um dem Kunden gegebenenfalls individuelle Beratung, massgeschneiderte Angebote sowie Informationen über UBSProdukte und -Dienstleistungen zur Verfügung zu stellen sowie für Marktforschungs-, Marketing- und Risikomanagementzwecke. Dies betrifft insbesondere folgende Daten: Stammdaten, Finanzdaten und Kundenbedürfnisse. 15. Änderungen der Bedingungen UBS steht in begründeten Fällen das Recht zu, die Allgemeinen Geschäftsbedingungen jederzeit zu ändern. Dabei obliegt es UBS, die Änderungen vorgängig und in geeigneter Weise bekannt zu geben. New Edition of General Terms and Conditions, January 2015 Ohne schriftlichen Widerspruch innert Monatsfrist seit Bekanntgabe gelten die Änderungen als genehmigt. Im Widerspruchsfall steht es dem Kunden frei, die Geschäftsbeziehung mit sofortiger Wirkung zu kündigen. Vorbehalten bleiben spezielle Vereinbarungen. 16. Gleichstellung der Samstage mit Feiertagen Samstage sind im Geschäftsverkehr mit UBS einem staatlich anerkannten Feiertag gleichgestellt. 17. Kündigung der Geschäftsbeziehungen Der Kunde und UBS können mit sofortiger Wirkung bestehende Geschäftsbeziehungen aufheben sowie zugesagte oder benützte Kredite kündigen, sofern nicht schriftlich etwas anderes vereinbart wurde. Unterlässt der Kunde auch nach einer von UBS angesetzten angemessenen Nachfrist, ihr mitzuteilen, wohin die vom Kunden bei UBS hinterlegten Vermögenswerte und Guthaben zu transferieren sind, kann UBS die Vermögenswerte physisch ausliefern oder sie liquidieren. Den Erlös sowie die noch vorhandenen Guthaben des Kunden kann UBS mit befreiender Wirkung am vom Richter bezeichneten Ort hinterlegen oder in Form eines Checks an die letztbekannte Zustelladresse des Kunden senden. Page 6 of 13 Nachfolgend finden Sie eine tabellarische Übersicht über diejenigen Bestimmungen, welche in den Allgemeinen Geschäftsbedingungen geändert wurden. Artikel 12: Auslagerung von Geschäftsbereichen und Dienstleistungen (angepasster Artikel) Dieser Artikel wurde angepasst, um der bevorstehenden neuen UBSKonzernstruktur sowie allfälligen Auslagerungen von Geschäftsbereichen und Dienstleistungen ins Ausland Rechnung zu tragen. Im Einklang mit dem Rundschreiben 2008 / 7 der Eidgenössische Finanzmarktaufsicht (FINMA), Outsourcing Banken, findet sich in dieser Klausel eine beispielhafte Auflistung möglicher Geschäftsbereiche und Dienstleistungen, welche teilweise oder im Ganzen ausgelagert werden können. UBS wird keine Daten an Dienstleistungserbringer im Ausland übermitteln, die einen Rückschluss auf die Identität der Kunden zulassen. Es werden dem Stand der Technik entsprechende Verschlüsselungs- und Pseudonymisierungsverfahren angewendet. Es ist jedoch darauf hinzuweisen, dass es bei einer Auslagerung innerhalb der Schweiz zu einer Offenlegung von solchen Daten gegenüber Dienstleistungserbringern kommen kann. Diese Dienstleistungserbringer sind den anwendbaren Vertraulichkeitsbestimmungen, insbesondere dem Bankkundengeheimnis, unterworfen. Artikel 13: Datenschutz und Bankkundengeheimnis (neuer Artikel) In Absatz 1 dieser Bestimmung wird klargestellt, dass UBS gesetzlichen Geheimhaltungspflichten untersteht und demnach verpflichtet ist, Daten, welche die Geschäftsbeziehung mit den Kunden betreffen, vertraulich zu behandeln. Mit Blick auf die bevorstehende neue UBS-Konzernstruktur wird UBS in Absatz 2 neu das Recht eingeräumt, zur Erbringung umfassender und effizienter Dienstleistungen Kundendaten innerhalb des UBS-Konzerns in der Schweiz auszutauschen. Für diesen Geschäftszweck und in diesem Umfang entbinden die Kunden UBS von den entsprechenden Geheimhaltungs- und Datenschutzpflichten. UBS stellt sicher, dass die Datenempfänger an entsprechende Geheimhaltungs- und Datenschutzpflichten gebunden sind. In Absatz 3 ermächtigt der Kunde UBS, Kundendaten offenzulegen, falls dies zur Erfüllung gesetzlicher oder regulatorischer Auskunftspflichten sowie zur Wahrung ihrer berechtigten Interessen erforderlich ist. Insofern entbinden die Kunden UBS in diesem Umfang von entsprechenden Geheimhaltungs- und Datenschutzpflichten. Artikel 14: Profilbildung und Marketing (neuer Artikel) Um Dienstleistungen kontinuierlich zu verbessern und unterschiedlichen Kundenbedürfnissen Rechnung tragen zu können, stellt dieser Artikel klar, dass UBS Kundendaten sowie Daten von Drittquellen speichern, bearbeiten und nutzen sowie daraus Profile erstellen darf. Im Besonderen ermöglicht dies UBS und UBS-Konzerngesellschaften, Kunden gegebenenfalls massgeschneiderte Angebote, individuelle Beratung sowie Informationen zu Produkten und Dienstleistungen zur Verfügung stellen zu können. Zudem können diese innerhalb des UBS-Konzerns in der Schweiz zu Marktforschungs- und Marketingzwecken sowie für das Risikomanagement genutzt werden. Artikel 15: Änderungen der Bedingungen (neuer Artikel) Diese Bestimmung, welche standardmässig in unsere Verträge integriert ist, wurde der Klarheit halber nun auch in die Allgemeinen Geschäftsbedingungen aufgenommen. Sie ermöglicht UBS, die Allgemeinen Geschäftsbedingungen aus berechtigten Gründen jederzeit abzuändern und neuen Gegebenheiten anzupassen. Die Kunden werden vorgängig und in geeigneter Weise über derartige Änderungen informiert. Es wird davon ausgegangen, dass die Änderungen von den Kunden akzeptiert werden, falls sich diese nicht innert Monatsfrist seit Bekanntgabe dagegen aussprechen. New Edition of General Terms and Conditions, January 2015 Page 7 of 13 Edition janvier 2015 Conditions générales Sauf convention particulière, les Conditions générales (CG) règlent les relations d'affaires entre le client et UBS SA (ci-après UBS). 1. Opérations liées à un compte UBS crédite ou débite sans attendre les intérêts, commissions et frais convenus ou usuels, ainsi que les impôts dus et ce, à son choix chaque mois, trimestre, semestre ou année. Les taux d'intérêt et de commissions en vigueur ressortent des listes et fiches de produits consultables en tout temps. Afin de tenir compte de changements des conditions et coûts du marché, UBS est en droit d'apporter des modifications en tout temps en adaptant lesdites listes et fiches de produits – lorsque les circonstances le justifient, ces modifications peuvent intervenir sans préavis. Les modifications seront communiquées de façon appropriée. Lors de la communication, le client qui conteste la modification a la possibilité de résilier la prestation concernée avec effet immédiat. Si le client donne des ordres dépassant son avoir disponible ou sa ligne de crédit, UBS peut déterminer à son gré la mesure dans laquelle elle exécute les ordres entièrement ou en partie, indépendamment de la date de ces ordres ou de leur réception par la banque. 2. Comptes en monnaies étrangères UBS place les actifs correspondant aux avoirs du client en monnaies étrangères dans ces mêmes monnaies, soit dans le pays de la monnaie concernée, soit hors de celui-ci. Le client supporte, proportionnellement à sa part, les conséquences économiques et juridiques susceptibles d'affecter l'ensemble des actifs d'UBS dans le pays de la monnaie ou du placement visés du fait de mesures prises par les autorités du pays en question. Dans le cas de comptes en monnaies étrangères, UBS remplit ses obligations à l'agence où ces comptes sont tenus et ce, en passant en faveur du client une écriture de crédit dans le pays de la monnaie auprès de sa succursale, d'une banque correspondante ou de la banque désignée par le client. S'agissant des comptes courants en monnaies étrangères, les fonds servant de contrepartie sont investis dans le pays où la monnaie en question a cours légal. 3. Crédit et débit de montants en monnaies étrangères Les montants en monnaies étrangères sont crédités ou débités en francs suisses, sauf si le client possède un compte dans la monnaie considérée ou a donné des instructions contraires en temps utile. Si le client ne possède ni un compte en francs suisses ni un compte dans la monnaie étrangère correspondante, UBS peut à son gré créditer ou débiter ces montants sur un compte en monnaie étrangère du client. 4. Effets de change, chèques et autres titres similaires Lorsqu'UBS a crédité ou débité au client des effets de change, des chèques et d'autres titres similaires, elle peut extourner les montants correspondants si l'encaissement s'avère impossible. Il en va de même quand des chèques déjà payés sont par la suite égarés, falsifiés ou se révèlent incomplets. Néanmoins, UBS conserve toutes les prétentions résultant de ces titres. 5. Droits de gage et de compensation UBS dispose d'un droit de gage sur toutes les valeurs patrimoniales déposées chez elle ou chez un tiers pour le compte du client ainsi que sur toutes les prétentions du client fondées contre elle. Pour ses prétentions à l'encontre du client résultant de la relation d'affaires avec ce dernier, UBS dispose par ailleurs d'un droit de compensation sur l'ensemble des prétentions du client à son égard, indépendamment de l'échéance et de la monnaie. Il en va de même pour les crédits et les prêts accordés contre des garanties spéciales ou sans garantie. Dès que le client est en demeure, UBS est habilitée à procéder à la vente de gré à gré ou à la réalisation forcée des gages. 6. Vérification en matière de légitimation Le client est tenu de conserver soigneusement ses documents bancaires afin qu'aucun tiers non autorisé ne puisse avoir accès aux informations qu'ils contiennent. Lorsqu'il donne des ordres de paiement, le client est tenu de respecter toutes les mesures de précaution New Edition of General Terms and Conditions, January 2015 permettant de réduire le risque d'utilisation abusive. Il s'engage à ne pas communiquer les codes afin d'éviter des abus. Le client répond des dommages découlant d'une violation de ces obligations de diligence. UBS prend des mesures appropriées afin de déceler et d'empêcher les utilisations abusives. Si elle viole le devoir de diligence usuel dans la profession, elle répond des dommages survenus. Si un dommage survient sans violation du devoir de diligence par UBS ou par le client, la partie dont le domaine d'influence peut être considéré comme responsable du dommage devra répondre de ce dernier. 7. Incapacité du représentant Le client est tenu d'informer immédiatement UBS par écrit de toute incapacité de son représentant. Dans le cas contraire, le client devra répondre de tout dommage découlant des agissements du représentant, à moins qu'UBS ait manqué au devoir de diligence usuel dans la profession. 8. Communications Le client s'engage à actualiser les informations le concernant fournies à UBS telles que, notamment, noms, adresse, domicile, etc. Les communications d'UBS sont réputées transmises au client dès lors qu'elles ont été envoyées à la dernière adresse d'expédition indiquée par celui-ci. 9. Respect des lois Le client est responsable du respect des dispositions légales et réglementaires qui lui sont applicables. Cela inclut aussi entre autres l'obligation de déclaration fiscale et de paiement. 10. Exécution d'ordres incomplète En cas de dommage résultant de la non-exécution d'un ordre ou de son exécution incomplète (à l'exception des ordres de Bourse), UBS répond de la perte d'intérêts. Si le dommage potentiel est susceptible de dépasser ce cadre, le client doit en informer UBS au préalable, à défaut de quoi il répond dudit dommage. 11. Réclamations Si le client entend contester la mauvaise exécution ou la nonexécution d'ordres, contester des relevés de compte/de dépôt ou d'autres communications d'UBS, il doit le faire dès réception de l'avis correspondant mais au plus tard dans le délai fixé par UBS. Si les réclamations du client n'interviennent pas dans les temps, il se peut que ce dernier ne respecte pas son obligation de minimiser le dommage subi et qu'il ait à en supporter les conséquences. 12. Externalisation d'activités et de services UBS peut externaliser des activités et des services à des sociétés du groupe et à des parties tierces sises en Suisse et à l'étranger. Cela concerne en particulier le trafic des paiements, le traitement et la conservation de titres et autres instruments financiers, la compliance, la gestion des données, l'informatique ainsi que les services de back office et de middle office, qui peuvent faire l'objet d'une externalisation complète ou partielle. Une telle externalisation peut requérir la transmission de données à des prestataires de services internes au groupe ou externes. Tous les prestataires de services sont soumis aux obligations de confidentialité appropriées. Si de tels prestataires de services sont sis à l'étranger, UBS divulgue uniquement des données qui ne se réfèrent pas à l'identité du client. 13. Protection des données et secret bancaire UBS est soumise aux obligations légales de confidentialité des données qui concernent la relation d'affaires avec le client (ci-après données clients). Le client autorise UBS à communiquer aux sociétés du groupe en Suisse des données clients à des fins commerciales. Ceci a en particulier pour but un suivi complet et efficient du client, ainsi que d'informer le client de l'offre de services proposée par les sociétés du groupe. Dans ce contexte, le client délie UBS de l'obligation de respecter le secret bancaire et de protéger les données. UBS veille à ce que les destinataires des données clients soient soumis aux obligations de confidentialité et de protection des données correspondantes. Page 8 of 13 Le client accepte qu'UBS divulgue des données clients afin de se conformer à ses obligations légales ou réglementaires, ainsi que pour préserver ses intérêts légitimes. Cela vaut en particulier pour les transactions à composante internationale dans la mesure où la législation applicable requiert la divulgation de telles données, par exemple à des banques dépositaires, dépositaires centraux, courtiers, bourses, registres ou à des autorités. 14. Etablissement de profils et marketing UBS a le droit d'enregistrer, de traiter et d'utiliser des données clients UBS et des données de sources tierces et d'établir des profils sur la base de ces données. UBS et les sociétés du groupe sont en droit de les utiliser en particulier afin de fournir aux clients, le cas échéant, un conseil personnalisé, des offres sur mesure, ainsi que des informations sur les produits et services UBS. Elles pourront également les utiliser à des fins publicitaires ou d'études de marché, ainsi que dans le cadre de la gestion des risques. Il s'agit notamment des données suivantes: données de base, financières, et relatives aux besoins des clients. 15. Modification des conditions UBS a le droit de modifier les Conditions générales en tout temps lorsque les circonstances le justifient. Dans ce cas, il incombe à UBS de New Edition of General Terms and Conditions, January 2015 communiquer les modifications préalablement et de manière appropriée. Les modifications sont réputées être acceptées à défaut de contestation écrite dans le délai d'un mois dès leur communication. En cas de contestation, le client est libre de résilier la relation d'affaires avec effet immédiat, sous réserve de conventions spéciales. 16. Assimilation du samedi à un jour férié Dans les relations avec UBS, le samedi est assimilé à un jour férié officiel. 17. Résiliation des relations d'affaires Le client et UBS peuvent cesser leurs relations d'affaires avec effet immédiat et, en particulier, annuler des crédits promis ou utilisés, sauf convention contraire établie par écrit. Si, même après un délai raisonnable supplémentaire fixé par UBS, le client omet de lui indiquer où transférer les valeurs patrimoniales et avoirs déposés chez UBS par le client, UBS peut livrer physiquement les valeurs patrimoniales ou les liquider. UBS peut déposer le produit et les avoirs encore disponibles du client à l'endroit désigné par le juge, avec effet libératoire, ou les envoyer, sous forme d'un chèque, à la dernière adresse d'expédition connue du client. Page 9 of 13 Vous trouverez ci-dessous un aperçu sous forme de tableau des dispositions qui ont été modifiées dans les Conditions générales. Article 12: Externalisation d’activités et de services (article modifié) Cet article a été modifié pour prendre en compte la future nouvelle structure du groupe UBS et des éventuelles externalisations d’activités et de services à l’étranger. En ligne avec la circulaire 2008 / 7 de l’Autorité fédérale de surveillance des marchés (FINMA) – Externalisation par les banques –, cette clause comprend une liste exemplative des activités et services qu’il est possible d’externaliser en partie ou en intégralité. UBS ne divulguera aucune donnée à des prestataires de services à l’étranger qui pourrait permettre à ces derniers d’identifier le client. Des outils de pointe en matière de techniques de cryptage et de pseudonymisation seront en particulier utilisés. Toutefois, il convient de noter qu’une externalisation en Suisse peut donner lieu à une divulgation de telles données à des prestataires de services. Ces derniers sont soumis aux obligations de confidentialité applicables, en particulier au secret bancaire. Article 13: Protection des données et secret bancaire (nouvel article) L’alinéa 1 de cette disposition précise qu’UBS est soumise à des obligations de confidentialité et qu’elle doit par conséquent traiter de manière confidentielle les données concernant sa relation d’affaires avec les clients. Au vu de la future nouvelle structure du groupe UBS, l’alinéa 2 confère désormais à UBS le droit d’échanger des données clients au sein du groupe UBS en Suisse pour garantir la prestation de services complets et efficients. A ces fins commerciales et dans ce cadre, les clients délient UBS de ses obligations de confidentialité et de protection des données y relatives. UBS s’assure que les destinataires des données soient soumis à ces obligations de confidentialité et de protection des données. En vertu de l’alinéa 3, le client autorise UBS à divulguer des données clients dans la mesure où cela est requis pour permettre à UBS de respecter ses obligations légales ou réglementaires ainsi que pour préserver ses intérêts légitimes. Les clients délient UBS de ses obligations de confidentialité et de protection des données y relatives. Article 14: Etablissement de profils et marketing (nouvel article) Afin d’améliorer continuellement les services et de répondre aux différents besoins des clients, cet article stipule qu’UBS a le droit d’enregistrer, de traiter et d’utiliser des données clients UBS et des données de sources tierces ainsi que d’établir des profils sur la base de ces données. Cet article permet à UBS et aux sociétés du groupe UBS de les utiliser en particulier afin de fournir aux clients, le cas échéant, un conseil personnalisé, des offres sur mesure ainsi que des informations sur les produits et services UBS. UBS et les sociétés du groupe UBS pourront également les utiliser en Suisse à des fins publicitaires ou d’études de marché, ainsi que dans le cadre de la gestion des risques. Article 15: Modification des conditions (nouvel article) Cette disposition, intégrée de façon standard dans nos contrats, a également été reprise dans les Conditions générales pour des raisons de clarté. Elle permet à UBS de modifier à tout moment les Conditions générales pour des motifs justifiés afin de les adapter à de nouvelles circonstances. Dans ce cas, les clients sont dûment et préalablement informés de telles modifications. Les modifications sont réputées acceptées par le client si celui-ci ne les conteste pas dans un délai d’un mois dès leur communication. New Edition of General Terms and Conditions, January 2015 Page 10 of 13 Edizione gennaio 2015 Condizioni generali Le Condizioni generali (CG) disciplinano le relazioni d'affari tra il cliente e UBS SA (in seguito UBS), salvo siano state stipulate convenzioni particolari. 1. Movimenti di conto UBS accredita o addebita al cliente commissioni, spese, imposte e interessi usuali o concordati, immediatamente, mensilmente, trimestralmente, semestralmente o annualmente a propria scelta. I tassi d'interesse e le commissioni in vigore risultano dalle liste e dai prospetti dei prodotti che sono consultabili in qualsiasi momento. Modifiche in ragione di cambiamenti delle condizioni di mercato rispettivamente dei costi sono possibili in qualsiasi momento mediante l'adattamento delle liste/dei prospetti dei prodotti. In giustificate circostanze le modifiche possono intervenire senza preavviso. Le modifiche sono divulgate secondo appropriate modalità. Con la loro divulgazione il cliente ha, in caso di opposizione, la facoltà di disdire immediatamente il servizio interessato dalla modifica. Se un cliente impartisce diversi ordini, il cui ammontare sorpassa l'avere a disposizione oppure il limite di credito, UBS, a suo esclusivo giudizio, ha il diritto di decidere se eseguire totalmente o parzialmente gli ordini, e ciò a prescindere dalla data o dal momento della loro ricezione. 2. Conti in valuta estera UBS investe i valori patrimoniali corrispondenti agli averi dei clienti in valuta estera nella medesima valuta all'interno o all'esterno del paese di emissione della stessa. Il cliente prenderà a proprio carico, in misura proporzionale alla sua quota, tutte le conseguenze economiche e legali che potrebbero avere un'incidenza sull'insieme degli attivi di UBS nel paese di emissione della valuta o nel paese in cui l'investimento stesso è avvenuto, in seguito a provvedimenti presi dalle rispettive autorità. UBS adempie i propri impegni derivanti da conti in moneta estera esclusivamente al domicilio della filiale che gestisce i conti, mediante accredito nel paese di emissione della valuta presso la propria filiale, una banca corrispondente o una banca designata dal cliente. In caso di conti correnti in valuta estera, UBS investe la contropartita nel corrispondente paese di emissione. 3. Accrediti e addebiti di importi in valuta estera Gli accrediti e gli addebiti di importi in valuta estera sono effettuati in franchi svizzeri, a meno che il cliente abbia impartito a UBS tempestivamente istruzioni contrarie o sia titolare di un conto nella corrispondente valuta estera. Se il cliente non dispone di un conto in franchi svizzeri né di un conto nella corrispondente valuta estera, UBS potrà accreditare o addebitare gli importi a propria discrezione su un conto in valuta estera del cliente. 4. Cambiali, assegni e titoli analoghi UBS ha la facoltà di riaddebitare al cliente cambiali, assegni e titoli analoghi già scontati o accreditati, qualora l'incasso non vada a buon fine. Questo vale anche quando gli assegni già pagati risultino in seguito smarriti, falsificati o incompleti. Tuttavia, UBS conserva tutte le pretese di pagamento che risultano da detti titoli. 5. Diritto di pegno e di compensazione UBS ha un diritto di pegno su tutti i valori patrimoniali depositati presso di lei o altrove per conto del cliente e su tutte le pretese avanzate dal cliente nei suoi confronti. Per le sue pretese derivanti dalla relazione d'affari con il cliente, UBS ha altresì un diritto di compensazione su tutti i crediti del cliente nei suoi confronti, indipendentemente dall'esigibilità e dalla valuta. In caso di mora del cliente, è facoltà di UBS realizzare il pegno in via esecutiva o liberamente. 6. Verifica della legittimazione Il cliente deve conservare con cura la propria documentazione bancaria, per evitare che terzi non autorizzati accedano alle informazioni ivi contenute. In caso di conferimento di ordini di pagamento, è necessario osservare tutte le misure preventive che riducono il rischio di truffe. I codici vanno mantenuti segreti al fine di impedire gli abusi. I danni che derivano dalla violazione dei presenti obblighi di diligenza New Edition of General Terms and Conditions, January 2015 saranno a carico del cliente. UBS prende misure adeguate a individuare e impedire le truffe. Tuttavia, qualora venisse meno all'usuale obbligo di diligenza, sosterrà i danni che ne deriveranno. Nel caso si verifichi un danno, senza che UBS o il cliente abbiano violato il proprio obbligo di diligenza, ne sarà responsabile la parte alla cui sfera d'influenza tale sinistro sia ascrivibile. 7. Incapacità di agire del rappresentante Il cliente dovrà informare immediatamente UBS per iscritto qualora il suo rappresentante perdesse la capacità di agire. In caso contrario sosterrà i danni derivanti dalle azioni del suo rappresentante, salvo che UBS abbia violato l'usuale obbligo di diligenza. 8. Comunicazioni Il cliente è tenuto a mantenere aggiornate le informazioni fornite a UBS, quali ad esempio nome, indirizzo, domicilio, eccetera. Le comunicazioni di UBS sono considerate trasmesse al cliente una volta spedite all'ultimo indirizzo indicato dallo stesso. 9. Rispetto delle leggi Il cliente è responsabile dell'osservanza delle disposizioni legali e regolamentari a lui applicabili. Ciò comprende, fra l'altro, anche l'obbligo di dichiarare le imposte e di pagarle. 10. Carente esecuzione degli ordini Nel caso in cui un'esecuzione carente o mancata di ordini (ad eccezione di ordini di borsa) dovesse cagionare un danno, UBS risponde della perdita degli interessi. Se nel singolo caso sussiste il rischio di un danno conseguente, il cliente deve avvisare preventivamente UBS in merito a tale pericolo. In caso contrario ne sosterrà il danno. 11. Reclami Eventuali rivalse del cliente per la carente o mancata esecuzione degli ordini o eventuali reclami inerenti a estratti conto/deposito o a qualsiasi altra comunicazione di UBS devono essere presentati contestualmente alla ricezione del rispettivo avviso ma, al più tardi, entro l'eventuale termine fissato da UBS. Le contestazioni non sollevate tempestivamente dal cliente possono comportare una violazione del suo obbligo di ridurre il danno e il cliente dovrà rispondere del danno che ne deriva. 12. Esternalizzazione di campi di attività e servizi UBS è libera di affidare a società del gruppo e a terzi, sia in Svizzera sia all'estero, campi di attività e servizi. Ciò riguarda in particolare il traffico dei pagamenti, l'elaborazione e la custodia di titoli e altri strumenti finanziari, la Compliance, la gestione dei dati, i servizi IT e back e middle office, che possono essere esternalizzati in toto o in parte. Nell'ambito dell'esternalizzazione può accadere che i dati debbano essere trasmessi a fornitori di servizi interni al gruppo o esterni. Tutti i fornitori di servizi sono tenuti al rispetto delle disposizioni applicabili in materia di riservatezza. Se un fornitore di servizi è residente all'estero, UBS trasmette solo quei dati che non permettono in alcun modo di risalire all'identità del cliente. 13. Protezione dei dati e segreto bancario UBS è soggetta agli obblighi di segretezza imposti dalla legge in relazione ai dati che riguardano la relazione d'affari con il cliente (in seguito dati del cliente). Il cliente autorizza UBS a rendere noti i dati del cliente alle società del gruppo in Svizzera a scopi aziendali. Ciò avviene in particolare allo scopo di fornire un'assistenza al cliente completa ed efficiente così come a scopo di informazione in merito all'offerta di servizi delle società del gruppo. Il cliente svincola UBS in tale ambito dall'obbligo dell'osservanza del segreto bancario e della protezione dei dati. UBS provvede affinché i destinatari dei dati del cliente siano vincolati anch'essi ai medesimi obblighi di segretezza e di protezione dei dati. Il cliente accetta che i dati del cliente possano essere resi noti da UBS per adempiere agli obblighi d'informazione legali o normativi e per la tutela degli interessi legittimi. Ciò vale ad esempio per transazioni con collegamento all'estero per le quali le disposizioni legali applicabili riPage 11 of 13 chiedono una divulgazione, ad es. nei confronti di enti di custodia centrali o enti di subcustodia, broker, borse, registri o autorità. ha la facoltà di disdire la relazione d'affari con effetto immediato. Restano riservati accordi speciali. 14. Creazione di profili e marketing UBS è autorizzata a salvare dati del cliente e dati da fonti terze, a trattarli, a utilizzarli e a creare profili dagli stessi. Questi vengono utilizzati da UBS e dalle sue società del gruppo in particolare per mettere a disposizione del cliente, laddove previsto, una consulenza individuale, offerte e informazioni su misura sui prodotti e servizi UBS e a scopi di ricerca di mercato, marketing e gestione del rischio. Ciò si applica in particolare ai seguenti dati: dati di base, dati finanziari ed esigenze del cliente. 16. Parificazione del sabato a giorno festivo Per tutte le relazioni d'affari con UBS, il sabato è parificato a un giorno festivo ufficiale. 15. Modifica delle condizioni In giustificate circostanze, UBS ha il diritto di modificare in qualsiasi momento le Condizioni generali. In questi casi UBS comunica le modifiche in anticipo e secondo appropriate modalità. In assenza di opposizione scritta entro il termine di un mese dalla comunicazione, le modifiche sono considerate approvate. In caso di opposizione, il cliente New Edition of General Terms and Conditions, January 2015 17. Disdetta delle relazioni d'affari Il cliente e UBS possono disdire con effetto immediato le relazioni d'affari esistenti e annullare crediti accordati o utilizzati, salvo convenzioni contrarie pattuite per iscritto. Se il cliente, anche dopo la scadenza di un ulteriore congruo termine fissato da UBS, omette di indicare dove trasferire i valori patrimoniali e gli averi depositati presso UBS, quest'ultima ha la facoltà di consegnare fisicamente tali valori o di liquidarli. UBS può depositare, con effetto liberatorio, il ricavato e gli averi ancora disponibili del cliente al luogo stabilito dal giudice oppure farli recapitare, sotto forma di assegno, all'ultimo indirizzo conosciuto del cliente. Page 12 of 13 Qui sotto le proponiamo un riepilogo, sotto forma di tabella, delle disposizioni delle Condizioni generali che sono state modificate. Articolo 12: Esternalizzazione di campi di attività e servizi (articolo modificato) Questo articolo è stato modificato per tener conto della nuova struttura del gruppo UBS prevista e di eventuali trasferimenti all’estero di campi di attività e di servizi. In linea con la circolare 2008 / 7 dell’Autorità federale di vigilanza sui mercati finanziari (FINMA), Outsourcing – Banche, questa clausola contiene, a titolo di esempio, un elenco dei campi di attività e dei servizi che potrebbero essere oggetto di totale o parziale trasferimento. UBS non trasmetterà nessun dato a fornitori di servizi all’estero tali da permettere di risalire all’identità dei clienti. Verranno, in particolare, utilizzate le procedure di cifratura e pseudonimizzazione conformi allo stato attuale della tecnica. Va tuttavia segnalato che, in caso di esternalizzazione in Svizzera, vi potrà essere comunicazione di questi dati ai fornitori di servizi. Tali fornitori di servizi sono in ogni caso soggetti alle disposizioni applicabili in materia di riservatezza, e in particolare al segreto bancario. Articolo 13: Protezione dei dati e segreto bancario (nuovo articolo) Nel capoverso 1 di questo articolo viene precisato che UBS è soggetta agli obblighi di segretezza previsti dalla legge e che pertanto è tenuta a trattare con la massima riservatezza i dati riguardanti la relazione d’affari con i clienti. In vista della realizzazione della nuova struttura del Gruppo UBS, nel capoverso 2 dell’articolo viene conferito a UBS il diritto di trasmettere i dati dei clienti all’interno del gruppo UBS in Svizzera, e questo al fine di rendere servizi più completi ed efficienti. Per queste finalità e in questa misura, i clienti svincolano UBS dai corrispondenti obblighi di segretezza e di protezione dei dati. UBS provvede affinché i destinatari dei dati siano vincolati anch’essi ai medesimi obblighi di segretezza e di protezione dei dati. Nel capoverso 3 il cliente autorizza UBS a comunicare i suoi dati, se necessario per adempiere a obblighi d’informazione normativi o previsti dalla legge, come anche per tutelare i suoi legittimi interessi. A tal fine e in tale misura, i clienti svincolano UBS dai corrispondenti obblighi di segretezza e di protezione dei dati. Articolo 14: Creazione di profili e marketing (nuovo articolo) Per migliorare continuamente i servizi e per poter far fronte alle differenti esigenze dei clienti, questo articolo stabilisce che a UBS è concesso memorizzare, trattare e utilizzare i dati dei clienti e quelli ottenuti da fonti terze e creare profili dagli stessi. In particolare, ciò permette a UBS e alle sue società del gruppo, dove previsto, di sottoporre ai clienti offerte su misura, servizi personalizzati di consulenza e informazioni su prodotti e servizi. Inoltre, all’interno del gruppo UBS in Svizzera, essi possono essere utilizzati per ricerche di mercato e azioni di marketing, oltre che per la gestione dei rischi. Articolo 15: Modifiche delle condizioni (nuovo articolo) Questa clausola, che viene di norma integrata nei nostri contratti, è stata ripresa ora anche nelle Condizioni generali per motivi di chiarezza. Essa consente a UBS, in giustificate circostanze, di modificare le Condizioni generali in qualsiasi momento, adattandole alle nuove situazioni. I clienti vengono informati in merito a tali modifiche in anticipo e in modo appropriato. Si presume che le modifiche siano accettate dai clienti se questi non manifestano il loro dissenso entro il termine di un mese dall’avvenuta comunicazione.
