NASCE IL FORUM LEGALE CREDITI PA DI BANCA SISTEMA BANCA SISTEMA: FIRST LEGAL FORUM ON THE RECEIVABLES OWED BY THE PA Oltre 60 rappresentanti di aziende fornitrici della Pubblica Amministrazione, di Associazioni di categoria, come ABI, Assobiomedica, Assosim e Ance, e avvocati di studi legali e di consulenza, hanno accettato l’invito di Banca Sistema al Primo Forum Legale dedicato ai Crediti verso la PA tenutosi a Milano, nella sede della Banca, il 28 marzo 2014. Il titolo dell’incontro è stato provocatoriamente scelto per segnalare come il ritardo nei tempi di pagamento e il pagamento degli interessi di mora, eccezione piuttosto che regola, abbiano trasformato nel corso degli anni i diritti dei creditori in mere aspettative di incasso. Il Forum, che è stato strutturato in modo da coinvolgere tutti i partecipanti in tre ore di discussione attiva, ha consentito un confronto serrato sulle tematiche di maggiore attualità che interessano il settore. Tra i principali punti emersi nel corso del dibattito, vale la pena segnalare: la constatazione dell’insufficienza della liquidità stanziata dal DL 35/2013; l’inefficienza e farraginosità della procedura di certificazione online e l’auspicio che possa introdursi il più efficace ed equo meccanismo del silenzio-assenso; le perduranti prassi non conformi ai tempi di pagamento e ai tassi di mora previsti dalla normativa comunitaria pur recepita tempestivamente nel D.lgs. 231/2002. I partecipanti hanno quindi manifestato particolare interesse per i seguenti aspetti: le norme sull’intervento diretto dello Stato per garantire i pagamenti delle PA (sempre che i vincoli all’indebitamento, interni e comunitari, non continuino ad essere di ostacolo); la digitalizzazione del processo di fatturazione, che dovrebbe risolvere il problema dell’archiviazione dei documenti contabili da parte delle PA debitrici; le misure volte a porre rimedio allo sbilanciamento tra contribuenteimprenditore e amministrazione tributaria, imposto dall’art. 48bis del DPR 602/1973, ammettendo ora la compensazione tra crediti commerciali certificati e debiti tributari; infine, l’attesa semplificazione delle modalità perfettive della cessione dei crediti con l’eliminazione di procedure datate, oggi introdotta per le operazioni di finanza strutturata, ma non ancora prevista per le forme più tipiche e diffuse di finanziamento dei crediti delle Imprese, quali il Factoring o la cessione pro soluto. TORNA ALL’INDICE TO INDEX 2 More than 60 representatives of the suppliers of the Italian Public Administration (hereafter, PA), trade associations such as ABI, Assobiomedica, Assosim and Ance, and attorneys from law and consultancy firms, have accepted Banca Sistema’s invitation to take part in the First Legal Forum dedicated to the Receivable against the PA, which was held at the Bank’s offices in Milan on March 28, 2014. The title of the meeting has been provocatively chosen to indicate how the delay of payment terms and the fact of regarding the payment of default interest as an exception rather than the rule, have transformed, over the years, the creditors’ rights into mere expectations of collection of their money. The Forum, organized in such a way as to involve all participants in three hours of active discussion, has resulted in a heated debate on the most topical issues of the sector in question. Of the most important points emerged during the debate, it is worth mentioning: the acknowledgement of the insufficiency of the liquidity allocated by Law Decree no. 35/2013; the inefficiency and the woolliness of the online certification procedure and the wish that the more effective and fair silentassent mechanism is introduced; the persistence of practices not in compliance with the payment terms and the default interest rates provided for by EU law, promptly implemented through Legislative Decree no. 231/2002. Therefore, the participants expressed a special interest in the following aspects: the provisions on the State’s direct intervention to ensure payment on the part of the PA (provided that the domestic and EU indebtedness restrictions don’t continue to prevail); the digitalization of the invoicing process, which should solve the problems related to the storage of accounting documents by the PAs ; the measures intended to solve the unequitable unbalance between taxpayerentrepreneur and inland revenues office imposed by art. 48bis of Presidential Decree no. 602/1973, with the authorisation to offset certified trade receivables against tax payables; finally, the longed-for simplification of the methods to perfect the assignment of receivables with the elimination of old Newsletter 2/2014 Nel Forum si è rilevato come le norme in materia di dissesto, pre-dissesto e riequilibrio degli enti locali pongono limiti alle azioni di recupero crediti, anche in difformità rispetto a quanto stabilito dalla Corte Europea dei diritti dell’uomo di Strasburgo, che ha riconosciuto la responsabilità dello Stato per il debito dei propri Enti Territoriali. Analoghi rilievi sono emersi con riferimento alle norme previste nella bozza attualmente disponibile del Disegno di Legge per il pagamento dei debiti della PA che, nonostante l’incostituzionalità del blocco dei pignoramenti acclarata negli scorsi mesi dalla Consulta, riporta in vita norme risalenti agli anni ’90 (anch’esse dichiarate incostituzionali) per impedire che i fornitori di beni e servizi essenziali destinati al Servizio Sanitario possano ottenere in giudizio il pagamento dei propri crediti. Infine, si è guardato con interesse al mercato dei crediti fiscali e dell’IVA trimestrale in particolare, che, alla luce anche di decisioni giurisprudenziali che hanno confermato la cedibilità di tali crediti, può essere ceduta rappresentando un ulteriore strumento di finanziamento alle Imprese. Il Primo Forum Legale dedicato ai Crediti della PA ha dunque segnato l’avvio di un percorso di confronto che Banca Sistema intende proseguire con il coinvolgimento di tutti gli operatori interessati, con l’obiettivo di favorire lo scambio costante di opinioni e informazioni e formulare proposte per le autorità competenti, anche con il supporto delle Associazioni di categoria. procedures, a step taken for structured finance transactions but which is not yet available for the most typical and diffused forms of financing of the receivables from enterprises, such as factoring or assignment without recourse. The Forum also underlines how the provisions applicable to the situations of bankruptcy, pre-bankruptcy and redressing of local entities continue to limit the right to enforcement, in spite of the declaration on the part of the European Court of Human Rights in Strasburg, which acknowledged the responsibility of the State for debts of its local authorities. Worries in this respect also come from the provisions set forth in the currently available draft of the Bill of Law regarding the payment of accounts payable by the PA. This disregards the non-constitutionality of the law provision inhibiting the enforcemement preceedings stated by the Consulta (Consitutional Court) over the last few months, claiming the application of previous provisions dating back to the Nineties (these too have been declared unconstitutional) in order to prevent the suppliers of essential goods and services intended for the health system from seeking the payment of their receivables in court. Finally, attention was also focused on the market of tax receivable, and quarterly VAT in particular, as today, also thanks to recent court decisions stating the assignability of such assets, the quarterly VAT receivables too may be assigned, offering an additional financing tool for enterprises. The First Legal Forum dedicated to the Accounts Receivable from the PA has therefore marked the commencement of a debate Banca Sistema intends to continue with the involvement of all the people concerned, with the aim of fostering a continuous exchange of opinions and information and making proposals for the competent authorities also with the support of trade associations. Un trend che conferma le aspettative di settore, secondo cui il 2014 sarà un anno ancora più attivo del 2013, in quanto le società continuano a fare affidamento sul Factoring ai fini della gestione della liquidità e del rischio. Per quanto riguarda il 2013, ora che tutti i dati sono disponibili, e nonostante un quarto trimestre molto positivo, i volumi dell’anno hanno registrato una riduzione di fatturato del 2,2% circa rispetto al 2012, ma in Italia hanno anche superato i 170 miliardi di euro, portando così il nostro Pese a essere uno dei 3 mercati più importanti a livello europeo, insieme a Francia e Regno Unito. 2014 has started strongly for the factoring industry with the first two months showing a 2.2% increase based on the same period in 2013. This aligns with industry expectations that 2014 will be an even busier year than 2013 as companies continue to use factoring for liquidity and risk management purposes. As regards the picture for 2013, now that all the data has been collected we can see that notwithstanding the strong fourth quarter, 2013 saw slightly lower volumes than 2012, with turnover reducing by about 2.2%. However the volumes for factoring in Italy still reached over €170bn, making it one of the top 3 factoring markets in Europe along with France and the UK. The Public Administration Market Il Mercato della Pubblica Amministrazione I pagamenti della PA sono stati, e continuano ad essere, un elemento chiave dell’agenda politica. È passato quasi un anno da quando il DL 35 è stato annunciato (8 aprile 2013) in seno al Governo Letta, e sono stati registrati alcuni miglioramenti, seppure nulla di comparabile con quanto ipotizzato dall’introduzione del decreto. Confermando l’obiettivo, il nuovo Governo Renzi ha proposto lo sblocco totale (“non parziale”) dei crediti scaduti verso la PA, tra gli impegni principali dei primi mesi di attività. Tuttavia, gli aspetti operativi legati alla quantificazione e alla certificazione delle relative fatture risultano ancora poco chiari ed eccessivamente complessi. Ad esempio, alla fine di marzo, abbiamo constatato l’esistenza di soli 331 milioni di euro di crediti certificati con la nuova procedura. Presupponendo un back-log di fatture non pagate per un importo tra i 60 e 90 miliardi di euro, è difficile comprendere come potrebbe essere certificata in breve tempo una così grande quantità di fatture. Tornando alle Leggi promulgate nel 2013 (Decreti Legge 35 and 102), le statistiche alla fine di dicembre dimostrano che sono stati pagati circa 23,5 miliardi di euro (85% dell’importo di 27,5 miliardi destinato a essere pagato nel 2013). Di questi, la maggioranza è stata destinata alle Regioni per 13,47 miliardi di euro, con una quota di 6,977 miliardi alle Province e ai Comuni. Naturalmente, non tutti questi importi sono già stati pagati ai fornitori [Grafico 1]. TORNA ALL’INDICE TO INDEX 4 PA has been, and continues to be a key focus for the political agenda. It is now nearly 1 year since DL 35 was announced (April 8th 2013) under the Letta Government and there have been some payment benefits from it - however nothing like those envisaged when it was announced. In keeping with this focus, the new Renzi administration has proposed the total unblocking (‘not partial’) of overdue payments to the PA as one of his key pledges for his first few months in power. However, it remains to be seen how this can be achieved when the operational issues to quantify and certify the underlying invoices, remain unclear and overly complicated. By way of example, as at the end of March, we understand that there were only €331m of assets that have been certified using the new process. Assuming a back-log of unpaid invoices of between €60bn and €90bn, it is difficult to understand how these vast quantities of invoices could be certified in a short period of time. Returning to the Laws enacted in 2013 (decreti legge 35 and 102), statistics at the end of December showed that approximately €23.5bn had been paid (85% of the €27.5bn allocated to be paid in 2013). Of this the majority went to the Regioni €13,47bn with €6.977bn being paid to the Province and Comuni. Of course, these amounts have not all been paid out to suppliers as yet [Chart 1]. Considerando che la Sanità Pubblica si avvale di più di 150.000 fornitori, è chiara la necessità di un’azione a loro supporto. Il DL 35 ha destinato 5 miliardi di euro alla sanità per il 2013, di cui 4,2 miliardi sono stati pagati alle Regioni. 7 Regioni non hanno avuto ancora accesso a tale finanziamento. Le tre principali Regioni beneficiarie sono state Lazio (832 milioni), Piemonte (803 milioni) e Veneto (777 milioni). Questa ulteriore liquidità ha avuto ripercussioni positive sul DSO (days sales outstanding o tempo medio di incasso) nel 2013, con una media italiana che ha registrato una riduzione da 276 a 211 giorni [Grafico 2]. This sector is believed to still have outstanding overdue payments of between €40bn and €50bn. With over 150,000 suppliers to the Public Healthcare system, it is clear that something needed to be done to support them. D.L. 35 allocated €5bn to healthcare for 2013 of which €4.2bn was paid to the Regions. There are 7 Regions that still have not accessed this funding for various reasons but the three largest recipients were Lazio (€832m), Piemonte (€803m) and Veneto (€777m). This additional cash has had an impact on DSO’s in 2013, with the average across Italy reducing from 276 days to 211 days [Chart 2]. TORNA ALL’INDICE TO INDEX 5 Newsletter 2/2014 Un esame più approfondito delle performance regionali in termini di DSO dimostra che gran parte del miglioramento della media può essere attribuito alle Regioni già più solerti nei pagamenti. I peggiori pagatori, quali Molise e Calabria, presentano ancora medie di DSO superiori agli 800 giorni; 10 Regioni su 20 pagano ancora con tempistiche superiori a 200 giorni. A closer look at the individual Regional DSO performance shows that much of the improvement in the average can be attributed to the already better performing Regions. The worse payers such as Molise and Calabria still have average DSO’s over 800 days and 10 of the 20 Regions still pay in 200+ days. BANCA SISTEMA CRESCE! BANCA SISTEMA GETS BIGGER! Attraverso tale operazione, Banca Sistema entra nel comparto dell’acquisto e della gestione di crediti finanziari e commerciali non performing e della gestione e recupero crediti tra privati, complementari al proprio core business, rappresentato dall’acquisto di crediti commerciali vantati nei confronti della Pubblica Amministrazione. Banca Sistema ha intrapreso tale percorso scegliendo due operatori storici e consolidati del settore, caratterizzati da forte competenza e presidio nelle aree chiave del business. Banca Sistema has signed a frame agreement to acquire shares in Candia and St.Ing., companies which operate in the sector of the purchase of non performing accounts receivable, collection, and servicing. In taking this step, Banca Sistema penetrates the sector of the purchase and management of non performing financial and trade receivables as well as management and debt recovery from individuals, which are complementary to its core business represented by the purchase of trade receivables from the Public Administration. To meet a pressing need of its Customers, Banca Sistema has developed a new service: “Maturity Factoring”. I principali Clienti di Banca Sistema operano infatti con la Pubblica Amministrazione di cui subiscono il ritardo nei pagamenti, con la conseguenza di ritrovarsi a loro volta in difficoltà nel flusso dei pagamenti ai propri fornitori. Il Cliente della Banca, grazie al servizio di “Maturity Factoring”, può quindi utilizzare una parte dei crediti ceduti come collaterale, ottenendo in cambio dalla Banca l’impegno di pagare i fornitori a una data prefissata (data di accredito maturity). Questo servizio supporta le aziende nell’allineare da un punto di vista finanziario il loro cash in e cash out. La fase “pilota” del progetto è stata realizzata in collaborazione con uno dei Clienti storici di Banca Sistema, il Gruppo Cascina di Roma. Le società del Gruppo erogano circa 40 milioni di pasti all’anno su oltre 500 punti di produzione distribuiti su tutto il territorio nazionale. Numerosi fornitori di Cascina hanno aderito con interesse alla proposta e ricevuto i primi pagamenti lo scorso 31 marzo. Banca Sistema’s main Customers, in fact, work with the Public Administration and they thus face delays in payment. In turn, they encounter difficulties with the flows of payments to their suppliers. Thanks to the “Maturity Factoring” service, the bank’s Customers may use part of the assigned accounts receivable as collateral, with the bank undertaking, in exchange, to pay suppliers on a set date (maturity crediting date). This service supports enterprises in balancing their cash in and out from a financial viewpoint. The “pilot” phase of the project was carried out in cooperation with one of Banca Sistema’s historical customers, the Cascina Group of Rome. The Group’s companies provide about 40 million meals every year, in more than 500 production centres throughout the national territory. Many of Cascina’s suppliers accepted the proposal with interest and received the first payments on March 31, 2014. È da qui che, eseguito l’accesso con le proprie credenziali, il pagamento viene autorizzato tramite il sistema di Secure Call e l’operazione effettuata in totale sicurezza e in tempo reale. Tecnicamente, la transazione si configura come un bonifico SEPA irrevocabile e l’addebito dell’importo avviene direttamente sul conto corrente scelto per l’operazione. How does it work? By selecting the MyBank option amongst the payment methods offered by the relevant website, and by choosing “Banca Sistema” amongst the available banks, customers are automatically re-directed to their Internet Banking access page. Customers then access their Internet Banking by entering own credentials and the payment is authorised through the Secure Call system. The transaction is performed in total security and in real time. Technically, the transaction is like an irrevocable SEPA transfer and the amount is debited directly onto the current account chosen for the transaction.
