CONDIZIONI GENERALI DI VENDITA 1-2015
(IL PRESENTE LISTINO ANNULLA E SOSTITUISCE IL PRECEDENTE)
Pagamento: Se non diversamente concordato il pagamento dovrà essere anticipato o con lettera di credito irrevocabile e confermata. Tutte le spese bancarie fuori dall’Italia incluse consulenze, negoziazione e commissioni sono a
carico del cliente. Il pagamento è da considerarsi effettuato non appena l’importo fatturato è a nostra disposizione.Si
riconoscono solo i pagamenti fatti direttamente sul ns. c/c bancario. In caso di pagamento ritardato, totale o parziale,
verranno addebitate le spese sostenute e gli interessi di mora al tasso di uso comune nel settore bancario. Qualunque
reclamo non sospende l’obbligo dell’acquirente di pagare quanto ancora dovuto, alla scadenza prestabilita.
Prezzi: I prezzi indicati sul listino sono da intendersi franco nostro magazzino, imballo standard incluso, riferiti a
un solo articolo con lampadina esclusa (se non diversamente specificato). I prezzi sono in valuta Euro e sono I.V.A.
esclusa.
Consegne: Se non diversamente concordato le consegne saranno effettuate franco nostra sede. I termini di consegna sono da considerarsi indicativi. Eventuali ritardi non possono comportare la validità degli ordini e non possono
essere causa di risarcimento o altro.
Merce: A norma dell’art. 1523 e seguenti del C.C. italiano, fino all’integrale pagamento del prezzo, la merce resta di
proprietà della F.lli Francesconi & C. S.r.l.
Spedizione: La merce viaggia sempre a rischio e pericolo del committente. Per quanto riguarda le richieste di porto
franco a destino le spese saranno comunicate dall’ufficio spedizioni della nostra società. Le spese di trasporto di
articoli voluminosi (es. pali di arredo urbano) sono sempre a carico del destinatario.
Ordini: Non si accettano ordini con importi netti inferiori ai 350 E netti. Si raccomanda di rispettare gli imballi standard; in caso differente la nostra società si riserva il diritto di applicare una maggiorazione di prezzo senza espressa
notifica.
Servizi: Non si accetta alcuna responsabilità per danni conseguenti alla progettazione illuminotecnica da noi fornita
in forma gratuita negli stages preliminari del contratto. Se tale consulenza diventa parte del contratto essa dovrà
essere definita da un esplicito accordo scritto tra le parti.
Garanzia: Eventuali reclami in merito alla qualità e alla quantità della merce verranno accettati solo se notificati
per iscritto entro 7 giorni dalla data di ricevimento della merce. L’azienda non si assume nessuna responsabilità
per danni o avarie avvenute durante il trasporto. I reclami relativi all’integrità del materiale dovranno essere fatti
al trasportatore all’atto di ritiro della merce con apposita riserva sulla bolla di consegna. Il reintegro sarà effettuato
solo dopo aver controllato, entro un ragionevole periodo, quanto accaduto. Gli apparecchi da noi prodotti sono
articoli tecnici e devono essere usati in conformità alle norme elettrotecniche e relative specifiche d’installazione.
L’uso degli apparecchi in modo non conforme come pure le alterazioni sul prodotto non autorizzate senza un nostro
espresso consenso scritto, fanno decadere qualsiasi forma di garanzia e obbligo, da parte nostra, in caso di reclamo. Il materiale e relativa componentistica e garantito da difetti di materiale e lavorazione per un periodo di due
anni dalla data di fatturazione F.lli Francesconi & C. S.r.l. (per le specifche di garanzia richiedere apposito modulo).
Resi: Eventuali resi dovranno essere autorizzati per iscritto e comunque resi franco stabilimento F.lli Francesconi &
C. S.r.l. – Via E. Fermi, 4 Roncadelle (BS). Dopo il controllo del reso e nel caso che l’imballo sia originale e la merce
sia integra saranno accreditate l’80% dell’importo fatturato. Produzioni di articoli speciali e/o fuori standard non
possono essere restituite.
Design: Le caratteristiche degli articoli illustrati nel catalogo non sono impegnative. La F.lli Francesconi & C. S.r.l.
si riserva, senza preavviso, la facoltà di apportare ai suoi prodotti tutti i miglioramenti tecnici e le modifiche nelle
forme e dimensioni in relazione alle proprie esigenze.
Servizio Metel: Il listino formato Metel viene fornito su richiesta.
Foro competenze: Per qualsiasi controversia viene riconosciuta la competenza esclusiva, senza eccezioni, dell’Autorità Giudiziaria Italiana, Tribunale di Brescia.

Payment: If not otherwise arranged, the payment must be in advanced or by irrevocable and confirmed letter of
credit. All banking charges outside Italy including advising and negotiating commission will be charge of client.
Payment must be considered effected as soon as the invoiced amount is at our disposal. We accept only payment
made on our account directly. In case of delay of payment, total or partial, we are authorised to debit you banking
charges and default interest at the current rate customary in banking. Every claims shall not influence the obligation
of purchaser to pay the amount at the due date.
Prices: Mentioned prices in our price list are ex-factory, included standard package, for one model only and without
lamp (if not indicated in a different way). The prices are Euro currency.
Deliveries: If not otherwise arranged, deliveries are ex-works. The delivery terms are indicatives. Eventual delay
doesn’t compromise the validity of the orders and it can’t be reason of indemnity.
Goods: In according to rule 1523 and successive Italian Normative (Italian Civil Code), the goods are owned of F.lli
Francesconi & C. S.r.l. untill the full payment.
Shipment: Goods travel at risk of commitments always. Orders: We can’t accept orders with net amount less than E 350,00.-. The orders must respect the standard packaging;
otherwise our company reserves itself the right to make an increase without special notification.
Services: We don’t accept any liability for consequential damages due to defective light planning that we have
realized as a service free of charge during preliminary stages of negotiation. If this light planning become a
requirement or constituent of a delivery or service, it will be needed an explicit written arrangement. Warranty: Eventual complaints relative to quality and quantity of the goods must be effected in written form within
7 days from receipt of delivery. We are not responsible for eventual damages during transport operations. The
complaints relative to integrity of the goods must be made immediately when the forwarder deliver the material to
the client by relative reservation on the documents. The replacement will be made only after checking what occurred,
within a reasonable period. Our products are technical articles and they must be used in according to electrical
norms and relative instructions. The use of luminaires in a manner other than in accordance with their intended
purpose as well as unauthorised alteration of our luminaries without express written consent shall release us from
any obligation in case of claim.
Goods and relative components are guaranteed against defect of material and manufacturing untill two years from
invoice date F.lli Francesconi & C. S.r.l. (for warranty details require suitable sheet).
Returns: Eventual return of goods must be authorized from our company by written form and must be returned to
our address (F.lli Francesconi & C. S.r.l. – Via E. Fermi, 4 Roncadelle BS) free of charge. After our control, originally
packed and undamaged goods will be credited at 80% of the price invoiced. Special articles cannot be returned.
Design: The characteristics of the models mentioned are not binding. F.lli Francesconi & C. S.r.l. reserves itself the
right to change them without notice and without obligation of communication in according to its own technical
constructive requirements and/or to improve the products.
Rule: For any commercial causes is recognized the competence of Authority Judicial of Brescia (Italy) without
exceptions.

Paiement: Sauf conditions de règlement établies préalablement par nos soins, le paiement se fera de façon anticipée
ou par lettre de crédit irrévocable et ferme, sur notre compte bancaire. Tous les frais bancaires hors de l’Italie seront
à la charge du client. Le paiement est considéré comme effectif au moment de l’enregistrement sur notre compte
uniquement. En cas de retard de paiement, l’acheteur devra payer des frais d’agios. Nous nous réservons le droit,
en cas de difficulté de l’acheteur, de demander des garanties, faute de quoi tout contrat pourra être annulé, sans
indemnités ni mise en demeure.
Prix: Nos prix s’entendent en Euros, nets unitaires , hors taxes, départ usine, emballage compris. Les lampes ne
sont pas comprises, sauf demande spécifique de l’acheteur.
Délai de livraison: Précisé sur notre accusé de réception, il est donné à titre indicatif et ne peut donner lieu à des
pénalités ou dommages et intérêts, en cas de non-observation.
Réserves de propriété: Conformément à l’article 1523 et, suivant le Code du Commerce Italien, les marchandises
restent la propriété de la Ste Francesconi, jusqu’ au paiement intégral de la facture .
Transport: La marchandise voyage toujours aux risques et périls du destinataire, qui se doit à la réception de
contrôler le nombre, l’état des colis, et de faire les réserves précises et appropriées en présence du chauffeur, et
confirmer ensuite dans un délai de 48 heures, ces réserves par lettre recommandée à ce dernier (la mention «sous
réserve de déballage» n’a aucune valeur juridique). Nous n’acceptons pas de commande inférieure à 350 E et toute
commande doit respecter les unités d’emballage de notre catalogue. Francesconi se réserve le droit d’appliquer des
majorations en cas de non respect.
Données techniques: Les dessins, données techniques et photographies du catalogue, ne sont pas contractuels.
Nous nous réservons le droit de modifier, sans préavis, l’esthétique ou la technique de nos appareils, et ce pour toute
amélioration que nous jugerions nécessaires. Francesconi n’accepte aucune responsabilité pour tous dommages
conséquents à un projet d’éclairage; ces derniers étant fournis gratuitement par nos services.
Garantie: Les éventuelles réclamations quant à la qualité ou la quantité, ne sont acceptées que pendant un délai
de 7 jours à compter de la date de réception de la marchandise. Notre garantie est limitée au remplacement des
pieces reconnues défectueuses, sans aucune indemnité pour retard, port aller retour, montage ou démontage ou
un préjudice quelconque.
Marchandise et éléments sont garantis contre les défauts de matériaux et fabrication pour une durée de deux ans
à partir de la date de la facture F.lli Francesconi & C. S.r.l. (pour les spécifiques de garanti demander les relatives
details).
Retour: Un accord préalable de notre part est nécessaire. Les produits faisant l’objet de fabrication spéciale ne sont
pas repris. Tout retour doit être fait en franco, après autorisation, dans les emballages d’origine, à notre adresse
(F.lli Francesconi srl, Via E.Fermi, 4 Roncadelle BS). Il ne sera accepté qu’après un contrôle de qualité, et un avoir
de 80% du montant de la facture initiale sera établi, si les produits sont en parfait état. Dans le cas contraire tous les
frais de remise en ordre de vente seront à déduire.
Juridiction: En cas de contestation, l’autorité reconnue et compétente est celle l’autorité juridique de Brescia (Italie),
sans exceptions.
