La IDROSFER-NEGRI SRL nasce nel 1981 cimentandosi nella produzione delle prime valvole a sfera e rubinetteria industriale con lo scopo di
crescere e farsi strada nel tempo e nel mercato mondiale grazie ai 3 principi fondamentali della famiglia Negri:

Attualmente gestita a livello familiare dal socio fondatore Roberto e i figli Maria Elena e Marco Negri con oltre 20 dipendenti, un ottimo staff, e
una collocazione di prestigio nell’ambito di una nuova e moderna struttura dislocata in 2.500 mtq realizzata nel 2000, continua il suo processo di
evoluzione nel campo delle valvole a sfera, cercando di trovare sempre nuovi sbocchi sul mercato e nuove sfide grazie anche alla ricerca per il
miglioramento della produzione tecnologica e l’innovazione.
Il futuro, alla luce dei 30 anni di esperienza, pone la Idrosfer nel risultato di essere molto apprezzata all’estero e nelle condizioni di porgere alla

IDROSFER-NEGRI SRL was first established in 1981, when it undertook the production of the first ball valves and of industrial taps and fittings,
with the purpose of growing and making its way in time and in the worldwide market, thanks to the 3 key principles of the Negri family:

The company is currently family-run by its promoter, Roberto, and his children Maria Elena and Marco Negri, with over 20 employees, an

Le presenti Condizioni Generali si applicano a tutte le vendite intercorse tra IDROSFER – NEGRI S.R.L. ed i propri Clienti, salvo diverso accordo scritto tra le parti. Pertanto,
condizioni di vendita in deroga alle presenti disposizioni non avranno alcuna efficacia, se non risultanti da accordo scritto intercorso tra le parti.
1. Ordini/Offerte/Prezzi
1.1
Gli ordini o gli impegni assunti dai nostri rappresentanti o agenti sono validi unicamente dietro nostra accettazione o conferma scritta.
2.1 Le offerte e le conferme d’ordine possono essere soggette a revisione dei prezzi da parte nostra in relazione a qualsiasi eventuale variazione di costo che dovesse
intervenire; ciò è ad insindacabile giudizio del fornitore e senza l’obbligo di dare giustificativi dei costi.
3.1
Le offerte non ci impegnano in alcun modo essendo suscettibili di variazioni fino alla conclusione del contratto.
4.1
I prezzi indicati nei nostri listini e offerte non includono l’I.V.A. e si intendono a “merce nuda”.
5.1
I prezzi indicati nelle nostre fatture non sono vincolanti per le successive ordinazioni.
2. Caratteristiche dei prodotti
1.2
I dati, le misure, gli articoli, i prezzi, le caratteristiche, le prestazioni e tutti gli altri dati riprodotti nei nostri cataloghi, listini, prospetti, circolari, ecc. hanno carattere indicativo,
essi possono essere variati senza alcun preavviso e hanno valore per noi vincolante unicamente in caso di espressa indicazione nell’accettazione o nella conferma d’ordine. Il
produttore si riserva di apportare in qualsiasi momento modifiche migliorative della qualità e funzionalità dei suoi prodotti; la forma esterna dei prodotti del presente catalogo è
puramente indicativa e può essere diversa dai prodotti consegnati.
3. Termini e Modalità di Pagamento
1.3
Gli sconti di cassa, se concessi per iscritto, s’intendono subordinati all’esatta osservanza dei termini di pagamento e perciò potranno essere revocati in caso di ritardo.
2.3
Salvo deroghe scritte, tutti i pagamenti devono essere effettuati presso la nostra sede ed in Euro. Ricevute bancarie o altri mezzi di pagamento concordati non comportano
in alcun modo modifiche o deroghe alla presente norma. In caso di pagamento dilazionato, la mancata osservanza di un termine di scadenza, comporta l’automatica decadenza
del termine e l’esigibilità dell’intero ammontare. Come previsto dal D. Lgs. 09/10/2002 n. 231 il pagamento effettuato oltre i termini concordati comporterà l’addebito degli interessi
di mora al tasso corrente di mercato.
4. Modalità di consegna
1.4
Gli imballaggi e il trasporto sono a carico del committente e vengono fatturati a prezzo di costo salvo nostra diversa indicazione scritta. Essi, anche se sono definiti in
sede di contratto, sono soggetti ad eventuali aumenti che dovessero intervenire prima della spedizione. In caso di avaria, poiché i nostri imballaggi sono eseguiti a regola d’arte,
occorrerà formulare le riserve d’uso e le richieste di risarcimento nei confronti dei trasportatori.
2.4
La nostra merce viaggia a rischio e pericolo del committente anche se spedita in porto franco in quanto si intende venduta in stabilimento, salvo diversa indicazione scritta,
pertanto la suddetta non è mai assicurata da noi per il trasporto, salvo espressa richiesta scritta da parte del cliente che se ne addossa il relativo onere. Gli eventuali reclami
contro i vettori o spedizionieri spettano al destinatario, pertanto la consegna della merce, con la conseguente liberazione da qualsiasi impegno e responsabilità, si intende
effettuata con la consegna allo spedizioniere o al vettore, quindi nessuno sconto o abbuono potrà essere preteso per errori dello spedizioniere o vettore nell’applicazione della
tariffa.
3.4
I termini di consegna si intendono sempre indicati in via approssimativa e non vincolanti; incendi, inondazioni, scioperi ed altre cause di forza maggiore sospendono di
diritto suddetti termini.
4.4
La nostra ditta si riserva la facoltà di variare la quantità di merce da consegnare quantificandola in base alle proprie confezioni standard salvo diverse indicazioni scritte e
concordate precedentemente.
5.4
La nostra ditta garantirà il committente che la fornitura è rispondente alle caratteristiche, norme e/o specifiche indicate nell’ordine, che tutti i materiali impiegati sono esenti
da vizi e/o difetti, anche occulti, e che le lavorazioni sono state eseguite a perfetta regola d’arte.
5. Collaudi dei prodotti
1.5
Le prove di collaudo sono eseguite nel nostro stabilimento durante le ore di lavoro normali, secondo i sistemi eseguiti nell’industrie del settore, in accordo con la Direttiva
PED 97/23/CE e nostra Certificazione ISO 9001:2008, dette prove potranno essere effettuate sul luogo di installazione unicamente dietro nostra espressa autorizzazione previa
comunicazione scritta; tutte le prove effettuate ad iniziativa del cliente non hanno alcun valore per noi, se non fatte in contraddittorio con un nostro tecnico.
6. Garanzia dei prodotti
1.6
Gli eventuali reclami per ammanchi e/o vizi e difetti di qualità e quantità non saranno accettati e riconosciuti dalla nostra ditta se non segnalati per iscritto, unitamente
all’inoltro di relative fotografie che attestino il reclamo in oggetto e non saranno considerati validi se non pervenuti entro e non oltre 8 giorni dalla data di ricevimento della merce.
2.6 Gli eventuali difetti di materiale o di costruzione sono coperti da garanzia di 24 mesi dalla data di emissione della fattura limitata esclusivamente alla pura e semplice
sostituzione del pezzo, il venditore sostituirà gratuitamente e sollecitamente la merce che risultasse difettosa per cause a lui imputabili solo dopo aver ricevuto in restituzione il
pezzo difettoso. Pertanto sono tassativamente escluse eventuali spese di trasporto, manodopera, danni, interessi, indennizzi di sorta.
3.6
In caso di nostro intervento tecnico la garanzia si estende ai particolari sostituiti.
4.6
La garanzia non sarà ritenuta valida in caso di riparazioni eseguite ai nostri prodotti da personale estraneo alla ditta IDROSFER – NEGRI S.R.L. o non autorizzato dalla
nostra azienda e così pure non rispondiamo dei difetti nel caso in cui i nostri prodotti non siano applicati all’uso a cui sono destinati o siano utilizzati impropriamente o senza
tenere conto delle apposite istruzioni e schede tecniche. La garanzia della nostra azienda non concerne alcunché il puro costo del valore della merce fornita difettosa e non si
estende a qualsiasi pretesa di danno.
5.6
Procedura da seguire in caso di sinistri provocati da nostri prodotti: avvertire la ditta IDROSFER – NEGRI S.R.L. entro un termine massimo di 3 giorni dall’accaduto al fine
di poter aprire il sinistro con la nostra compagnia assicurativa – farci pervenire il pezzo difettoso – produrre foto dei danni e del pezzo ancora montato sull’impianto – conservare
i residuati degli oggetti danneggiati per sopralluogo del perito della nostra assicurazione.
7. Clausola dati esposti
1.7
Si prega di controllare i dati esposti sui nostri documenti (ragione sociale, indirizzo, partita IVA, codice fiscale) dandocene comunicazione tempestiva in caso di errori. Resta
diversamente esclusa ogni nostra responsabilità (D.P.R. 633 26/10/1972).
8. Foro Competente
1.8
Per qualsiasi controversia derivante da nostra vendita, il contratto sarà disciplinato dalla Legge Italiana e la competenza sarà unicamente del Foro di Novara.

UPDATED GENERAL SALES TERMS AND CONDITIONS, REPLACING PREVIOUS ONES
These General Terms and Conditions apply to all sales from IDROSFER – NEGRI S.R.L. to its Customers, unless otherwise agreed on between the parties. Therefore any sales
terms and conditions departing from these will not be effective, unless they are confirmed by means of a written agreement between the parties.
1. Orders/Quotes/Prices
1.1
The orders taken or commitments made by our sales agents or representatives are only valid subject to our written acceptance or confirmation.
2.1
Quotations and order confirmations may be subject to price review by us in connection with any possible change in costs that might arise; this will be at the supplier’s
absolute discretion and with no obligation to supply evidence about applicable costs.
3.1
Quotations shall not commit us in any way, as they are subjected to changes up to the date on which the contract is entered into.
4.1
The prices mentioned in our pricelists and quotations do not include VAT and are intended to be for goods without packaging.
5.1
The prices indicated in our invoices are not binding with respect to following orders.
2. Product Features
1.2 Data, measurements, articles, prices, features, performances and all other data displayed in our catalogues, pricelists, statements, circular letters, etc. are meant as
an indication; they may be changed without notice and have a binding value for us only if this is explicitly indicated in the order acceptance or confirmation. The manufacturer
reserves the right to improve the quality and functionality of its products at any time; products’ external appearance in this catalogue is meant purely as an indication and may
differ from that of delivered products.
3. Payment Terms and Methods
1.3
If granted in writing, cash discounts shall be subject to absolute compliance with payment terms and conditions; hence they may be revoked in the event of delay.
2.3
Unless otherwise agreed so in writing, all payments shall be made to our registered office in Euros. Cash orders or other payment means that may be agreed on shall in
no way involve amendments of or derogations from this rule. In the event of payment extensions, failure to comply with the applicable deadline shall automatically involve lapse
of the deadline and collectibility of the full amount. As provided for by the Legislative Decree no. 231 of 9 October, 2002, any payment made beyond the agreed deadline shall
involve the charge of default interest in line with the current market rate.
4. Delivery Methods
1.4
Packaging and transport are for the buyer’s account and shall be invoiced at cost, unless otherwise indicated by us in writing. Even though such cost items are agreed on
upon entering into the contract, they are subject to any increases that may materialise prior to shipment. In the event of damage, since our packing is performed in a professional
way, conventional reservations and claims for damages shall have to be addressed to the carriers.
2.4
Our goods are transported at the buyer’s risk, even if delivered free port, as they are understood to have been sold at our facilities, unless otherwise indicated in writing;
therefore, transport of goods is never insured by us, unless explicitly required in writing by the customer, who is to bear the related charge. Any complaints towards carriers or
freight agents are to be made by the receiver; therefore goods delivery, with consequent release from any commitment and liability, is understood to have taken place upon
delivery to the carrier or freight agent: this means that the customer may not demand any discount or allowance as a result of errors by the carrier or freight agent in applying their
rate.
3.4
Delivery terms and conditions are always understood as an indication and are not to be deemed as binding; fires, floods, strikes and other force majeure situations shall
cancel by rights the aforementioned terms and conditions.
4.4
Our company reserves the right to change the amount of goods to be delivered, by quantifying it based on its standard packages, unless otherwise indicated in writing and
previously agreed on.
5.4
Our company shall guarantee to the buyer that the supply complies with the features, regulations and/or specifications mentioned in the order, that all materials employed
are free from faults and/or defects, including hidden defects, and that processing has been performed in an absolutely professional manner.
5. Product Testing

Final tests are carried out on our premises during ordinary working hours, in line with the standards complied with by the businesses of our field, in compliance with the
Directive PED 97/23/EC and our Certification ISO 9001:2008; such tests may be carried out in the place of installation only subject to our explicit authorisation and following prior
written notice; any tests carried out on the customer’s initiative shall have no value for us, unless one of our engineers is involved in test rating.
6. Product Guarantee

Any complaints for shortage and/or quality faults or defects shall not be accepted and acknowledged by our company, unless they are notified in writing, along with pictures
providing evidence of the complaint in question; these will not be deemed valid unless they are received within, and no later than, 8 days of receiving the goods.
2.6
Any defects related to materials or manufacturing are covered by a 24-month guarantee as from the date of issue of the applicable invoice: this shall only cover replacement
of the item; the seller shall promptly replace, free of charge, goods that prove defective for reasons ascribable to same only after having received the defective item. Therefore,
any costs related to transport, labour, damages, interest or compensation are strictly excluded.
3.6
In the event of a technical intervention on our side, the guarantee shall also cover replaced parts.
4.6
The guarantee shall not be deemed valid in the event of repairs carried out on our products by staff not belonging to the company IDROSFER – NEGRI S.R.L. or not
authorised by our firm; likewise, we shall not answer for defects in the event that our products are not used for the purposes they are meant for, are subject to improper use or
are used without taking into account the duly provided instructions and technical specifications. The guarantee provided by our company only covers the mere cost related to the
value of the defective goods and shall not cover any damage claim.
5.6
Procedure to be followed in the event of accidents caused by our products: notify the company IDROSFER – NEGRI S.R.L. by no later than 3 days following the event, in
order for us to be able to file an accident claim with our insurance company; let us have the defective item; produce pictures of the damage and of the item in question while still
on the plant; keep any residual materials from damaged items to be shown to the expert from our insurance company.
7. Displayed Data Clause
1.7
Please check the data displayed in our documents (company name, address, VAT registration number, fiscal code) and promptly let us know about any errors. Failure to
do so shall involve no liability for us (Presidential Decree no. 633 of 26 October, 1972).
8. Court Having Jurisdiction
1.8
In connection with any dispute arising from our sales, the contract shall be governed by the Italian Law and shall fall within the jurisdiction of the Novara Court.
