Un pensante blocco di porfido? No, un’altra magia di Gufram.
Massolo può sembrare una pietra inamovibile ma è realizzata
in poliuretano. Perde quindi peso e diventa un tavolino da caffè
leggero dall’anima paradossale. Un’altra opera dell’ingegno
ludico dell’artista Piero Gilardi che con questo pezzo da museo
smaterializza la pietra e la trasforma in un gioco domestico.
en A heavy porphyry block? No, it’s much more magic at Gufram.
Massolo may seem an unmovable stone, but it is made of
polyurethane. It thus loses weight and becomes a light coffee table
with an eccentric soul. It is another piece of artist Piero Gilardi who
with this museum piece dematerialises the stone and transforms it
into a domestic game.
de Ein schwerer Porphyr-Block? Nein, noch eine Zauberei von
Gufram. Massolo kann wie ein unbeweglicher Stein aussehen,
aber es ist aus Polyurethan gemacht. Damit verliert er an Gewicht
und wird einen leichten Couchtisch mit einer exzentrischen Seele.
Es ist ein weiteres Stück von Künstler Piero Gilardi, der mit diesem
Museumsstück den Stein entmaterialisiert und ihn in einem
häuslichen Spiel wandelt.

spavalderia marcato sul vessillo dei pirati, terrore dei sette mari. E
proprio il globo rimane sospeso nella scocca interna, una mappa
circondata dagli oceani, il desiderio di conquista insaziabile,
un’esortazione quasi a non rimanere fermi, un monito: sei seduto
sul mondo, non dimenticarlo mai.
en A seat which formally reminds to a skull - the symbol of swagger
drawn on the red flag of French and later English corsairs and
filibusters, terror of the seven seas. The globe itself remains
suspended in the inner body: a map surrounded by oceans, an
unquenchable desire for conquest, almost an exhortation to not
stand still, a warning: you are sitting on the world, never forget it.
fr Un siège qui fait formellement allusion à un crâne - symbole
d’arrogance dessiné sur le drapeau rouge des corsaires et des
flibustiers français et plus tard anglaes, la terreur des sept mers. Et
le globe lui-même reste en suspension dans la caisse intérieure:
une carte entourée par les océans, un désir inextinguible de
conquête; presque une exhortation à ne pas rester immobiles, un

camuffato dalla bellezza della pietra levigata che può sembrare
pesante e duro ma che al tatto svela la sua consistenza di morbido
e accogliente pensatoio. Proprio come del resto deve essere la
poltrona a cui ci affezionaniamo di più.
en The meeting that finally took place 40 years after the first
considerations between the architect and our company has
created Poltrona, a seat with sharp-cornered absolute forms,
decorated in fake marble, skilfully replicated by hand. A podium,
a forbidding throne disguised by the beauty of polished stone,
that may look heavy and hard, but that at the touch reveals its
texture as a soft and cosy thinking place. Exactly as our favourite
armchair should be.

di dire basta a causa dei numerosi detrattori che hanno sempre
condannato l’anima anti-design di Gufram, Maurizio Cattelan e
Pierpalo Ferrari di ne celebrano le esequie. TOILETPAPER scrive
così l’epitaffio di Gufram che come atto di resistenza finale realizza
una lapide che può essere utilizzata come seduta dall’ironia
grottesca.

CONDIZIONI GENERALI DI VENDITA
Art. 1 - Normativa contrattuale
Art. 4 - Garanzia
1.1 - Le presenti condizioni generali, salvo eventuali deroghe
specificatamente concordate per iscritto, disciplinano tutti gli attuali e
futuri contratti di vendita fra le parti. Esse non possono essere derogate
se non mediante espresso accordo scritto delle parti. Qualora le presenti
condizioni generali vengano derogate dalle parti, le disposizioni delle
presenti condizioni generali che non siano state derogate continueranno
ciononostante a trovare applicazione.
4.1 - Il termine “mancanza di conformità” (così come il termine “non
conforme”) si riferisce a mancanze di qualità, ed a non conformità
rispetto alle caratteristiche concordate dei prodotti, nonché ai difetti. E’
esclusa qualunque garanzia in caso di uso improprio e/o non corretto del
prodotto.
1.2 - Eventuali modifiche delle presenti condizioni generali sono valide
solo se accettate per iscritto da Gufram srl.
1.3 - Eventuali condizioni generali dell’acquirente non hanno
applicazione, neppure parziale, se non sono espressamente accettate
per iscritto dal Gufram srl
1.4 - Il riferimento ad eventuali termini commerciali (Franco Fabbrica,
FOB, CIF, ecc.) si intenderà fatto agli Incoterms della Camera di
Commercio Internazionale, nel testo in vigore al momento della
conclusione del contratto.
1.5 - Tutti i contratti di vendita fra le parti, nonché le presenti condizioni
generali, sono disciplinati dalla legge italiana.
1.6 - L’adesione alle presenti condizioni generali, nonché tutti i contratti
ed i comportamenti successivi delle parti dalle stesse regolati, salvo
diversa espressa pattuizione scritta non implica il conferimento
all’acquirente di esclusiva alcuna né l’instaurazione di rapporti di
concessione, commissione o mandato, con o senza rappresentanza,
come non conferisce all’acquirente stesso il diritto di utilizzare in
qualunque forma i marchi od i segni distintivi di Gufram srl.
Art. 2 - Prezzi e pagamento
2.1 - I prezzi sono soggetti a variazione sino all’invio della conferma
d’ordine. Nei documenti contabili i prezzi sono al netto di IVA, di spese di
trasporto e assicurazione, oneri doganali, ecc.
4.2 - Gufram srl garantisce la conformità dei prodotti forniti a quanto
espressamente concordato; prodotti che presentino tolleranze
ragionevoli o conformi ad usi o pratiche comuni non saranno considerati
come non conformi. In seguito al ricevimento di denuncia dell’acquirente,
se effettuata secondo le modalità dell’art. 5, ed ove i prodotti si
dimostrino non conformi, Gufram srl potrà, a propria scelta:
a) fornire gratuitamente all’acquirente un nuovo prodotto in sostituzione
di quello difettoso, o
b) rimborsare all’acquirente il prezzo di fattura pagato per il prodotto che
si è dimostrato non conforme.
A richiesta di Gufram srl l’acquirente spedirà prontamente a Gufram
srl, a spese di quest’ultima, il prodotto non conforme; qualora uno o
più prodotti restituiti dall’acquirente si dimostrino successivamente
conformi, Gufram srl potrà restituire tali prodotti all’acquirente, a
spese di quest’ultimo, fatto salvo il diritto di Gufram srl al prezzo ed al
risarcimento dei danni.
4.3 - Salvo dolo o colpa grave, la responsabilità di Gufram srl per il
risarcimento di qualsiasi danno subito dall’acquirente non potrà in ogni
caso superare il valore del prodotto difettoso e/o non conforme. La
garanzia di cui al presente art. 4 sostituisce qualsiasi altra responsabilità
per mancanza di conformità dei prodotti, così come qualsiasi altra
responsabilità convenzionale o legale, espressa o implicita, ad
eccezione delle eventuali responsabilità espressamente assunte
per iscritto da Gufram srl; in particolare, l’acquirente non avrà diritto
di avanzare altre richieste di danni, né di riduzione del prezzo o di
risoluzione del contratto.
2.2 - Il pagamento dei prezzi e di tutte le altre somme dovute per
qualsiasi motivo dall’acquirente deve essere effettuato presso la sede
di Gufram srl. L’acquirente è tenuto a effettuare i pagamenti anche in
caso di rivendicazioni o contestazioni di qualsiasi natura sui prodotti o
sull’adempimento di Gufram srl. La mancata osservanza dei termini e
delle condizioni di pagamento esonera Gufram srl dall’adempimento
degli obblighi di consegna, anche in relazione a forniture diverse da
quelle cui si riferisce tale mancata osservanza, e autorizza Gufram s.r.l.
a rivendicare l’immediato pagamento anticipato di tutte le somme dovute
dall’acquirente, salvo il diritto di Gufram srl ai danni.
Art. 5 - Reclami
2.3 - Fatti salvi gli altri rimedi apprestati dalla legge, scaduto il termine di
pagamento decorrono, senza necessità di messa in mora, gli interessi
ex d.lglvo italiano 231/2002.
6.1 - L’acquirente rinuncia al diritto di regresso nei confronti di Gufram slr
di cui all’art. 131 del d.lglvo 206/2005 (codice del consumo).
2.4 - I prodotti rimangono di proprietà di Gufram srl fino al completo
pagamento del prezzo.
Art 3 - Consegna
3.1 - La consegna dei prodotti è effettuata Franco Fabbrica (ex works).
E’ in ogni caso inteso che, indipendentemente dagli INCOTERMS
prescelti dalle parti, il trasporto dei prodotti avviene sempre a spese e
completo rischio dell’acquirente.
3.2 - Consegne eseguite da Gufram srl entro 30 giorni dalla data di
consegna convenuta non sono ritenute un inadempimento dei termini
di consegna. Qualora Gufram srl non abbia consegnato i prodotti entro
il suddetto periodo, l’acquirente ha il diritto di rifiutare solo la fornitura
dei prodotti non consegnati dopo aver concesso a Gufram srl, a mezzo
di lettera raccomandata con ricevuta di ritorno, un ulteriore termine di 5
giorni lavorativi per effettuare la consegna, con decorrenza dal momento
di ricevimento di tale lettera.
3.3 - Salvo dolo o colpa grave di Gufram srl è esclusa ogni
responsabilità di Gufram srl per danni derivanti da mancata o ritardata
consegna, totale o parziale.
3.4 - I prodotti non possono essere restituiti per nessun motivo a Gufram
srl in mancanza di preventiva autorizzazione scritta di Gufram srl.
5.1 - Ogni mancanza di conformità dei prodotti dovrà essere denunciata,
a pena di decadenza, a Gufram srl dall’acquirente, dettagliando tale
mancanza di conformità per iscritto, a mezzo di raccomandata a/r, o altro
mezzo di comunicazione che assicuri la prova del ricevimento, entro 10
(dieci) giorni dal momento in cui ha scoperto o avrebbe dovuto scoprire
la mancanza di conformità. L’azione si prescrive entro un anno dalla
consegna del prodotto all’acquirente.
Art. 6 - Responsabilità del produttore
Art. 7 - Normativa e informazioni
7.1 - Gufram srl produce i prodotti in conformità con leggi e normative
in vigore in Italia. Se l’acquirente ha sede fuori dall’Italia, è a carico
dell’acquirente l’accertamento e la responsabilità che i prodotti (così
come le loro confezioni, l’etichettatura, le istruzioni, gli avvertimenti,
la pubblicità, ecc.) siano conformi alle leggi e normative del proprio
territorio, ed informerà tempestivamente Gufram srl delle eventuali
modifiche da apportare.
Art. 8 - Foro competente e legge applicabile
8.1 - Per ogni controversia derivante dal contratto e/o dai singoli contratti
di vendita o comunque ad esso/i collegata è esclusivamente competente
il foro di Torino (Italia).

Art. 1 Contractual framework
Art.4 Warranty
1.1 - These general conditions of sale, apart from any eventual
variations agreed upon in writing, govern all current and future sales
contracts entered into between the parties. Any derogation from these
general conditions will be rejected if not mutually agreed upon in writing
by the parties. In the event that the parties agree to derogate from
these general conditions, the provisions of the conditions that are not
specifically derogated from will continue to apply in full force and effect.
4.1 - The terms “non-compliance” or “non-conforming” refer to a lack
of quality, or to non-compliance with the agreed characteristics of the
products, as well as to defects. No warranty is given in case of misuse or
incorrect use of the product.
1.2 - Any eventual modification of these general conditions will not be
considered as valid without the written consent of Gufram Srl.
1.3 - The buyer’s general conditions, if any, are not applicable neither in
full nor in part, aside from those expressly accepted in writing by Gufram
Srl.
1.4 - Any reference to commercial terms (Ex works, FOB, CIF, etc.)
shall have the meaning as defined by the Incoterms stipulated by the
International Chamber of Commerce, in force at the date the contract is
concluded.
1.5 - Italian law regulates all sales contracts entered into by the parties,
including these conditions.
1.6 - Acceptance of these general conditions, as well as any other
eventual contracts or agreements between the parties, except where
expressly provided for in writing, does not imply that the buyer has
been granted any exclusive rights, concessions or commissions, with or
without representation, nor does it grant the buyer the right to use in any
form the trademark or distinctive marks belonging to Gufram Srl.
Art. 2 Prices and Payment
2.1 - Prices are subject to variation until the order confirmation is sent.
Prices listed in the accounting documents do not include VAT, transport
costs, insurance, customs duties and so on.
2.2 - Payment of all sums due to Gufram Srl by the buyer for whatever
reason must be made at the legal seat of Gufram Srl. The buyer is
obliged to make payments even in the event that there are disputes
of any kind relating to the product or to Gufram Srl’s performance.
Failure to observe the terms and conditions of payment by the buyer
entitles Gufram Srl not to fulfil its delivery obligations and/or the delivery
obligations relating to a delivery other than that to which the failure
to comply relates and authorizes Gufram Srl to request immediate
prior payment in whole of the amounts still owed by the buyer, without
prejudice to Gufram Srl’s right to request compensation for damages.
2.3 - Notwithstanding other remedies upheld by the law, if payment is
not made within the required time period, without requiring notice of
default, interest shall be calculated according to Italian legislative decree
231/2002.
2.4 - All products remain the property of Gufram Srl until full payment of
the amount owed.
Art. 3 Delivery
3.1 - Delivery will be made Ex-Works. In any case, regardless of
the Incoterm chosen by the parties, the buyer will assume all costs
associated with transport and the full risk.
3.2 - Deliveries made by Gufram Srl within 30 days from the date of
delivery will not be regarded as a breach of the delivery terms. Should
Gufram Srl not deliver in the aforementioned time frame, the buyer has
the right to refuse delivery only after granting Gufram Srl, by the means
of registered mail, a further 5 working days to deliver, effective from the
moment the letter is received.
3.3 - Aside from wilful misconduct or gross negligence, Gufram Srl is not
liable for damages resulting from the failure to deliver or late deliveries,
whether partial or total.
3.4 - Products may not be, for any reason, returned to Gufram Srl
without the express written consent of Gufram Srl.
4.2 - Gufram Srl warrants that the products correspond with the
specifications expressly set out in the order confirmation; products that
display a tolerance which is reasonable or consistent with the common
use or practices of the product shall not be considered non-conforming.
Following receipt of notice of non-conformity, if such notice is made
in compliance with the procedure indicated in Art. 5 of these general
conditions and the product has been proven to be non-conforming,
Gufram Srl will have the option to:
a) replace, free of charge, the non-conforming or defective product with
a new product;
b) reimburse the buyer for the amount invoiced and paid for the product
that has been proven to be non-conforming.
At the request of Gufram Srl, the buyer is required to promptly and at
its own expense send back the non-conforming product to Gufram Srl.
If one or more of the products that are returned from the buyer are then
found to be conforming, Gufram Srl may resend such products to the
buyer, at the expense of the buyer, subject to Gufram Srl’s right to the
price and to compensation for damages.
4.3 - Except in cases of willful misconduct or gross negligence, the
liability of Gufram Srl for any damage suffered by the buyer cannot
exceed the price of the defective or non-conforming product. The
warranty set out in this Art. 4 supersedes any other liability for lack of
conformity of the product, as well as any other conventional or legal
liability, express or implied, aside from other responsibilities agreed upon
in writing by Gufram Srl. In particular, the buyer shall not be entitled to
other claims for damages or for termination of the contract.
Art. 5 Complaints
5.1 - Any lack of conformity of the products must be reported - under
penalty of forfeiture - to Gufram Srl by the buyer, describing in detail the
lack of conformity by way of registered mail with return receipt within 10
(ten) days from the moment the non-conformity was discovered or ought
to have been discovered. Buyer’s right lapses after 1 year from the date
of delivery of the product to the buyer.
Art. 6 - Producer Liability
6.1 - The Buyer waives its right of recourse toward Gufram Srl according
to art. 131 of Italian legislative decree 206/2005 (Consumers’ code).
Art. 7 Legislation and Information
7.1 - Gufram Srl produces products in conformity with the laws and
regulations in force in Italy. If the buyer has its registered seat outside
of Italy, the buyer must ensure that the products (including but not
limited to packaging, labelling, instructions, warnings and advertising)
are in conformity with the laws and regulations in force within its home
country. If any changes must be made, the buyer will inform Gufram Srl
in advance.
Art. 8 Competent court and applicable law
8.1 - For any dispute arising from the contract and/or the individual sales
contracts, or any dispute that is in any way connected to it/them, the only
and exclusively competent court is the Court of Turin (Italy).

conforme”) fait référence à des défaillances qualitatives et à une nonconformité par rapport aux caractéristiques convenues des produits,
ainsi qu’à d’éventuels défauts. Toute garantie est exclue en cas
d’utilisation abusive et/ou non correcte des produits.
1.2 - Les éventuelles modifications des présentes conditions générales
ne seront valables que si elles seront acceptées par écrit par Gufram srl.
1.3 - Les éventuelles conditions générales de l’acquéreur n’auront
aucune application, même partielle, sauf en cas d’acceptation expresse
écrite de la part Gufram srl.
1.4 - Tout référence à d’éventuels termes commerciaux (Franco Usine,
FOB, CIF, etc.) renvoie aux Incoterms de la Chambre de Commerce
Internationale, selon le texte en vigueur à la date de conclusion du
contrat.
1.5 - Tous les contrats de vente passés entre les parties, ainsi que les
présentes conditions générales, sont régis par la loi italienne.
1.6 - Sauf accord exprès écrit, l’acceptation des présentes conditions
générales, ainsi que tous les contrats et les comportements ultérieurs
des parties régis par ces mêmes conditions générales, n’impliquent
aucune exclusivité conférée à l’acquéreur ni l’institution de rapports de
concession, de commission ou de mandat, avec ou sans représentation.
De même, ils ne confèrent à l’acquéreur le droit d’utiliser, sous quelque
forme que ce soit, les marques ou les signes distinctifs de Gufram srl.
Art. 2 - Prix et paiement
2.1 - Les prix sont sujets à des variations jusqu’à l’envoi de la
confirmation de commande. Dans les documents comptables, les
prix s’entendent nets de TVA, frais de transport, assurance, droits de
douane, etc.
2.2 - Le paiement des prix et de toutes les autres sommes dues pour
n’importe quel motif par l’acquéreur, doit être effectué auprès du siège
de Gufram srl. L’acquéreur est tenu d’effectuer les paiements même en
cas de revendications ou de contestations de n’importe quelle nature
concernant les produits ou les obligations de Gufram srl. Le nonrespect des termes et des conditions de paiement soulève Gufram srl
de l’exécution de ses obligations de livraison, y compris par rapport à
des fournitures différentes de celle qui fait l’objet de ce non-respect. Par
ailleurs, cela autorisera Gufram s.r.l. à prétendre le paiement anticipé
immédiat de toutes les sommes dues par l’acquéreur, sans aucun
préjudice pour le droit d’indemnisation de Gufram srl.
2.3 - Sous réserve des autres recours prévus par la loi, une fois le délai
de paiement expiré, les intérêts de retard prendront effet sans qu’il soit
nécessaire de notifier une mise en demeure, conformément au Décret
législatif italien 231/2002.
2.4 - Les produits demeurent la propriété de Gufram srl jusqu’au
paiement intégral de leur prix.
Art 3 - Livraison
3.1 - La livraison des produits est effectuée Franco Fabbrica (ex-works).
Il reste en tout cas entendu que, indépendamment des INCOTERMS
retenus par les parties, le transport des produits s’effectuera toujours
aux frais et au risque intégral de l’acquéreur.
3.2 - Toute livraison effectuée par Gufram srl dans les 30 jours qui
suivent la date de livraison convenue ne pourra être considérée comme
une inexécution des termes de livraison. Au cas où Gufram srl ne
livrerait pas ses produits dans ledit délai, l’acquéreur n’aura le droit de
rejeter que la fourniture des produits non livrés, après avoir accordé à
Gufram srl, par lettre recommandée avec accusé de réception, un délai
supplémentaire de 5 jours ouvrables à compter de la date de réception
de cette lettre, pour effectuer la livraison.
3.3 - Sauf en cas de dol ou de faute grave de la part de Gufram srl, toute
responsabilité de Gufram srl est exclue pour les dommages résultant
d’une livraison, totale ou partielle, non effectuée ou effectuée en retard.
3.4 - Les produits ne peuvent être restitués sous aucun prétexte à
Gufram srl en l’absence de son autorisation préalable écrite.
4.2 - Gufram srl garantit la conformité des produits fournis à ce qui a
expressément été convenu. Les produits présentant des tolérances
raisonnables ou conformes à des usages ou pratiques courants, ne
seront pas considérés comme non conformes. Après avoir reçu une
plainte de la part de l’acquéreur, si effectuée selon les modalités visées
à l’art. 5, et si les produits s’avèrent non conformes, Gufram srl pourra, à
son propre choix:
a) ournir gratuitement à l’acquéreur un nouveau produit remplaçant le
produit défectueux, ou
b) rembourser à l’acquéreur le prix facturé et réglé pour le produit qui
s’est avéré non conforme.
A la demande et aux frais de Gufram srl, l’acquéreur lui fera
immédiatement parvenir le produit non conforme. Au cas où un ou
plusieurs produits restitués par l’acquéreur s’avéreraient par la suite
conformes, Gufram srl pourra les restituer à l’acquéreur, aux frais de ce
dernier, sous réserve du droit de Gufram srl de prétendre le versement
du prix et d’une indemnisation.
4.3 - Sauf en cas de dol ou de faute grave, la responsabilité de Gufram
srl pour l’indemnisation de n’importe quel dommage subi par l’acquéreur
ne pourra en aucun cas dépasser la valeur du produit défectueux et/
ou non conforme. La garantie visée à cet art. 4 remplace toute autre
responsabilité pour non-conformité des produits, ainsi que toute autre
responsabilité conventionnelle ou légale, expresse ou implicite, à
l’exception des éventuelles responsabilités expressément acceptées
par écrit par Gufram srl. En particulier, l’acquéreur n’aura le droit de
prétendre à d’autres indemnisations ni à une réduction du prix ou à la
résolution du contrat.
Art. 5 - Réclamations
5.1 - Toute absence de conformité des produits devra être signalée
par l’acquéreur à Gufram srl, sous peine d’annulation, en la décrivant
en détail par lettre recommandée avec accusé de réception ou un
autre moyen de communication permettant d’obtenir une preuve de la
réception, dans les 10 (dix) jours à compter du moment où l’acquéreur
a découvert – ou aurait dû découvrir – l’absence de conformité. L’action
est prescrite au bout d’un an après la livraison du produit à l’acquéreur.
Art. 6 - Responsabilités du fabricant
6.1 - L’acquéreur renonce à exercer, envers Gufram slr, le droit de
recours visé à l’art. 131 du Décret-législatif 206/2005 (Code de la
Consommation).
Art. 7 - Normes et informations
7.1 - Gufram srl fabrique les produits conformément aux lois et aux
réglementations en vigueur en Italie. Si l’acquéreur n’est pas basé en
Italie, il devra prendre en charge la vérification et la responsabilité de la
conformité des produits (ainsi que de leurs conditionnement, étiquetage,
instructions, avertissements, publicité, etc.) aux lois et aux règlements
en vigueur dans son propre pays, en informant sans attendre Gufram srl
des éventuelles modifications à apporter.
Art. 8 - Tribunal compétent
8.1 - Toute controverse découlant du contrat et/ou des différents contrats
de vente ou rattachée de quelque manière que ce soit à ceux-ci, sera
soumise à la juridiction exclusive des Tribunaux de Turin (Italie).

1.1 - Die vorliegenden Allgemeinen Geschäftsbedingungen regeln
vorbehaltlich eventueller Abweichungen, die spezifisch schriftlich zu
vereinbaren sind, alle derzeitigen und zukünftigen Verkaufsverträge
zwischen den Parteien. Sie dürfen nicht aufgehoben werden, außer
dass es durch ausdrückliche schriftliche Vereinbarung der Parteien
erfolgt. Wenn die Parteien von den vorliegenden Allgemeinen
Geschäftsbedingungen abweichen, kommen die Vorschriften dieser
Allgemeinen Geschäftsbedingungen, die davon nicht berührt werden,
weiterhin zur Anwendung.
4.1 - Der Begriff “mangelnde Konformität” (ebenso wie der Begriff “nicht
konform”) bezieht sich auf Qualitätsmängel sowie auf Abweichungen
von den vereinbarten Eigenschaften der Produkte und Fehler.
Ausgeschlossen ist jegliche Garantie bei unsachgemäßem und/oder
falschem Gebrauch des Produkts.
1.2 - Eventuelle Änderungen an den vorliegenden Allgemeinen
Geschäftsbedingungen gelten nur, wenn sie von Gufram srl schriftlich
akzeptiert wurden.
1.3 - Eventuelle Allgemeine Geschäftsbedingungen des Käufers finden
keine Anwendung, auch nicht partiell, wenn sie nicht schriftlich von
Gufram srl akzeptiert wurden.
1.4 - Verweise auf eventuelle Handelsbedingungen (ab Werk,
FOB, CIF etc.) beziehen sich auf die Incoterms der Internationalen
Handelskammer in der Version, die zum Zeitpunkt des
Vertragsabschlusses gültig ist.
1.5 - Alle Verkaufsverträge zwischen den Parteien sowie die
vorliegenden Allgemeinen Geschäftsbedingungen unterliegen dem
italienischen Recht.
1.6 - Die Annahme der vorliegenden Allgemeinen Geschäftsbedingungen
sowie alle anschließenden, von diesen geregelten Verträge und
Handlungen der Parteien implizieren, sofern es nicht ausdrücklich
schriftlich anders vereinbart wurde, keine Verleihung von
Exklusivrechten jeglicher Art an den Käufer noch die Einrichtung von
Konzessions-, Auftrags- oder Mandatsverhältnissen mit oder ohne
Vertretungsbefugnis. Ebenso verleiht sie dem Käufer nicht das Recht,
die Marken und Logos von Gufram srl in wie auch immer gearteter
Weise zu nutzen.
Art. 2 Preise und Zahlung
2.1 - Die Preise sind bis zur Übersendung der Auftragsbestätigung
veränderlich. In den Rechnungsdokumenten sind sie ohne MwSt.,
Transport- und Versicherungskosten, Zollgebühren etc. aufgeführt.
2.2 - Die Zahlung der Preise und aller anderen vom Käufer aus
beliebigem Grunde geschuldeten Beträge muss an den Standort
von Gufram srl erfolgen. Der Käufer ist auch im Fall von Ansprüchen
oder Beanstandungen jeglicher Art in Bezug auf die Produkte oder
auf die Vertragserfüllung von Gufram srl zur Zahlung verpflichtet. Die
Nichteinhaltung der Zahlungsfristen und -bedingungen befreit Gufram
srl von der Erfüllung der Lieferverpflichtungen auch in Bezug auf andere
Lieferungen als denjenigen, auf die sich die Nichteinhaltung bezieht,
und ermächtigt Gufram srl, die unverzügliche Vorauszahlung aller vom
Käufer fälligen Beträge zu verlangen, wobei das Recht von Gufram srl
auf Schadenersatz vorbehalten bleibt.
2.3 - Vorbehaltlich der anderen gesetzlich vorgesehenen
Abhilfemaßnahmen werden nach Verstreichen der Zahlungsfrist,
ohne dass eine Säumniserklärung erforderlich ist, Zinsen gemäß der
italienischen Gesetzesdekret Nr. 231/2002 fällig.
2.4 - Die Produkte bleiben bis zur vollständigen Zahlung des Preises im
Eigentum von Gufram srl.
Art. 3 Entrega
3.1 - Die Lieferung der Produkte erfolgt ab Werk (ex works). Es gilt in
jedem Fall als vereinbart, dass der Transport der Produkte, unabhängig
von den von den Parteien gewählten INCOTERMS, immer auf Kosten
und vollständige Gefahr des Käufers erfolgt.
3.2 - Lieferungen, die Gufram srl innerhalb von 30 Tagen ab dem
vereinbarten Lieferdatum ausführt, werden nicht als Nichteinhaltung der
Lieferfrist angesehen. Wenn Gufram srl die Produkte nicht innerhalb
dieses Zeitraums liefert, hat der Käufer das Recht, nur die Lieferung der
nicht gelieferten Produkte zurückzuweisen, nachdem er Gufram srl per
Einschreiben mit Rückschein eine weitere Frist von 5 Werktagen für die
Lieferung ab dem Zeitpunkt des Eingangs dieses Schreibens gewährt
hat.
3.3 - Vorbehaltlich Vorsatz oder grober Fahrlässigkeit von Gufram srl
wird jede Haftung von Gufram srl für Schäden durch die ausbleibende
oder verzögerte Gesamt- oder Teillieferung ausgeschlossen.
3.4 - Eine Rückgabe der Produkte an Gufram srl ist, ohne
vorherige schriftliche Genehmigung von Gufram srl, in jedem Falle
ausgeschlossen.
4.2 - Gufram srl garantiert die Konformität der gelieferten Produkte mit
den ausdrücklich vereinbarten Merkmalen; Produkte, die Toleranzen
in einem vernünftigen Maße aufweisen oder damit den üblichen
Verwendungen und Praktiken entsprechen, werden nicht als nicht
konform betrachtet. Nach dem Eingang der Meldung seitens des
Käufers, wenn diese nach den Verfahren in Art. 5 vorgenommen wurde
und sofern die Produkte sich als nicht konform erweisen, kann Gufram
srl nach eigenem Ermessen:
a) dem Käufer kostenlos ein neues Produkt als Ersatz für das fehlerhafte
Produkt liefern, oder
b) dem Käufer den bezahlten Rechnungsbetrag für das Produkt, das
sich als nicht konform erwiesen hat, zurückerstatten.
Auf Anfrage von Gufram srl übersendet der Käufer unverzüglich das
nicht konforme Produkt an Gufram srl auf Kosten von Gufram srl; wenn
eins oder mehrere der vom Käufer zurückgeschickten Produkte sich
anschließend als konform erweist, kann Gufram srl diese Produkte auf
Kosten des Käufers wieder an diesen senden, wobei der Anspruch von
Gufram srl auf den Preis und auf Schadenersatz vorbehalten bleibt.
4.3 - Vorbehaltlich Vorsatz oder grober Fahrlässigkeit kann die Haftung
von Gufram srl für den Ersatz jeglicher vom Käufer erlittenen Schäden
in keinem Fall den Wert des fehlerhaften und/oder nicht konformen
Produkts überschreiten. Die Garantie nach diesem Art. 4 ersetzt jede
andere Haftung für mangelnde Konformität der Produkte ebenso
wie jede andere konventionelle oder gesetzliche, ausdrückliche
oder implizite Haftung mit Ausnahme von eventuellen Haftungen,
die ausdrücklich schriftlich von Gufram srl angenommen wurden;
insbesondere hat der Käufer nicht das Recht, weitere Forderungen auf
Schadenersatz, Preisermäßigung oder Vertragsauflösung zu stellen.
Art. 5 Reklamationen
5.1 - Jede mangelnde Konformität der Produkte muss, bei sonstiger
Verwirkung seiner Rechte, vom Käufer an Gufram srl unter ausführlicher
Angabe der Elemente dieser mangelnden Konformität schriftlich
gemeldet werden, und zwar per Einschreiben mit Rückschein oder
mit einem anderen Kommunikationsmittel, das den Eingangsbeleg
gewährleistet, innerhalb von 10 (zehn) Tagen ab dem Zeitpunkt, an
dem er die mangelnde Konformität festgestellt hat oder hätte feststellen
müssen. Der Klageanspruch verjährt nach einem Jahr ab der Lieferung
des Produkts an den Käufer.
Art. 6 - Haftung des Herstellers
6.1 - Der Käufer verzichtet auf das Regressrecht gegenüber
Gufram srl laut Art. 131, ital. Gesetzesdekret Nr. 206/2005
(Verbraucherschutzgesetz).
Art. 7 Gesetzgebung und Informationspflicht
7.1 - Gufram srl produziert die Produkte entsprechend den in Italien
geltenden Gesetzen und Vorschriften. Wenn der Käufer seinen
Sitz außerhalb Italiens hat, übernimmt er selbst die Ermittlung und
Verantwortung, dass die Produkte (ebenso wie ihre Verpackungen,
Etikettierung, Gebrauchsanweisungen, Warnhinweise, die Werbung etc.)
den Gesetzen und Vorschriften im eigenen Land entsprechen. Über
eventuell vorzunehmende Änderungen muss er Gufram srl rechtzeitig
informieren.
Art. 8 Zuständiges Gericht
8.1 - Für alle Streitfälle, die aus dem Vertrag bzw. aus den einzelnen
Verkaufsverträgen hervorgehen oder jedenfalls damit verbunden sind, ist
ausschließlich der Gerichtsstand Turin (Italien) zuständig.
CONDICIONES GENERALES DE VENTA
Art. 1 Marco contractual
Art.4 Garantía
1.1 - Las presentes condiciones generales, salvo posibles derogaciones
expresamente acordadas por escrito, disciplinan todos los contratos de
venta entre las partes presentes y futuros. Éstas no se pueden derogar
a no ser que se haga mediante un acuerdo de las partes por escrito. En
caso de que las presentes condiciones generales fueran derogadas por
las partes, las disposiciones de las presentes condiciones generales que
no sean derogadas seguirán siendo de aplicación.
4.1 - El término “falta de conformidad” (así como el término “no
conforme”) se refiere a las faltas de calidad, y a la no conformidad
respecto a las características acordadas de los productos, así como a
los defectos. Queda excluido cualquier tipo de garantía en caso de uso
impropio y/o no correcto del producto.
1.2 - Posibles modificaciones de las presentes condiciones generales
son válidas sólo si están aceptadas por escrito por parte de Gufram srl.
1.3 - Posibles condiciones generales del comprador no serán de
aplicación, ni siquiera parcial, si no han sido expresamente aceptadas
por escrito por parte de Gufram srl.
1.4 - La referencia a posibles términos comerciales (Franco Fábrica,
FOB, CIF, etc.) se entiende hecha a los Incoterms de la Cámara de
Comercio Internacional, en el texto en vigor en el momento de la
celebración del contrato.
1.5 - Todos los contratos de venta entre las partes, así como las
presentes condiciones generales, se rigen por la ley italiana.
1.6 - La adhesión a las presentes condiciones generales, así como
todos los contratos y los comportamientos sucesivos de las partes
regulados por las mismas, salvo expreso acuerdo en contrario realizado
por escrito, no implican la otorgación al comprador de ninguna exclusiva
ni la instauración de relaciones de concesión, comisión o mandato,
con o sin representación, así como no otorgan al comprador mismo
el derecho de utilizar, bajo forma alguna, las marcas o los símbolos
distintivos de Gufram srl.
Art. 2 Precios y pago
2.1 - Los precios están sujetos a variación hasta el envío de la
confirmación del pedido. En los documentos contables los precios
se expresan al neto del IVA, de gastos de transporte y de seguros,
aranceles aduaneros, etc.
2.2 - El pago de los precios y de todos los otros importes debidos por
el comprador por cualquier motivo se deberá efectuar en la sede de
Gufram srl. El comprador tendrá que realizar el pago también en caso
de reivindicaciones o protestas de cualquier tipo sobre los productos o
sobre el cumplimiento de Gufram srl. El incumplimiento de los términos
y de las condiciones de pago exonera a Gufram srl del cumplimiento
de las obligaciones de entrega, también con relación a suministros
diferentes de los implicados en el susodicho incumplimiento, y autoriza
a Gufram srl a reivindicar el pago inmediato y por adelantado de todas
las cantidades debidas por el comprador, salvo el derecho de Gufram srl
a los daños.
2.3 - Sin perjuicio de los otros recursos previstos por la ley, vencido el
plazo de pago, comienzan a contar, sin necesidad de constitucion en
mora, los intereses, con arreglo al decreto ley italiano 231/2002.
2.4 - Los productos siguen siendo de propiedad de Gufram srl hasta el
pago completo del precio.
Art. 3 Entrega
3.1 - La entrega de los productos se efectúa Franco Fábrica (ex works).
En cualquier caso queda entendido que, al margen de los INCOTERMS
elegidos por las partes, el transporte de los productos tiene lugar
siempre a cargo y a completo riesgo del comprador.
3.2 - Las entregas realizadas por Gufram srl en el plazo de 30 días
a partir de la fecha de entrega acordada no se considerarán un
incumplimiento de los plazos de entrega. En caso de que Gufram srl
no entregue los productos dentro de dicho plazo, el comprador tendrá
derecho a rechazar sólo el suministro de los productos no entregados
tras haber concedido a Gufram srl, por medio de una carta certificada
con aviso de recibo, un plazo adicional de 5 días laborables para
efectuar la entrega, a partir del momento del recibo de dicha carta.
3.3 - Salvo en casos de dolo o culpa grave de Gufram srl queda excluida
toda responsabilidad de Gufram srl por los daños que pudieran derivar
de la falta de entrega o retraso de la misma, total o parcial.
3.4 - Los productos no se pueden devolver por ningún motivo a Gufram
srl sin una previa autorización escrita por parte de Gufram srl.
4.2 - Gufram srl garantiza la conformidad de los productos suministrados
con lo que se ha acordado expresamente; los productos que presenten
tolerancias razonables o conformes con los usos o prácticas comunes
no se considerarán no conformes. Como consecuencia de la recepción
de una denuncia por parte del comprador, si se efectúa según las
modalidades previstas en el art. 5, y si los productos resultan no
conformes, Gufram srl podrá, a su discreción:
a) suministrar gratuitamente al comprador un nuevo producto que
sustituya el producto defectuoso, o
b) reembolsar al comprador el precio de factura pagado por el producto
que se ha demostrado no conforme.
Bajo solicitud de Gufram srl el comprador enviará con prontitud a
Gufram srl, a cargo de ésta última, el producto no conforme; en caso de
que uno o más productos devueltos por el comprador se demuestren
después conformes, Gufram srl podrá devolver dichos productos al
comprador, a cargo de éste último, sin perjuicio del derecho de Gufram
srl al precio y al resarcimiento de los daños.
4.3 - Salvo en casos de dolo o culpa grave, la responsabilidad de
Gufram srl por el resarcimiento de cualquier daño sufrido por el
comprador no podrá en ningún caso superar el valor del producto
defectuoso y/o no conforme. La garantía indicada en el presente art. 4
sustituye cualquier otra responsabilidad por falta de conformidad de los
productos, así como cualquier otra responsabilidad convencional o legal,
explícita o implícita, con excepción de las posibles responsabilidades
expresamente asumidas por escrito por parte de Gufram srl; en
particular, el comprador no tendrá derecho de presentar otras solicitudes
de daños, ni de reducción del precio o de resolución del contrato.
Art. 5 Reclamaciones
5.1 - El comprador deberá denunciar, so pena de caducidad, toda falta
de conformidad de los productos, a Gufram srl, especificando dicha
falta de conformidad por escrito y enviándola con carta certificada con
aviso de recibo, o por otro medio que garantice la prueba de que se ha
recibido, en el plazo de 10 (diez) días a partir del momento en el que
se ha descubierto o habría debido descubrirse la falta de conformidad.
La acción prescribe en el plazo de un año a partir de la entrega del
producto al comprador.
Art. 6 - Responsabilidad del fabricante
6.1 - El comprador renuncia al derecho de repetición respecto a Gufram
srl, según el art. 131 del decreto ley 206/2005 (código del consumo).
Art. 7 Normativa e informaciones
7.1 - Gufram srl fabrica los productos en conformidad con las leyes y
las normativas vigentes en Italia. Si el comprador tiene su sede fuera
de Italia, será él quien compruebe y tenga la responsabilidad de que
los productos (así como sus embalajes, etiquetado, instrucciones,
advertencias, publicidad, etc.) sean conformes con las leyes y las
normativas de su propio territorio, e informará inmediatamente a Gufram
srl de las posibles modificaciones que haya que aportar.
Art. 8 Jurisdicción competente
8.1 - Para cualquier controversia que derive del contrato y/o de cada
contrato individual de venta o que en cualquier caso esté relacionada
con el mismo es exclusivamente competente la jurisdicción de Turín
(Italia).
