Questo miglioramento è stato possibile nonostante i nuovi conflitti, purtroppo sorti in Ucraina e Medio Oriente ed in alcuni paesi africani. 2014 marked another year of slow recovery for the world economy, driven mainly by the United States. The recovery was possible despite new conflicts that, unfortunately, arose in Ukraine, the Middle East and in some African countries. Gli aspetti che hanno dominato le riflessioni degli economisti nel 2014 sono stati, in particolare, la caduta del prezzo del petrolio e il perdurare della bassa inflazione. Quest’ultimo aspetto ha destato preoccupazioni principalmente per le grandi economie, ma nel corso dell’anno ha iniziato ad intaccare anche le economie più piccole, come quella Svizzera. Queste preoccupazioni si sono materializzate soprattutto in Europa e in Giappone, dove il 2% di obiettivo inflazionistico da parte delle banche centrali sembra sempre più difficile da raggiungere e dove la crescita è stata abbondantemente più bassa rispetto agli Stati Uniti. Abnormally low inflation and the fall in energy prices, especially oil – despite tensions in Ukraine and the Middle East – were the main issues among major developed economies in 2014. The persistence of low inflation in the largest western economies started to affect also smaller countries, such as Switzerland, but was an issue to worry about mostly in Europe and Japan, where the 2% inflation target of both central banks, despite very active monetary efforts, in particular in Japan, still looks very difficult to reach in the short term. This is especially the case since economic growth is unable to take off and is still largely lower than in the United States. La fragilità della ripresa è stata chiara soprattutto in gennaio, quando i dati sulla crescita del PIL americano hanno risentito pesantemente dell’inverno rigido, con conseguenze avverse per il mercato azionario. Rimane anche prevalente la scelta dei governi di tagliare spese e numero di impieghi pubblici, piuttosto che cercare di attutire il colpo aumentando gli investimenti. In effetti i 60 mesi dall’inizio della crisi hanno visto una lenta evoluzione negativa nei posti di lavoro pubblici anche negli USA, dove sono andati persi 700 mila impieghi. Questa osservazione potrebbe realmente mettere in pericolo il “beautiful deleveraging” che il mercato azionario sembra già aver scontato. Strong imbalances also remain in the public accounts of European member states, but also the USA and Japan. In many cases, the worries of policymakers have resulted in an increase in taxes. This has possibly partly invalidated the effects of expansionary monetary policies. The fragility behind a monetary-driven economic recovery emerged in January, when US stock market was heavily affected by the rigid winter. During this phase, the impression was clear that various Governments were deciding not to intervene by trying to increase investments, but rather preferred to further cut spending and even public employment. Also in the US, in the last 60 months, around 700 thousand public jobs were lost and we still do not see any inversion to this trend. The fiscal pressure, direct or indirect, could of course endanger the “beautiful deleveraging” that the stock market seems to have already discounted. La crescita negli USA e a livello mondiale, si è poi nuovamente indebolita nel quarto trimestre 2014, con gli analisti concordi ad interrogarsi, nuovamente, sui limiti della politica monetaria a questi tassi. Il meccanismo di trasmissione degli stimoli monetari all’economia reale non sembra trovare vigore, con l’inflazione USA anch’essa ricaduta sotto il 2%. Growth in the US and globally weakened again in the last quarter of the year, with analyst questioning on the limits of a recovery driven mostly by monetary stimulus at such very low rates and on the possibility of rates’ hikes. In fact, the transmission mechanism that leads to the real economy seems to be broken in most economies, with the US inflation still well below 2%. La ripresa innescata dalla Federal Reserve (Fed) sembra comunque essere più robusta di quella europea e l’obiettivo del 6.5% di disoccupazione è stato ampiamente raggiunto durante l’anno. Nonostante la Fed abbia chiuso il quantitative easing (QE) da inizio novembre, i posti di lavoro sono in crescita e la brusca frenata attesa da alcuni commentatori durante l’anno non è stata osservata. In any case, the recovery triggered by the Federal Reserve (Fed) is for sure more robust than what we observed in Europe. The US target of 6.5% unemployment was largely achieved during the year, despite the interruption of the quantitative easing (QE) at the beginning of November. Jobs in the US are growing without the slowdown that many expected, while the price pressure exerted by the collapse in oil prices in the fourth quarter bind the Fed not to stop its support 5 La situazione in Europa appare invece molto più difficile: mentre l’inflazione langue a livelli non sani per la crescita economica la Grecia rimane un punto di domanda. Ciò nonostante, sembrano iniziare parziali recuperi in altre aree periferiche in difficoltà. On the other hand, the situation in Europe is much more difficult: while inflation languishes at unhealthy levels, Greece remains a question mark, despite some signs of a partial recovery in other peripheral areas. Rispetto agli anni passati, i riflettori si sono però concentrati meno sull’eurozona. Al contrario, il 2014 ha riportato al centro della scena finanziaria le economie asiatiche. Infatti, l’inizio dell’anno è stato caratterizzato dall’entusiasmo generale per la politica monetaria esplosiva messa in atto in Giappone dal Primo Ministro Shinzo Abe. Questi entusiasmi non si sono però ancora concretizzati e il governo Abe ha dovuto rimandare l’aumento dell’imposta sul valore aggiunto previsto alla fine del 2014, a causa del ritorno ad una fase di recessione del paese. Durante il terzo trimestre dell’anno il PIL giapponese ha infatti segnato un calo di -0.4% su base trimestrale (-1.6% annualizzato) facendo seguito al crollo del 1.9% del trimestre precedente. Come detto, l’elemento frenante anche nel caso del Giappone sembra essere stato l’aumento del carico fiscale per coprire parte del disavanzo. Questa situazione, ha per finire, indotto Abe a chiedere le elezioni anticipate per il rinnovo della Camera Bassa e a rimandare al 2017 un ulteriore aumento dell’imposta sul valore aggiunto. Compared to previous years, however, the Eurozone was less in the spotlight of global investors. In fact, 2014 has brought Asian economies again at the center of the financial stage. The beginning of the year was characterized by the general enthusiasm for the explosive monetary policies implemented in Japan by Prime Minister Shinzo Abe, which seemed to represent a new paradigm for policymakers. These enthusiasms, however, have not yet materialized and the Abe government had to postpone the increase of the value added tax planned for the end of 2014, because of a return into recession of its country. During the third quarter of 2014, the Japanese GDP has indeed marked a decline of -0.4% on a quarterly basis (-1.6% annualized), after a fall of 1.9% in the previous quarter. As said, even in the case of Japan, the increase of the fiscal burden to cover part of the deficit seems to have been a major drag to the economy. This situation finally led Mr. Abe to request early elections for the renewal of the lower house and to postpone to 2017 a further increase in taxes. Anche la Cina ha avuto tassi di crescita sostenuti, sebbene con segnali di rallentamento, ed è ricorsa alla riduzione dei tassi di interesse, così come d’altronde tutte le principali banche centrali, vere protagoniste di questa fase della ripresa. A sorpresa, in novembre, la Banca Centrale cinese ha abbassato il tasso base di interesse di 0.40% attestandolo al 5.6% e si è impegnata a sostenere nuovamente il settore immobiliare, che ha visto un calo che si sta protraendo pericolosamente. In ottobre l’inflazione cinese si è attestata ai livelli minimi dell’1,6% e questo lascia la porta aperta ad ulteriori interventi monetari a sostegno dell’economia. Secondo alcune stime aggiornate, l’obiettivo di crescita previsto per il 2015 è sceso al 7%, dal precedente 7.5%. Questo calo della crescita cinese sembra ormai un trend di lungo periodo e segna un nuovo minimo dal 2000. China itself has continued to display sustained growth rates, but with signs of slowing down and increasing interventions. Even China, in line with all other major central banks, cut interest rates: in November, surprisingly, the base interest rate was lowered by 40 basis points to 5.6%. We also witnessed a lightening in credit constraints in order to support the real estate sector, which saw a further decline that could become, at some point, a dangerous drag to the growth of the economy. In October, China's inflation stood at 1.6%, its minimum level, and this leaves the door open to further monetary interventions in support of an economy growing below its historical targets. The estimates for 2015 were revised down to 7% from 7.5%, marking the lowest level since 2000. Together with most investors, we believe this to be a rather longterm trend that is here to stay. In questo contesto economico, i mercati azionari sono stati contraddistinti da un aumento generalizzato della volatilità a partire dal mese di luglio. La prima presa di profitto è stata attribuita ai rischi geopolitici crescenti in Ucraina e alla preoccupazione di una fine del ciclo di crescita USA. Dopo aver ripreso i massimi livelli a settembre, una nuova correzione ha questa volta investito anche i mercati più robusti, quali quello US, portando la volatilità al livello massimo da circa tre anni. Le cause di questo storno sono da ricercare nella conferma della deflazione in Europa e nel ritardo negli interventi da parte della Banca Centrale Europea (BCE). Come accennato, la correzione ha investito maggiormente gli USA, dove gli investitori hanno probabilmente visto nel rafforzamento del dollaro un ulteriore freno all’economia, soprattutto per gli utili societari. In this economic environment, equity markets were characterized by a general increase in volatility, starting from July. The first profit taking was attributed to rising geopolitical risks in Ukraine and to the concern of an end of the growth cycle in the USA. After regaining its highest levels in September, the stock market experienced a new correction that affected even the most resilient markets, such as the US, bringing volatility to the maximum level since about three years. The causes of this drawdown are probably to be found in the confirmation of deflation in Europe and the delay in intervention by the European Central Bank (ECB). As mentioned, the correction has affected the US disproportionately, where investors have probably seen in the strengthening of the dollar a further brake to the economy, especially for corporate earnings. 6 In termini di performance, i mercati, seppur altalenanti e con la volatilità ancora in crescita verso la fine dell’anno, hanno in buona parte chiuso nelle cifre positive o con leggere flessioni. È questo il caso dei listini europei, con Spagna e Germania a +3.6% e +2.6%, rispettivamente, passando per l’Italia con +0.4% o la Francia con un calo di 0.5%, mentre l’indice generale Eurostoxx 50 ha segnato un +1.2%. Negli USA l’indice S&P 500 ha chiuso l’anno con un rendimento ragguardevole del 11.4%, grazie a un rally da +12% dalla metà di ottobre a dicembre. Per quanto riguarda il mercato obbligazionario gli analisti sono stati nuovamente presi in contropiede dal continuo calo dei rendimenti. Questo nonostante il tapering, che lasciava presagire meno intervento da parte della Fed. In Europa hanno beneficiato le economie periferiche, i cosiddetti PIGS, che sono tornati a livelli di spread contenuti rispetto alla Germania. In terms of performance, financial markets – albeit with ups and downs and in an environment of increasing volatility, especially towards the end of the year – have largely closed the year with positive figures or minor dips. This is the case of the European equity markets, with Spain and Germany closing at +3.6% and +2.6%, respectively, Italy at +0.4% and France with a small decline of 0.5%. The general Eurostoxx 50 index marked a return of +1.2%. In the US, the S&P 500 ended the year with a remarkable result of 11.4%, thanks to a 12% rally from mid-October to December. As for the bond market analysts have again been caught by surprise by the continuous decline in yields, and this despite the tapering, which presaged less intervention ahead by the Fed. In Europe, bonds from the peripheral economies, the socalled PIGS, have benefited the most, returning to levels of low spreads relative to Germany. Durante l’anno abbiamo invece assistito ad un calo generalizzato dei prezzi delle materie prime, dove quello più rilevante si è osservato per il petrolio. Le tensioni geopolitiche non sono riuscite ad influenzare il prezzo al rialzo, a causa probabilmente della sempre minore dipendenza degli USA alle importazioni di petrolio. Il calo del prezzo è sembrato autoalimentarsi dando adito, a fine anno, ad aspettative di prezzo ancora sotto pressione, visto il livello record di stock che i produttori di oro nero hanno raggiunto. Forti pressioni al ribasso sono state registrate anche per l’oro fisico, le cui quotazioni fanno da contraltare ad un dollaro molto forte. Le previsioni per il metallo giallo sono legate al futuro rialzo dei tassi, che se arrivasse potrebbero portare un ulteriore calo. On the other hand, during the year we have witnessed a general decline in prices of raw materials, where the most significant fall was observed for oil. Geopolitical tensions have not been able to influence the price upward, probably because of the increasing independence of the US economy on imports of oil. The fall in prices seemed to be feeding itself, giving rise, at year-end, to price expectations still largely under pressure, because of a record level of stock reached by producers. Strong downward pressures were observed also for physical gold – which of course is the backdrop to a strong US dollar. The future forecast for the yellow metal are related to the possibility of rate hikes, which could lead to a further decline in prices. Degna di nota è l’evoluzione del dollaro USA, che ha fatto segnare un rialzo rispetto all’EUR dell’11.5% durante l’anno, a fronte, come abbiamo visto, di previsioni di crescita che rimangono molto migliori (intorno al 3.2% per il 2015), rispetto all’1.2% per l’area euro e per il Giappone. Detto questo, il trade weighted USD index, che si attesta oggi intorno a un valore di 90, alla fine degli anni ’80 aveva raggiungo i 165 punti, per poi scendere fino a 125 nel 2000 e toccare un minimo di 65 nel 2011. Questo trend si è fortemente invertito nel corso dell’anno per arrivare fino intorno ai 90 punti. Anche a fronte del crescente differenziale di tassi rispetto a Europa e Giappone, questo non può che lasciar presagire un ulteriore rafforzamento dell’USD almeno per buona parte del 2015. Especially noteworthy was also the evolution of the US dollar, which showed a rise of 11.5% against the euro during the year, on the back, as we have seen, of much stronger growth forecasts: growth expectations for the US are currently around +3.2%, compared to only 1.2% for other major economies such as the euro area and Japan. That said, the trade-weighted USD index, which now reached a value of 90 was at 165 at the end of the 1980s. It has then dropped to 125 in 2000 and touched its historical minimum value in 2011, at around 65 points. This trend has reversed forcefully during 2014 and led the index to increase to around 90. Also in the face of the growing rate differential compared to Europe and Japan, this evolution can only presage a further strengthening of the USD for 2015. Per concludere, la Svizzera continua a rappresentare un’area di stabilità, evidenziando un tasso di crescita economica addirittura superiore alle aspettative, con una crescita del PIL del +1.5%. Inflazione nulla e tasso di disoccupazione di circa il 3% hanno mantenuto più o meno invariata la situazione rispetto all’anno precedente. A trainare l’economia elvetica è stata la domanda interna come pure il settore delle esportazioni, costantemente in crescita, grazie anche alla politica del cambio fisso della Banca Nazionale. La sfida futura sarà di ricreare condizioni per la crescita dopo un abbandono della politica del cambio ad 1.2 CHF per euro. To conclude on a local note, Switzerland continues to be an area of substantial stability, showing, for 2014, an economic growth rate even higher than expected. In fact, GDP growth was at +1.5%, with negligible inflation and an unemployment rate of around 3%. This situation is mostly unchanged with respect to the previous year and, once again, the strength of the Swiss economy has to be found both in domestic demand and in the export sector, which is growing steadily, also thanks to the fixed exchange rate policy vs. the euro by the Swiss National Bank. The challenge ahead will be to create conditions for growth after an abandonment of this policy. 7 I numeri della Svizzera lasciano trasparire comunque una stabilità eccezionale, considerando l’attuale fase del ciclo economico globale. The numbers for Switzerland reveal however exceptional stability, considering the current stage of the global economic cycle, and we are confident about its continuing success. Il 2014 – anno del trentesimo giubileo dalla costituzione del Gruppo Arner – è stato caratterizzato da numerosi importanti cambiamenti nell’assetto e nella strategia della banca. In particolare, ci rallegriamo dell’entrata nel capitale azionario di IXE CAPITAL AG, società d’investimenti basata a Zurigo e che fa capo a una dinastia di imprenditori, con al centro l’attività agricola in America Latina. Sulla scia di questo fondamentale cambiamento strategico, all’inizio di novembre 2014, Banca Arner SA ha annunciato l'apertura di una nuova succursale a Zurigo, nel cuore dell’elegante quartiere di Seefeld. In questo modo la banca amplia ulteriormente la sua portata e aumenta l’offerta di prodotti e soluzioni innovative nell’ambito dei servizi finanziari. Il Consiglio di Amministrazione rinnova il benvenuto al nuovo Team, composto da professionisti con diverse competenze in grado di consigliare una vasta gamma di entità, dagli imprenditori alle famiglie, dai gestori patrimoniali istituzionali agli investitori privati, offrendo sempre soluzioni personalizzate. 2014 - year of the thirtieth anniversary since the foundation of Arner Group - has been characterized by a number of important changes in the organization and the strategy of the bank. In particular, we are delighted to welcome a new shareholder, IXE CAPITAL Ltd., an investment company based in Zurich and controlled by a dynasty of entrepreneurs, with a focus on agricultural activity in Latin America. In the wake of this fundamental strategic change, at the beginning of November 2014, Arner Bank was proud to announce the opening of its new branch in Zurich. The new premises are located in the heart of Zurich. With this move, the bank is further expanding its reach by offering innovative products and solutions to clients looking for an entrepreneurial counterpart. The Board of Directors renews its welcome to the new Team, composed by professionals with different backgrounds, able to bring its expertise to a large number of clients, from entrepreneurs wishing to take the next step for their business to families and private individuals looking for a tailor-made solution. Nel corso dell’anno è poi stata ceduta la partecipazione in Banca Arner (Italia) Spa e in Casa4Funds European Asset Management SA. La cessione di queste attività s’inquadra in una strategia di riposizionamento che prevede la concentrazione in Svizzera, con Zurigo e Lugano quali punti per accedere al mercato internazionale. Questo processo, già iniziato nel 2013, ha consentito alla banca di preservare il suo valore in termini di organizzazione, professionalità e processi. During the year, Arner Bank also completed the sale of the entire stake in Banca Arner (Italia) SpA and Casa4Funds European Asset Management SA. The sale of these activities fits into the repositioning of the business strategy of Banca Arner SA, with the concentration of its business in Switzerland, while focusing on asset management. This process of restructuring was started in 2013 and allowed to preserve the value in terms of organization and professionalism. Sul finire dell’anno, il Consiglio di Amministrazione ha poi avuto l’onore di accogliere il suo nuovo presidente, il signor Michael Baer, nominato quale successore del prof. Kurt Schiltknecht, a cui vanno i nostri più sentiti ringraziamenti per l’eccellente lavoro svolto negli ultimi cinque anni. Michael Baer è un banchiere estremamente esperto e internazionalmente rispettato, che porterà prestigio e una forte leadership. Siamo molto fiduciosi che il Sig. Baer avrà successo nel condurre la nostra banca in questa nuova fase di espansione. Towards the end of the year, the Board of Directors had the honor of announcing the appointment of its new President, Mr. Michael Baer, succeeding to prof. Kurt Schiltknecht. We are very thankful to Kurt Schiltknecht for his excellent work over the last five years. Mr. Baer is an enormously experienced and internationally respected banker that will bring great leadership, integrity and knowledge to the role. We are confident that Mr. Baer will be successful in leading our bank through the next phase of international expansion. Anche nel corso del 2014, Banca Arner ha voluto essere presente nella vita culturale della comunità ticinese e, per la prima volta, anche della città di Zurigo. Also during 2014, Arner Bank was as usual present in the cultural life of Ticino and, for the first time, also of the city of Zurich. Combinando il nostro trentennale giubileo con quello della creazione del Taylor Institute for Global Entrepreneurship presso la Franklin University di Lugano, Banca Arner ha ospitato il “graduation party” degli studenti del Master of Science in International Management. All’evento hanno partecipato, oltre agli studenti, anche il Presidente, il Vice-Presidente e la Decana dell’università. Combining our thirty-year anniversary with the creation of the Taylor Institute for Global Entrepreneurship at Franklin University of Lugano, Arner Bank was proud to host the "graduation party" for students of the Master of Science in International Management. The event was attended, in addition to the many students, by the President, the Vice-President and Dean of the university. 8 Nel corso dell’anno Banca Arner ha poi ospitato alcune mostre. Nel primo caso si è trattato della mostra personale della giovane artista ticinese Federica Dubbini intitolata “Illusione e materia”, composta da una decina di opere pittoriche. È stata poi ospitata l’esposizione “Forma, colore” di Celso Grandi, artista luganese attivo da oltre vent’anni, composta da opere di grande energia cromatica e vitalità di forme. Per questa occasione la banca ha pubblicato un nuovo numero dei suoi Arner Quaderni, dedicato all’opera di Grandi e al percorso di riflessione sul colore messo in opera dai giovani artisti svizzeri della sua generazione. Infine, le vetrine della sede di Lugano hanno ospitato le opere di Paolo Grassi, grafico e designer ticinese, con la sua originale esposizione “From “0” to infinity”. During the year, Banca Arner also hosted a few exhibitions in Lugano. The first one was a personal exhibition of the young artist from Ticino Federica Dubbini, entitled "Illusion and matter", composed of a dozen paintings. Later in the year, we organized the exhibition "Shape, color" by Celso Grandi, an artist from Lugano that has been active for over twenty years. His works show great chromatic energy and vitality of forms and for this occasion the bank published a new issue of its Arner Quaderni, dedicated to the work Grandi and to the reflections on colors by the young Swiss artists of his generation. Finally, our headquarters in Lugano welcomed the works of Paolo Grassi, a graphic designer and artist from Ticino, with its original exhibition “From “0” to infinity”. L’inaugurazione dei nuovi uffici a Zurigo è stata accompagnata da un’importante mostra, già proposta a Parigi, Londra, Monaco e Dubai, dell’artista Themis Woellwarth-Lauterburg presso la sede zurighese di Arner. L’esposizione, intitolata “Undiluted visions” è stata inaugurata in novembre alla presenza dell’artista ed potrà essere vista fino alla fine di gennaio 2015. The inauguration of the new offices in Zurich was accompanied by a major exhibition, already proposed in Paris, London, Monaco and Dubai, by the artist Themis Woellwarth-Lauterburg at our Zurich branch. The exhibition, entitled "Undiluted visions" was inaugurated in November in the presence of the artist and can be seen until the end of January 2015. Per l'esercizio finanziario 2014 Arner Bank chiude l’anno in pareggio. Per l’esattezza, il risultato netto ammonta a CHF 22'834.- (CHF 571’296.- per il Gruppo). For the financial year 2014 Arner Bank posted a small profit of CHF 22'834.-. Similarly, the group-wide result was CHF 571'296.-. COMMENTI RELATIVI AI SETTORI D’ATTIVITA’ E SULL’EFFETTIVO DEL PERSONALE L’attività principale del Gruppo Arner (di seguito Gruppo) è rappresentata dalla gestione patrimoniale con tutti i servizi annessi, in particolare l’intermediazione di valori mobiliari e divise sui principali mercati mondiali nonché la consulenza agli investimenti. Al 31 dicembre 2014, il Gruppo comprendeva 6 società, inclusa la casa madre Banca Arner SA (di seguito Banca). I dettagli delle società del Gruppo sono presentati alla nota 3.3. L’effettivo del personale del Gruppo, al 31 dicembre 2014, era pari a 41 unità (73 unità nel 2013). Nel corso del 2014 la casa madre e la sua affiliata di Nassau hanno affidato ad una società esterna i servizi di information technology e parzialmente quelli di back office, siglando un contratto di outsourcing, ai sensi della circolare FINMA 08/7. In base alla stessa circolare, la casa madre continua ad assumersi, nei confronti della FINMA, la responsabilità relativa alle attività date in outsourcing. I clienti della casa madre sono stati debitamente informati in base alle modalità d’informazione previste dalla summenzionata circolare. La politica dei rischi, esaminata ogni anno da parte del Consiglio di Amministrazione, costituisce il fondamento del processo di gestione del rischio della Banca. Per ognuna delle categorie di rischio individuate dalla Banca, viene definita una struttura di limiti la cui verifica è costante e scrupolosa. Il Consiglio di Amministrazione viene costantemente informato sugli esiti dei controlli effettuati e sull’esposizione al rischio della Banca soprattutto per quanto riguarda i rischi operativi, i rischi di credito e i rischi di mercato. Lo stesso Consiglio di Amministrazione ha preso tutti i provvedimenti necessari per poter ritenere irrilevante il rischio di errori significativi nei conti annuali. 1. PRINCIPI DI VALUTAZIONE E PRESENTAZIONE 2. 2.1 PRINCIPI GENERALI I conti annuali del Gruppo sono stati redatti conformemente al Codice Svizzero delle Obbligazioni, alla Legge federale e all’Ordinanza sulle Banche e le Casse di Risparmio, alla circolare FINMA 08/2 e alle Swiss GAAP FER. 18 BUSINESS ACTIVITIES AND HEADCOUNT The Arner Group’s (hereafter Group) main activities are portfolio management and related services, including security and currency trading on all major markets as well as investment advisory. As of 31 December 2014, the Group consisted of 6 companies, including the parent company Arner Bank SA (hereafter Bank). Details on Group’s companies are presented in note 3.3. As at December 31, 2014 the Group’s headcount was 41 (73 headcount in 2013). During 2014, the Bank and its subsidiary in Nassau outsourced to a third party company the information technology services and, partially, some back office services, and signed an outsourcing contract as per FINMA Circ. 08/7. According to the circular, the Bank remains responsible on the activities outsourced with respect to FINMA. The clients of the Bank have been properly informed according to the ways described by the aforementioned circular. The risk policy, reviewed annually by the Board of Directors, is the basis of the Bank’s risk management process. A system of limits, constantly and scrupulously monitored, is defined for each risk category identified by the Bank. The Board of Directors is constantly informed of the monitoring results of checks conducted and of the risk exposure of the Bank, especially with regard to operating risks, credit risks, and market risks. The Board of Directors has taken all necessary steps to ensure that the risk of significant errors in the financials statements may be deemed low. ACCOUNTING PRINCIPLES 2.1 BASIS OF PREPARATION The Group financial statements have been drawn up in accordance with the Swiss Code of Obligations, the Swiss Banking Act and related Ordinance, with FINMA Circ. 08/2 and with the Swiss GAAP FER. Based on the application of uniform accounting principles, the Group's financial statements give a true and fair view of the financial position, the result of operations and the cash flows of the Group. 2.2 CONTABILIZZAZIONE Da maggio 2014, tutte le operazioni sono iscritte nei registri delle società del Gruppo secondo il principio della registrazione alla data d’esecuzione della transazione. Fino ad aprile 2014, tutte le transazioni erano iscritte nei registri delle società del nostro Gruppo per data valuta. 2.2 RECORDING OF TRANSACTIONS From May 2014, all transactions are shown in the financial statements of the company of the Group according to the transaction date entry principle. Up to April 2014, all transactions were entered in the books of Group companies according to the value date principle. 2.3 CONSOLIDAMENTO / VARIAZIONI NELL’AMBITO DEL CONSOLIDAMENTO I conti annuali del Gruppo includono tutte le società in cui la Banca possiede una partecipazione diretta o indiretta superiore al 50% o esercita un controllo in altro modo (società controllate). Le partecipazioni minoritarie e poco significative non vengono consolidate e sono iscritte a bilancio al prezzo di acquisto. Vengono effettuate singole correzioni di valore basate sul principio della prudenza per rischi di inadempienza identificabili. I dati delle società partecipate ed il relativo metodo di consolidamento sono elencate nella tabella 3.3. Gli interessi degli azionisti terzi nel patrimonio netto delle società controllate ed i risultati di esercizio vengono riportati nelle passività alla voce “Quote minoritarie del capitale proprio” del bilancio del gruppo e come “Interessi minoritari” alla voce “Utile del gruppo” nel conto economico del gruppo. L’anno fiscale di tutte le società comprese nell’ambito del consolidamento termina il 31 dicembre. 2.3 CONSOLIDATION / CHANGES IN THE SCOPE OF CONSOLIDATION The Group financial statements include all companies in which the Bank has a direct or indirect participation of more than 50% or otherwise exerts control (subsidiaries). 2.4 METODO DI CONSOLIDAMENTO Il consolidamento del capitale viene gestito conformemente al purchase method. Il prezzo di costo viene imputato al fair value del patrimonio netto al momento della sua costituzione o acquisizione. Negli esercizi inclusi in questo rapporto non è stato contabilizzato alcun goodwill. Le attività e le passività infragruppo, nonché i costi e i ricavi si compensano reciprocamente. 2.4 CONSOLIDATION METHOD Equity ownership is treated according to the purchase method, i.e. the cost price is offset against the fair value of the net assets at the time of their creation or acquisition. In the years included in this report, no goodwill has been accounted. Intergroup assets and liabilities, as well as expenses and income, are offset against one another. 2.5 CONVERSIONE DELLE DIVISE ESTERE I bilanci delle società individuali del Gruppo redatti in divise estere vengono convertiti in franchi svizzeri ai tassi di cambio di fine esercizio. Le voci nel conto economico vengono convertite ai tassi medi dell’anno. Le differenze derivanti dalla conversione vengono registrate nelle riserve dell'utile, senza alcun effetto economico. 2.5 FOREIGN CURRENCY EXCHANGE The balance sheets of individual Group companies that are drawn up in foreign currencies are converted into Swiss francs at year-end exchange rates. Items in income statements are converted at average rates for the year. The resulting conversion differences are posted in to retained earnings with no effect on income. Minority investments are not consolidated and are recorded on the balance sheet at purchase price. Value corrections are made based on the prudence principle for identifiable default risks. Data regarding the above companies and their consolidation methods are listed in the table 3.3. Third party shareholders’ interests in the net assets and operating results of subsidiaries are reported under “Minority participations in shareholders' equity” on the Group’s balance sheet and as “Minority participations” under “Group profit/loss” on the Group’s income statement. All the companies included in the scope of consolidation have a financial year that ends on December 31. 19 Nei conti annuali di società individuali del Gruppo, le attività, le passività e le transazioni fuori bilancio in divise estere vengono convertite nella rispettiva divisa di calcolo ai tassi di cambio di fine esercizio. In the income statement, transactions in foreign currencies are converted at applicable daily rates into the currency used for accounting purposes. Vengono effettuate singole correzioni di valore basate sul principio della prudenza per rischi di inadempienza identificabili. 2.7 LIQUID ASSETS, MONEY-MARKET INSTRUMENTS, DUE FROM/TO BANKS These items are reported at book value. Individual value adjustments based on the prudence principle are made for identifiable default risks. 2.8 CREDITI NEI CONFRONTI DELLA CLIENTELA I crediti sono registrati a bilancio al valore nominale, salvo specifici accantonamenti decisi nel caso di probabile insolvenza del debitore. I crediti dubbiosi (impaired), vale a dire i crediti per i quali è improbabile che il debitore farà fronte agli impegni futuri, sono valutati in maniera specifica e la riduzione del valore è coperta tramite una rettifica di valore individuale. Anche le poste fuori bilancio, come le promesse irrevocabili, le garanzie o gli strumenti finanziari derivati, sono valutate su base individuale. I prestiti sono considerati in sofferenza (nonperforming) se i pagamenti del capitale e/o gli interessi maturati non sono stati pagati entro 90 giorni dalla loro scadenza secondo contratto. La riduzione di valore corrisponde alla differenza tra il valore nominale del credito e l’ammontare che presumibilmente sarà possibile riscuotere, considerando pure il rischio di controparte e il valore netto proveniente dal recupero di eventuali garanzie. Un eventuale interesse rimasto insoluto per oltre 90 giorni viene considerato scaduto. Gli interessi e le relative commissioni, maturati e non incassati da oltre 90 giorni vengono rettificati tramite il conto “Rettifiche di valore e accantonamenti” e, in caso di mancato pagamento successivo, stornati direttamente dal conto “Proventi da interessi e sconti”. 2.8 DUE FROM CUSTOMERS 20 Amounts due from customers are recorded at book value, with the exception of specific provisions decided in cases of the debtor's probable insolvency. Impaired credits, i.e., credits for which the debtor will probably not discharge future commitments, are valued in a specific manner, and the reduced value is covered by adjusting the individual value. Off-balance sheet items, irrevocable commitments, guarantees or derivative instruments are valued on an individual basis. Loans are considered non-performing if payments of capital and/or accrued interest are not collected within 90 days of their contractual deadline. The reduced value equals the difference between the book value of the credit and the amount that will probably be collected, with consideration of the risk of counter-creditors and the net value deriving from recovery of any guarantees. Interest unpaid for more than 90 days is considered overdue. Interest and charges thereon accrued and not collected for more than 90 days are adjusted by means of the “Value adjustments and provisions” account and, in case of further delay, they are written off from the account “Income from interest and discounts”. 2.9 TITOLI E METALLI PREZIOSI DESTINATI ALLA NEGOZIAZIONE I titoli e i metalli di proprietà della Banca con lo scopo della negoziazione sono rivalutati al corso di mercato del giorno di chiusura del bilancio. Il risultato della rivalutazione è contabilizzato nel conto economico. Gli interessi e i dividendi maturati sono accreditati al risultato da operazioni di negoziazione al netto dei costi di finanziamento, attribuiti al risultato da operazioni su interessi. 2.9 SECURITIES AND PRECIOUS METALS TRADING PORTFOLIO The securities and precious metals held in the Bank’s trading portfolio are mark-to-market as of the closing date of the financial statement. The revaluation result is recorded on the income statement. Accrued interest and dividends are credited to the result from trading transactions net of financing costs attributed to the result from interest transactions. 2.10 INVESTIMENTI FINANZIARI Gli investimenti a reddito fisso, che non appartengono al portafoglio di trading, vengono valutati al valore minimo di costo o di mercato, purché non vi sia alcuna intenzione di detenere detti titoli fino alla scadenza. I titoli acquistati con l’intenzione di detenerli fino a scadenza vengono valutati secondo il metodo accrual. In tal caso, l’aggio o il disaggio è rateizzato sul periodo dall'acquisto alla scadenza. Gli utili o le perdite realizzati relativi ad interessi derivati da vendita o riscatto anticipato vengono differiti sul periodo rimanente, cioè fino alla scadenza originale. 2.10 FINANCIAL INVESTMENTS Fixed-yield assets, which are not included in the trading portfolio, are valued at the lower of cost or market, provided there is no intention to hold such securities to maturity. Securities bought with the intention of holding them to maturity are valued according to the accrual method. In this case, premiums and discounts in the balance sheet item are deferred beyond term up to maturity. Interestrelated profits or losses from premature sale or redemption are deferred over the remaining term, i.e. up to the original maturity. 2.11 IMMOBILIZZI Gli investimenti negli attivi fissi vengono capitalizzati e valutati al costo se usati per più di un esercizio finanziario e se superano la soglia di capitalizzazione minima. Negli anni successivi le immobilizzazioni vengono contabilizzate secondo il principio del costo effettivo meno gli ammortamenti accumulati. L’ammortamento viene registrato in base alla durata utile prevista degli investimenti. Le durate stimate per le singole categorie di immobilizzazioni sono le seguenti: - Hardware: 4 anni - Veicoli: 5 anni - Attrezzature d'ufficio: 4 anni - Mobilio: 8 anni - Ristrutturazioni su immobili: minimo tra 20 anni e la durata prevedibile dell'utilizzo - Immobili: 50 anni - Oggetti d'arte: illimitata. In presenza di indicatori di perdita di valore o di cambiamento della durata di utilizzo degli immobilizzi, si procede ad un ammortamento non pianificato o ad una revisione della durata. Utili o perdite derivanti dall'alienazione di immobilizzi sono contabilizzati come utili o perdite straordinari. 2.11 FIXED ASSETS Investments in fixed assets are capitalized and valued at cost if used for more than one accounting period and if they exceed the minimum capitalization threshold. In subsequent years, fixed assets are accounted for according to the actual cost principle less accumulated depreciation. Depreciation is recorded based on the estimated life of the investments. The estimated lives of individual fixed asset categories are as follows: - Hardware: 4 years - Vehicles: 5 years - Office equipment: 4 years - Furniture: 8 years - Renovations of Real Estate: minimum between 20 years and expected duration of use - Real estate: 50 years - Fine art: no limit. When there are indications of a loss of value or of a change in useful life, an unplanned depreciation or a review of useful life is conducted. Capital gains or losses from sales of fixed assets are recorded as extraordinary income or expenses. 21 2.12 IMMOBILIZZAZIONI IMMATERIALI Le immobilizzazioni immateriali vengono valutate al costo dedotto l'ammortamento durante il periodo di durata previsto. They are depreciated as from their first day of use. Their normal useful life is defined as follows: - Goodwill: 5 years - Software: 4 years - Patents: 5 years 2.13 RATEI E RISCONTI I ricavi e i costi non liquidati nel periodo di competenza sono rateizzati secondo il principio di realizzazione al fine di assicurare una corretta evoluzione nel tempo del conto economico. 2.13 ACCRUALS AND DEFFERALS All income and expenses not settled during the accounting period are accrued in order to match the correct profit and loss period. They are accounted for using the realization method. 2.14 RETTIFICHE DI VALORE E ACCANTONAMENTI Le correzioni di valore e gli accantonamenti vengono registrati sulla base del principio della prudenza per tutti i rischi identificabili. 2.14 VALUE ADJUSTMENTS AND PROVISIONS 2.15 RISERVA PER RISCHI BANCARI GENERALI Questa riserva è costituita secondo quanto previsto dalla circolare FINMA 08/2. I movimenti di tale riserva sono contabilizzati come costi e ricavi straordinari. Nel corso del 2014, la casa madre ha deciso per un rilascio parziale della Riserva per Rischi Bancari Generali, generando un ricavo straordinario di CHF 0.65 milioni. Alla costituzione della Riserva per Rischi Bancari Generali, era stato costituito un accantonamento per imposte latenti che la casa madre avrebbe dovuto pagare in caso di rilascio totale o parziale della riserva (si veda la tabella 3.8). Per contro, né la casa madre né il gruppo contabilizzano tra i propri attivi il credito d’imposta vantato nei confronti dell’autorità fiscale svizzera. Il rilascio della suddetta riserva andrà a ridurre il credito d’imposta e non comporta né comporterà per i prossimi anni il pagamento di imposte. Di conseguenza, l’accantonamento per imposte latenti è stato sciolto con effetto positivo sul risultato di Gruppo di CHF 1.79 milioni. 2.15 RESERVE FOR GENERAL BANKING RISKS This reserve is determined according to FINMA Circ. 08/2. Any change of this reserve is recorded in the extraordinary expenses and income accounts. During 2014, the Bank decided to release a share of the Reserve for General Banking Risk, generating an extraordinary income of CHF 0.65 million. When the Reserves for general banking were created, also the correspondent deferred taxes were provisioned according to the duty of payment of the Bank in case of release of the reserves (see table 3.8). On the other hand, the Swiss tax benefit for the loss carried forward has been registered neither in the Bank nor in the group. The release of the aforementioned reserves will only reduce the tax benefit and it will not imply any present of future tax payment. According to the above considerations, the provisions for deferred taxes have been released with positive effect on Group’s profit of CHF 1.79 million. 2.16 FONDO DI PREVIDENZA Il Gruppo ha strutturato programmi di previdenza per il proprio personale in Svizzera dove ha trasferito tutti i propri impegni relativi ai fondi pensione ad una Fondazione Collettiva (un programma comune tra vari datori di lavoro). Si tratta di un programma di pensionamento legalmente indipendente basato sui principi dei piani di previdenza svizzeri a contribuzione definita. 2.16 PENSION FUND The Group maintains pension plans for its staff in Switzerland where it transferred all of its pension fund commitments to a Collective Foundation (a joint scheme of several employers). This is a legally independent pension scheme based on the principles of Swiss defined contribution plans. 22 When there are indications of a loss of value or of a change in useful life, an unplanned depreciation or a review of useful life is conducted. The financial statement of the Collective Foundation pension plan is prepared in compliance with Swiss GAAP FER 26. On the balance sheet date, the Bank does not dispose of contribution reserves. The foreign subsidiaries have pension plans that meet legal requirements in each of the countries concerned. 2.17 IMPOSTE Le imposte dovute sul reddito e sul capitale vengono contabilizzate in base ai risultati del periodo di competenza contenuti nei singoli conti annuali delle società del Gruppo in conformità alle locali disposizioni fiscali. Il debito fiscale viene calcolato in base alle aliquote di imposta attuali ed è riportato alla voce “Ratei e risconti”. Il Gruppo ha determinato le imposte latenti a carico dell'esercizio in osservanza di quanto previsto nelle raccomandazioni concernenti la presentazione dei conti Swiss GAAP FER 11. Gli effetti fiscali derivanti dalle differenze temporali tra i valori d'iscrizione di attivi e passivi nel bilancio consolidato e in quello fiscale, oppure derivanti dalle discordanze tra principi di valutazione ai fini consolidati e locali, sono contabilizzati come imposte differite. 2.17 TAXES Income and capital taxes are calculated in conformity to local tax rules based on each Group company's result as expressed in its annual financial statement. The tax liability is calculated on the basis of current tax rates and is reported under “Accrued expenses and deferred income”. 2.18 IMPEGNI EVENTUALI, PROMESSE IRREVOCABILI, IMPEGNI DI PAGAMENTO E DI CREDITO L’iscrizione fuori bilancio è al valore nominale. Eventuali accantonamenti per rischi riconosciuti sono esposti in “Rettifiche di valore e accantonamenti”. 2.18 CONTINGENT LIABILITIES, IRREVOCABLE COMMITMENTS, PAYMENT AND LOAN COMMITMENTS Off-balance sheet items are recorded at book value. Any provisions for recognized risks are showed under “Valuations adjustments and provisions”. 2.19 STRUMENTI FINANZIARI DERIVATI Gli strumenti finanziari derivati vengono negoziati per proprio conto nonché per conto dei clienti. La politica adottata dal Gruppo per le operazioni per conto proprio contempla l’uso dei derivati a copertura dei rischi di cambio, di tasso e di credito (hedging). I derivati vengono di principio valutati al valore di mercato. La Banca utilizza i corsi per la durata residua fino alla scadenza per le posizioni a termine. Le posizioni commerciali in derivati per i quali esiste un mercato rappresentativo, vengono valutate ai prezzi di mercato, registrando le differenze di valutazione nel conto economico. Laddove non esista alcun mercato rappresentativo si valutano le posizioni al valore minimo tra costo e mercato. Il bilancio mostra il valore di rimpiazzo lordo degli strumenti derivati nelle voci “Altri attivi” e “Altri passivi”, mentre il risultato di queste operazioni è di principio incluso nella voce “Risultato da operazioni di negoziazione”. 2.19 DERIVATIVE FINANCIAL INSTRUMENTS Derivatives are traded on the Bank’s own account as well as on behalf of customers. The Group has calculated deferred taxes due for the year in conformity to accounting and reporting recommendations Swiss GAAP FER 11. Tax effects arising from timing differences between carrying values of assets and liabilities on the consolidated balance sheet and their corresponding tax values, or generated by the disparities between valuation principles for consolidation or local purposes, are recorded as deferred tax assets or liabilities. The Group’s policy for derivative transactions on its own account allows the use of hedges to cover exchange, interest rate, and credit risks. Derivatives are generally mark-to-market. The Bank uses prices for residual life until maturity for forward positions. Trading positions in derivatives for which there is a representative market are valued at market prices, with valuation differences being entered on the income statement. Where no representative market exists, the principle of lower of cost and market is applied. The balance sheet shows the gross replacement value of derivative instruments in “Other assets” or “Other liabilities”, while the result of these transactions is generally recorded in “Net income from trading operations”. 23 2.20 GESTIONE DEI RISCHI Nella Politica dei Rischi viene definita sia la predisposizione al rischio della Banca che i principi per poterla controllare. La struttura normativa interna della Banca, composta da direttive e circolari interne, definisce un quadro coerente per l’applicazione di tali principi al controllo dei rischi. 2.20 RISK MANAGEMENT The Risk Policy defines the Bank’s inclination for risk as well as principles for controlling it. The Bank’s internal rules, consisting of internal guidelines and memos, define a consistent structure for applying such principles to risk control. La mitigazione del rischio avviene anche tramite un sistema ormai consolidato di controlli interni dedicati al monitoraggio continuo della Banca. La revisione interna esamina regolarmente la struttura per il controllo dei rischi e rende conto delle proprie attività direttamente al Consiglio di Amministrazione. Il Risk Management informa regolarmente la Direzione della Banca ed il Consiglio di Amministrazione riguardo ai rischi assunti e si occupa di verificare il processo di gestione del rischio. Rischi di mercato: le attività della banca in ambito di investimento o negoziazione sottostanno ad una politica prudente e vengono monitorate giornalmente dalle unità di controllo. La banca utilizza strumenti finanziari derivati esclusivamente a scopo di copertura. Rischi sui tassi di interesse: i rischi sui tassi di interesse derivanti da attività di bilancio e fuori bilancio, vengono monitorati e controllati centralmente dal comitato ALM (Assets and Liabilities Management). Rischi su crediti: i rischi su crediti comprendono tutte le esposizioni da cui può derivare una perdita qualora le controparti non siano in grado di adempiere ai propri obblighi. La Banca monitora regolarmente le esposizioni nei confronti della clientela come quelle nei confronti delle controparti bancarie ed è munita di una struttura chiara di competenze e limiti. Tutte le correzioni di valore, effettuate sulle singole posizioni compromesse per il valore stimato della possibile perdita, vengono riportate alla voce di bilancio “Rettifiche di valore e accantonamenti” e di conto economico “Rettifiche di valore, accantonamenti e perdite”. I rischi su crediti sono coperti prevalentemente da depositi attivi o garanzie bancarie. Rischi operativi: il rischio operativo è il rischio di incorrere in perdite derivanti da errori, violazioni, interruzioni o danni dovuti a processi interni, persone, sistemi o eventi esterni. Il Risk management garantisce la raccolta, l’analisi degli eventi operativi, la produzione di report standard, la classificazione dei rischi operativi nei processi aziendali, il controllo degli indicatori di rischio operativo e la simulazione del loro impatto sui processi aziendali. Rischio di concentrazione: la Banca si preoccupa inoltre di monitorare i rischi di concentrazione legati alle attività creditizie e di tesoreria nonché di verificare il rischio Paese assunto. The Bank also reduces risk by means of a wellestablished system of internal controls dedicated to a constant monitoring. The internal audit department examines the risk control structure regularly and reports directly to the Board of Directors. Risk Management regularly informs Bank Management and the Board of Directors with regard to risks assumed and checks the risk management process. 24 Market risks: The Bank's investment and trading activities are conducted with prudence and are monitored daily by control units. The Bank uses financial derivatives for hedging purposes only. Interest rate risks: Interest rate risks deriving from balance-sheet and off-balance-sheet assets are monitored and checked centrally by ALM (Assets and Liabilities Management). Credit risks: Credit risks include all types of exposures that may generate a loss if counterparties are not in a position to meet their obligations. The Bank periodically monitors amounts due both from customers and banks, and utilizes a clear structure of responsibilities and limits. All value adjustments, made on individually impaired positions for the estimated value of the possible loss, are recorded in the balance-sheet account “Valuation adjustments and provisions” and in the income statement account “Valuation adjustments, provisions and losses”. Credit risks are covered primarily by asset deposits or bank guarantees. Operational risks: Operational risks are defined as the risk of losses due to errors, violations, interruptions, or damage deriving from internal processes, individuals, systems, or outside events. Risk management guarantees collection and analysis of data for operational events, production of standard reports, classification of operational risks in company processes, controls of risk indicators and simulation of the impact of significant events on company processes. Concentration and country risk: The Bank also monitors concentration risks involved in credit and treasury operations and checks assumed Country risk. Rischio di liquidità: il rischio di liquidità è costantemente monitorato, attraverso la misurazione anche in situazioni di stress. A fine 2014, l’indice di liquidità del gruppo LCR era pari a 1'739.44% (1’256.43% a fine 2013). Liquidity risk: The liquidity risk is constantly monitored through proper measurement also by using stress scenarios. At the end of 2014, the liquidity coverage ratio (LCR) was equal to 1’739.44% (1’256.43% at the end of 2013). Compliance, rischi legali e di reputazione: la funzione Compliance della Banca, quale parte integrante del dipartimento Legal & Compliance, è regolata in una specifica direttiva interna che ne stabilisce i compiti, le competenze e le responsabilità. Il dipartimento Legal & Compliance è pertanto responsabile della conformità delle attività commerciali alle normative vigenti e vigila affinché queste siano svolte in funzione dei criteri di prudenza e accuratezza. Esso è inoltre responsabile del monitoraggio del rispetto dei requisiti legali e delle direttive emesse dalle autorità di controllo o da altre organizzazioni. Detto dipartimento deve altresì assicurare che le direttive e le disposizioni interne siano applicate ed aggiornate. L’attività di sorveglianza consolidata del Gruppo è parte integrante dei compiti conferiti al dipartimento Legal & Compliance, il quale verifica, tra l’altro, che vengano assunti, a livello di Gruppo, limitati rischi legali e di reputazione. Audit Committee: Roland Müller-Ineichen è il delegato dal Consiglio d’Amministrazione per le attività dell’Audit Committee secondo quanto disposto dalla Circolare FINMA 2008/24, capoversi 41-53. La responsabilità per i compiti delegati resta comunque al Consiglio di Amministrazione considerato collegialmente, secondo quanto disposto dalla Circolare FINMA 2008/24 capoverso 30. Nell’ambito della valutazione annuale dei rischi, il Consiglio di Amministrazione ha analizzato l’eventuale necessità di adesione al Programma americano per il contenzioso fiscale delle banche svizzere negli Stati Uniti (Program for NonProsecution Agreements or Non-Target Letters for Swiss Banks). L’analisi, condotta con il supporto di uno studio legale statunitense, ha portato alla decisione di non partecipare al Programma. Compliance, legal and reputational risks: The Compliance office, part of the Legal & Compliance department, is governed by a specific internal guideline that defines its duties, competences and responsibilities. 2.21 AVERI DELLA CLIENTELA I patrimoni dei clienti vengono calcolati e riportati conformemente alle direttive emesse dalla FINMA. I patrimoni dei clienti comprendono tutti i beni gestiti o detenuti a scopo di investimento di clienti privati, aziende e clienti istituzionali di tutte le società bancarie del Gruppo consolidate integralmente. Essi includono tutti gli importi dovuti a clienti su conti correnti, su depositi a termine e fiduciari, e su tutti i beni con valore dichiarato. 2.21 CUSTOMER ASSETS Customer assets are calculated and reported in accordance with the guidelines issued by FINMA. The Legal & Compliance department is therefore responsible for ensuring that business activities comply with current regulations and that they are accurately conducted under a prudent view. It is also responsible for monitoring compliance to legal requirements and to guidelines issued by supervisory authorities and other organisations. The department must also ensure enforcement and updating of the internal guidelines. The activity of consolidated supervision of the Group is an integral part of the Legal & Compliance department’s tasks , that, among other things, verifies that limited legal and reputational risk are assumed at the Group’s level. Audit Committee: Roland Müller-Ineichen is the member delegated by the Board of Directors of the duties of the Audit Committee in accordance with FINMA Circular 2008/24 marginal number 41-53. The Board of Directors is collectively responsible for the delegated tasks of the Audit Committee in accordance with FINMA Circular 2008/24 marginal number 30. In the annual risk assessment, the Board of Directors analysed the potential participation to the Program for Non-Prosecution Agreements or NonTarget Letters for Swiss Banks. The analysis, supported by United States’ Law Firm brought to the decision not to participate to the Program. Customer assets include all assets managed or held for investment purposes of private, corporate and institutional customers by all fully consolidated banking companies of the Group. Customer assets include all amounts due to clients on savings and deposit accounts, fixed-term and fiduciary deposits, and all valued assets. 25 Non esistono posizioni della categoria execution only nella tabella degli averi in gestione. Gli averi della clientela includono anche gli attivi detenuti dai fondi comuni d’investimento gestiti in proprio. Limitatamente al 2013, gli attivi di questa categoria erano conteggiati in doppio quando il Gruppo incassava le commissioni di gestione per le operazioni d'investimento in vari punti della creazione del valore. Dalla vendita dell’affiliata Casa4Funds European Asset Management SA, Lussemburgo, tale doppio conteggio non è più effettuato, dal momento che i fondi inclusi nei depositi dei clienti sono completamente gestiti da società terze. Customer assets also include assets in ownmanaged collective investment funds. In 2013, assets in this category were double-counted when the Group received management fees for investment transactions at several points along the value creation chain. From the sale of the subsidiary Casa4Funds European Asset Management Sa, Luxembourg, such doublecounting is no longer made, since funds included in the deposits of the clients are all managed by third parties. 2.22 AVVENIMENTI DOPO LA CHIUSURA DEL BILANCIO L’impatto economico immediato della svalutazione dell’Euro rispetto al Franco Svizzero è stato considerato già nel conto annuale 2014. Nel 2015, la suddetta svalutazione ha generato una riduzione del controvalore in Franchi Svizzeri degli assets under management della Banca di circa il 10%. Nel corso del 2014, gli azionisti della casa madre hanno sottoscritto un contratto di compravendita di azioni per il passaggio del 100% della Banca al socio IXE Capital AG, Zurich. Nel corso del primo trimestre del 2015 la Banca ha sottoposto a FINMA la documentazione per la richiesta di approvazione del suddetto cambiamento della compagine azionaria. 2.22 SUBSEQUENT EVENTS 2.23 VARIAZIONE DEI PRINCIPI DI VALUTAZIONE E PRESENTAZIONE RISPETTO ALL'ESERCIZIO PRECEDENTE Come già anticipato nel paragrafo 2.2, a seguito dell’outsourcing dell’information technology, da maggio 2014, tutte le operazioni sono iscritte nei registri delle società del Gruppo secondo il principio della registrazione alla data d’esecuzione della transazione. Fino ad aprile 2014, tutte le transazioni erano iscritte nei registri delle società del nostro Gruppo per data valuta. L’impatto finanziario del cambiamento non è materiale. 2.23 CHANGES IN ACCOUNTING PRINCIPLES 26 The immediate economic effect of the depreciation of Euro with respect to Swiss Franc has been already considered in 2014 income statement. In 2015, the depreciation caused a reduction of about 10% of the assets under management of the Bank expressed in Swiss Franc. During 2014, the shareholders of the Bank signed a share purchase agreement for the change of ownership of the Bank (100% of the shares) in favour of the shareholder IXE Capital AG, Zurich. In the first quarter 2015, the Bank submitted to FINMA the documents required for the approval of the aforementioned change of ownership. As already mentioned in paragraph 2.2, due to the outsourcing of the information technology, from May 2014, all transactions are shown in the financial statements of the company of the Group according to the transaction date entry principle. Up to April 2014, all transactions were entered in the books of Group companies according to the value date principle. The financial impact of the change is not material. The subordinated contracts were subscribed by four of the shareholders of the Bank. The Bank is expecting to receive the authorization from FINMA to compensate one of the above mentioned subordinated loans with a credit of CHF 5.5 million against the same subscribers of the loan, which is stated in the Other assets account. COMMENTI RELATIVI AI SETTORI DI ATTIVITÀ E AL PERSONALE L’attività principale della Banca è rappresentata dalla gestione patrimoniale con tutti i servizi annessi, in particolare l’intermediazione di valori mobiliari e divise sui principali mercati mondiali nonché la consulenza agli investimenti. Nel corso del 2014, la Banca ha aperto una succursale a Zurigo, già pienamente operativa dal quarto trimestre dello stesso anno. I costi e i ricavi così come gli attivi e i passivi della succursale sono inclusi nei conti della sede di Lugano. Al 31 dicembre 2014 l’effettivo del personale della Banca era, compresa la succursale di Zurigo, di 34 unità (26 unità nel 2013). Nel corso del 2014 la Banca ha affidato ad una società esterna i servizi di information technology e parzialmente quelli di back office, siglando un contratto di outsourcing, ai sensi della circolare FINMA 08/7. In base alla stessa circolare, la Banca continua ad assumersi, nei confronti della FINMA, la responsabilità relativa alle attività date in outsourcing. I clienti della Banca sono stati debitamente informati in base alle modalità d’informazione previste dalla summenzionata circolare. 1. PRINCIPI DI VALUTAZIONE E PRESENTAZIONE DEI CONTI ANNUALI 2. 2.1 PRINCIPI DI BASE I conti annuali della Banca sono stati redatti conformemente al Codice delle Obbligazioni, alla Legge Federale e all’Ordinanza sulle Banche e le Casse di Risparmio, nonché alla circolare FINMA 08/2. Si rimanda ai “Principi di valutazione e presentazione” in allegato al conto annuale di Gruppo, validi anche per i conti della Banca, eccezion fatta per le posizioni enunciate di seguito. 54 COMMENTS ON BUSINESS AREAS AND WORKFORCE The Bank’s principal activities are portfolio management and related services, including security and currency trading on all major world markets as well as investment advisory. During 2014, the Bank opened a branch in Zurich, fully operating from the fourth quarter. Incomes and costs as well as assets and liabilities of the branch are included in the accounts of the headquarter of Lugano. As of December 31, 2014 the Bank’s headcount was 34, including the branch of Zurich (26 headcount in 2013). During 2014, the Bank outsourced to a third company the information technology services and, partially, some back office services, and signed an outsourcing contract as per FINMA Circ. 08/7. According to the circular, the Bank remains, with respect to FINMA, the owner of the responsibility on the activities outsourced. The clients of the Bank have been properly informed according to the ways described by the aforementioned circular. VALUATION PRINCIPLES AND PRESENTATION OF ANNUAL FINANCIAL STATEMENTS 2.1 BASIS OF PREPARATION Bank’s financial statements have been drawn up in accordance with the Swiss Code of Obligations, the Swiss Banking Act and related Ordinance, and the FINMA Circ. 08/2. Readers are referred to “Valuation and presentation principles” in the notes to the Group’s financial statements, effective also for the Bank with the exception of the items described below. 2.2 PARTECIPAZIONI Vengono definite Partecipazioni le quote societarie, in termini di capitale o di voto, detenute dalla Banca quali investimenti duraturi indipendentemente dalla quota di partecipazione. Esse sono iscritte a bilancio al costo di acquisto, dedotte le eventuali correzioni di valore necessarie. Nel corso del 2014, sono state vendute le affiliate Casa4Funds European Asset Management SA, Lussemburgo e Banca Arner (Italia) SpA, Milano. In conseguenza delle vendite, la Banca non valuta più i correttivi di valore sulle partecipazioni in base al metodo del Gruppenbewertung, ovvero considerando le partecipazioni in maniera complessiva (si veda il paragrafo 2.5 per maggiori dettagli). 2.2 PARTICIPATIONS Company shares, whether in the form of capital or voting rights, held by the Bank as long-term investments are defined as Participations regardless of their size. They are recorded in the balance sheet at purchase cost, less necessary adjustments. During 2014, the subsidiaries Casa4Funds European Asset Management SA, Luxembourg and Banca Arner (Italia) SpA, Milan have been sold. As a result of the sale, the Bank does no longer adjust the participation value through the Gruppenbewertung method, i.e. by jointly considering all the participated companies (see paragraph 2.5 for more details). Information on the Bank’s equity investments is presented in note 3.3 of consolidated accounts, in accordance with Art. 663b of the Swiss Code of Obligations and Art. 25c of the Banking Ordinance. 2.3 ACCANTONAMENTI SU RISCHI BANCARI GENERALI L’accantonamento per rischi bancari generali non è fiscalmente imponibile al momento della sua creazione. In caso di rilascio, tali valori divengono tassabili. Nel corso del 2014, la Banca ha deciso per un rilascio parziale della Riserva per Rischi Bancari Generali, generando un ricavo straordinario di CHF 0.65 milioni. 2.3 GENERAL BANKING RISK PROVISION 2.4 AVVENIMENTI DOPO LA CHIUSURA DEL BILANCIO L’impatto economico immediato della svalutazione dell’Euro rispetto al Franco Svizzero è stato considerato già nel conto annuale 2014. Nel 2015, la suddetta svalutazione ha generato una riduzione del controvalore in Franchi Svizzeri degli assets under management della Banca di circa il 10%. Nel corso del 2014, gli azionisti della Banca hanno sottoscritto un contratto di compravendita di azioni per il passaggio del 100% della Banca al socio IXE Capital AG, Zurich. Nel corso del primo trimestre del 2015, la Banca ha sottoposto alla FINMA la documentazione per la richiesta di approvazione del suddetto cambiamento della compagine azionaria. 2.4 SUBSEQUENT EVENTS 2.5 VARIAZIONE DEI PRINCIPI DI VALUTAZIONE E PRESENTAZIONE RISPETTO ALL'ESERCIZIO PRECEDENTE Come già accennato nel paragrafo 2.2, la Banca non valuta più i correttivi di valore sulle partecipazioni in base al metodo del Gruppenbewertung, ovvero considerando le partecipazioni in maniera complessiva. L’iscrizione a bilancio delle partecipazioni rimaste è al costo di acquisto, dedotte le eventuali correzioni di valore necessarie. Il suddetto cambiamento ha generato un impatto economico negativo di circa CHF 2.24 milioni. 2.5 CHANGES IN ACCOUNTING PRINCIPLES The general banking risk provision is tax exempt at the time of its creation. In case of reversal such amounts become taxable. During 2014, the Bank decided to release a share of the Reserve for General Banking Risk, generating an extraordinary income of CHF 0.65 million. The immediate economic effect of the depreciation of Euro with respect to Swiss Franc has been already considered in 2014 financial statement. In 2015, the depreciation caused a reduction of about 10% of the assets under management of the Bank expressed in Swiss Franc. During 2014, the shareholders of the Bank signed a share purchase agreement for the change of ownership of the Bank (100% of the shares) in favour of the shareholder IXE Capital AG, Zurich. In the first quarter of 2015, the Bank submitted to FINMA the documents required for the approval of the aforementioned change of ownership. As already mentioned in paragraph 2.2, the Bank does no longer adjust the participation value through the Gruppenbewertung method, i.e. by jointly considering all the participated companies. Participations are recorded in the balance sheet at their carrying value, deducing any necessary adjustment. The negative income statement impact of this change amounts to CHF 2.24 million. 55 3. INFORMAZIONI SUL CONTO ANNUALE INFORMATION ON THE FINANCIAL STATEMENT Come consentito dall’art. 25k dell’Ordinanza sulle banche e le casse di risparmio, la Banca è dispensata nei conti annuali dalla presentazione del conto del flusso dei fondi e dei vari allegati 3.1, 3.2, 3.4, 3.8, 3.12, 3.14, 3.15, 3.16, 4.1, 4.2, 4.3, 5.1, 5.3, 5.4, 5.7 definiti all'art. 25c. In particolare, si vedano i commenti riguardanti la gestione dei rischi di mercato, dei rischi sui crediti e sui tassi di interesse, nonché gli allegati nelle sezioni 2 e 3 del rapporto annuale di Gruppo, che valgono anche per i conti individuali della Banca. In base della Circ. FINMA 08/22, la Banca è dispensata dalla presentazione dei fondi propri computabili ed esigibili a livello individuale, poiché tale esigenza è soddisfatta a livello di Gruppo. As provided in Article 25k of the Swiss Banking Ordinance, the Bank is exempt from presenting in its annual accounts the statement of cash flow and notes 3.1, 3.2, 3.4, 3.8, 3.12, 3.14, 3.15, 3.16, 4.1, 4.2, 4.3, 5.1, 5.3, 5.4, 5.7 specified in Art. 25c. In particular, reference is made to the comments regarding market risk management, credit and interest rate risks, as well as the above-mentioned notes in sections 2 and 3 of the Group's annual report, which also apply to the Bank’s financial statements.
