Di seguito un elenco delle principali modifiche in ambito IVA. On December 30, 2015, the Stability Law 2016 (Law December 28, 2015, no. 208) was published on the Official Gazette. Please see below a list of the main VAT changes. 1. Variazioni in diminuzione IVA (comma 126) 1. VAT Reduction (paragraph 126) La Legge di Stabilità 2016 introduce importanti modifiche all’art. 26 del d.P.R. n. 633/1972, con particolare alle variazioni in diminuzione IVA. The Stability Law 2016 has introduced important changes in the art. 26, Presidential Decree no. 633/1972 regarding VAT reduction. Di seguito, in breve, alcune delle principali novità: • sulla base dei nuovi commi 4 lett. a) e 11 dell’art. 26, viene individuata la data a partire dalla quale è consentita l’emissione della nota di variazione IVA in diminuzione a seguito dell’assoggettamento del cessionario o committente (“debitore”) a procedure concorsuali. In particolare, il debitore è da considerarsi assoggettato a procedura concorsuale a partire dalla data (i) della sentenza dichiarativa del fallimento o (ii) del provvedimento che ordina la liquidazione coatta amministrativa o (iii) del decreto di ammissione alla procedura di concordato preventivo o (iv) del decreto che dispone della procedura di amministrazione straordinaria; • secondo il nuovo comma 5, il cessionario o committente assoggettato ad una procedura concorsuale di cui al comma 4, lettera a, non è tenuto a registrare, ai sensi degli art. 23 e 24, d.P.R. n. 633/1972, la nota di variazione in diminuzione emessa dal cedente o prestatore (comma 5, secondo periodo, art. 26); • nel caso in cui, nell’ambito di una procedura concorsuale o in caso di procedura esecutiva rimasta infruttuosa, il cessionario o committente provveda al pagamento (anche parziale) del corrispettivo, il cedente o prestatore dovrà operare una variazione in aumento ai sensi degli art. 21 e 26, comma 1, d.P.R. n. 633/1972 (comma 6, art. 26); Below, briefly, some of the main changes: • according to new paragraphs 4 letter a) and 11 of art. 26, it is defined the date from which the supplier is entitled to issue a credit note because of the bankruptcy proceedings of the customer (debtor). In particular, the debtor has to be considered as subject to bankruptcy proceedings from the date (i) of the decision declaring bankruptcy, (ii) of the measure ordering the compulsory liquidation or (iii) of the decree acknowledging the pre-bankruptcy or (iv) of decree ordering the special administration procedure; • according to the new paragraph 5, the customer subject to a bankruptcy proceeding, according to paragraph 4, letter a), is not obliged to book, according to art. 23 and 24, Presidential Decree no. 633/1972, the credit note issued by the supplier (paragraph 5, second part. Art. 26); • when, in the case of bankruptcy proceedings or unfruitful proceedings, the customer pays (even partially) the consideration, the supplier is obliged to increase the VAT and taxable amount according to art. 21 and 26, paragraph 1, Presidential Decree no. 633/1972 (paragraph 6, art. 26); • • • sulla base dei nuovi commi 4, lett. b), e 12 dell’art. 26, vengono individuate le ipotesi in cui una procedura esecutiva individuale deve intendersi in ogni caso infruttuosa (con la conseguente possibilità per il cedente o prestatore di operare una variazione in diminuzione dell’IVA); nel caso di risoluzione contrattuale per inadempimento relativa a contratti a esecuzione continuata o periodica, la facoltà di emettere nota di variazione non si estende alle cessioni e prestazioni per cui il cessionario o committente e il cedente o prestatore abbiano correttamente adempiuto alle proprie obbligazioni (comma 9 dell’art. 26); viene prevista la facoltà di operare la variazione in diminuzione anche da parte dei cessionari o committenti in caso di operazioni assoggettate al c.d. meccanismo dell’inversione contabile o “reverse charge” ai sensi dell’art. 17, commi 2, 5 e 6, e dell’art. 74 (comma 10 dell’art. 26). • • • on the basis of new paragraphs 4 letter. b) and 12 of art. 26, the cases in which an individual enforcement proceedings has to be considered in any case fruitless (with the consequent possibility for the supplier to issue a credit note) are identified; in the case of cancellation of the agreement because of failure related of contracts related to continuous and periodical services, the possibility to issue a credit note does not apply where both the customer and the supplier have correctly fulfilled their obligation (paragraph 9, art.26); it is provided the possibility to issue a credit note by client for those transactions falling under the reverse charge mechanism (art. 17, paragraph 2, 5 and 6, and 74, Presidential Decree no. 633/1972) (paragraph 10, art. 26). In merito all’entrata in vigore delle modifiche: • quelle previste dall’art. 26, comma 4, lettera a), e comma 5, secondo periodo (mancata estensione dell’obbligo di registrazione delle variazioni in diminuzione del debitore), si applicano nei casi in cui il cessionario o committente sia assoggettato a una procedura concorsuale successivamente al 31 dicembre 2016; • le altre modifiche apportate si applicano anche alle operazioni effettuate anteriormente al 31 dicembre 2016. As regards the enter into force: • the changes under art. 26, paragraph 4, letter a, and paragraph 5, second part, will be applicable to customer who will be subject to bankruptcy procedure after December 31, 2016; • the other changes applies also to transactions carried out before December 31, 2016. 2. Estensione dell’applicazione del meccanismo dell’inversione contabile (cd. “reverse charge”) (comma 128) 2. Broader application of the reverse charge mechanism (so called “reverse charge”) (paragraph 128) Viene esteso il meccanismo dell’inversione contabile, disciplinato dall’art. 17, d.P.R. n. 633/1972, alle prestazioni di servizi rese dalle imprese consorziate nei confronti del consorzio di appartenenza che: • si è reso aggiudicatario di una commessa nei confronti di un ente pubblico (ex art. 34, comma 1, lettere c), c), e), codice di cui al d.lgs. n. 163/2006); • sia tenuto ad emettere fattura secondo il c.d. “split payment” ex art. 17-ter del d.P.R. n. 633/1972. L’efficacia di tale disposizione è subordinata al rilascio, da parte del Consiglio dell’Unione europea, dell’autorizzazione di una misura di deroga. The reverse charge mechanism, regulated under article 17, Presidential Decree no. 633/1972, has been extended to the services performed by the companies of a consortium to the consortium itself, which: • has been committed a work by a public body (according to art. 34, (1), letters c), c), e), legislative decree no. 163/2006); • has to issue an invoice according to the so called split payment pursuant to art. 17-ter, Presidential Decree no. 633/1972. Modifiche ai termini per gli accertamenti IVA (commi 130 e 132) 3. Deadline for VAT assessment (paragraphs 130 and 132) La Legge di Stabilità riformula, tramite il comma 130, il testo dell’art. 57, d.P.R. n. 633/1972, relativo ai termini per l’accertamento. L’entrata in vigore della nuova norma viene disciplinata dal successivo comma 132. Di seguito le principali modifiche. Article 57, Presidential Decree no. 633/1972, regarding the deadline for the VAT assessment has been amended by paragraph 130 the Stability Law. A partire dai periodi di imposta in corso al 31 dicembre 2016: • gli avvisi di accertamento e di rettifica devono essere notificati entro il 31 dicembre del quinto anno successivo a quello in cui è stata presentata la dichiarazione (in precedenza il termine era di quattro anni); • in caso di omessa presentazione della dichiarazione o di presentazione di dichiarazione nulla, l’avviso di accertamento può essere notificato entro il 31 dicembre del settimo anno successivo a quello in cui la dichiarazione avrebbe dovuto essere presentata (il testo normativo previgente non faceva riferimento alle dichiarazioni nulle e il termine per l’accertamento era fissato nel quinto anno successivo). From the periods in progress at December 31 2016: • the assessment or amendment notices must be notified by December 31 of the fifth year following the one the VAT return was submitted (before the deadline was the fourth year); • in case of omitted or invalidated VAT return, the assessment notice can be issued by December 31 of the seventh year following the one the VAT return should have been submitted (the previous legislative provision did not mention the invalidated VAT return and the deadline was the fifth year and not the seventh). Per i periodi d’imposta precedenti quelli in corso al 31 dicembre 2016: • gli avvisi di accertamento continuano ad dover essere notificati entro il 31 dicembre del quarto anno successivo a quello in cui è stata presentata la dichiarazione ovvero, nei casi di omessa presentazione della dichiarazione o di dichiarazione nulla, entro il 31 dicembre del quinto anno successivo a quello in cui la dichiarazione avrebbe dovuto essere presentata; • in caso di violazione che comporta obbligo di denuncia per uno dei reati ex d.lgs. n. 74/2000, i suddetti termini di accertamento sono raddoppiati relativamente al periodo di imposta in cui è stata commessa la violazione. Il raddoppio dei termini non opera nel caso in cui la denuncia da parte dell’Amministrazione finanziaria (compresa la Guardia di Finanza) sia presentata o trasmessa oltre i suddetti ordinari termini di accertamento. For the previous years: • the assessment notices continued to have to be notified by December 31 of the fourth year following the one the VAT return has been submitted, or the fifth year in case of omitted or invalidated return; • in the case of criminal offences (legislative decree no. 74/2000), the above mentioned deadlines are doubled regarding the year the violations have been committed. This extension provided the notice to the Public Prosecutor is submitted or filed by the tax authorities – tax police inclusive – within the above-mentioned standard deadlines for tax assessment. © 2015 TLS Associazione Professionale di Avvocati e Commercialisti. Entrata in vigore delle nuove sanzioni tributarie amministrative (comma 133) 4. Entering into force of the new administrative tax penalties (paragraph 133) Il decreto legislativo n. 158/2015 ha modificato numerose norme relative alle sanzioni tributarie amministrative e prevedeva l’entrata in vigore di tali modifiche a parte dal primo gennaio 2017. La legge di stabilità anticipa l’entrata in vigore di tali norme a partire dal primo gennaio 2016. The legislative decree no. 158/2015 has amended an important number of legislative provisions regarding tax penalties and provided for the enter into force of the changes starting from January 1, 2017. The Stability law has brought forward the enter into force since January 1, 2016. 5. Clausola di salvaguardia (comma 6) 5. Safeguard clause (paragraph 6) La legge di stabilità 2015 prevedeva alcune clausole di salvaguardia nel caso in cui le disposizioni previste dalla stessa legge non avessero garantito il raggiungimento degli obiettivi di bilancio previsti. Tale norma prevedeva, in particolare, aumenti delle aliquote IVA. La Legge di Stabilità 2016 ha posticipato e modificato l’incremento delle aliquote IVA come segue: • l’aliquota IVA del 10% è incrementata di tre punti percentuali a decorrere dal primo gennaio 2017; • l’aliquota IVA del 22% è incrementa di due punti percentuali a decorrere dal primo gennaio 2017 e di un ulteriore punto percentuale dal primo gennaio 2018. Le suddette misure potranno essere sostituite integralmente o in parte da provvedimenti che assicurino, integralmente o in parte, gli stessi effetti positivi sui saldi di finanza. The Stability law 2015 stated some safeguard clauses in case the legislative provisions of the concerned law would not had guaranteed the achievement of budgetary targets. In particular, the law stated changes in the VAT rates. The Stability law 2016 has postponed and amended the increase of the VAT rates as it follows: • 10% VAT rate is increased by 3 points from January 1, 2017; • 22% VAT rate is increased by two points from January 1, 2017 and by one additional point from January 1, 2018. The above-mentioned measures may be replaced in whole or in part by provisions to ensure, in whole or in part, the same positive effects on the budget balances. 6. Aliquota IVA al 4% per le pubblicazioni online (comma 637) 6. 4% VAT rate for the online publications (paragraph 637) Per effetto del comma 637 dell’articolo 1 della legge in commento, l’aliquota IVA ridotta del 4% si applica anche ai libri, giornali, notiziari quotidiani, dispacci delle agenzie di stampa e periodici identificate da codice ISBN (International Standard Book Number) o codice ISSN (International Standard Serial Number) e veicolate attraverso qualsiasi supporto fisico o tramite mezzi di comunicazione elettronica. La nuova norma estende, quindi, alla generalità delle pubblicazioni online (e non solo ai c.d. “ebook”) come sopra identificate l’aliquota ridotta. L’estensione si applica a partire dal primo gennaio 2016. La norma sembra presentare profili di illegittimità a livello comunitario. According to the article 1, paragraph 637, of the mentioned Law, the reduced VAT rate at 4% shall also apply to the supplies of books, newspapers, magazines, simple news issued by agencies and periodicals identified by code ISBN (International Standard Book Number) or ISSN (International Standard Serial Number) supplied on paper or electronically. According to the new rule, the reduced rate applies to online publications as defined above (and not only to e-books). The enter into force shall be from January 1, 2016. Aliquota IVA al 5% per prestazioni rese da cooperative sociali (commi 960, 961 e 962) 7. 5% VAT rate for services carried out by social cooperatives (paragraphs 960, 961 and 962) Viene introdotta una nuova aliquota, i.e. 5%, applicabile alle prestazioni di carattere sociosanitario e assistenziale (art. 10, c. 1, numeri 18), 19), 20), 21), e 27-ter) del d.P.R. n. 633/1972) rese: • dalle cooperative sociali e loro consorzi; • nei confronti dei soggetti “svantaggiati” indicati allo stesso numero 27-ter), del primo comma dell’art. 10, d.P.R. n. 633/1972. E’ stata eliminata la possibilità di optare per il regime di esenzione IVA in alternativa all’aliquota ridotta per le cooperative sociali (abrogazione del primo e del secondo periodo del comma 331 della Legge n. 296/2006). It has been introduced a new VAT rate which applies to the social health and welfare services (article 10, paragraph 1, numbers 18), 19), 20), 21), and 27-ter), Presidential Decree no. 633/1972): • carried out by social cooperatives companies or by their consortiums; • to certain people indicated in no. 27-ter) itself, article 10, paragraph 1, Presidential Decree no. 633/1972. The option for the VAT exemption as an alternative to the reduced rate for social cooperatives companies has been repealed (by abrogating the first and the second part of the paragraph 331, law no. 292/2006). 8. Regime forfettario (comma 111) 8. Forfait regime (paragraph 111) Il c.d. “regime forfettario” è stato modificato dalla Legge di Stabilità 2016. Tra le altre, di rilievo è la modifica alle soglie dei ricavi per l’accesso regime forfetario di determinazione del reddito imponibile, risultante dall’applicazione del coefficiente di redditività diversificato a seconda del codice ATECO relativo all’attività esercitata, da assoggettare ad un’unica imposta sostitutiva di quelle dovute, pari al 15%. Per gli esercenti attività professionali, la soglia dei ricavi è accresciuta da 15.000 Euro a 30.000 Euro. The so called “regime forfettario” has been changed by the Stability Law for 2016, Among others, it is important the change in the threshold of the incomes in order to benefit from the concerned tax regime for determining the taxable income, resulting from the application of a profitability coefficient diversified on the ATECO code related to the performed activity, to be subjected to a unique tax rate equal to 15%. For subjects who carry out professional activities, such a threshold has been increased from 15,000 Euro to 30,000 Euro. 9. Tax free shopping (comma 368) 9. Tax free shopping (paragraph 368) Le operazioni di rimborso dell’IVA di cui al comma 2 dell’articolo 38-quater del d.P.R. n. 633/1972, n. 633, aventi a oggetto le cessioni di beni destinati all’uso personale o familiare a soggetti residenti fuori dalla Comunità europea, trasportati fuori dalla Comunità medesima nei bagagli personali, aventi un importo comprensivo di IVA superiore a Euro 154,94, possono essere effettuate da intermediari, purché regolarmente iscritti all’apposito albo degli istituti di pagamento. A tale proposito, le percentuali minime di rimborso, che gli intermediari dovranno applicare, saranno definite da un successivo decreto del Ministero dell’economia e delle finanze. VAT refunds according to article 38-quarter, paragraph 2, Presidential Decree no. 633/1972, related the sales of goods for personal or family use to non-EU persons, transported outside the EU in personal luggage, whose gross amount is higher than 154.94 Euro, can be carried out also by intermediaries, duly registered in the relevant register. Marina resort (comma 365) 10. Marina resort (paragraph 365) La Legge di Stabilità 2016 conferma a regime l’aliquota IVA del 10% delle prestazioni di alloggio nelle c.d. “marina resort”. In particolare, le strutture organizzate per la sosta e il pernottamento di turisti all’interno delle proprie unità da diporto ormeggiate nello specchio acqueo appositamente attrezzato, possono essere qualificate come “strutture ricettive all’aria aperta”, che beneficiano dell’aliquota del 10% (n. 120, Tabella A, Parte III, d.P.R. n. 633/1972). Ai servizi di accoglienza e messa a disposizione dello specchio acqueo resi ai clienti ivi alloggiati, per il pernottamento a bordo delle proprie unità da diporto, è, quindi, applicabile l’aliquota IVA del 10%. The Stability Law re 2016 confirms the applicability of the 10% VAT rate to the accommodation in the so called “marina resort”. In particular, the organized structures for the stop overnight of the tourists in boats docked in equipped spaces can be qualified as “outdoor structures”, which benefit from 10% reduced rate (no. 120, Table A, Part III, Presidential Decree no. 633/1972). As a consequence, for the services of reception and the availability of the water provided to clients housed therein, for overnight stay on board their pleasure boats, is, therefore, applicable VAT rate of 10%. © 2015 TLS Associazione Professionale di Avvocati e Commercialisti.
