Lissone, 27 marzo 2015 - Con riferimento all’offerta pubblica di acquisto e scambio promossa da
EI Towers S.p.A. in data 16 marzo 2015, ai sensi dell’art. 102, comma 3, del d.lgs. 24 febbraio
1998, n. 58 (“Tuf”), con il deposito del Documento d’offerta e contestuale richiesta del giudizio
di equivalenza ai sensi dell’art. 34-ter, comma 1, lett. j), e dell’art. 57, comma 1, lett. c), del
Regolamento Emittenti, si rende noto che in data 26 marzo 2015 la Consob, ai sensi dell’articolo
102, comma 4, del Tuf, ha richiesto all’Offerente informazioni supplementari e ha comunicato la
sospensione dei termini istruttori. Ai sensi dell’art. 38, comma 1, del Regolamento Emittenti, EI
Towers S.p.A. darà comunicazione al mercato del riavvio dei termini istruttori.

THE ORDINARY SHARES OF RAI WAY S.P.A.
PRESS RELEASE PURSUANT TO ARTICLE 38, PAR. 1 OF THE CONSOB’S REGULATION 14
MAY 1999, NO. 11971 (THE “ISSUERS’ REGULATION”)
Lissone, 27th March 2015 – With reference to the voluntary tender and exchange offer promoted
by EI Towers S.p.A. on March 16th, 2015, pursuant to art. 102, par. 3, of Legislative Decree 24
February 1998, no. 58 (the “Consolidated Financial Act”), with the filing of the offer document
and the request of the judgment of equivalence pursuant to art. 34-ter, par. 1 let. j) and art.
57, par. 1, let. c) of the Issuers’ Regulation, please be informed that on March 26th, 2015,
Consob has required the Offeror additional information, pursuant to art. 102, par. 4, of
Consolidated Financial Act, and has communicated the suspension of the terms of the
procedure. EI Towers will disclose to the market the restart of the aforementioned procedure
pursuant to art. 38, par. 1 of the Issuers’ Regulation.
