Via Cavriana, 20 20134 Milano COMUNICATO STAMPA UniCredit realizza due passaggi chiave verso la nuova struttura organizzativa del Gruppo: • acquisizione della quota detenuta da BA-CA in Bank BPH • trasferimento a BA-CA delle proprie partecipazioni bancarie nell’Europa Centro-Orientale (esclusa Polonia) Il Consiglio di Amministrazione di UniCredito Italiano S.p.A. (“UniCredit”) e il Supervisory Board di Bank Austria Creditanstalt AG (“BA-CA”) hanno rispettivamente adottato due risoluzioni in base alle quali: § BA-CA cederà a UniCredit l’intera partecipazione in BPH Bank S.A. (“BPH”), pari al 71,03% del capitale sociale di BPH (“Trasferimento BPH”) e § UniCredit conferirà a BA-CA un ramo d’azienda costituito dalle proprie partecipazioni bancarie nell’Europa Centro-Orientale (“CEE”), ad eccezione di Bank Pekao S.A., e dalle attività ad esse correlate (“Ramo d’Azienda CEE”). Trasferimento di BPH a UniCredit La transazione consiste nella vendita della quota di controllo in BPH da parte di BA-CA ad UniCredit contro il pagamento da parte di UniCredit a BA-CA di un corrispettivo totale di circa 4,3 miliardi di Euro composto da: § tre pagamenti annuali in contanti tra il 2007 e il 2009 equivalenti al 71,03% degli utili di BPH attesi per il periodo (calcolati come percentuale della somma degli utili di Bank Pekao e BPH), attualmente stimati pari a 0,7 miliardi di Euro circa, e § un pagamento fisso in contanti alla fine del 2009 pari a 3,6 miliardi di Euro. Il trasferimento di BPH segue gli impegni presi con la Banking Supervisory Commission polacca di consolidare tutte le attività del Gruppo svolte in Polonia direttamente sotto UniCredit. Inoltre, l’operazione rappresenta il primo passo di UniCredit verso la realizzazione della combinazione tra Bank Pekao S.A. e BPH con l’obiettivo di implementare l’integrazione delle due banche. Il completamento dell’operazione, che è subordinata all’approvazione dell’Autorità Austriaca per il Mercato Finanziario (“FMA”), è atteso per ottobre 2006. Trasferimento a BA-CA del Ramo d’Azienda CEE di UniCredit Il Ramo d’Azienda CEE comprende le seguenti partecipazioni detenute direttamente da UniCredit in banche operanti nella CEE: § 50.00% di Koç Finansal Hizmetler A.S. in Turchia, § 81.91% di Zagrebacka banka D.D. in Croazia, § 86.13% di Bulbank A.D. in Bulgaria, § 100.00% di Zivnostenska banka, a.s. in Repubblica Ceca, § 97.11% di UniBanka a.s.1 in Slovakia, e § 99.95% di UniCredit Romania S.A. in Romania. Il Ramo d’Azienda CEE comprende anche le attività e passività strettamente correlate alle partecipazioni bancarie CEE da trasferire. Il trasferimento del Ramo d’Azienda CEE da parte di UniCredit a BA-CA si perfezionerà attraverso un’operazione di conferimento in virtù della quale UniCredit riceverà 55 milioni di azioni ordinarie BA-CA di nuova emissione. Il prezzo di emissione delle azioni da emettere, stabilito dal Management Board e dal Supervisory Board di BA-CA, previsti nell’ultimo trimestre del 2006, dovrà essere confermato da una perizia redatta da un esperto indipendente. Le azioni BA-CA di nuova emissione non avranno diritto ai dividendi relativi all’esercizio 2006. Con riferimento allo stesso periodo, UniCredit manterrà, a sua volta, il diritto agli eventuali dividendi distribuiti dalle banche sopra menzionate. L’operazione è coerente con il ruolo prospettico di BA-CA, nell’ambito del Gruppo UniCredit, quale centro di competenza per le attività svolte nella CEE. Il completamento dell’operazione, subordinato all’approvazione dell’FMA e delle altre autorità austriache competenti, nonché di tutte le autorità competenti nel paesi coinvolti, è atteso per l’inizio di gennaio 2007 con la registrazione dell’aumento di capitale di BACA. Post conferimento, la partecipazione diretta e indiretta di UniCredit in BA-CA passerà dall’attuale 94,98% al 96,35%. PRESS RELEASE UniCredit takes two key steps towards its target Group organisation: • acquisition of Bank BPH from BA-CA • transfer of banking shareholdings in CEE (excluding Poland) to BA-CA Today, the Board of Directors of UniCredito Italiano S.p.A. (“UniCredit”) and the Supervisory Board of Bank Austria Creditanstalt AG (“BA-CA”) have respectively adopted two resolutions on the basis of which: § BA-CA will sell the 71.03% shareholding it currently owns in Bank BPH S.A.’s (“BPH”) share capital to UniCredit (“BPH Transfer”), and § UniCredit will contribute to BA-CA a business unit (“CEE Business Unit”) comprising its banking shareholdings in Central and Eastern Europe (“CEE”) -excluding Polandin exchange for newly issued BA-CA shares. BPH Transfer to UniCredit The transaction will consist of the sale of the controlling stake in BPH by BA-CA to UniCredit against payment by UniCredit to BA-CA of a total amount of approximately €4.3 billion comprising: § three yearly cash instalments between 2007 and 2009, equivalent to 71.03% of BPH’s earnings for the period (calculated as a percentage of the combined earnings of Bank Pekao and BPH), currently estimated to be equal to €0.7 billion approximately, and § a fixed cash payment at the end of 2009 of €3.6 billion. The BPH Transfer follows UniCredit’s undertakings to the Polish Banking Supervisory Commission to consolidate all activities carried out in Poland directly under UniCredit. Additionally, the envisaged transaction represents the first step for UniCredit to eventually achieve the combination between Bank Pekao S.A. and BPH with the objective to start exploiting the benefits of the integration of the two banks. The transaction, which will be subject to the approval of the Austrian Financial Market Authority (“FMA”), is expected to be completed around October 2006. Transfer of UniCredit CEE Business Unit to BA-CA The CEE Business Unit comprises the following shareholdings, held by UniCredit, in banks operating in CEE: § 50.00% of Koç Finansal Hizmetler A.S., Turkey § 81.91% of Zagrebacka banka D.D., Croatia § 86.13% of Bulbank A.D., Bulgaria § 100.00% of Zivnostenska banka, a.s., Czech Republic § 97.11% of UniBanka a.s.1, Slovakia, and, § 99.95% of UniCredit Romania S.A., Romania. The CEE Business Unit also includes management and support activities relating to the CEE banks listed above. The transaction will consist of the contribution in kind of the CEE Business Unit from UniCredit to BA-CA in exchange for 55 million newly issued BA-CA shares. The issue price in relation to the value of the contribution will have to be confirmed by an independent expert appraisal to be delivered following the resolution on the capital increase to be taken by BA-CA’s Management and Supervisory Boards in the course of the last quarter of 2006. The newly issued BA-CA shares would not carry dividend rights with respect to the financial year ending 31 December 2006. UniCredit would, in turn, retain the right to any dividend paid by the CEE banks transferred with respect to the financial year ending 31 December 2006. The envisaged transaction is consistent with the future role of BA-CA within the UniCredit Group as the hub for CEE activities. The transaction, which will be subject to the approval of the FMA and any other competent Austrian supervisory authority, as well as all relevant authorities in the jurisdictions involved, is expected to be completed at the beginning of January 2007 with the registration of BA-CA’s capital increase. Following completion of the transaction, UniCredit’s direct and indirect shareholdings in BA-CA are expected to increase from the current 94.98% to 96.35%.
