CONDIZIONI GENERALI DI VENDITA rev.01
Il presente documento contiene le condizioni generali di vendita (d’ora in avanti “Condizioni Generali”) della soc. PIUSI S.p.a., con sede legale in Via Pacinotti 16/A, z.i., Rangavino, 46029, Suzzara
(Mantova), Italia (di seguito per brevità “Venditore”).
1. Oggetto
1.1 Le Condizioni Generali qui di seguito riportate regolano tutti i contratti di vendita da stipularsi
tra il Venditore e il compratore destinatario della presente offerta (di seguito per brevità definito “Compratore”) aventi ad oggetto i prodotti del Venditore (qui di seguito e per brevità definiti
“Prodotti”).
1.2 Deroghe o modifiche alle presenti Condizioni Generali saranno valide solo se espressamente
accettate per iscritto dal Venditore ed avranno valore solo per le vendite a cui si riferiscono.
1.3 Pertanto, ogni disposizione, introdotta dal Compratore nell’ordine trasmesso al Venditore o
in altro documento, che sia in contrasto o in aggiunta alle presenti Condizioni Generali, sarà
considerata nulla e priva di effetto a meno che non venga espressamente accettata per iscritto
dal Venditore.
2. Perfezionamento e Conclusione del Contratto
2.1 L’offerta del Venditore si intende valida per un periodo di trenta (30) giorni a decorrere dalla
data della stessa, salva eventuale diversa indicazione in essa contenuta circa il periodo di validità.
Pertanto, il Venditore non sarà tenuto a prendere in considerazione eventuali ordini di acquisto
pervenuti successivamente alla scadenza di tale termine.
2.2 L’ordine che il Compratore trasmette al Venditore a seguito dell’offerta dovrà contenere l’identificazione precisa dei Prodotti, delle quantità richieste ed ogni altro elemento essenziale per la
conclusione del contratto di vendita, nonché l’espresso riferimento all’offerta medesima.
2.3 Il contratto di vendita si intende concluso quando il Compratore riceve la conferma scritta
del proprio ordine da parte del Venditore. Detta conferma scritta potrà essere inviata anche via
e-mail o fax. Nessun ordine sarà vincolante a meno che, e fintantoché, non venga accettato dal
Venditore con conferma d’ordine scritta.
2.4 Eventuali agenti ed intermediari non impegnano in alcun modo il Venditore e qualsiasi ordine
ricevuto dai suddetti agenti e intermediari si intende subordinato alla conferma d’ordine scritta
da parte del Venditore.
3. Prodotti; Istruzioni
3.1 Le informazioni sui Prodotti contenute in cataloghi, listini, dépliant, siti web o altri documenti
analoghi hanno valore puramente indicativo e non vincolano il Venditore se non sono espressamente richiamate nel contratto di vendita.
3.2 Il Venditore si riserva di cancellare alcuni Prodotti dai listini o di aggiungerne di nuovi.
3.3 Il Compratore è tenuto a fornire al Venditore tutte le informazioni ed i materiali che il Venditore
dovesse ragionevolmente richiedergli al fine di fornire i Prodotti.
3.4 Il Venditore mette a disposizione le versioni originali dei manuali contenenti le istruzioni d’uso
e manutenzione dei Prodotti.
Il Compratore, ove intenda commercializzare o comunque introdurre o mettere in servizio i Prodotti in Paesi con lingue ufficiali diverse da quelle messe a disposizione dal Venditore, si impegna
ad effettuare a propria cura e spese la traduzione del manuale d’uso e manutenzione nelle lingue
ufficiali dei Paesi in questione, facendo accompagnare le traduzioni dalle istruzioni originali come
previsto dalla normativa comunitaria vigente.
4. Riserva di Proprietà
4.1 Le parti espressamente convengono che la vendita è effettuata con riserva di proprietà sui
Prodotti a favore del Venditore e, quindi, il Compratore ne acquisterà la proprietà soltanto all’atto
del pagamento integrale del prezzo complessivo concordato, oltre agli oneri accessori, ma ne
assume i rischi dal momento della consegna come da art. 1523 del Codice Civile.
5. Prezzi
5.1 I prezzi di vendita sono quelli indicati nel listino in vigore al momento dell’offerta e sono calcolati “Ex Works” (“Franco Fabbrica”) – sede del Venditore – imposta sul valore aggiunto esclusa;
potranno altresì includere eventuali altri oneri e costi (ad es. costi di trasporto) se indicati in fattura.
Salvo differente precisazione i prezzi indicati nei listini dei prezzi e nei cataloghi si intendono riferiti
a “merce nuda” ovvero priva di alcun imballaggio.
5.2 Ferme restando le disposizioni precedenti di cui al punto 5.1, il Venditore si riserva la facoltà
di modificare a propria discrezione il prezzo dei Prodotti con il variare dei costi delle materie
prime, della manodopera e/o di altre componenti di costo connesse con il ciclo produttivo posto
in essere dalla stessa.
6. Ordini
Il Venditore accetta solo ordini che abbiano un valore minimo di almeno 250,00 Euro.
7. Condizioni di pagamento
7.1 Le condizioni di pagamento sono indicate, di volta in volta, nella conferma d’ordine del Venditore inviata al Compratore per il singolo contratto di vendita.
7.2 Salvo patto contrario, tutti i pagamenti devono essere inviati al Venditore mediante bonifico
bancario o assegno provenienti esclusivamente da conti correnti intestati al soggetto destinatario della fattura presso la banca indicata dal Venditore. I pagamenti potranno essere effettuati
ad un incaricato soltanto se debitamente autorizzato, munito di mandato scritto che lo autorizzi
a riscuotere l’ammontare dovuto per conto del Venditore nel rispetto della normativa in vigore.
7.3 E’ inteso che eventuali reclami o contestazioni non danno diritto al Compratore di sospendere
o comunque ritardare i pagamenti dei Prodotti oggetto di contestazione, né, tanto meno, di altre
forniture.
7.4 In caso di mancato pagamento, in tutto o in parte, del prezzo di vendita ad una delle scadenze stabilite, il Venditore si riserva il diritto di porre a carico del Compratore, senza necessità
di costituzione in mora, gli interessi moratori ai sensi del Decreto Legislativo n. 231 del 9 ottobre
2002 e successive modifiche, fino alla data dell’effettivo pagamento, fermo restando qualsiasi
altro rimedio previsto a favore del Venditore dalle presenti Condizioni Generali e/o dalla legge.
7.5 Il mancato o parziale pagamento, anche di una sola fattura, attribuisce al Venditore la facoltà
di sospendere ordini arretrati (back orders) o nuove consegne.
Qualora il mancato o parziale pagamento si protragga per un periodo di 30 (trenta) giorni dalla
scadenza stabilita è attribuita al Venditore la facoltà di risolvere immediatamente il contratto di
vendita fermo restando il diritto di ottenere il risarcimento del danno ivi incluso il rimborso delle
spese legali connesse all’azione di recupero del credito, anche in via stragiudiziale.
8. Consegna dei Prodotti
8.1 Salvo diverso accordo, documentato nella conferma d’ordine del Venditore, la consegna dei
prodotti al Compratore avviene “Ex Works” Incoterms® (“Franco Fabbrica”) presso la sede del
Venditore.
8.2 I termini di consegna indicati dal Venditore o concordati tra le parti sono stabiliti a favore del
Venditore ed hanno carattere indicativo, per cui eventuali ritardi non potranno dar luogo ad alcuna
pretesa di risarcimento o di annullamento dell’ordine da parte del Compratore. Eventuali clausole
penali per il ritardo nelle consegne non avranno alcuna efficacia nei confronti del Venditore. I termini di consegna si intendono decorrere dalla data della conferma d’ordine. Il Venditore si riserva il
diritto di effettuare consegne parziali, nel momento e nella misura in cui singole parti del prodotto
siano pronte per la consegna.

This document includes the general conditions of sale (hereinafter: “General Conditions”) of PIUSI
S.p.A., with registered offices at Via Pacinotti, 16/A, z.i. Rangavino, I-46029 Suzzara (Mantova,
Italy) (hereinafter: “Seller”).
1. Purpose
1.1 These General Conditions shall govern all contracts between Seller and the customer which is
the intended addressee of this quotation (hereinafter: “Customer”) for the sale of Seller’s products
(hereinafter: “Products”)..
1.2 No changes to these General Conditions are valid unless agreed upon by Seller in writing, and
any such approved changes shall only apply to the individual sale contract they expressly refer to.
1.3 Therefore, any provision introduced by Customer in a purchase order or in a different document, which is in conflict with or in addition to these General Conditions, shall be deemed null and
void unless Seller expressly accepts it in writing.
2. Contract Formation
2.1 Seller’s quotations are valid for thirty (30) days as of quotation date, unless it is indicated
otherwise in the same quotation. Therefore, Seller may disregard any purchase orders received
after the above term.
2.2 All orders placed with Seller following a quotation, must include a precise description of the
Products, quantities ordered and any other details required for the sale contract, as well as an
express reference to the quotation.
2.3 A sale contract is formed upon receipt by Customer of Seller’s written acceptance of the order.
Such acceptance may be communicated also by e-mail or facsimile. No orders shall be binding
unless and until accepted by Seller in writing.
2.4 Any orders collected by Seller’s agents or middlemen are not binding and are subject to the
Seller’s written confirmation.
3. Products; Instructions
3.1 All Products’ information contained in the Seller’s catalogues, lists, leaflets, web sites, or any
other similar documents are not binding upon the Seller, unless an express reference to them is
included in the sale contract.
3.2 The Seller may at any time delete any Products from the lists or modify any Products.
3.3 The Customer shall provide the Seller with any information as reasonably requested by the
Seller in order to supply the Products.
3.4 The Seller shall provide original instructions for the use and maintenance of the Products.
Whenever the Customer intends to distribute, import or install Products in countries whose official
languages are different from those of the Seller’s original instructions, the Seller shall translate
such instructions in the official languages of the countries in question at the Customer’s sole care
and costs; and Customer shall provide such translations together with the original instructions as
stated by the EU then-applicable rules.
4. Retention of title
4.1 The parties hereby expressly agree that sales are made on a retention of title basis. Therefore,
the Purchaser shall acquire ownership on the Product purchased only when payment of the price
is received in full by the Seller. However, the Purchaser assumes any risks connected with the
Product from the time of delivery, according to article 1523 of the Italian Civil Code.
5. Prices
5.1 Sale prices shall be as shown in the price list in force on the quotation date, and shall be calculated “Ex Works” Seller’s headquarters. Sale prices are exclusive of V.A.T.. They may include those
other duties or taxes upon the sale contract (e.g. transportation costs) as specified in the invoice.
Unless otherwise indicated, prices shown in lists and catalogues are intended for goods only,
exclusive of packaging.
5.2 Without prejudice of Section 5.1 above, Product prices may be changed by the Seller at its
sole discretion as a consequence of changes in cost of raw materials, labor costs and/or other
production costs.
6. Orders
Seller may not accept orders for less than € 250.00.
7. Payment terms
7.1 Payment terms are specified in the order confirmation as sent by the Seller from time to time
for each sale contract.
7.2 Unless agreed otherwise, all payments must be made by bank transfer or cheque originating
from bank accounts of the addressee of Seller’s invoice. Payments shall be made to the Seller’s
bank account as specified by the Seller. Payments may be made to persons acting on the Seller’s
behalf, only if such persons have been duly authorized in writing by Seller to collect the amount
due in accordance with the laws in force.
7.3 Any claims concerning Products shall not entitle Customer to suspend or delay payments for
the same or other supplies.
7.4 In case of payment delays, Seller reserves the right to charge Customer with interest without
the need to formally place Customer in default. Interest shall be calculated in accordance with
the Italian Legislative Decree no.231 of 9 October 2002 and subsequent modifications, until the
amounts due are actually paid, without prejudice to any further right or remedy the Seller may
have according to these General Conditions and/or the applicable laws.
7.5 If payments are omitted or delayed, even on a single invoice, Seller may suspend processing
back orders or new supplies.
Payment delays exceeding 30 (thirty) days of the due date, shall entitle Seller to immediately
terminate the sale contract without prejudice to the Seller’s right to claim damages, which damages shall include, but shall not be limited to, reimbursement of the attorney’s and/or court fees
borne by the Seller in connection with a credit collection action, including out of court collection
attempts.
8. Product Delivery
8.1 Unless otherwise agreed and shown in the Seller’s order confirmation, Products are delivered
“Ex Works” ICC Incoterms® at the Seller’s place of business.
8.2 Delivery dates, whether indicated by Seller or agreed upon, shall be considered as estimates
only. Therefore, any delay in delivery shall not entitle the Customer to cancel an order nor claim
damages from the Seller. Penalty clauses for delayed deliveries shall have no effect towards
Seller. Delivery terms shall start from the order confirmation date. The Seller reserves the right to
effect partial deliveries, as and when the parts are ready for dispatch.
8.3 In any case, the Seller shall have no liability whatsoever if delivery terms are exceeded due
to a force majeure event according to Article 11 hereto, or by Customer’s actions or omissions
(including, but not limited to, failure to provide Seller with the necessary requirements for the
supply of Products).
8.4 The Customer may, in writing, ask the Seller to appoint a carrier or a forwarder to collect the
Products on the Customer’s behalf. If the Seller accepts, any such carrier or forwarder shall be
considered as appointed directly by the Customer. As a consequence, the Customer shall be
entirely responsible for any risks and expenses in connection therewith.
8.5 Whatever the delivery term agreed upon, all risks related to the Products shall pass to the
Customer on delivery of the Products to the first carrier. All such risks shall also pass to the Customer in case the Customer delays in collecting the Products when ready for collection, and the

8.4 Qualora il Compratore richieda al Venditore di incaricare del ritiro e del trasporto un vettore
o spedizioniere, dovrà farlo per iscritto e, qualora il Venditore accetti, il vettore o spedizioniere si
intenderà come incaricato direttamente dal Compratore con rischi e spese a suo carico.
8.5 Dal momento della consegna dei Prodotti al primo trasportatore, a prescindere dal termine di
resa concordato, come anche nel caso in cui il Compratore ritardi nel ritirare i Prodotti posti a sua
disposizione dal Venditore, tutti i rischi relativi ai Prodotti si trasferiscono al Compratore, sul quale
restano, altresì, a carico le spese di magazzinaggio, custodia ed assicurazione o quant’altro.
9. Reclami alla consegna
Il Compratore è tenuto ad ispezionare con cura i Prodotti consegnati al più presto dopo la ricezione degli stessi. Eventuali reclami relativi all’imballaggio, alla quantità, numero o caratteristiche
esteriori dei Prodotti (vizi apparenti), dovranno essere notificati al Venditore mediante lettera raccomandata A/R, a pena di decadenza, entro 8 (otto) giorni dalla data di ricevimento dei Prodotti
sotto pena di decadenza dalla garanzia. Contestualmente, le parti difettose debbono essere restituite con spese di trasporto ed assicurazione a carico del Compratore. Il Compratore dovrà
specificare il reclamo in una nota separata e dovrà menzionare la fattura del Venditore (indicando
data e numero della fattura) cui le parti restituite si riferiscono. L’omessa tempestiva notifica del
difetto e restituzione della parte difettosa, comporteranno decadenza del Compratore da ogni
azione volta a far valere i suddetti difetti.
10. Garanzia
10.1 Il Venditore garantisce che i Prodotti venduti hanno le qualità essenziali per l’uso a cui sono
destinati secondo le specifiche tecniche del Prodotto e la conferma d’ordine e sono conformi
alla legge italiana nonché alla normativa UE eventualmente applicabile. Il Compratore assume
interamente su di sé ogni e qualsiasi responsabilità in merito all’accertamento della conformità
del Prodotto alla normativa legale e regolamentare del Paese nel quale il Prodotto stesso debba
essere da lui rivenduto e/o dove debba essere utilizzato, obbligandosi a manlevare e tenere indenne il Venditore da ogni e qualsivoglia danno e passività derivanti dall’eventuale mancanza di
conformità del Prodotto a dette normative.
10.2 Il Venditore presta garanzia per vizi e difetti eventuali dei Prodotti, per il periodo di 24 (ventiquattro) mesi dalla consegna dei Prodotti “Ex Works” (Franco Fabbrica) (sede del Venditore).
10.3 La suddetta garanzia copre tutti i difetti che compaiano nel Prodotto a seguito di un uso
normale dello stesso, derivanti esclusivamente da difetti nei materiali o nella manodopera.
10.4 La garanzia si intende unicamente a favore del Compratore e non può essere estesa ad
eventuali acquirenti successivi dei Prodotti, né a terzi in generale.
10.5 Per la validità della garanzia prestata dal Venditore, al fine di ottemperare alle norme comunitarie e/o nazionali applicabili ai Prodotti e per tutto il periodo d’uso dei Prodotti medesimi, il Compratore deve attenersi scrupolosamente alle indicazioni contenute nelle istruzioni d’uso e manutenzione fornite dal Venditore nonché deve garantire una formazione adeguata del suo personale,
o terzi se dal Compratore incaricati, affinché detto personale svolga le operazioni di installazione,
montaggio, smontaggio e riparazione dei Prodotti in modo tale da non arrecare danni a cose e/o
persone ed operi in conformità alle normative comunitarie e quelle eventualmente più dettagliate
presenti nello stato in cui vengono messi in servizio i Prodotti. Sempre per la validità della garanzia prestata dal Venditore, al fine di ottemperare alle norme comunitarie e/o nazionali applicabili
ai Prodotti, il Compratore, per i prodotti con certificazione ATEX, IECEx, UL CLASSIFIED, UL
LISTED, destinati all’impiego in zone a rischio esplosione, deve dotarsi di una struttura organizzativa/aziendale atta a garantirne la loro tracciabilità. La garanzia non si applica se il Compratore
non è in regola con i pagamenti, se non ha installato i Prodotti in piena conformità alle istruzioni
presenti sul manuale d’uso e manutenzione del prodotto, se ha apportato modifiche o se ha manomesso o danneggiato i Prodotti o li ha utilizzati per scopi diversi dalla loro normale destinazione
d’uso, così come in tutte le ipotesi di danno o di mancato funzionamento scaturenti da colpa o
negligenza del Compratore, dei suoi dipendenti e ausiliari o di terzi in genere, ivi compresa l’errata
installazione, manutenzione o riparazione. Il Compratore deve altresì garantire, per i motivi di cui
sopra, che il proprio personale, o terzi dallo stesso delegati, abbiano le conoscenze tecniche
necessarie in merito alle caratteristiche essenziali dei dispositivi di protezione che possono essere
montati nei Prodotti per evitare danni a cose e/o persone e, segnatamente, per evitare l’insorgere
di rischi derivanti dall’uso dei Prodotti o, se sorti, tempestivamente circoscriverli ed eliminarli. Il
Compratore, in ogni caso, si impegna a tenere indenne e manlevare da eventuali richieste di danni
e/o sanzioni amministrative il Venditore, qualora quest’ultime derivino dalla violazione da parte
del Compratore degli obblighi sullo stesso gravanti, così come enunciati nel presente articolo.
10.6 La garanzia del Venditore non copre eventuali danni dovuti a parti soggette ad usura. La garanzia del Venditore non copre nemmeno eventuali danni dovuti ad errato magazzinaggio nei casi
di Prodotti in tutto o in parte tenuti in magazzino dal Compratore prima dell’installazione, dell’uso
o della rivendita agli acquirenti finali.
10.7 Fermo restando quanto disciplinato dall’art. 9 delle presenti Condizioni Generali (Reclami alla
consegna) il Compratore è tenuto a denunciare al Venditore per iscritto la presenza di eventuali
vizi riscontrati nel Prodotto entro 8 (otto) giorni dalla scoperta e, in ogni caso, non oltre il periodo
di garanzia di cui all’art.10.2.
10.8 Tale denuncia deve essere effettuata con lettera raccomandata A/R anticipata via fax. Qualsiasi denuncia dei difetti dovrà specificare con precisione il difetto riscontrato ed i Prodotti cui esso
si riferisce. E’ esclusa ogni diversa forma di denuncia soprattutto a mezzo telefono o a mezzo
agente o rappresentante.
10.9 In mancanza di tempestiva denuncia come sopra, il Compratore si intenderà decaduto da
qualsiasi diritto ed azione per far valere la garanzia del Venditore in base alle presenti Condizioni
Generali e/o alla legge.
10.10 Il materiale difettoso, previa autorizzazione, dovrà essere recapitato a cura del Compratore
presso la sede del Venditore per i necessari controlli. Tutti i Prodotti inviati per riparazione o sostituzione del prodotto in garanzia dovranno pervenire al Venditore con trasporto prepagato a carico
del Compratore e dovranno essere spediti al seguente indirizzo: PIUSI S.p.A., z.i. Rangavino – Via
Pinfari 2A/2B, 46029 Suzzara, (MN), Italy.
Il materiale inviato senza previa autorizzazione da parte del Venditore e/o con trasporto non prepagato non sarà ritirato.
Le parti difettose diverranno di proprietà del Venditore a seguito della sostituzione.
Nel caso di un eventuale reso di merce nuova e ancora in produzione, si precisa che il reso
stesso potrà avvenire solo con il trasporto prepagato e solo con autorizzazione scritta da parte
del Venditore.
10.11 Qualora il controllo presso la sede del Venditore dimostri l’esistenza del difetto denunciato,
il Venditore, a suo insindacabile giudizio, potrà sostituire il Prodotto difettoso o, in alternativa,
eliminare i vizi. L’eventuale sostituzione del Prodotto difettoso avverrà “Ex Works” (Franco Fabbrica). Il Venditore si riserva il diritto di valutare un eventuale accredito che comunque non potrà mai
essere superiore al 70% del valore originariamente fatturato.
10.12 La garanzia concessa in base al presente articolo è da intendersi esclusiva e sostituisce
ogni e qualsiasi altra forma eventuale di garanzia, sia essa prevista da norme di legge o da consuetudini commerciali.
Customer shall also bear any and all charges of storage, care and insurance, or others applicable.
9. Complaints on faulty delivery
The Customer shall carefully inspect any Products delivered as soon as practicable after receipt
thereof. Any complaints relating to packaging, quantity, number or external features of Products
(apparent defects), must be notified to the Seller by registered mail with return receipt, and the
defective parts must be returned in their original packing, insurance and carriage prepaid, no
later than eight (8) days as from receipt of the Products. The Customer shall specify the claim in
a separate note and shall mention the Seller’s invoice (by invoice date and number) to which the
returned parts pertain. Failure to timely notify the defect and to return the faulty parts, will result in
forfeiture of the Customer’s rights to claim the above defects.
10. Product Warranty
10.1 Seller hereby warrants that Products are suitable for the intended use according to the
technical specifications and the order confirmation terms, and comply with the Italian laws and
EU regulations where applicable. The Customer shall be fully responsible for the Product’s compliance with any legal and regulatory requirements applicable in the country where the Customer
is to resell the Product and/or in the country where the Product is to be used. The Customer shall
indemnify and hold the Seller harmless from and against any and all damages and losses arising
out from the Product’s failure to comply with such legal and regulatory requirements.
10.2 Seller’s warranty for Product defects is of 24 (twenty four) months as of the “Ex Works”
delivery date.
10.3 Seller’s Product warranty is for any defects in materials or workmanship appearing in Products used in normal conditions.
10.4 Seller’s warranty is only intended for Customer and may not be extended to any other customers or third parties.
10.5 As a condition for Customer to invoke Seller’s warranty, and in order to comply with the
applicable Italian and EU regulations, Customer shall for the whole period of use of the Products,
carefully follow the instructions contained in the user and maintenance manuals as supplied by
Seller. Further, Customer shall appropriately instruct its own personnel or third parties appointed
by the Customer, to the installation, assembling, disassembling and repair of Products in such
a way to avoid damages to persons or objects, making sure that such personnel always work in
compliance with EU regulations including the implementing regulations in force in the countries
where Products are used. As an additional condition for the validity of Seller’s warranty, and to
comply with the applicable Italian and EU product regulations, Customer shall, in relation to Products with ATEX, IECEx, UL CLASSIFIED, UL LISTED certifications, which are intended for use
in zones at risk of explosion, maintain an appropriate organizational structure in order to ensure
the traceability of such products. Seller’s warranty shall not apply if Customer is not up-to-date
with payments, or has not installed Products in full compliance with the user and maintenance
manuals, or has modified or damaged Products, or has used them for purposes different from
their normal destination, as well as in any other cases where damages or improper functioning are
caused by fault or negligence of Customer, its personnel or third parties, including but not limited
to improper installation, maintenance, repairs. Customer must also ensure, for the above purposes, that its own personnel, and/or third parties appointed by it, have the necessary technical
knowledge with regard to the essential features of protection devices which can be installed on
the Products in order to prevent damages occurring to persons or objects, particularly in order to
prevent, reduce or eliminate damages connected with the use of Products. In any case, Customer
shall indemnify and hold Seller harmless from and against any claims for damages and/or fines or
sanctions from any authorities, arising from violations by Customer of its duties arising hereunder.
10.6 Seller’s warranty does not cover any damages occurring to parts subject to wear and tear, or
caused by improper storage whenever Products are in whole or in part stored by Customer before
installation, use or resale to the final customers.
10.7 Without prejudice to Article 9 of these General Conditions (Complaints on faulty delivery), the
Customer shall notify any Product’s defects within 8 (eight) days from the date of discovery and,
in any case, not beyond the warranty term as per Article 10.2.
10.8 Any claim must be made by facsimile confirmed by registered mail with return receipt. Also,
any claim must specify the type of defect discovered and the Product(s) it refers to. Any other form
of notification, e.g. by telephone or through an agent, shall not be valid.
10.9 Failing such timely notification, any Customer’s rights to enforce any Seller’s warranties under these General Conditions or the applicable laws shall be forfeited.
10.10 The Customer shall, after obtaining Seller’s return authorization, ship the defective
Product(s) to the Seller for inspection. Shipping costs for said authorized returns shall be borne

Any materials shipped without Seller’s prior authorization and/or without pre-payment of shipping
costs, shall not be collected.
The defective parts shall become the Seller’s property after their replacement.
If goods to be returned are new and still in production, return is subject to both pre-payment of
shipping expenses and Seller’s prior written authorization.
10.11 If testing at the Seller’s warehouse proves the existence of the claimed defects, the Seller
shall, in its sole judgment, either replace the defective Product(s) or correct the defects. Any replaced Product(s) shall be delivered “Ex Works”. Seller may at its sole discretion credit an amount
not exceeding 70% of the originally invoiced price.
10.12. The Seller’s warranty under this article is the sole warranty to the Customer and replaces
any other kind of warranties, provided for by laws and by commercial customs.
10.13 Any liability of the Seller for damages whatsoever arising from the Products, regardless of
the type of damages (direct, indirect, consequential or else) and the type of liability (for contract,
negligence, tort, strict liability or else) is hereby expressly excluded except in cases of Seller’s
fraud or gross negligence.
10.14 The Customer may not suspend or delay payments for any reason, nor claim damages or
reduction of the Products’ price. The Customer may not offset any payment due to the Seller with
any sums that the Customer reckons it should receive for any reason.
11. Force Majeure
11.1 In any case, Seller shall not be responsible or liable to Customer for breach of these General
Conditions or a sale contract, if compliance is impossible or extremely burdensome because of
unforeseen events not attributable to Seller, including but not limited to: fire, flood, earthquake,
explosions, accidents, war, riots, sabotage, epidemics, quarantine restrictions, strikes, transport
blocks, shortage of energy, raw materials or machinery for producing Products, natural events or
acts of any public authority.
11.2 Whenever a force majeure event prevents or delays delivery of Products to Customer or the
performance of any other Seller’s duties for a term exceeding six (6) consecutive months, Seller
shall be entitled to terminate the sale contract without any liability towards Customer, without
prejudice to Articles 1463 and following, and Article 1467 and following, of the Civil Code.
12. Acceptance and conditions
12.1 Purchase orders may be accepted only in writing, including by electronic form.
12.2 Issuance of a purchase order shall mean acceptance of these general sale conditions, and
waiver of any Customer’s terms and conditions.

10.13 Di conseguenza, è espressamente esclusa qualsiasi responsabilità del Venditore, contrattuale e/o extracontrattuale, per danni diretti o indiretti derivanti dai Prodotti forniti, fatti salvi esclusivamente i casi di dolo o colpa grave.
10.14 E’ altresì espressamente esclusa qualsiasi facoltà del Compratore di sospendere o ritardare
pagamenti in caso di reclami, nonché di operare autonomamente riduzioni di prezzo e/o compensazioni tra gli importi dovuti dal Compratore medesimo a titolo di prezzo dei Prodotti e somme che
quest’ultimo ritenga a lui dovute a qualsiasi titolo.
11. Forza Maggiore
11.1 In ogni caso, il Venditore non sarà responsabile nei confronti del Compratore per l’inadempimento di qualsivoglia clausola delle presenti Condizioni Generali e/o del contratto di vendita,
qualora l’adempimento sia reso impossibile o eccessivamente oneroso a causa di eventi imprevedibili ad esso non imputabili. Tra tali eventi sono da considerarsi inclusi, a titolo esemplificativo
ma non limitativo, i seguenti: incendi, inondazioni, terremoti, esplosioni, incidenti, guerre, rivolte,
insurrezioni, sabotaggi, epidemie, restrizioni per quarantena, scioperi, mancanza di mano d’opera, blocchi di trasporto, carenza di energia, mancanza di materie prime o di macchinari per
la produzione dei Prodotti, eventi naturali ed atti di qualsiasi pubblica autorità, anche straniera.
11.2 Qualora una causa di forza maggiore impedisca o ritardi la consegna dei Prodotti al Compratore o l’esecuzione di una qualsiasi altra obbligazione del Venditore per un periodo superiore a
sei (6) mesi consecutivi, il Venditore avrà la facoltà di risolvere il contratto di vendita senza alcuna
responsabilità di sorta nei confronti del Compratore, fatte salve le previsioni di legge di cui agli
artt. 1463 e ss. e 1467 e ss. c.c..
12. Accettazione e condizioni
12.1 Gli ordini verranno accettati solo in forma scritta, anche se in formato elettronico.
12.2 L’emissione dell’ordine sancisce l’accettazione delle precedenti condizioni generali di vendita confermate dalla parte acquirente che rinuncia ad eventuali proprie condizioni generali di
acquisto considerate singolarmente o nel loro complesso.
13. Segni Distintivi dei Prodotti
13.1 Il Compratore si impegna a non cancellare o rimuovere i marchi e gli altri segni distintivi o di
identificazione apposti sui Prodotti.
13.2 Rimane inteso che, né con le presenti Condizioni Generali, né con i singoli contratti di vendita, vengono concessi al Compratore diritti di sorta (a titolo di licenza o a qualsiasi altro titolo)
sui segni distintivi del Venditore. Qualsiasi utilizzo da parte del Compratore di segni distintivi del
Venditore è da ritenersi vietato, salva preventiva autorizzazione scritta in tal senso da parte del
Venditore.
13.3 Il Compratore dovrà astenersi dal porre in essere qualsiasi comportamento che possa creare
confusione negli utilizzatori o comunque sminuire il valore del marchio Piusi: a titolo esemplificativo ma non esaustivo, il Compratore non potrà vendere e pubblicizzare Prodotti a marchio Piusi in
abbinamento a prodotti e marchi di terzi senza previa autorizzazione scritta del Venditore, autorizzazione che potrà essere concessa o negata ad esclusiva discrezione del Venditore.
14. Risoluzione del contratto di vendita
14.1 Il Venditore ha diritto di risolvere immediatamente il contratto di vendita concluso sulla base
delle presenti Condizioni Generali, oltre che nei casi espressamente previsti dalle presenti Condizioni e dalla normativa applicabile, qualora intervenga qualsiasi modificazione nelle condizioni
economiche del Compratore che ne comprometta la capacità di soddisfare le proprie obbligazioni
o nel caso in cui il Compratore sia posto, a titolo d’esempio, in liquidazione, sia sottoposto a
fallimento o ad altre procedure concorsuali.
14.2 In tal caso il Venditore avrà diritto di chiedere l’intero pagamento in un’unica soluzione di
quanto ancora dovuto dal Compratore nei limiti consentiti dalla legge.
15. Diritti di proprietà industriale ed intellettuale
Il Venditore è e rimane l’esclusivo titolare di tutti i diritti di proprietà industriale ed intellettuale
connessi con i Prodotti forniti, ivi incluse loro singole parti e la documentazione.
E’ fatto assoluto divieto al Compratore di produrre e/o commercializzare e/o pubblicizzare prodotti di terzi che costituiscano imitazioni dei Prodotti Piusi. In caso di violazione, il Venditore avrà
la facoltà di interrompere con effetto immediato qualsiasi fornitura al Compratore, fatti salvi ogni
ulteriore diritto ed azione.
16. Autonomia
Qualora una qualsiasi clausola delle presenti Condizioni Generali sia considerata invalida o inefficace, tale invalidità o inefficacia non comprometterà la validità delle altre clausole che continueranno ad avere piena efficacia.
17. Legge Applicabile
Le presenti Condizioni Generali, nonché qualsiasi contratto di vendita concluso tra il Venditore ed
il Compratore, saranno regolati ed interpretati in conformità alla legge italiana.
18. Incoterms®
L’uso del termine “Ex Works” (Franco Fabbrica) nelle presenti Condizioni Generali, così come
qualsiasi eventuale diverso termine di resa concordato tra Venditore e Compratore, sarà interpretato in conformità agli INCOTERMS® della Camera di Commercio Internazionale (CCI) in vigore
alla data della conclusione del contratto di vendita.
19. Giurisdizione e Foro Competente
19.1 Per ogni e qualsiasi controversia derivante dalle presenti Condizioni Generali e dai contratti
di vendita conclusi sulla base delle stesse, la giurisdizione esclusiva sarà quella italiana e la competenza apparterrà in via esclusiva al Foro di Mantova.
19.2 In espressa deroga all’art. 18.1, si conviene espressamente la facoltà del Venditore, in alternativa a quanto sopra ed a propria esclusiva discrezione, di convenire il Compratore dinanzi al
Foro competente presso la sede d’affari di quest’ultimo.
20. Conferimento e trattamento di dati personali
Il D.lgs. n. 196 del 30/06/2003 prevede la tutela delle persone e di altri soggetti rispetto al trattamento dei dati personali. Il trattamento è improntato ai principi di correttezza, liceità, trasparenza
e tutela della riservatezza di colui che conferisce i propri dati personali.
Ai sensi dell’art. 13 D.lgs. 196/2003 con riferimento ai dati personali comuni e sensibili che si
intendono fare oggetto di trattamento, si forniscono le seguenti informazioni:
a) Finalità del trattamento: archivio contabilità, archivio commerciale, archivio ufficio tecnico.
I dati vengono raccolti e trattati per provvedere agli adempimenti contabili, fiscali, commerciali
e tecnici obbligatori connessi all’attività economica del Venditore ed ai rapporti contrattuali da
questo intrapresi.
b) Modalità di trattamento: gestione manuale ed informatizzata.
c) Conferimento dei dati: obbligatorio per permettere il regolare flusso di dati contabili, fiscali e
tecnici; l’eventuale rifiuto potrebbe comportare la mancata o parziale esecuzione del contratto.
d) Comunicazione e diffusione: i dati potranno essere comunicati dal Venditore ad eventuali altri
soggetti esterni per lo svolgimento delle attività tecniche, commerciali, adempimenti fiscali, gestione di incassi e pagamenti derivanti dall’esecuzione dei contratti e ad altri soggetti secondo
la legge.
e) L’interessato gode dei diritti di cui all’art. 7 del D.Lgs. 196/2003.
f) Titolare del trattamento dei dati è la società Piusi S.p.A., Via Pacinotti 16/A, z.i., Rangavino,
46029, Suzzara (Mantova), Italia.
g) Il responsabile del trattamento è indicato nel DPS aziendale in vigore.
La sottoscrizione dell’ordine autorizza anche il trattamento dei dati personali per lo svolgimento
dei rapporti contrattuali in riferimento all’informativa ricevuta.

13. Trademarks
13.1 The Customer undertakes not to cancel, remove or damage any of the trademarks, logos or
names placed upon the Products.
13.2 Nothing contained in these General Conditions or in the sale contract shall be construed as
granting Customer any rights, whether by license or otherwise, upon the Seller’s trademarks. Any
use of the Seller’s trademarks by Customer is therefore excluded, unless with the Seller’s prior
written consent.
13.3 The Customer shall refrain from taking any action which may cause confusion to the users
or anyway diminish the Piusi trademark’s value and reputation. The Customer may not sell or
advertise Products bearing the Piusi trademark in conjunction with third parties’ products and
trademarks without the Seller’s prior written consent, and such consent may be freely granted or
denied by the Seller in its sole discretion.
14. Termination of the sale contract
14.1 Without prejudice to other provisions of these General Conditions and the applicable laws,
Seller shall be entitled to terminate immediately the sale contract, (i) if a change in the Customer’s
financial conditions occurs, in such a way that, in the Seller’s judgment, payments due to Seller
are at risk, or (ii) if the Customer files a petition in bankruptcy, or is adjudicated bankrupt, or takes
advantage of the insolvency laws of any jurisdiction.
14.2 In the above cases the Seller shall be entitled to request the entire payment of the sums still
due by the Customer in one amount as permitted by the laws.
15. Intellectual Property Rights
Any and all intellectual property rights connected with the Products, including any individual parts
thereof and any documentation pertaining thereto, belong solely to the Seller.
It is absolutely prohibited for the Customer to manufacture and/or sell and/or advertise any third
parties’ products which may be confusingly similar to Piusi Products. In case of breach, the Seller
may immediately suspend any supplies to the Customer, without prejudice to any further rights
and remedies.
16. Severability
Should any of these General Conditions be declared void or unenforceable by a court of competent jurisdiction, the remainder of these General Conditions and the sale contract shall not be
affected thereby and shall continue to be fully valid and enforceable.
17. Governing laws
These General Conditions and any sale contract between Seller and Customer shall be governed
by the laws of Italy.
18. Incoterms®
The use of “Ex Works” in these General Conditions, or any other delivery terms as may be agreed
upon between Seller and Customer, shall be interpreted according to the INCOTERMS® of the
International Chamber of Commerce (ICC) as in force on the date the sale contract is made.
19. Jurisdiction and venue
19.1 The courts of Mantua (Italy)shall have the exclusive jurisdiction on any and all disputes arising from these General Conditions or from any contract of sale between Seller and Buyer.
19.2 As an express deviation from Article 19.1, it is hereby expressly agreed that Seller may,
alternatively and at its sole discretion, sue Customer before the courts of Customer’s domicile.
20. Personal data
Legislative Decree (D. Lgs.) n. 196 of 30/06/2003 provides for the protection of individuals and
other persons with regard to the treatment of personal data. Such treatment has to be consistent
with principles of fairness, lawfulness, transparency and protection of confidentiality of the person
providing his own personal data.
In accordance with Article 13 of D.lgs. 196/2003 and with reference to the “ordinary” and “sensitive” personal data which are intended to be treated, the following information is hereby provided:
a) Purposes of treatment: accounting data bases, commercial data bases, technical department
data bases.
Personal data will be collected and managed in order to accomplish mandatory duties of accounting, tax, commercial and technical nature in connection with the Seller’s business and with
contractual commitments undertaken by Seller.
b) How data are treated: manually and by computer.
c) Provision of personal data: it is mandatory in order to allow the regular flow of accounting, tax
and technical information; refusal to provide data may lead to failure or partial performance of
the contract.
d) Communication and divulgation: personal data may be communicated by Seller to outside third
parties providing technical, commercial tax services, collection and management of payments
arising from contract performance, and to other third parties in compliance with the law.
e) The person concerned is entitled to exercise the rights set forth by Art. 7 of D.Lgs. 196/2003.
f) Owner of the data treatment is the company Piusi S.p.A., with offices in Via Pacinotti 16/A, z.i.,
Rangavino, 46029, Suzzara (Mantova), Italy.
g) Responsible for the treatment is indicated in the current “DPS” (policy document on privacy)
for the company.
By sending a purchase order, Customer also authorizes his data to be treated for the performance
of the contract in relation to which information under the privacy protection rules is received.

1. Definizioni

natura) e tutte le copie che ne derivano rimarranno di Piusi SpA.
2. Termini contrattuali
Il programma viene concesso esclusivamente in licenza di uso per poter essere utilizzato secondo i termini di questo accordo.
2.1 Installando, copiando o in altro modo usando il programma, voi vi dichiarate d’accordo con
quanto descritto in questo accordo.
In caso di disaccordo è fatto divieto di usare il programma e dovrete immediatamente cancellare
qualunque copia del programma risulti in vostro possesso.
SOFTWARE LICENSE

1. Definitions
1.1 In this agreement, program refers to the computer program and everything
linked to it; printed material, online or printed documentation and the software that is

1.2 The program is protected by international laws and treaties on intellectual
property. Ownership and economic exploitation of the program (including copyrights,
trademarks, patent rights or any other kind of intellectual property), as well as all
copies deriving from these shall remain property of Piusi SpA
2. Terms and conditions of the contract
The program is given out exclusively by means of the user licence to be used in
accordance with the terms of this agreement.
2.1 By installing, copying or using the program in any other way, you agree with the
terms and conditions of this agreement.
If you do not agree, you may not use this program and you shall immediately delete
any copy of the program in your possession.
3. Diritti ed obblighi
3.1 Il contratto è stipulato in modo personale e non trasferibile ed è strettamente connesso
all’utilizzo dei prodotti Piusi s.p.a. E’pertanto fatto divieto di cessione del presente contratto.
3.2 Il mancato rispetto delle clausole, contrattuali determina la cessazione del contratto senza
responsabilità alcuna per Piusi s.p.a.
3.3 E’ vostro diritto risolvere il presente contratto in qualsiasi momento cessando l’utilizzo del
programma e con relativo obbligo di cancellare immediatamente qualunque copia del programma risulti in vostro possesso.
3. Rights and obbligations
3.1 The agreement is personal and non-transferable, and it is closely linked to the use
of Piusi S.p.A. products.
Therefore, this contract may not be transferred.
3.2 Non-observance of the contractual clauses shall result in the cancellation of the
contract without any liability for Piusi S.p.A.
3.3 You have the right to terminate the present agreement at any time, by ceasing to
use the program, with the corresponding obligation of immediately deleting any copy
of the program in your possession.
4. Altri diritti ed obblighi
4.1 Tranne che per quanto espressamente esposto in questo Accordo non è concesso di copiare, riprodurre, pubblicare, affittare, cedere in leasing, modificare, creare delle opere derivate
del Programma compresa l’esportazione e non vi è concesso di togliere le note relative alla
proprietà identificativi o marchi del Programma.
4. Other rights and obbligations
4.1 Except for what is expressly mentioned in this Agreement, it is prohibited to copy,
reproduce, publish, rent, lease, modify or create works deriving from the Program,
including the export thereof, and it is prohibited to remove any identification marks or
properties of the Program.
5. Diritti di proprietà intellettuale

da trattati internazionali.
5. Intellectual property rights
5.1 The Program is protected by copyright laws and other laws governing intellectual
property, as well as by international treaties
6. Garanzia limitata
6.1 La garanzia viene fornita sul programma così com’è, senza alcuna altra garanzia di alcun
genere, implicita o espressa.
In particolare Piusi SpA non garantisce che le operazioni eseguite dal programma saranno prive
di errore.
6.2 Piusi SpA non garantisce l’utilizzo del Programma nei termini della sua affidabilità, accuratezza, attualità o quant’altro.
La durata del periodo di garanzia richiesta dalle norme sarà limitata nei termini della garanzia
limitata.
6. Limited guarantee
6.1 The guarantee on the program is provided as it stands, without any other kind of
guarantee, whether implicit or explicit.
In particular, Piusi SpA does not guarantee that the operations carried out by the
program shall be free of errors.
6.2 Piusi SpA does not guarantee the Program in terms of reliability, accuracy, up-todateness or anything else.
The duration of the guarantee period required by law shall be limited within the terms
of the limited guarantee
7. Esclusioni della responsabilita’ per perdite derivanti.
7.1 in nessuna circostanza Piusi SpA o chiunque altro sia stato coinvolto nella creazione,
produzione, commercializzazione o consegna del Programma sarà considerato responsabile per
danni accidentali o che possano conseguire dall’utilizzo o dalla vostra impossibilità di usare il
Programma, compresi, senza limitazioni, danni per perdite di profitto aziendale, interruzione del
lavoro, perdita di informazioni aziendali, problemi con il computer o qualunque altro danno di
alcun genere anche se è stata avvisata della possibilità di tali danni.
7. Exclusion of liability for related losses
7.1 under no circumstance shall Piusi SpA or any other party involved in the creation,
manufacture, sale or delivery of the Program be considered responsible for accidental
damage or damages that might result from the use thereof, or by your inability to use
the Program, including, without limitations, damages for losses of company profit,
work interruption, loss of company information, computer problems or any other
damage, even if the possibility of such damage has been foreseen.
8. Limitazione di responsabilità
8.1 La responsabilità di Piusi SpA non potrà mai essere superiore al prezzo da voi pagato per il
programma.
8. Limitation of liability
8.1 Piusi SpA shall, under no circumstance, be liable for an amount exceeding the
price paid by you for the Program.
9. Politica di aggiornamento
9.1 Piusi SpA può di tanto in tanto aggiornare la versione di questo programma e può, a sua
opzione, rendere questo aggiornamento disponibile per il vostro uso.
9. Update policy
9.1 Piusi SpA may occasionally update the version of this program and may, at its
option, make this update available for your use .
10. Termini generali
10.1 La legge e la giurisdizione applicabile al presente contratto è la legge italiana ed il foro
esclusivamente competente è il Tribunale di Mantova.
10.2 Comunque se una o più clausole del presente contratto fossero dichiarate non valide da
una qualunque corte avente giurisdizione competente, l’invalidità di tale provvedimento non avrà
effetto sulla validità degli altri elementi di questo accordo che resteranno pienamente in effetto.
10.3 Questo accordo costituisce l’accordo completo tra voi e Piusi SpA per quanto riguarda
questa transazione.
10. General terns and conditions
10.1 This agreement shall be governed by Italian law and the place of jurisdiction shall
be the Court of Mantova.
10.2 However, should one or more clauses of the present contract be declared invalid
by any court having jurisdiction, the non-validity of said clause shall not affect the
validity of the other elements of this agreement, which shall remain fully effective.
10.3 This agreement constitutes the complete agreement between you and Piusi SpA
as far as this transaction is concerned.
Qualunque variazione a questo accordo deve essere fatta per iscritto, firmata da un rappresentante autorizzato da Piusi SpA.
