By accepting this document, the recipient accepts and agrees on the contents of this disclaimer notice. 29 33 41 LE TTERA DEL PRESIDENTE LE TTER FROM THE CHAIRMAN Alessandro Binello Presidente / Chairman Anche in Italia, in linea con il trend negli Stati Uniti, stiamo assistendo ad un incremento dell’esposizione dei por tafogli degli investitori istituzionali verso asset class alternative In Italy, in line with the trend in the United States, there is an increase in the exposure of the por tfolios of institutional investors towards alternative asset classes Egregi Signori, Dear Sirs, Nel corso del 2015 gli investitori istituzionali, in particolare americani, hanno incrementato l’esposizione del proprio portafoglio nel settore alternativo fino al 20-25%, come conseguenza sia della diminuzione dei rendimenti fixed income che del raggiungimento di livelli di prezzo sempre più elevati nel public equity (soprattutto in US, dove l’indice Dow Jones negli ultimi mesi ha superato i massimi storici). In linea con il trend americano, anche in Italia stiamo assistendo ad un incremento dell’allocazione degli investitori istituzionali verso asset class alternative. In questo contesto, su tale tipologia di investimento, è attesa nel breve periodo una crescita dell’allocazione a livello di portafoglio dall’attuale 1-2% fino al 6-7%. Nel panorama delle asset class alternative, le strategie d’investimento scelte con maggior favore dagli investitori istituzionali sono soprattutto orientate al Private Equity, al Private Debt e alle Infrastrutture/Energie Rinnovabili. During the course of 2015 institutional investors, especially in the United States, have increased the exposure of their portfolios in the alternative sector by as much as 20-25%, as a consequence of both lower fixed income returns and of the increasingly higher price levels in the public equity sector (particularly in the US, where the Dow Jones index has exceeded all maximum records in the last few months). In line with this American trend, also in Italy, institutional investors are increasing their allocations in favour of alternative asset classes. In this context, already in the short term, growth is expected in the allocations to this type of investment from the present portfolio level of 1-2% to as much as 6-7%. In the market scenario of alternative asset classes, the investment strategies chosen more frequently by the institutional investors are above all directed towards Private Equity, Private Debt and Infrastructure/Renewable Energies. In questo scenario, ed in linea con le preferenze degli investitori, Quadrivio ha lanciato nel corso degli ultimi mesi prodotti d’investimento volti a soddisfare tali esigenze di mercato attraverso i fondi Private Equity Fund 3, il Fondo Quadrivio Private Debt e il Fondo Quadrivio Green Energy. Grazie alla buona performance dei fondi gestiti dalla SGR e al track record di rilievo dei team, la raccolta nel corso dell’anno è stata superiore ai 400 milioni di euro. All’interno della singola strategia, al fine di ottenere buoni ritorni dall’investimento, riteniamo sia opportuno focalizzarsi sui segmenti del mercato che presentano a nostro giudizio il miglior profilo rischio-rendimento. A questo proposito, nel caso del nuovo Fondo di Private Equity, in continuità con la strategia dei fondi Quadrivio 1 e 2, abbiamo deciso di mantenere il focus sul segmento Mid-Cap, mercato in cui in Italia sono ancora presenti diverse opportunità di acquisto degli asset a prezzi favorevoli, sia rispetto agli Stati Uniti e ad altri paesi europei che rispetto al segmento dei Large-Buyout. Tramite l’attività dei Fondi di Private Equity e di Private Debt prevediamo per il 2016 di incrementare il numero di investimenti su PMI italiane leader di mercato, con un elevato potenziale di consolidamento nel settore di riferimento e buone opportunità di sviluppo del business a livello internazionale. Negli investimenti nel settore delle Infrastrutture e delle Energie Rinnovabili saranno privilegiate invece operazioni di medie dimensioni con opportunità di upside nel segmento mini-idroelettrico, delle biomasse e del secondario fotovoltaico. In this scenario, and in line with the investors’ preferences, Quadrivio, over the last few months, has launched investment products designed to satisfy this market demand with the Private Equity Fund 3, the Quadrivio Private Debt Fund and the Quadrivio Green Energy Fund. Thanks to the good performance of the funds managed by the SGR and the outstanding track record of the investment team, over the course of the year Quadrivio raised more than 400 million EUR. Within each strategy, in order to obtain good returns on the investments, we maintain the focus on the market segments that present, in our opinion, the best risk-yield profile. To this regard, with the new Private Equity Fund, in continuity with the strategy of the Quadrivio 1 and 2 Funds, we have decided to maintain focus on the Mid-Cap segment in Italy, a market in which there are still several opportunities to buy the assets at convenient prices, compared to the United States, to the other European countries and compared to the Large-Buyouts segment. Through the activity of the Private Equity Fund and the Private Debt Fund, in 2016 we intend to increase the number of investments in Italian SMEs which are also market leaders and which have high consolidation potential in their sectors of reference and good opportunities for business development at international level. In the Infrastructure and Renewable Energy sectors, instead, we intend to privilege medium sized transactions with upside opportunities in the mini-hydroelectric, biomasses and secondary photovoltaic segment. Riguardo ai progetti per il 2016, oltre a completare la raccolta sui fondi avviati negli ultimi 12 mesi, stiamo lavorando per lanciare nuovi prodotti di investimento che ci consentano di rafforzare la nostra leadership nel panorama degli investimenti alternativi e di perseguire una politica di ampliamento della gamma di offerta e di diversificazione geografica. Con riferimento alle singole strategie, siamo in particolare soddisfatti dei risultati raggiunti dall’area Private Equity dal momento che, con le 3 ulteriori exit completate nel 2015, il Fondo 2 ha raggiunto un IRR di portafoglio superiore al 30%, a soli 5 anni dall’inizio dell’operatività. Per i prossimi mesi, prevediamo di proseguire l’attività d’investimento del Fondo 3 e di completare altre exit sulle società nel portafoglio del Fondo 2, beneficiando anche di un trend di mercato oggi particolarmente favorevole. During the course of 2015 Quadrivio has achieved positive results in terms of fund performance in the 6 investment strategies and in terms of overall corporate business development. With regards to the single investment strategies, we are very satisfied with the results achieved by the Private Equity business unit, which has completed 3 further exits during the course of 2015, enabling Fund 2 to reach a portfolio IRR greater than 30%, in only 5 years from the start of the fund activity. In the next months we expect to continue in the investment activity of Fund 3 and to complete other exits on the portfolio companies of Fund 2, taking advantage of the positive market trend which is currently particularly favourable. Nella strategia Fondi di Fondi abbiamo assistito ad un miglioramento delle performance dei Fondi negli ultimi mesi, e sono inoltre in fase di studio nuovi progetti di sviluppo in Europa e in Asia, in partnership con primari operatori del settore. Anche nell’area Clean Energy & Infrastructure abbiamo raggiunto importanti risultati, con un significativo incremento delle performance degli impianti nel portafoglio. Sotto la gestione dell’attuale Management Team, il track record dei fondi della strategia è decisamente migliorato e, a pochi mesi dalla data del primo closing, sono già stati completati 3 investimenti nel fondo in raccolta Quadrivio Green Energy Fund. Il fondo Microfinanza 1, un unicum nel suo genere in Europa, anche in questo esercizio è stato in grado di registrare un’ottima performance, con un rendimento pari a circa il 5,3% a livello di portafoglio. Sul fronte dei nuovi progetti per la strategia, si segnala l’imminente avvio del Fondo “Sustainable Finance Fund”, focalizzato sull’acquisto di partecipazioni in società quotate attive nel settore della microfinanza. In the Funds of Funds investment strategy, we observed an improvement of the Funds’ performance in the last months; furthermore, we are developing new projects in Europe and in Asia in partnership with the main operators in the sector. Even in the Clean Energy & Infrastructure investment strategy we achieved important results, with a significant increase of the plant performance in the portfolio. With the current Management Team, the track record of the funds has significantly improved and in just a few months from the first closing 3 investments have already been completed with Quadrivio Green Energy Fund which is currently in fundraising. The performance of the Microfinanza 1 fund, unicum of its kind in Europe, was also worthy of note as during the year it was again able to generate a return of 5,3% at portfolio level. With regards to new projects for the investment strategy, Quadrivio will promote the new “Sustainable Finance Fund”, which will be focused on the acquisitions of shares in listed companies active in the microfinance sector. Con riferimento alla crescita di Quadrivio a livello corporate, abbiamo recentemente siglato un accordo di partnership che prevede l’integrazione del Team di Venture Capital di Quadrivio con quello del Team di Imi Fondi Chiusi SGR, parte del Gruppo Intesa San Paolo. La joint venture tra Quadrivio e Intesa darà vita al primo operatore italiano nel settore del Venture Capital, specializzato negli investimenti in imprese hi-tech ad elevato potenziale di crescita nei settori med-tech, elettronica avanzata e clean-tech. L’accordo tra le parti prevede inoltre il lancio di un nuovo Fondo per un commitment target pari a 120 milioni di euro, in parte già sottoscritti. Sul fronte organizzativo, negli ultimi mesi abbiamo proseguito il processo di rafforzamento manageriale della società tramite l’inserimento di nuove risorse sia nei team di investimento che nelle funzioni corporate. Nei prossimi mesi prevediamo di proseguire nel nostro percorso di crescita sia per linee interne che attraverso l’analisi di possibili joint venture ed acquisizioni volte a proseguire il processo di sviluppo e internazionalizzazione del Gruppo. With regards to Quadrivio’s growth in terms of corporate business development, we recently signed a partnership agreement for the integration of Quadrivio’s Venture Capital Team with Imi Fondi Chiusi Team, the Asset Management Company part of the Intesa San Paolo Group. The joint venture between Quadrivio and Intesa San Paolo will create the first Italian leader in Venture Capital, specialised in investments in hi-tech companies with high growth potential, in the med-tech, advanced electronics and clean-tech sectors. Furthermore, the agreement includes the launch of a new Fund with a target size of 120 million EUR, which in part has already been committed. At an organisational level, over that last months the Group’s structure was strengthened with the introduction of new professionals, both in the investment teams and in the corporate functions. In the next months we expect to achieve further growth both internally and externally through possible joint ventures and acquisitions aimed at pursuing further business development and internationalisation of the Group. Over the last few years, Quadrivio has enriched and diversified its range of products, both vertically, launching new investment solutions in the traditional strategies - through the Quadrivio Green Energy Fund, the Quadrivio Private Equity Fund 3 and the Tower Gate Liquidity Fund - and horizontally, developing within the structure of the Group the Private Debt investment strategy, followed by the launch of the dedicated Quadrivio Private Debt Fund. The funds promoted have had an excellent response from the market: in 2015 alone, over 400 million EUR was raised. As illustrated in the graph below, in Quadrivio the Investment Teams are supported by six corporate functions- Compliance & Anti-Money-Laundering, Risk Management, Administration Finance & Control, Investor Relations, Legal and Office Management – mainly for the management of back office activities of the Funds and of the asset management company, in order to allow the management teams to be completely dedicated to the investment activity. L’ufficio di Singapore si aggiunge alle precedenti aperture degli uffici di New York (2008), Hong Kong (2013) e Londra (2014), consentendo alla società di poter contare oggi su cinque uffici di rappresentanza. In 2015 Quadrivio’s international development continued, with the opening of the new office in Singapore to support the Group’s activities. The Singapore office is the most recent addition to the international offices already opened - in New York (2008), Hong Kong (2013) and London (2014), and Quadrivio can now count on five representative offices. The geographic presence in three continents is another distinctive feature of the Company, since the international offices play a very important role in the development of portfolio companies, in identifying new investment opportunities and in the development of networks with the local financial community. 13 Stiamo attraversando una congiuntura di mercato favorevole con particolare riferimento al numero ed alla qualità delle opportunità d’investimento, nonché di condizioni di acquisto favorevoli e di accesso alla finanza strutturata PRIVATE EQUI T Y Strategia d’investimento Investment strategy L’area Private Equity si compone di 14 professionisti, suddivisi negli uffici di Milano, New York e Singapore. Il Team gestisce attualmente tre fondi di investimento per un totale di 380 milioni di euro di asset under management ed ha ad oggi completato 17 investimenti principali, 9 add-on, e 11 disinvestimenti. La strategia d’investimento è la medesima per tutti i fondi in gestione e prevede l’acquisto di partecipazioni, preferibilmente di maggioranza, in piccole e medie imprese (PMI) italiane leader di mercato, con una forte propensione internazionale e/o attive in un settore frammentato con potenzialità di consolidamento. L’obiettivo del Team consiste pertanto nell’investire in società con un elevato potenziale di crescita che, con il supporto, l’esperienza e il know-how di Quadrivio, possono crescere ulteriormente sul proprio mercato di riferimento e a livello internazionale. Gli investimenti sono quindi indirizzati verso PMI con un Enterprise Value compreso tra 30 e 100 milioni di euro, che presentano un elevato ritorno sul capitale investito e sulle quali il processo di creazione di valore può essere raggiunto anche attraverso interventi di indirizzo strategico, di rafforzamento della struttura organizzativa e di implementazione di una strategia di buy & build. The Private Equity investment strategy has a team of 14 professionals, who work in the offices of Milan, New York and Singapore. At present the Team manages three investment funds for a total of 380 million EUR of assets under management, and so far it has completed 17 investments, 9 add-ons, and 11 exits. The investment strategy is the same for all the funds under management and is based on the purchase of equity, preferably majority investments, of Italian small and medium enterprises (SMEs) that are market leaders and which have a strong international inclination and/or are active in a fragmented sector with consolidation potential. The Team’s objective is to invest in companies with high growth potential which through Quadrivio’s support, experience and know-how, can further grow in their own reference market and at international level. Investments are therefore directed towards the SMEs with an Enterprise Value between 30 and 100 million EUR, which have a high return on the invested capital and in which the value creation process can be achieved by supporting the strategic guidance of the company, by strengthening the organisational structure, and by implementing a buy & build strategy. Valore aggiunto sulle partecipate Value creation for the portfolio companies Nicola Pietralunga Investment Director Nel corso dei primi mesi del 2016 stiamo riscontrando nel nostro deal flow il persistere di un trend positivo in termini di numero di opportunità d’investimento. Tali opportunità riguardano soprattutto operazioni di primario, verso le quali Quadrivio, attraverso il proprio network proprietario, ha sempre indirizzato il principale interesse. In parallelo, stiamo registrando un significativo miglioramento dal punto di vista qualitativo delle opportunità di investimento, sia in termini di andamento dei fondamentali delle aziende target che in termini di coerenza con la strategia d’investimento (in particolare per quanto riguarda la presenza ed il potenziale di sviluppo internazionale del business). Inoltre, l’elevato numero di opportunità presenti sul mercato, unito ad un livello di concorrenza di operatori specializzati moderato rispetto ad altri paesi europei, contribuisce ancora a creare opportunità d’acquisto a condizioni favorevoli, come si evidenzia dai multipli impliciti di ingresso relativi ai recenti investimenti completati. In the first months of 2016 our deal flow continues to register a positive trend in terms of the number of investment opportunities. These opportunities regard above all primary transactions, towards which Quadrivio, through its own proprietary network, has always addressed its main interest. In parallel, there is a significant improvement in investment opportunities from a qualitative point of view, with regards to both the basic trend of the target companies and in terms of consistency with the investment strategy (in particular with regards to the presence and the potential of the international development of the business). In addition, the high number of opportunities on the market, together with a moderate level of competition from specialised operators compared to other European countries, also contributes to create acquisition opportunities at favourable conditions, as shown by the implicit entry multiples of recent investments. Tali condizioni d’acquisto favorevoli, ancora oggi riscontrabili sul mercato italiano, contribuiscono anche a facilitare opportunità di arbitraggio sul multiplo al momento del disinvestimento. Nelle exit fino ad oggi completate dai Fondi Quadrivio, l’arbitraggio di multiplo è stato infatti una leva rilevante nel processo di creazione di valore. Grazie al raggiungimento di determinate soglie di fatturato nelle aziende partecipate (intorno a 100 milioni di euro), al rafforzamento della società dal punto di vista manageriale e dell’incremento della loro presenza internazionale, siamo stati spesso in grado di attrarre acquirenti esteri qualificati, disposti a valorizzare, tramite il riconoscimento di multipli elevati, la creazione di valore apportata durante l’«holding period». These favourable acquisition conditions, which still characterize the Italian market, also contribute to interesting multiple arbitrage opportunities at exit. In the exits completed so far by the Quadrivio Fund, multiple arbitrage has in fact, been an important lever in the creation of value. After reaching a certain sales thresholds in the portfolio company (around 100 million EUR), strengthening the management and increasing its international presence, we have often been able to attract qualified foreign buyers, which through high multiples recognize the value created during the “holding period”. Ci attendiamo inoltre un proseguimento del momento di mercato favorevole anche per quanto riguarda l’accesso al credito, in particolare, non avvertiamo oggi segnali che lascino intravedere un ritorno del «credit crunch» e un significativo aumento dei tassi. Siamo pertanto fiduciosi di poter completare le prossime operazioni di LBO senza particolari difficoltà nel reperimento della relativa leva finanziaria. In termini di operatività dei Fondi in gestione, nei prossimi mesi ci attendiamo di completare tre disinvestimenti sui Fondi Q1 e Q2 e di realizzare almeno due investimenti sul Fondo Q3, oltre a quello appena completato nel Gruppo Somacis. Dopo 4 mesi dal lancio di Q3, facendo leva sul nostro track record di rilievo e sul crescente interesse da parte degli investitori istituzionali (esteri ed italiani) ad investire nell’industria del Private Equity, il fondo ha raccolto impegni di sottoscrizione pari a circa 130 milioni di euro, oltre la metà del target di raccolta pari a 250 milioni di euro. 16 We are going through an economically favourable market situation especially with regards to the number and quality of the investment opportunities, as well as favourable conditions for acquisitions and for access to structured finance Furthermore, we expect the favourable market moment to continue also with regards to the access to credit; in particular, we do not at present perceive any signals that might suggest a return of the “credit crunch” or a significant increase in rates. The Clean Energy & Infrastructure investment strategy has a senior team of 9 professionals, who have worked together for more than 8 years and who have an investment track record of more than 150 million EUR in photovoltaic, hydroelectric and biogas systems, for more than 50 MW of power installed, in Italy and abroad. The business strategy at present manages three investment funds with over 120 million EUR of assets under management. In 2015, the third fund, the Quadrivio Green Energy Fund (QGEF), finalised the first three investments just a few months after the first closing. On a capital market that today offers opportunities of limited, or even negative, yields, on government securities and bonds, QGEF is an infrastructural product that can offer a stable coupon over time, not linked to traditional products, which benefits from a significant upside linked to the sale objective of the entire portfolio, once the aggregation process has been completed. In line with the results obtained by the team for similar products, the return target is double-digit, over a time horizon of about five/six years. L’incremento delle performance ottenute negli ultimi due esercizi è del 12,7%, ed è stato conseguito grazie ad una serie di interventi di perfezionamento degli asset e del presidio costante dell’attività produttiva. Il team è ora impegnato nell’ottimizzazione della struttura finanziaria delle varie partecipate, nell’ottica di preparare l’exit del portafoglio dei primi due fondi in gestione (Atmos II e Investimenti Rinnovabili). The increase in performances reached over the last two years is 12,7%, and has been achieved thanks to a series of actions to complete the assets and to constantly protect the production activity. There was an increase of 152 GW in the capacity produced, 8,3% greater than in 2014: the highest annual growth rate ever recorded. These are the first signs of a push towards new investments, encouraged by the climate agreement signed in Paris in December 2015, after more than 23 years of negotiations. The agreement marks the intention of 195 countries to combat global warming and it nakes the commitment to limit the increase to a cap of 1,5 degrees. In the forthcoming years, we will have a demanding task to perform, to foster the transition towards clean energy sources and above all to improve the energy efficiency of our buildings and factories. Within the sphere of the Paris agreement, the advanced countries have undertaken the commitment to “supply resources” to aid the developing countries, with the target of investing 100 billion dollars per year from now until 2020. The Italian companies active in this sector thus have a unique opportunity which should be taken with the aim of giving a new impulse to the country’s economic growth. To reach these ambitious targets, everyone’s support will be useful: businesses, funds, investors, banks, governments and institutions. Climate and the quality of the air that we breathe is a priority issue for everyone. European Venture Capital investments have more than doubled in the last five years. In 2015, growth was strong across the board: total investments reached 15,2 billion EUR vs 8 in 2014 with the number of deals increasing by 25%; the average deal size grew to almost 8,5 million EUR. Although highly encouraging, the remarkable growth was not enough to drive significant movement in the global total. Europe continues to lag behind the US which represents almost 70% of the Venture Capital market investing close to 0,5% of GDP in the sector vs just 0,1% across Europe. Growth in the Italian sector had been below the European average over the past 5 years, but turned aggressive in 2015 with investments increasing more than 1,7 fold vs 2014. Despite this strong performance in 2015, total Venture Capital investments in Italy were low, at approximately 75 million EUR. While Italy is the fourth largest economy in Europe and counts the largest number of companies among European countries. In terms of Venture Capital investment measured as a % of GDP, Italy ranked among the lowest. In sharp contrast, Italy ranks high, within the top worldwide in terms of innovation impact factor, creating an attractive potential for investment in high tech start-ups. The creation of several new funds in 2015, is a clear sign that investors are recognizing the underdeveloped opportunity in Italy and are expected to boost the sector in the very near future. In 2015, TT Venture focused attention on increasing the value of the portfolio through close monitoring of the portfolio company operations, strategic analyses, rigorous fund allocation, and maximizing the leverage from third party resources. TT Venture made significant follow-on investments in 2015 and maintained its position as one of the leaders in the Italian Venture Capital Industry. In 6 portfolio companies, TT Venture invested 1,2 million EUR and attracted third party investors who participated with 9,7 million EUR for a total of 10,9 million EUR. In parte, lo “spiazzamento” del modello di business degli intermediari creditizi tradizionali nei paesi sviluppati non ha ancora avuto una soluzione concreta, richiedendo interventi dolorosi e di lenta e difficile implementazione (oltre che di incerto successo, data la contemporanea presenza di bassi tassi, debole qualità del credito e scarsa crescita), incentrati primariamente sulla compressione della base di costi fissi mediante le razionalizzazioni del personale e della rete di distribuzione (oltre che della modalità di distribuzione dei servizi finanziari). In parte, la reazione è stata una enfatizzazione del processo già in atto, specie nel mondo anglosassone e nelle banche internazionali in generale, di trasformazione degli intermediari bancari in oggetti di diversa natura, focalizzati sulla distribuzione di prodotti finanziari (fondi, obbligazioni, etc, …), sul trading per conto proprio e di terzi - anche di prodotti derivati. Comunque, anche gli ultimi dati disponibili, relativi al primo trimestre del 2016, hanno in generale evidenziato redditività delle grandi banche occidentali in molti casi (se non nella generalità) ampiamente insoddisfacenti. Ancora, il che è forse perfino peggio per un investitore in capitale bancario, tradizionalmente alla ricerca di stabilità e prevedibilità dei rendimenti, l’evoluzione sopra descritta del modello dell’attività degli intermediari finanziari (insieme alle incertezze regolamentari, alle sanzioni, alla dinamica erratica degli accantonamenti per rischi su crediti e legali) ha molto ridotto l’affidabilità delle previsioni di redditività degli operatori (peraltro tendenzialmente magra e inferiore ai target storici). In questo contesto, l’attività tradizionale di raccolta del risparmio e di erogazione del credito a piccolissimi, piccoli e medi imprenditori - e anche in generale a individui a basso reddito - in paesi emergenti e in via di sviluppo rappresenta veramente “un altro mondo”. Questi paesi, sul cui “rallentamento” recentemente si è molto discusso, continuano a mostrare tassi di crescita nominale del PIL (un parametro rilevante come driver per l’espansione del portafoglio crediti) che sono multipli di quelli dell’Europa occidentale e anche degli Stati Uniti. In particolare, la pre - esistente scarsa diffusione del credito nei segmenti di mercato che abbiamo individuato consentono di attendersi tassi di crescita dei portafogli crediti ancora (e molto) più elevati degli stessi tassi di crescita nominale dei PIL locali. Tale crescita, inoltre, negli intermediari e nei contesti che riteniamo In the years following the financial crisis, which led to the “Great Stagnation”, the business model of the “traditional” banks in the developed countries - especially in Europe - have been plunged into crisis, also partly to the monetary policy measures (see the collapse of the interest rates) which, paradoxically, should have contributed to solving the initial problem, supporting economic growth. In part, the “disorientation” of the business model of the traditional credit intermediaries in the developed countries has not yet been concretely reviewed, requiring painful measures that are slow and difficult to put into practice (as well as of uncertain success, given the simultaneous presence of low rates, low creditworthiness and low growth), focused mainly on the compression of the fixed costs base by reducing personnel and distribution networks (as well as the method for the distribution of financial services). In part, the reaction has been emphasised on the process already in progress, especially in the Anglo-Saxon world and in the international banks in general, by transforming the banking intermediaries into objects of a diverse nature, focused on the distribution of financial products (funds, bonds, etc. …), and on trading on their own behalf and on behalf of third parties - also in derivative products. In any case, also the most recent figures available, relative to the first quarter of 2016, show in many cases (or even in general) highly unsatisfactory profit levels for the large western banks. Again, and this is perhaps even worse for an investor in banking capital, traditionally in search of stable and predictable returns, the above-described evolution of the financial intermediaries’ business model (together with the regulatory uncertainties, the sanctions, the erratic dynamics of allocations for risks on loans and for legal disputes) has greatly reduced the reliability of the operators’ profitability forecasts (for that matter tending to be scarce and lower than historic targets). In this context, the traditional activity of collecting cash and of issuing loans to very small, small and medium enterprises and also in general to low profit individuals - in emerging and developing countries really does represent “another world”. These countries, whose “slowing down” has been much discussed recently, continue to show nominal GDP growth rates (a relevant parameter as a driver for the expansion of the credit portfolio) which are multiples of those of Western Europe and also of the United States. In particular, the pre-existing scarce diffusion of credit in the market segments that we have identified allows us to expect credit portfolio growth rates still higher (much higher) than the nominal growth rates of the local GDPs themselves. Moreover, this growth in the intermediaries and in the contexts that we consider most interesting 25 più interessanti risulta ampiamente finanziata (e ulteriormente finanziabile) tramite depositi raccolti localmente (quindi almeno in buona parte “diaframmati” dalle incertezze dei mercati globali). Inoltre, in base a quanto abbiamo osservato, le redditività dei portafogli, anche al netto del costo del rischio di credito (per un aumento in specifici contesti) risulta ampiamente soddisfacente. Infine, le strutture dei conti economici e degli stati patrimoniali rimangono caratterizzati i primi dal margine di interesse e i secondi dagli impieghi economici tradizionali (e da un modesto ricorso alla leva), il che li rende molto più “trasparenti”, “comprensibili” e “prevedibili” di quelli di intermediari con conti economici fortemente dipendenti da ricavi da trading e bilanci con un alto grado di leva e “infarciti” di derivati. Questi elementi ci inducono a individuare target di investimento capaci di sostenere elevati e sostenibili tassi di crescita prospettica degli utili. Abbiamo individuato questi operatori come un interessante ambito di investimento, ad oggi ancora ampiamente trascurato da una industria finanziaria e dell’investimento complessivamente poco incline all’analisi e molto conformista. L’esperienza maturata negli anni della gestione del fondo Microfinanza I ci ha rafforzati nelle competenze specifiche e nel networking necessario per approcciare efficacemente l’attività di investimento in questa nicchia. Nell’ultimo anno, infine, ci siamo dotati delle infrastrutture (anche legali) per poter investire efficacemente in tutto lo spettro della struttura del passivo patrimoniale degli intermediari finanziari target (in particolare, debito e equity privato e quotato). In addition, on the basis of our observations, the profitability of the portfolios, also net of the credit risk cost (for an increase in specific contexts), is fully satisfying. Lastly, the structure of the income statements still feature traditional interest margins and the structure of the balance sheets still feature traditional economic loans (and modest use of the leverage), which makes them much more “transparent”, “comprehensible” and “predictable” than those of intermediaries with income statements that strongly depend on revenues from trading and balance sheets with a high degree of leverage and which are “stuffed” with derivatives. These elements induce us to identify investment targets that can sustain high and sustainable growth rates in forecast profits. We have identified these operators as an interesting field of investment, at present completely ignored by a financial and investment industry which is little inclined to analysis and highly conformist. The experience gained over the years in the management of the Microfinanza I fund has reinforced our specific skills and networking know-how required for approaching the investment business in this niche. To conclude, in the last year we have aranged the infrastructure (also legal) to be able to invest effectively in the entire spectrum of the equity credit structure of the targeted financial intermediaries (especially in private debt and equity and listed instruments). The flow of opportunities of corporate finance transactions typical of Private Debt has remained of good quality, in parallel to the opportunities found on the Private Equity market and transactions in the corporate sector relative to medium sized companies which undertake international acquisitions or which finance high yield programmes. The financing requirement for investment, expansion, acquisition and Private Equity transactions in Italy can be estimated at over 30 billion EUR a year, divided over several rating categories. The Italian market remains dependent on short term bank loans to companies far more than the European average. Therefore strong discipline in assessing creditworthiness and the capacity to grant borrowers a reliable solution, quickly and without resorting to syndication or successive sale or securitisation attempts, remain key factors. In the last 12 months our Private Debt team has examined more than 50 deals, 5 of which were brought to the final phase and presented to the Credit Investment Committee, with an average size of 40 million EUR per loan and a financial leverage level of less than 3,5x. The types of operations include mainly acquisition or the development of growth strategies, as well as buyout operations and the refinancing of the entire debt structure. During the last year, the Private Debt team has developed relationships with the main European Private Debt operators, not present in the Italian market, with which there are numerous opportunities for collaboration and joint investment in contexts involving higher amounts than the average ticket of the fund (10-15 million EUR). The main limiting factor on the market remains the scarce allocation to private credit to Italian institutional investors, as the market is still in the development phase. However, given the offer of a higher yield compared to the more traditional “fixed income” products, we foresee a gradual and growing interest for certain investors, such as insurances and pension funds. Nel corso del 2015 diversi fondi pensione hanno infatti rivisto la propria posizione nei confronti degli investimenti alternativi, oltrepassando il sentimento di sostanziale diffidenza nei confronti di alcune asset class - in particolare Private Equity, Private Debt e Venture Capital - che, al contrario, negli ultimi hanno dimostrato di: 1. garantire buoni (e meno volatili) ritorni dall’investimento rispetto ai mercati azionari e obbligazionari; 2. essere un’importante risorsa per ampliare ulteriormente la diversificazione di portafoglio; 3. esercitare un impatto positivo nello sviluppo dell’economia reale in termini di competitività del sistema paese, dei livelli di occupazione, di innovazione ecc. In the last 12 months, there has been a deep change in the investment strategy of Italian, pension funds. In 2015 several pension funds have, in fact, reviewed their position with regards to alternative investments, overcoming the feeling of substantive diffidence towards certain asset classes - in particular Private Equity, Private Debt and Venture Capital - which, on the contrary, in recent years have shown that: 1. they guarantee good (and less volatile) returns on the investment compared to the share and bond markets; 2. they are an important resource for further increasing portfolio diversification; 3. they have a positive impact on the development of the real economy in terms of the competitiveness of the country system, employment levels, innovation, etc. In merito alla performance delle asset class alternative, secondo un recente sondaggio di MondoInstitutional sui fondi previdenziali italiani, i ritorni dagli investimenti in queste asset class hanno spesso soddisfatto - se non addirittura superato - le aspettative di rendimento, come riporta il grafico seguente: With regard to the performance of the alternative asset classes, according to a recent survey carried out by MondoInstitutional on Italian pension funds, the returns on the investments in these asset classes have often satisfied - and even exceeded - the yield expectations, as shown in the following graph: 32 Come si evince dal sondaggio, nella maggior parte dei casi gli investimenti in asset alternativi hanno in media soddisfatto le attese dei fondi pensione, soprattutto nel caso degli investimenti in Private Equity, Private Debt e Infrastrutture. Ad ulteriore conferma di questo risultato, secondo il rapporto annuale Prequin 2016, in particolare la performance dell’investimento in Private Equity ha (in media) superato i rendimenti delle asset class tradizionali nei portafogli dei fondi pensione mondiali nel corso di più orizzonti temporali (ultimi 3, 5 e 10 anni), oltre ad aver registrato livelli di volatilità inferiori. Anche a seguito di queste performance, il dato tuttavia più rilevante emerso dal sondaggio MondoInstitutional riguarda soprattutto la predisposizione dei fondi previdenziali ad aumentare gli investimenti in asset class alternative nei prossimi anni. Come mostra la tabella sottostante, alla domanda “Avete intenzione di aumentare la quota di portafoglio negli investimenti alternativi nei prossimi 2/3 anni?” sono state date dai rispondenti le seguenti indicazioni: From the findings which emerge from the survey, in most cases investments in alternative asset classes have, on average, satisfied the expectations of the pension funds, especially in the case of investments in Private Equity, Private Debt and Infrastructures. Further confirmation of this result, according to the annual Prequin 2016 report, is given, in particular, by the performance of the investment in Private Equity which has (on average) exceeded the yields of the traditional asset classes in the pension fund portfolios at a global level, over several time horizons (the last 3, 5 and 10 years), as well as having registered lower volatility levels. Also subsequent to these performances, the most relevant figure emerging from the MondoInstitutional survey, however, regards above all the intention of the pension funds to increase investments in alternative asset classes in the forthcoming years. As shown by the following table, in answer to the question “Do you intend to increase the portfolio quota in alternative investments in the next 2/3 years?” the following indications were given by the participants interviewed: Nei prossimi anni è dunque atteso un forte contributo dei fondi previdenziali in termini di risorse da destinare ad asset class alternative. In the next few years, therefore, a strong contribution of pension funds is expected in terms of resources to be allocated to alternative asset classes. The greater effort is expected, above all, for investments in Private Equity and Private Debt, which asset classes, especially in Italy, are today only present to a minimum extent in the portfolios of the main national pension funds. 33 34 Performance e rendimenti del settore degli investimenti alternativi Performance and yields of the alternative investments sector Con riferimento ai ritorni delle asset class all’interno dell’industria degli investimenti alternativi, le performance sono state molto diverse a seconda delle singole strategie d’investimento. Tuttavia, è opportuno sottolineare come i ritorni medi dell’attività di Private Equity, benché correlati con l’andamento dei mercati azionari, siano stati superiori rispetto all’andamento dell’indice S&P 500 a partire dal 2007. Tra le varie tipologie d’investimento alternativo, il Distressed Private Equity è stato in grado di generare i ritorni più elevati per gli investitori nel corso degli anni, seguito dal segmento Buy-out, come riportato dal grafico seguente (Fonte: Prequin 2016): With regard to the returns on the assets classes within the alternative investments industry, performances have differed considerably according to the single investment strategies. However, it should be underlined that the average returns on Private Equity assets, although linked to the trend of the trend of stock exchange, have been higher than the S&P 500 index since 2007. Of the various types of alternative investments, the Distressed Private Equity has been able to generate the highest returns for investors over the years, followed by the Buy-out segment, as shown in the following graph (Source: Prequin 2016): Di seguito si riporta il trend dei mercati rilevanti per le business unit del Gruppo. Andamento del mercato del Private Equity in Italia Trend of the Private Equity market in Italy Benché ancora sottosviluppata rispetto ad altri paesi Europei e agli USA, negli ultimi tre anni l’industria italiana del private equity è stata in grado di generare i migliori ritorni dall’attività d’investimento in termini di IRR, come riportato dal grafico seguente (Fonte: Cambridge Associates, 2015). Although still underdeveloped compared to other European countries and to the US, in the last three years the Italian private equity industry has been able to generate the best returns on investments in terms of IRR, as shown in the following graph (Source: Cambridge Associates, 2015). 35 4. Questo risultato è spiegato da una serie di fattori. In primis, in Italia vi sono condizioni di acquisto vantaggiose rispetto ad altri paesi - soprattutto in termini di multiplo d’ingresso - che facilitano la creazione di valore. In secondo luogo, la ripresa generale dell’economia mondiale ha fortemente inciso sulle imprese italiane - tradizionalmente orientate alle esportazioni - complice anche un andamento delle valute favorevoli. Questi aspetti relativi alla congiuntura economica, uniti alla capacità degli operatori di Private Equity italiani nel saper creare valore all’interno delle aziende partecipate attraverso interventi sul piano strategico, organizzativo e produttivo, hanno permesso di generare ritorni sull’investimento molto interessanti per gli investitori. Con riferimento all’andamento del mercato negli ultimi 12 mesi, l’industria italiana del Private Equity, ha raggiunto risultati molto positivi sotto diversi punti di vista (Fonte: AIFI): Secondly, the general recovery of the world economy has strongly impacted Italian companies - traditionally export oriented - also advantaged by a favourable currency trend. These aspects relative to the economic situation, together with the capacity of the Italian Private Equity operators to create value within the portfolio companies by acting on the strategic, organisational and productive levels, have generated interesting returns on the investments. With reference to the market trend of the last 12 months, the Italian Private Equity industry has reached very positive results from various points of view (Source: AIFI): • In primo luogo, riguardo all’attività di fundraising (Private Equity e Venture Capital), nel corso del 2015, le risorse raccolte dagli operatori sono state pari a 2.833 milioni di euro, in crescita del 92% rispetto all’anno precedente. Si segnala in particolare che il 48% della raccolta è stato generato da investitori esteri, dato inferiore rispetto al 2014 ma comunque molto più alto rispetto alla media degli ultimi 5 anni. In termini di tipologie di investitori, la principali categoria di investitori sono riconducibili a family office (19%), fondi pensione (18,6%), enti pubblici/fondi sovrani (16%) e banche (15%). • Firstly, with regard to fundraising (Private Equity and Venture Capital), the capital raised by the operators in 2015 amounted to 2.833 million EUR, showing growth of 92% on the previous year. In particular, 48% of the funds raised was from foreign investors, which is a lower figure than 2014 but, nevertheless, much higher than the average of the last 5 years. In terms of types of investors, the main category of investors are family offices (19%), pension funds (18,6%), public entities / sovereign funds (16%) and banks (15%). • Sul fronte degli investimenti, negli ultimi 12 mesi sono state realizzate 220 operazioni, di cui 101 operazioni di Buyout, 81 di expansion, 34 di replacement e 4 di turnaround, per un controvalore pari a 4.556 milioni di euro. In termini di valore, in linea con gli anni precedenti, i Buy-out hanno continuato a rappresentare il segmento di mercato verso cui è confluita la maggior parte delle risorse (3.255 milioni di euro). Gli operatori internazionali hanno assorbito il 66% del mercato in termini di ammontare investito, seguiti dalle SGR, le quali hanno completato però il maggior numero di operazioni (120, 35% del mercato). Riguardo alla distribuzione geografica, il 96% degli investimenti ha avuto luogo in Italia. Di questi, il 72% è stato concentrato nelle regioni del Nord Italia, seguite dal Centro (17%) e dal Sud e Isole (9%). In termini di ammontare, il Nord ha drenato il 94% delle risorse. A livello settoriale, l’industria manifatturiera ha rappresentato il principale target di investimento (11%), seguita da servizi non finanziari (10%) e beni e servizi industriali (9%). • With regard to the investments, in the last 12 months 220 deals have been executed, 101 of which buyouts, 81 expansions, 34 replacements, and 4 turnarounds, for a counter value of 4.556 million EUR. In terms of value, in line with previous years, buy-outs continue to represent the market segment to which most resources flowed (3.255 million EUR). In terms of numbers, however, 178 divestments were registered, showing an increase of 2% compared to 2014. 37 Andamento del mercato del Venture Capital in Italia Trend of the Venture Capital market in Italy Andamento del mercato delle Energie Rinnovabili in Italia Trend of the Renewable Energies in Italy Rispetto al 2014, il comparto dell’early stage (seed e start up) ha mostrato una crescita sia in termini di numero di operazioni, passata da 106 nel 2014 a 122 nel 2015, con un incremento del 15%, sia dell’ammontare investito, passato da 43 milioni di euro nel 2014 a 74 milioni di euro nel 2015 (+74%). Nel 2015 la maggior parte delle operazioni di Venture Capital è stata realizzata da operatori focalizzati sul comparto dell’early stage, che hanno effettuato il 37% degli investimenti, seguiti dalle SGR generaliste (26%). In ultimo, sempre sul fronte dell’offerta, si rileva un livello di concentrazione del comparto inferiore rispetto all’anno precedente sia in termini di numero (ai primi cinque operatori è riconducibile il 48% dei 122 investimenti rilevati, contro il 65% del 2014) sia in termini di ammontare (ai primi 5 operatori è riconducibile il 55% dell’ammontare investito in questo segmento, rispetto al 75% del 2014). Compared to 2014, the early stage compartment (seed and start-up) showed growth both in terms of the number of operations, which increased by 15% from 106 in 2014 to 122 in 2015, and in the amount invested which increased from 43 million EUR in 2014 to 74 million EUR in 2015 (+74%). In 2015 most Venture Capital deals were carried out by operators focusing on the early stage, which carried out 37% of the investments, followed by the general SGRs (26%). Lastly, always regarding the offer, there was a lower level of concentration in this segment compared to the previous year both in terms of number (48% of the 122 investments registered were carried out by the first five operators, against 65% in 2014) and in terms of amount (55% of the amount invested in this segment was invested by the first 5 operators, compared to 75% in 2014). Andamento del mercato del Private Debt in Italia Trend of the Private Debt market in Italy In Italia, la produzione di energia è sempre più influenzata dalle fonti rinnovabili, tanto che il Paese ha già raggiunto gli obiettivi europei di sviluppo per il 2020, arrivando oggi a coprire il 17% dei consumi finali. Durante il 2015 la produzione di energia derivante da impianti fotovoltaici ha toccato 24,67 TWh, il 13% in più rispetto al 2014 (+2,8 TWh), che costituiscono il 7,8% della domanda elettrica e il 9,2% della produzione elettrica del Paese. Un ottimo risultato, solo parzialmente offuscato dal calo della produzione idroelettrica che ha inciso sulla diminuzione della produzione da rinnovabili elettriche che segnano un -7,7% in meno rispetto al 2014. Dopo un periodo che ha visto il raddoppio della quota verde in soli cinque anni e incentivi generosi, il mercato italiano attraversa oggi una seconda fase. La forte parcellizzazione della proprietà degli impianti e la rimodulazione degli incentivi da parte del Governo hanno innescato infatti un processo di consolidamento in cui le dimensioni e le possibili sinergie contano sempre di più per compensare i diminuiti guadagni. In Italy, the production of energy is increasingly influenced by the renewable sources, to the extent that the country has already reached the European development targets for 2020, covering 17% of final consumptions. During 2015 the energy produced by photovoltaic systems reached 24,67 TWh, 13% more than in 2014 (+2,8 TWh), which represents 7,8% of the demand for electricity and 9,2% of the country’s electricity production. An excellent result, only partially shadowed by the fall in the production of hydroelectricity which had an impact on the decrease in the production of electricity from renewable sources, which was 7.7% less than in 2014. After a period in which the green quota doubled in just five years with generous incentive systems, the Italian market has now entered into a second phase. The strong fragmentation of the ownership of the systems and the remodelling of the incentives on the part of the Government have, in fact, triggered a process of consolidation in which size and possible synergies are increasingly important to compensate the lower earnings. Per la recente industria italiana del Private Debt, il 2015 è stato un anno importante sotto diversi punti di vista, nonostante il settore stenti ancora a decollare. Nel corso dell’ultimo anno 17 operatori associati all’AIFI sono attivi nel mercato del Private Debt. Di questi, il 53% sono focalizzati esclusivamente su tale attività, mentre i restanti svolgono anche l’attività di Private Equity. Le SGR rappresentano il 71% del numero complessivo. In termini di fundraising nel 2015 sono stati raccolti 109 milioni di euro a fronte dei 389 milioni di euro raccolti nell’anno precedente. Il 64% della raccolta è imputabile a SGR, mentre la restante parte si riferisce a operatori internazionali con veicoli dedicati all’Italia. Con riferimento alle fonti della raccolta, gli investitori istituzionali domestici hanno pesato per il 96%, mentre la componente estera è stata pari al 4%. In termini di tipologia di fonte, dal canale bancario è pervenuta circa la metà del totale risorse raccolte (49%). For the recent Italian Private Debt industry, 2015 was an important year for different reasons, in spite of the fact that the sector is still finding it difficult to “take off”. In the last year, 17 operators who were AIFI members were active on the Private Debt market. Of these, 53% focused exclusively on that activity, while the others also carried out Private Equity business. The SGRs represent 71% of the total number. In terms of fundraising in 2015, 109 million EUR were raised, compared to 389 million EUR in the previous year. 64% of the amount was raised by the SGRs, while the remaining part was collected by international operators with vehicles dedicated to Italy. With reference to the sources of the funds, national institutional investors had a weight of 96%, while the foreign component was 4%. In terms of source types, the banking channel was responsible for about half of the total resources collected (49%). Andamento del mercato europeo dei Fondi di Fondi di Private Equity Trend of the European Market of Private Equity Fund of Funds Benché la business unit Fondi di Fondi abbia avuto un focus d’investimento sul mercato italiano, data la dimensione del mercato domestico, le uniche statistiche disponibili in grado di dare un’indicazione sull’andamento del mercato (ed in particolare del segmento mid-market) si riferiscono al panorama europeo (Fonti Pitchbook e Prequin). Si sottolinea inoltre come tali statistiche vengono continuamente monitorate dal Team e utilizzate come benchmark in vista del lancio di un Fondo di Fondi Europeo nel breve termine. Con riferimento all’andamento del mercato nell’ultimo anno, il 2015 ha visto un aumento sia dell’attività di investimento che di exit nei fondi di private equity del middle market europeo. Ad oggi è pertanto possibile definire il middle market, composto, secondo la definizione qui adottata, da operazioni con valore tra 25 milioni di euro e 1 miliardo di euro, quale il cuore dell’attività di private equity in Europa. Although the Funds of Funds business unit has been focused on investing on the Italian market, given the size of the domestic market, the only statistics available which can give an indication of the trend of the market (and in particular of the mid-market segment) are those which refer to the European context (Sources: Pitchbook and Prequin). It must also be noted that these statistics are monitored by the Team and used as benchmarks with the perspective of the launch of a European Fund of Funds. With reference to the market trends in the last year, there was an increase in 2015 of both investments and of disinvestments in the private equity funds of the European middle market. Today, it is therefore possible to define the middle market, composed, according to the definition that we have adopted, of deals with a value between 25 million EUR and 1 billion EUR, as the core of the private equity activity in Europe. Sul fronte degli investimenti, nel 2015 sono state completate 31 operazioni (+107% vs il 2014) pari a un valore di 157 milioni di euro (+47% vs il 2014). Il numero di operatori che ha completato un’operazione sia nel 2014 che nel 2015 è stato pari a 7. A questo proposito, gli operatori domestici hanno rappresentato l’87% in termini di numero e il 79% in termini di ammontare. Con riferimento agli strumenti utilizzati in queste operazioni, nel 89% dei casi questi hanno riguardato obbligazioni, mentre il peso degli strumenti ibridi e dei finanziamenti è stato pari al 7% e al 4%. In particolare, la durata media delle obbligazioni risulta di poco inferiore a 6 anni, mentre per quanto concerne la dimensione dei prestiti, nell’89% dei casi questa è stata inferiore ai 10 milioni di euro. A livello geografico, sulla scia di quanto avvenuto nel mercato del Private Equity, la maggior parte delle operazioni ha interessato le regioni del Nord Italia (83). Particolare peso ha avuto la regione del Trentino Alto Adige, in seguito alla creazione di un fondo dedicato promosso dalla regione. In termini di disinvestimenti, data la recente nascita dell’industria del Private Debt in Italia, in linea con lo scorso hanno non sono disponibili informazioni riguardo alle performance di exit. 38 With regard to investments in 2015, 31 deals were concluded (+107% on 2014) for a total value of 157 million EUR (+47% on 2014). The number of operators which concluded a deal in both 2014 and in 2015 was 7. To this regard, national operators represented 87% in terms of number and 79% in terms of amount. With reference to the structures used in these deals, in 89% of cases they regarded bonds, while hybrid structures and loans accounted respectively for 7% and 4%. The average term of bonds was just under 6 years, while the size of the loans, in 89% of cases, was less than 10 million EUR. At geographic level, following the trend of the Private Equity market, most deals regarded the regions of North Italy (83). The Region of Trentino Alto Adige had particular weight, subsequent to the creation of a dedicated fund promoted by the Region. In terms of divestments, with the recent creation of the Private Debt industry in Italy, in line with last year, no information is available regarding the exit performance. Da un lato nei primi 9 mesi dell’anno i capitali investiti hanno raggiunto la somma di 175,8 miliardi di euro, dall’altro lato il numero di operazioni concluse ha già superato i livelli raggiunti nel 2007 attestandosi su un valore leggermente inferiore al migliaio. I dati 2015 consuntivi dovrebbero pertanto segnare un risultato record sia in termini di capitali investiti che di operazioni concluse. Nei primi 9 mesi del 2015 le cessioni di partecipazioni detenute da fondi di private equity nel mid-market europeo sono state 546, equivalenti ad un valore di 54 miliardi di euro. Tali risultati rappresenterebbero la migliore performance degli ultimi cinque anni, nel caso in cui anche il Q4 dovesse confermare il trend del resto dell’anno. Nonostante il numero di exit sia rimasto sostanzialmente invariato rispetto all’anno scorso, il multiplo medio delle operazioni effettuate è aumentato, riflettendo un sentiment positivo verso il mid-market europeo. Ciò ha portato i fondi di fondi di private equity europei, e in particolare quelli con vintage 2012, a realizzare i migliori ritorni di sempre, raggiungendo un IRR mediano pari al 15,8% nel 2015. In 2015 the investments in private equity in the European mid-market established two new records. On one side, in the first 9 months of the year the invested capitals reached the sum of 175.8 billion EUR, and on the other the number of deals has already exceeded the levels reached in 2007, reaching a final number just below one thousand. The final 2015 figures should therefore show a record result both in terms of invested capital and in terms of finalized deals. In the first 9 months of 2015 the sale of assets held by private equity funds in the European mid-market reached 546, for a total value of 54 billion EUR. These results would represent the best performance of the last five years, if the fourth quarter also confirms the trend of the rest of the year. Although the number of sales has remained substantially unchanged compared to the previous year, the average multiple has increased, reflecting a positive feeling towards the European mid-market. This has led the European private equity funds of funds, and especially those with 2012 vintage, to achieve the best returns ever, reaching a median IRR of 15,8% in 2015. 39 Andamento dell’industria della Microfinanza Trend of the Microfinance sector La microfinanza, che rappresenta il segmento ormai più maturo e consolidato del cosiddetto impact investments, consiste primariamente nell’erogazione di finanziamenti di modesto importo unitario a individui (se del caso organizzati in gruppi con responsabilità condivisa per il rimborso di capitale e interessi) con un basso livello di reddito, prevalentemente per supportarne lo svolgimento di una attività economica produttiva. Il positivo impatto sociale dell’attività di microfinanza è collegato al fatto che essa consente, in modo economicamente sostenibile (quindi tale da remunerare in modo almeno coerente con il livello di rischio assunto il capitale di rischio e il capitale di debito ad essa apportato per finanziarne l’operatività), e tramite metodologie e modelli di business specifici, di erogare credito a individui e segmenti di popolazione che non riescono a essere serviti in modo profittevole (e quindi sostenibile nel lungo periodo) da intermediari finanziari con modelli di business più tradizionali – colmando in tal modo un “vuoto di offerta” (e, in questo modo, incrementando l’efficacia complessiva del settore bancario). Negli ultimi 5 anni sino al 2014 il portafoglio globale della microfinanza ha mostrato una crescita media composta annua di circa un 15%, trend che prosegue nel 2015. Inoltre, il mercato del microcredito ha mostrato una certa de-correlazione con l’andamento degli altri mercati e, nonostante la crisi cinese ed il protrarsi della crisi russa, una certa resilienza. Inoltre, se durante il 2015 molti dei paesi esportatori di materie prime hanno subito le conseguenze del calo dei prezzi delle commodities, altri paesi rilevanti per il settore e importatori di materie prime ne hanno beneficiato. Microfinance, represents the most mature and consolidated segment of impact investments, consists primarily of the issue of small loans to individuals (sometimes organised in groups with shared responsibility for the repayment of the capital and interests) with a low profit level, mainly to support the execution of a business activity. The positive social impact of the microfinance business is linked to the fact that it allows, in an economically sustainable manner (therefore the risk capital and the debt capital to finance the business activity, are remunerated at least consistently with the risk level), and by means of specific methods and business models, to grant credit to individuals and segments of the population who cannot be served profitably (and therefore sustainably in the long term) by financial intermediaries with more traditional business models - thus filling an “offer gap” (and, in this way, increasing the overall effectiveness of the banking sector). In the 5 years from 2010 to 2014 the global portfolio of microfinance showed an average annual compound growth rate of about 15%, a trend that continued in 2015. In addition, the microcredit market has shown a certain de-correlation with the trend of the other markets and a certain resilience, in spite of the Chinese crisis and the continuance of the Russian crisis. Furthermore, although in 2015 many raw materials exporting countries suffered the consequences of the fall in the prices of commodities, other countries of relevance for the sector and importers of raw materials, benefited. 40 42 L’andamento macroeconomico The macro-economic trend L’andamento macro-economico mondiale The global macro-economic trend Secondo le più recenti stime, il Prodotto Interno Lordo mondiale risulta in crescita del 2,4% nel 2015 a fronte di un incremento del 2,6% nell’anno precedente. Il rallentamento della crescita è in primis riconducibile alla riduzione dell’attività economica nei mercati emergenti e al parallelo calo del commercio globale, dei prezzi delle materie prime e alla significativa volatilità delle borse mondiali. Di seguito si riporta una tabella riassuntiva dei trend di crescita del PIL mondiale negli ultimi anni, suddiviso per area geografica (Fonte: World Bank 2016). According to the most recent forecast, Gross Domestic Product at world level has grown by 2,4% in 2015, compared to 2,6% in the previous year. The deceleration in the growth is first and foremost due to the reduced economic activity in the emerging markets and to the parallel fall in global trade, raw material prices and the significant volatility of the stock exchanges of the world. The table below sums up the growth trend of world GDP in recent years, broken down according to geographic area (Source: World Bank 2016). 43 Le difficoltà delle economie emergenti hanno più che controbilanciato una parziale ripresa dell’attività economica nei principali paesi sviluppati. Molti paesi in via di sviluppo hanno infatti fortemente risentito del calo delle materie prime (tra cui spicca il calo del petrolio, che ha perso oltre il 50% negli ultimi 12 mesi) registrando una brusca frenata nelle esportazioni. Di seguito si riporta l’andamento delle principali materie prime negli ultimi quattro anni (Fonte OECD 2015). In aggiunta, alcuni paesi che negli anni precedenti avevano dato un importante contributo alla crescita globale – Cina, Brasile, Russia – hanno registrato un forte rallentamento delle proprie economie soprattutto a causa di un calo della domanda domestica e di alcune criticità endemiche esplose nel corso dell’ultimo anno. In alcuni casi, le difficoltà del sistema paese sono state ulteriormente amplificate dalle tensioni a livello politico e diplomatico, che hanno avuto come principale effetto un raffreddamento delle relazioni commerciali (ne sono un chiaro esempio i rapporti tra Russia ed Europa in seguito al conflitto in Ucraina). Considerando l’andamento delle principali valute mondiali, nel corso del 2015 sono avvenuti importanti eventi che hanno significativamente alterato i rapporti di cambio nel mercato delle valute. In primo luogo, nell’arco dei 12 mesi, la politica monetaria della BCE ha contribuito al forte deprezzamento dell’Euro nei confronti del Dollaro, generando effetti positivi sui livelli di export dei paesi membri dell’Unione. In secondo luogo, alcune banche centrali nazionali hanno rivisto le politiche monetarie del paese di riferimento. In particolare, a gennaio 2015, la Banca Nazionale Svizzera ha abbandonato il cambio fisso Franco-Euro, stabile da tre anni alla quotazione di 1,2 Franchi per Euro. In seguito alla decisione della Banca Nazionale Svizzera, la borsa di Zurigo è arrivata a perdere fino al 10 per cento prima di recuperare nelle settimane successive, mentre il valore al cambio del Franco Svizzero è aumentato rapidamente per poi riassestarsi, alla fine del 2015, sui livelli pre-aggiustamento. Ad agosto 2015, per ben due volte nell’arco di pochi giorni, la Banca Centrale Cinese ha svalutato lo Yuan allentandone l’aggancio con il Dollaro, generando ripercussioni immediate sui mercati finanziari mondiali. Many developing countries have, in fact, suffered from the fall in raw material prices (among which oil stands out, having lost more than 50% in the last 12 months), registering a brusque decrease in exports. With the contribution of the stronger Dollar and the increasingly insistent rumours of a possible Brexit, the Pound sustained considerable depreciation. However, the depreciation of the currency did not positively affect the country’s export levels which, on the contrary, continued to decrease. During 2015 the Yen/Dollar rate fell in the summer period, but then recovered towards the end of the year, leaving the exchange rate practically the same levels as in January. In addition, some countries which in previous years had given an important contribution to global growth - China, Brazil, Russia - a registeres strong deceleration of their economies, especially because of a fall in domestic demand and certain critical endemic factors which exploded during the last year. In some cases, the difficulties of the country systems were further worsened by tensions at political and diplomatic level, the main effect of which was a cooling in trade relations (relations between Russia and Europe subsequent to the conflict in the Ukraine are a clear example). Considering the trend of the main currencies of the world, important events occurred in 2015 which significantly altered the exchange rates on the currency markets. Firstly, over the 12 month period, the monetary policy of the European Central Bank contributed to the strong depreciation of the Euro against the Dollar, generating positive effects on the exports of the member countries of the Union. Secondly, some national central banks reviewed the monetary policies of the reference countries. In particular, in January 2015, the National Bank of Switzerland abandoned the fixed Franc-Euro exchange rate, which had been stable for three years at 1.2 Francs per Euro. Consequently to the decision of the National Bank of Switzerland, the Zurich stock exchange lost 10 percent before recovering over the following weeks, while the Swiss Franc exchange rate quickly increased and then settled, at the end of 2015, at the pre-adjustment levels. In August 2015, no less than twice in the time-lapse of just a few days, the Central Bank of China devalued the Yuan, loosening the link with the Dollar, generating immediate repercussions on the financial markets of the world. Benché in crescita, l’economia europea ha registrato tassi di crescita inferiori rispetto a quelli degli altri principali continenti, principalmente a causa dei ritardi di alcuni paesi membri nell’implementare importanti riforme strutturali in grado di dare ulteriore slancio alla ripresa. La crescita dell’economia è stata soprattutto trainata dal calo del prezzo del petrolio – che ha incrementato la domanda interna – e dal deprezzamento dell’Euro nei confronti del Dollaro – trend che ha avuto un notevole impatto positivo sui livelli di export. La politica monetaria della Banca Centrale Europea ha inoltre ricoperto un ruolo molto significativo nel sostegno alla crescita dell’ultimo anno, sia attraverso il controllo dei tassi di interessi su livelli minimi che tramite l’implementazione del sistema del Quantitative Easing, volto a evitare le speculazioni internazionali sui titoli di debito sovrani dei paesi membri. Riguardo al trend inflattivo, nell’ultimo anno non si sono registrate variazioni significative, mentre, come effetto della ripresa in corso nel continente, il tasso di disoccupazione è calato dell’1,4% rispetto all’anno precedente. With reference to Europe, in 2015 GDP grew by 1,3% for the countries of the Euro area and by 1,7% inthe entire Union. Although increasing, the European economy had slower growth rates than those of the other continents, mainly because of the delay on the part of some member countries in implementing important structural reforms which could have given greater momentum to the recovery. The growth of the economy was above all driven by the fall in the price of oil - which increased the internal demand - and by the depreciation of the Euro against the Dollar - a trend which had a considerable positive impact on export levels. The monetary policy of the European Central Bank also played a very important role in sustaining growth in the last year, both by keeping the interest rates at minimum levels and by the implementation of the Quantitative Easing system, aimed at avoiding international speculation on the sovereign debt securities of the member countries. With regard to inflation, no significant changes were registered in the last year, while, as an effect of the recovery in progress throughout the continent, the unemployment rate fell by 1,4% compared to the previous year. Dal punto di vista della performance del mercato azionario, il 2015 è stato un anno positivo per l’indice Euronext, con un guadagno superiore all’8%, nonostante le tensioni sui titoli correlati all’andamento del prezzo del petrolio e le difficoltà di alcuni operatori del canale bancario. In termini di rendimento, la performance del listino Europeo è stata migliore sia dell’Hang Seng index che dei principali indici USA (Nasdaq e Dow Jones), i quali hanno rallentato negli ultimi 12 mesi dopo i massimi raggiunti nel corso dell’esercizio 2014. Su tutte le piazze mondiali si è registrata una forte volatilità del mercato. 46 From the perspective of the performance of the stock exchange, 2015 was a positive year for the Euronext index, which earned more than 8%, notwithstanding the tensions on the securities linked to the trend of the price of oil and the difficulties of certain operators of the banking system. In terms of yield, the performance of the European listings was better than both the Hang Seng index and the main USA indices (Nasdaq and Dow Jones), which slowed down over the last 12 months after the maximum levels reached in 2014. There was strong volatility on all the world stock markets. Con riferimento al mercato obbligazionario, in Europa si è registrato un complessivo aumento degli spread negli ultimi 12 mesi (si rimanda alla tabella sottostante, Fonte: Credit Suisse). Tale incremento ha riguardato soprattutto le obbligazioni corporate, mentre i rendimenti dei bund tedeschi – comunemente utilizzati come benchmark – sono saliti solo in modo molto più sensibile (o addirittura diminuiti, come nel caso dei bund a 5 anni). Confrontando i rendimenti obbligazionari europei e US, nonostante una politica monetaria, sia da parte della Fed che da parte della BCE, volta al contenimento dei tassi di interesse, le obbligazioni corporate hanno registrato un incremento dello spread poiché, in un contesto di volatilità dei mercati finanziari, il premio per il rischio richiesto dagli investitori per operazioni straordinarie sulle aziende è aumentato. Oltre a questo fenomeno, sui rendimenti delle obbligazioni corporate US, al contrario dei titoli europei, hanno inoltre pesato le incognite sulla sostenibilità della crescita dell’economia nei prossimi anni. With reference to the bond market, in Europe there was an overall increase in spreads in the last 12 months (as illustrated in the table below, Source: Credit Suisse). This increase regarded above all corporate bonds, while the yield of the German bunds - commonly used as a benchmark - rose but much less (and sometimes even fell, as in the case of the 5 year bunds). Comparing European and US bond yields, in spite of a monetary policy of both the US Federal Bank and the European Central Bank aimed at containing interest rates, corporate bonds registered an increased spread since, in a context of volatile financial markets, the premium for the risk required by investors for corporate finance transactions on companies increased. In addition to this phenomenon, the yields of US corporate bonds, unlike the European securities, were also negatively influenced by the uncertainties of the sustainability of the economic growth over the forthcoming years. 47 La pressione fiscale complessiva, calcolata come ammontare delle imposte dirette, indirette, in conto capitale e dei contributi sociali in rapporto al PIL, è risultata pari al 43,3% nel 2015, in calo di 0,3 punti percentuali rispetto al 2014. Il rapporto debito/PIL è salito al 132,6% dal 132,1% del 2014. Il deficit, misurato in rapporto al PIL, è stato invece pari al -2,6%, a fronte del -3% del 2014. In valore assoluto l’indebitamento, rilevato dall’ISTAT, è pari a 2.169,9 miliardi di euro, in crescita di 33,8 miliardi di euro rispetto a dicembre 2014. È tuttavia opportuno sottolineare come, tra i paesi membri dell’Unione Europea, l’Italia, dal 2007, abbia avuto un incremento del rapporto debito/PIL maggiore solamente a quello tedesco. Infatti, fatto cento il rapporto debito/PIL nel 2007, per alcuni paesi la progressione è stata vertiginosa. Nel 2015 per la Spagna è quasi triplicato (283 punti), vicino al raddoppio per il Portogallo (188 punti) addirittura peggio della Grecia (173). In Francia il rapporto è cresciuto fino a sfiorare quota 150 mentre in Italia si è “fermato” appena sopra i 133 punti. E negli anni tra il 2009 e il 2012, quando si è trattato di sorreggere il sistema bancario nazionale, l’accelerazione del debito di Berlino è stata significativa, sorpassando di gran lunga quella italiana. Dopo tre anni consecutivi di recessione economica, nel 2015 il PIL italiano ha registrato un incremento pari allo 0,8% rispetto all’anno precedente. Il PIL a prezzi di mercato è stato pari a 1.636 miliardi di euro, mentre quello a valori concatenati è di 1.547 miliardi euro. L’aumento del prodotto interno lordo è stato principalmente determinato da una crescita dello 0,5% dei consumi finali e dello 0,8% degli investimenti fissi lordi. Per quanto riguarda i flussi con l’estero, le esportazioni di beni e servizi sono aumentate del 4,3% mentre le importazioni del 6%. After three consecutive years of economic recession, in 2015 the Italian GDP increased by 0,8% compared to the previous year. The GDP at market prices was 1.636 billion EUR, while the GDP at factor cost is 1.547 billion EUR. The increase in the gross domestic product was mainly determined by a growth of 0,5% in final consumptions and of 0,8% in gross fixed investments. With regard to foreign trade, exports of goods and services increased by 4,3% while imports increased by 6%. 48 The overall tax pressure, calculated as the sum of direct and indirect taxes, taxes on capital and social security contributions, as a ratio of the GDP, was 43,3% in 2015, representing a decrease of 0.3 percentage points compared to 2014. The debt/GDP ratio increased to 132,6%, from 132,1% for 2014. However, the deficit, measured as a ratio of the GDP was -2,6%, compared to -3% in 2014. In absolute value, the national debt according to the ISTAT amounts to 2.169,9 billion EUR, showing an increase of 33,8 billion EUR compared to December 2014. However, it must be emphasised that, of all the countries of the European Union, Italy, since 2007, has had an increase in the debt/GDP ratio greater only than that of Germany. In fact, taking the 2007 debt/GDP ratio as 100, the progression for some countries was staggering. In 2015 it had almost tripled for Spain (283 points) and almost doubled for Portugal (188 points), even worse than Greece (173). In France the ratio increased to almost 150 while in Italy it “stopped” at just over 133 points. And in the years between 2009 and 2012, when the problem was to sustain the national banking system, the acceleration of the debt of Berlin was significant, going far beyond that of Italy. The change in the debt/GDP ratio from 2007 to 2015 is given below (Source: Eurostat, Sole 24 Ore, 2007= base 100). 49 Procedendo nell’analisi della altre principali grandezze economiche, per il terzo anno consecutivo l’inflazione ha rallentato assestandosi a +0,1%, rispetto al +0,2% del 2014. A questo livello, il tasso d’inflazione medio annuo risulta il più basso dal 1959, ovvero da 56 anni: l’ISTAT ricorda che nel ‘59 l’Italia era in deflazione (il tasso risultava pari a -0,4%). Come effetto congiunto di una parziale ripresa dell’economia nazionale e delle riforme in materia di lavoro (Jobs Act) il tasso di disoccupazione è sceso del 1,2% rispetto all’anno precedente e si è attestato a un valore pari all’11,5%. È opportuno però precisare che l’aumento dell’occupazione non è stato omogeneo su tutto il territorio nazionale e che – soprattutto nelle regioni del Sud – la disoccupazione giovanile ha continuato ad aumentare fino a picchi del 44%. Dal punto di vista dei mercati finanziari, nel 2015 il FTSE. MIB ha chiuso con un guadagno dell’12% rispetto all’anno precedente. In particolare, nei primi 9 mesi dell’anno si è registrata una forte crescita del mercato, parzialmente compensata da un calo nel periodo autunnale. La performance dell’indice è stata comunque caratterizzata da un’ampia volatilità, come riportato dal seguente grafico: Proceeding with the analysis of the other main economic figures, for the third consecutive year inflation slowed down, settling at +0,1%, compared to +0,2% in 2014. At this level, the average annual inflation rate is the lowest since 1959, i.e. the lowest for 56 years: ISTAT recalls that in 1959 Italy was in deflation (the rate was -0,4%). As a combined effect of a partial recovery of the national economy and of the reforms regarding employment (the Jobs Act), the unemployment rate fell to 11,5%, representing a decrease of 1,2% compared to the previous year. However, it is worth specifying that the increased employment rate has not been uniform throughout the country and that - above all in the Southern regions - juvenile unemployment has continued to increase reaching peaks of 44%. From the perspective of the financial markets, in 2015 the FTSE.MIB closed at a level 12% higher than the previous year. In particular, in the first 9 months of the year there was strong market growth, partially offset by a fall in the autumn. Analizzando il differenziale tra BTP e Bund, nell’ultimo anno si è assistito ad una costante diminuzione dello spread BTPBund, complici le minori incertezze a livello politico e le migliori prospettive economiche dell’Italia nei prossimi anni. Le riforme strutturali portate avanti dall’Italia in tema di semplificazione normativa e fiscale, lavoro e riduzione della spesa pubblica sono state giudicate positivamente dal mercato e dai principali analisti, benché di recente l’Italia sia stata invitata dal consiglio europeo a monitorare con attenzione l’andamento del debito pubblico rispetto al PIL. Tuttavia, è importante sottolineare come lo spread BTP-BUND si sia progressivamente ridotto durante l’anno non solo per via dei progressi dell’economia e della politica italiana, ma anche grazie all’entrata a pieno regime del sistema del Quantitative Easing promosso dalla Banca Centrale Europea in soccorso ai titoli di debito sovrani dei membri dell’unione più predisposti a manovre speculative. As illustrated from the table, the performances of the FTSE MIB Mid Cap, Star and Small Cap indices were particularly positive, while negative changes were registered in the indices representing companies with lower capitalisation, or in the AIM and Micro Cap indices. Analysing the gap between BTP and Bund, in the last year the BTP-Bund spread has constantly decreased (see the following graph, Source: Bloomberg), also due to the minor uncertainties and the better economic prospects for Italy for the next few years. The structural reforms implemented by Italy in termes of regulations and tax simplification, employment and reduced public spending, have been judged positively by the market and by the main analysts, even if Italy has recently been invited by the European Council to carefully monitor the trend of the public debt/GDP ratio.
